1 ARTICLE I. Name & Organization A. The name of this organization shall be the Givati Rifle and Pistol Club Inc. (Heretofore, The Club). B. The club shall be non-stock corporation operating as a non-profit business in the State of Maryland. C. The accounting year of the club shall commence on January 1 and end on December 31 of each year.; D. The club shall collect, solicit and otherwise raise money from private and public, domestic and foreign sources and distribute and expend it for the furtherance of the purposes contained herein. E. To do any other act or thing incidental to or connected with the foregoing or in advancement thereof, but not for the pecuniary profit or the financial gain of its directors or officers except as may be permitted by law. F. The Club shall have all the powers provided for nonprofit businesses by the laws of the State of Maryland, but such powers shall be used only in the furtherance of the purposes set forth herein. G. The enumeration of the aforesaid purposes and powers shall not be deemed to limit or restrict the general powers of the club, and the enjoyment and exercise thereof, as conferred by the laws of the State of Maryland upon nonprofit businesses.. ARTICLE II. Purpose & Goals: To promote good fellowship among members interested in shooting for sport. To provide opportunities for improving shooting skills through training and target practice. To provide opportunities to travel to shooting venues with other members. To provide opportunities for learning about and sampling different firearms. To provide opportunities for group and/or discount purchasing of supplies. To provide opportunities for competitive target shooting. To afford the opportunities stated above to Sabbath observing members events will scheduled to avoid conflicts with the Jewish Sabbath and Holydays and any meals at any events shall offer only Kosher food. To encourage organized rifle, pistol and shotgun shooting among the citizens and permanent residents of the United States, with a view toward a better knowledge on the part of such persons of the safe handling and proper care of firearms, as well as improved marksmanship. to forward the development of those characteristics of honesty, good fellowship, self-discipline, team play and selfreliance which are the essentials of good sportsmanship, and the foundation of true patriotism. ARTICLE III. Membership A. Any citizen or permanent resident of the United States eighteen (18) years of age or older may become a member of the organization on vote of the membership and on payment of the usual initiation fee and dues. Membership is nondiscriminatory regarding race, religion, sex. B. There shall be 3 classifications of membership: Senior, Associate, and Temporary. C. Senior members only shall have voting rights. Senior members are Jewish firearm owners who personally possess a firearm or who have a firearm in their household owned by a family or household members who is a member of the club. D. Associate members are non-jewish community members who personally possess a firearm or who have a firearm in their household owned by a family or household member who is a member of the club. Associate members do not have voting rights D. A Temporary member shall be any member who does not personally own a firearm or who does not have a firearm in the their household owned by a family or household member. A temporary member who acquires a personal firearm may apply for Senior membership. E. Applicants for membership must be sponsored by at least 1 current member and approved for membership at a regularly scheduled meeting. G. Each Associate and Senior member shall provide a copy of his Handgun Qualification License or proof of an exception recognized by the MD State Police to the Membership Chairman within 6 months of becoming a member. Article IV. Election to membership ARTICLE V. Dues 1. All applicants for membership must appear at a regular meeting with the application. This requirement may be waived by vote of the members present at a regular meeting after consideration of the merit of each individual case and reason for the non-appearance of the applicant. A. The annual dues and initiation fees of the organization shall be defined in the Standing Rules and Policies. B. No member of the organization in arrears for more than thirty (30) days shall be eligible for any of the benefits offered by this organization. The Treasurer shall notify each member in arrears for dues at the end of the thirty (30) day period, and advise the member that the period of grace shall extend for not more than sixty (60) days after such notice. If dues have not been received at the end of this period, and the member has not been excused by the Executive Committee, the member will be dropped from the rolls and may re-enter only as a new member. D. The annual dues of the President, Vice President, Secretary and Treasurer and other officers as specified by the Executive Committee shall be waived during their incumbency. ARTICLE VI. Meetings A. Annual Meeting. The Annual Meeting of this organization shall be held on a date to be determined by the board in each year. If the Annual Meeting shall not take place at the time fixed, it shall be held within a reasonable time thereafter, and the officers shall hold over until their successors shall have been elected. B. Regular Meetings. regular business meetings of the organization for the transaction of ordinary business shall be at such date time and place as may be fixed by the Board. The membership will be notified via or at least 10 days in advance of each meeting. C. Special Meetings. Special meetings of the organization may be held at any time upon the call of the President or upon the call of the Executive Committee, or upon demand in writing stating the object of the proposed meeting and signed by not less than 20 percent of the members entitled to vote. Notice of the time and place and object of any special meeting shall be given all officers and members in good standing in writing by United States mail or not less than ten (10) days prior to the proposed date of such special meeting. The place of such special meeting shall be fixed by the Executive Committee. D. Quorum. A quorum shall consist of those voting members in good standing, including three (3) members of the Executive Committee, who are present at the time fixed for commencement of any meeting. ARTICLE VII. Officers A. The officers of this organization shall be: President: Rabbi Jonathan Burg 1st Vice President: Shmuel Frankel Secretary: Zalman Bula Treasurer: Martin Taylor Executive Officers Safety: Eric Nager Training: Tzviel Blankchtein, Ed Kelly Publicity / Public Relations: Adam Edelman, Rabbi Shmuel Simenowitz Esq. Rabbinic Advisor: Rabbi Jonathan Burg These Officers, acting together, shall constitute the Executive Committee. They shall be elected by a majority vote of members in good standing present at the Annual Meeting of the organization. Terms of office: 2 years B. The Executive Committee shall have general supervision and control of all the activities of the organization. C. Meetings of the Executive Committee shall be held regularly at such time and place as the Committee may determine. D. Five members of the Executive Committee, which must include: (1) The President or Vice President; and (2) The Secretary or Treasurer shall constitute a quorum. E. Resignation of any officer may be accepted by a majority vote of the remaining members of the Executive Committee. F. A vacancy in the Executive Committee may be filled by a majority vote of the remaining members of the Committee. However, if more than one vacancy exists, a special meeting of the organization shall be called and new officers shall be elected to fill the vacancies until the time of the next Annual Meeting as provided in Article V. ARTICLE VIII. Duties of Officers A. President. The President shall preside at all meetings of the organization and of the Executive Committee. The President shall be a member ex-officio of all regular and special committees, and shall perform all such other duties as usually pertain to the office. The President will be the official spokesperson for the organization. B. 1 st Vice President. The 1 st Vice President shall perform all the duties of the President in the absence of the President, or at the President's request, and shall be in charge of promoting membership of the club. 3 C. Secretary. The Secretary shall conduct all official correspondence pertaining to the proper preparation and forwarding of all reports required of the organization The Secretary shall keep a true record of all meetings of the Executive Committee and of the organization, have the custody of the books and papers of the organization, and will prepare and distribute the Meeting Notices to all members. E. Treasurer. The Treasurer shall have charge of all the funds of the organization, receiving and giving a receipt for the same, and placing said funds in such financial institutions as may be approved by the Executive Committee. The Treasurer will maintain all financial and membership records of the organization. The Treasurer will faithfully file the Annual Corporate Report with the State of Maryland to maintain this club. The Treasurer will draw the necessary checks for payment of all legal financial obligations of the organization. F. Defense, Indemnification, Hold Harmless: Provided that the actions of the President, Vice-Presidents, Secretary or Treasurer were undertaken in furtherance of Club policies, and the individuals acted reasonably and in good faith, the Club shall defend, indemnify, hold harmless and otherwise reimburse these agents of the Club for any action, claim or liability which may arise from the performance of their duties on behalf of the Club. This defense, indemnification and reimbursement shall be done in accordance with as the same may be amended from time to time. In furtherance of the provisions of this section, the Club may, as it deems fit, procure insurance against any claims which may arise from the performance of the official duties of the above referenced officers. G. Executive Officers. The Executive Officers shall have charge of the respective shooting and other activities of the organization, including the printing of programs, arranging of competitions, and maintenance of Club records and classifications relating to score. They shall contract no bills without the authorization of the Executive Committee. They may appoint such assistants or call for work parties as they deem necessary from time to time. 1. Safety Officer. The Safety Officer shall have charge of all shooting activities of the Club relating to safety. He/she shall propose safety rules for club membership; train prospective members in these rules; observe prospective members for compliance with these rules; and recommend expulsion from membership for members or prospective members or guests that violate the established rules. 2. Training Officer. The Training Officer shall arrange training sessions, shoots, and qualification shooting programs. The Training Officer shall keep such records as necessary, and shall conduct other training activities for Club members or non-members as may be in the Club's interest. 3. Publicity / Public Relations Officer. The Public Relations Officer shall establish and maintain a working relationship with news media representatives, and encourage favorable media coverage of Club activities. This officer shall post results on Club bulletin boards, and report results at regular meetings. ARTICLE IX. Suspension or Expulsion A. Any officer or member may be removed by a two-thirds vote of the members eligible to vote at any meeting called for this purpose. They shall have been given due notice in writing of the charges against them and no vote on suspension or removal shall be taken unless at least fifteen (15) days' notice shall have been given to the entire membership. A full hearing in open meeting shall be accorded the member and the result shall be in the form of a resolution to suspend or expel voted in the affirmative by not less than two-thirds of the members present and eligible to vote at the meeting. B. Any member who violates a major safety rule, acts recklessly and/or carelessly, endangers the safety of any person, or imperils the future of this organization in any way, may be subject to instant expulsion from this club with no reimbursement of dues, and is in addition subject to prosecution by the authorities. ARTICLE X. Match Rules All competitions held by this organization will be governed by the rules and regulations laid down by the National Rifle Association or other shooting organizations, including the Club itself, with due regard to firearms safety. ARTICLE XI. Events In order to afford the opportunities stated above to Sabbath observing members events will scheduled to avoid conflicts with the Jewish Sabbath and Holydays and any meals at any events shall offer only Kosher food from a provider who has Kashrus certification from a reliable Kosher certification organization, e.g. Star-K, OU, Kof-K, RCBC, or equivalent as deemed appororoate by the rabbinic advisor. ARTICLE XII. Amendments Any amendments to this Constitution must be presented in their exact, final wording, at a meeting of the Club after having been sent to each member by United States mail or at least ten (10) days prior to the date of such meeting. A two-thirds vote of the members present and eligible to vote will be necessary to pass such amendments. In the event that this organization undertakes to own and / or operate a shooting range this constitution shall be amended appropriately regarding the supervision and operation of the range. 4 STANDING RULES AND POLICIES There shall be adopted Standing Rules and Policies for the orderly conduct of Club business. These rules may be changed by a majority vote at a meeting after ten (10) days' prior notice to the membership by United States mail or An up-to-date copy of the Constitution and Standing Rules and Policies of this organization shall be available from the secretary at all the meetings. 2. All members will be provided, upon joining, a copy of the Constitution and Standing Rules and Policies. 3. The club shall maintain a club membership with the Association of New Jersey Rifle and Pistol Clubs. 4. Initiation Fees and Dues A. Annual dues for Senior members and Associate members shall be $ 20 per annum due January 5 of each year. B. Annual dues for Temporary members shall be $20 per annum due January 5 of each year. Dues will not be prorated. C. No vote may be taken on an application until the entire amount has been paid. D. Upon consideration of the facts, the Executive Committee, by majority vote, may move to reduce or waive the annual dues and other financial obligations for any member. 5. Safety Rules: The Safety officer shall prepare a set of written Safety rules, based upon recognized safety rules and practices, e.g. NRA, other established rifle and pistol clubs, customized to the functioning of this club. The Safety rules shall be approved by the Executive committee. The Safety rules may be updated periodically as recommended by the Safety officer. Thereafter, the rules shall be printed and distributed to all members. Members shall be required to bring a copy with them to all shooting events they attend, and provide a copy to any guest they bring. In addition the Executive Committee shall bring spare copies of the rules to all events and shall make them available for distribution to any guests. 6. Safety Rule Violations: Members and member s guests must follow Club Safety rules regarding handling and operation of firearms. If a member is charged with violating these safety rules repeatedly (2 times) he shall first be warned by the Safety Officer or Training Officer, and upon repeat violations (2) may be recommended for termination of membership. Termination of membership shall be approved by a 2/3 vote of the Executive Committee. 7. Guests: 7.1 Members may bring guest to events for the purpose of introducing them to the club and /or to the shooting sports up to 4 times per year for the same guest, unless additional visits per year are approved in advance by 2 Club officers. The Member is responsible for any fees associated with the event. The Member shall introduce the Guest to the Shooting or Training Officer (or a Senior Member designated to act as their substitute if neither is present) and the Guest shall demonstrate knowledge of the Safety rules prior to handling any firearms. The Member is responsible for his guest s observance of the Safety rules. If a guest intentionally violates or ignores the Safety rules the Safety officer shall request him to leave the event immediately, and that guest may not be invited to future events. 7.2 Mentoring new shooters: The Guidelines for Mentoring New-shooters shall be adopted as an appendix to the Standing Rules and Policies and copies shall be distributed to all members as an appendix to the Constitution. 7.3 Hold Harmless Agreement The INDEMNIFICATION, HOLD HARMLESS, DEFENSE, WAIVER, RELEASE AND ASSUMPTION OF RISK AGREEMENT shall be adopted as an appendix to the Standing Rules and Policies and copies shall be distributed to all members as an appendix to the Constitution. Furthermore, all guests and host members shall be required to execute a copy of this agreement as a condition of participating in a club sponsored event. The host member is responsible to register his guests and submit an executed copy of this agreement for each of his guests to a member of the Executive Committee before participating in the event. Failure to do so shall waive the member s participation in the Club s liability coverage. 7.4 Guest Fees: Guests shall be assessed a fee for participating in club sponsored events. Fees shall be set for each event as determined by the Club Events Chairman. 8. All Members will receive copies of the Safety Rules as part of their membership information kit, and will be strictly adhered to. All members are responsible for ensuring that all shooters adhere to all applicable range rules, and are required to take immediate corrective action whenever violations are observed. 9. Each officer, upon election, will be provided with a job description or duty checklist to insure that no vital reports or duties are overlooked. The Secretary will have copies of these job descriptions and keep them up to date. Givati R&P C Page 4 of 5 (rev. 12/23/2014)
5 10. The Secretary, if a legal resident or maintaining an office in the State of New Jersey, will act as Legal Agent of the organization to accept served legal papers. If the Secretary shall be a non-resident and not maintain a New Jersey office, provision will be made to use someone else who conforms to requirements as the Legal Agent. This person will forward all matters to the Secretary. The Secretary will file a corporate report to the Secretary of the State of New Jersey after the Annual Meeting. 11. The Treasurer will file an income tax report with the Internal Revenue Service, if required, and notify the bank of all officer changes in the form of a bank resolution. 12. The President shall appoint such committees as shall be required to operate the organization. 13. An Audit Committee consisting of two Senior or non-related Family members shall be appointed by the President to audit the financial books of the Treasurer any time deemed necessary, especially to be performed just prior to the Annual Meeting at which time the Audit Committee will report its findings. 14. Budget Committee consisting of the Treasurer and two members shall be appointed by the President to draw up a budget for the coming calendar year. A budget shall be adopted at the January meeting which shall be binding on the organization unless a proposal to change it is made at a meeting, tabled, and submitted to the membership ten (10) days prior to the next meeting by United States mail or , at which time it will be adopted by a majority vote of those members eligible to vote present. 15. Following the Annual Meeting, the Treasurer will notify the bank of all persons eligible to sign checks and for what accounts. 16. Bank withdrawals shall be made as follows: A. Withdrawals may be made after notice is given to the board by the Treasurer or Vice President. Checks will be originated with the Treasurer or the Vice President. B. Checks may be drawn from the checking account after notice has been given to the Board for the purpose of paying outstanding bills for utilities, expendable items, and other obligations for the operation of the organization. 17. Events: 17.1 The club shall schedule regular shooting events at public indoor and/or outdoor ranges. Participation by members shall be voluntary. The Board shall delegate members to serve as even chairmen Members may post additional events on the club s message group, e.g. scheduling a trip to a target range. Club rules, including Safety, Mentoring, and Hold Harmless rules must be observed to qualify as a club event. The Executive Committee shall have the right to modify this rule and / or refuse to sanction any such event if based upon their judgment such action is in the best interests of the Club Co-sponsoring events - The Club shall be permitted to co-sponsor events with other organizations and / or for the benefit of charitable causes. The Executive Committee shall decide upon Club participation in such events based upon the best interests of the Club. 18. Web site and Group Postings: 18.1 Club information, events schedules, and communication relevant to Club issues shall be posted on the clubs message group: 18.2 All members will be subscribed to this group to facilitate distribution of Club information. It is the member s responsibility to notify the Club as to his/her correct address. The Club s address is:. The President shall appoint the group administrator The Club shall maintain a Web site address as: The President shall appoint the webmaster Members may post messages on the club s message group, e.g. scheduling a trip to a target range, news, questions, etc. The messages will not be pre-screened, so please keep them relevant to Club activities. If deemed necessary in the future the President shall appoint an administrator to pre-screen messages before allowing them to be posted. 19. Membership kits 19.1 Members shall receive a kit containing relevant club information including, but not limited to: Constitution and Standing Rules and Policies Mentoring Guidelines for New Shooters INDEMNIFICATION, HOLD HARMLESS, DEFENSE, WAIVER, RELEASE AND ASSUMPTION OF RISK AGREEMENT Club Application and Safety Rules List of MD Firearms Laws Web sites Other documents as may be determined by the Executive Committee to be in the interest of the Club and its members.
