3 Chairman writes Dear Professional colleagues, We have successfully completed the year 2012 and entered into the year On this occasion, on behalf of the Managing Committee and on my own behalf, I wish all the members a very happy, prosperous and enjoyable New year. We could conduct several programmes for members during this month. A Residential seminar was arranged at Courtallam on 1st and 2nd December. Delegates assembled at ICAI Bhavan on 1st by 7.30 PM and proceeded in a Bus to Courtallam. We reached the venue Courtallam Resorts by 11 AM. There were three technical sessions on the first day. CA R. Balagopal from Ernakulam was the faculty for the first session International Taxation. CA S. Padmanabhan, SICASA Chairman was the Chairman of the session. After Lunch, Dr. Sambit Kumar Mishra, Secretary, Committee for Capacity Building for CA Firms and small and medium Practitioners talked to the members on the initiatives of Committee for Capacity Building, including various tools and software packages developed and publications for this purpose. CA Santhosh Cherian, Past Chairman presided over this session. Last technical session on the first day was on the subject Expectation of regulator from Bank Branch Auditors. CA S. Suresh, Past Chairman presented the paper and CA R.Venkitachalam, Past Chairman, presided over the session. In the evening we all proceeded to the waterfalls and enjoyed bath there. A camp fire was arranged in the night at the Hotel. CA Anup Kumar R. and his daughter Lekshmi Priya Anup entertained the participants with their melodious songs. On the second day there were two technical sessions. CA P.K. Shivaraman, Past Chairman presented the paper Ethics and code of conduct for members. CA H. Ramakrishnanan presided over this session. The faculty for the last technical session was CA A. Retnakumar, Past Chairman who presented a paper on Taxation of Partnership Firms under the Incometax Act. CA Jose Zachariah, presided over the session. We are extremely grateful to CA Suku Abraham Jacob, who made all arrangements for the convenient stay of participants and all other arrangements for the smooth conduct of the Seminar. An Investor Awareness Programme for the members and the Public was arranged at Hotel Mascot, Trivandrum on 6th December. CA P.S. Menon from Kochi presented the topic in an impressive manner. Two CPE Seminars were arranged during this month. For the seminar on the topic Accounting Standards Notified under the Incometax Act held on 10th December, the faculty was CA N.R. Govindarajan from Chennai. The last CPE seminar for the year 2012 was on the subject Soft Skills Conflict Resolution and essential time management. The faculty for this
4 seminar was CA R. Ravikumar, senior Member of our Branch. We have also celebrated Christmas on that day in the presence of Santa Claus. A workshop on Capacity Building measures through IT Tools was organized at our Branch by the Committee for Capacity Building of CA Firms and Small and Medium Practitioners constituted by ICAI on 17th December, Faculties deputed by this Committee took classes on various IT tools developed by this Committee for the benefit of members. A study circle meeting was arranged on 11th December to discuss and give our suggestions on the Exposure Draft of Amendment to Indian Accounting Standards (Ind AS) 101, First time adoption of Indian Accounting Standards and the report of the Committee of CBDT for formulating the Tax Accounting Standards for Notification under Section 145 (2) of the Incometax Act, Based on the discussion, we have given our suggestions to the ICAI Headquarters. We have arranged the Orientation Programme for IPCC students from December 12th to 18th. The programme was inaugurated by CA R. Venkitachalam, Past Chairman and for the valedictory function CA Sudhakar Vaman Rao, Past Chairman was the Chief Guest. This is the 12th batch of Orientation Programme. 49 students attended this 7 days cource. The second Batch of GMCS Course conducted at our Branch was successfully completed on 5 th December. CA Krishna Ramachandran, Chief Financial Officer, Allianz Cornhill, Technopark addressed the students at the valedictory function and distributed the Certificates. CA C. Hari, Vice Chairman was the Co-ordinator for the first and second batch of GMCS Course conducted at our Branch. Success of these courses was mainly due to his meticulous planning and close supervision. A cricket match between members of Trivandrum Branch and SICASA, Trivandrum Branch was arranged at Mar Ivanios College Stadium on 16th December. SICASA Trivandrum Branch won the match. Most important event in this month was the election of members of Central Council and Regional Council for the period on 8th December, Polling Booth in Trivandrum was at the Incometax Office. 271 members of Trivandrum exercised their franchise, which is a record number. We thank all the members who took the pain to exercise this solemn right/duty. It is a matter of immense pleasure that the Ex-officio member in the Managing Committee of Trivandrum Branch CA Babu Abraham Kallivaylil is elected to the Central Council. We wish him and all the elected members in the Central Council and Regional Council a very successful term in Office. This direction is issued to mitigate the hardship and grievance of the tax payers who have been prevented by reasonable causes to file the ITR-V in time. 7 My Memories with ICAI, Trivandrum Branch CA Santhosh Cherian Past Chairman My association with the Branch started in late 80 s as a student. I used to come for the exam application forms or to get suggested answers as we do not had SICASA or related activities and a small group of CA students then who were graduates carried a matured look than of students now. Since I did my article training at Mumbai I do not had many friends here at that time. Later when waiting for Final results and during initial period of my CA life I worked with able guidance from CA Thomas Jacob, CA M.B. Sanil Kumar, CA Roy Varghese. Thanks to them and these days I could get valuable friendships among CA s which still help me in all my endeavors as a CA in Trivandrum. My passion was always towards Industry and I joined MRF and then later with HLL Life care limited. CA G.N. Nair was my boss in HLL and I used to move along with him like his shadow along with CA M.S. Madhu Kumarand during this time I came much closer to the Branch. When the Branch conducted few meetings for the members in Industry in Trivandrum during the period of CA Suresh Babu and then during the period of CA Retna Kumar, my mind was also getting tuned to the four walls of the branch. All the seniors at that time were treating me like their young brother and I was actively supporting the branch matters as a secretary of CA GN Nairand this gave me a maturity to take the branch chairman s position later. Next term I was also in the branch managing committee and I learned a lot from the chairmen CA Sudhakar, CA Subramoniya Sarma and CA R Venkitachalam. During this term CA Alex and CA Suresh was also there in the committee and we were moving as brothers. We used call each other as anna and after the MC Meeting one annan should sponsor the dinner and it is the rule we follow even today and many members were surprised to meet us in city hotels after MC Meetings. CA Venkitachalam has taken us all to Wagamon at his own cost and why I am mentioning these is to show the care and affection we enjoyed by each other in our MC and hence our decisions were always unanimous and focused. If the building came in to a reality when CA. Suresh Babu was Chairman, the later committees tried to enhance the facilities in the building and the infrastructure developed in such a way that our building has over taken even the big branch in Kerala and we got the best branch award during CA Ranjit Karthikeyan. Help I received from CA VC James, CA Babu Abraham, CA VX Jose, CA Devaraja Reddy during these two terms where I was a an MC Member can never be forgotten. The present MC and the immediate past one had brought in commendable changes in the functioning of the Branch and thanks to the past Chairmen and Chairperson who have laid the stones for us to function. ARS Scheme, Insurance Scheme for members, SICASA Activities, Charity initiatives or CSR Activities, rejuvenation of all classes, Orientation, GMCS need a mention here. I also treasure the memories of I receive the Best SICASA branch award at National level when I was SICASA Chairman and CA Subramoniya Sarma the Branch Chairman. We could conduct an international conference at Dubai during my tenure and also maximum out station seminars. Since I was from Industry I could not get enough time for the branch activities at times but that was compensated by my able co-managing committee members, staff and faculties of the Branch..
8 The success of any team depend on cohesiveness and mutual respect and this is the base on which we worked and are working now. As an ordinary person from Pathanamthitta, son of a school teacher and an Income Tax officer, if I could sit in the Chair of the Chairman of this august Branch it is only because of the blessings from the seniors and member friends of this branch and of course the GOD the almighty. 9 Salient Features of Companies Bill, 2012 on CSR: Lok Sabha on 18th December, 2012 passed Companies Bill, Clause 135: (1) Every company having net worth of rupees five hundred crores or more, or turnover of rupees one thousand crores or more or a net profit of rupees five crores or more during any financial year shall constitute a Corporate Social Responsibility Committee of the Board consisting of three or more directors, out of which at least one director shall be an independent director. (2) The Board s report under sub-section (3) of section 134 shall disclose the composition of the Corporate Social Responsibility Committee. (3) The Corporate Social Responsibility Committee shall: (a) Formulate and recommend to the Board, a Corporate Social Responsibility Policy which shall indicate the activities to be undertaken by the company as specified in Schedule VII; (b) Recommend the amount of expenditure to be incurred on the activities referred to in clause (a); and (c) Monitor the Corporate Social Responsibility Policy of the company from time to time. (4) The Board of every company referred to in sub-section (1) shall: (a) After taking into account the recommendations made by the Corporate Social Responsibility Committee, approve the Corporate Social Responsibility Policy for the company and disclose contents of such Policy in its report and also place it on the company s website, if any, in such manner as may be prescribed; and (b) Ensure that the activities as are included in Corporate Social Responsibility Policy of the company, are undertaken by the company. (5) The Board of every company referred to in sub-section (1), shall ensure that the company spends, in every financial year, at least two per cent of the average net profits of the company made during the three immediately preceding financial years, in pursuance of its Corporate Social Responsibility Policy: Provided that the company shall give preference to the local area and areas around it where it operates, for spending the amount earmarked for Corporate Social Responsibility activities: Provided further that if the company fails to spend such amount, the Board shall, in its report made under clause (o) of sub-section (3) of section 134, specify the reasons for not spending the amount. Explanation. for the purposes of this section average net profit shall be calculated in accordance with the provisions of section 198. SCHEDULE VII Activities which may be included by companies in their Corporate Social Responsibility Policies Activities relating to: (i) Eradicating extreme hunger and poverty; (ii) Promotion of education; (iii) Promoting gender equality and empowering women;
10 (iv) Reducing child mortality and improving maternal health; (v) Combating human immunodeficiency virus, acquired immune deficiency syndrome, malaria and other diseases; (vi) Ensuring environmental sustainability; (vii) Employment enhancing vocational skills; (viii) Social business projects; (ix) Contribution to the Prime Minister s National Relief Fund or any other fund set up by the Central Government or the State Governments for socio-economic development and relief and funds for the welfare of the Scheduled Castes, the Scheduled Tribes, other backward classes, minorities and women; and (x) Such other matters as may be prescribed.
