6 June 25, 2018 A Regular Meeting of the Council of the City of Manassas, Virginia was held in Council Chambers, City Hall, on the above date with the following present on roll call: Mayor Harry J. Wolfe arrived at 5:47 p.m. Community and Staff Presentations Presentation of Commendation: Honoring Dr. Catherine B. Magouyrk Mayor Parrish and members of City Council presented to Dr. Catherine B. Magouryrk a Commendation congratulating her on her retirement and celebrating her contributions to the Manassas City Public Schools, the community and the citizens of Manassas. Council Time Council Member Aveni reported that Tony Dawood, Utilities Director, would be providing an update to the community on the odors near the Micron Pond this past weekend. Council Member Elston encouraged citizens to not leave standing water on their property because it attracts mosquitos in this weather. Council Member Elston informed citizens that stickers will soon be applied to the recycling containers and these stickers will detail what is acceptable recycling for those containers. Council Member Sebesky reported on her visit to the American Disposal Recycling Center with the Parks and Recreation Committee. Council Member Sebesky informed the community about the successful Community Conversation at the Martin K. Alloy Boys & Girls Club on June 19 and stated that the next Community Conversation would be held on July 11 at the Manassas Museum. Council Member Sebesky wished everyone in the community a Happy and safe July 4 and encouraged everyone to be kind. 6 1

7 June 25, 2018 Mayor Time Mayor Parrish reported on a Northern Virginia Transportation Authority meeting that he attended last week. Mayor Parrish appointed Council Member Ian Lovejoy to serve as the Council Liaison to the Parks and Recreation Committee. Staff Reports Mr. Pate informed the community that the City will be hosting Celebrate America on July 4, which includes a watermelon eating contest, bubble blowing contest, bike decorating contest, and a fireworks display in the evening. Mr. Pate advised residents that street closures for this event will be posted to the City s website at Mr. Pate invited the community to Cookies with Our Rookies at the Train Depot on Tuesday, June 26 at 3:30 p.m. Mr. Pate congratulated Master Tech Kevin Shafer on being names ABC 7 s Hero 24/7 for his work as firefighter and as a softball coach for Osbourn High School. Mr. Shafer has also helped girls receive softball scholarships to the college of their choice. Mr. Pate informed the community that the City has been working to correct the underlying structure of Cloverhill Road prior to paving and the area will be resurfaced in approximately one month. Mr. Pate advised the community that paving will begin the week of July 9 on Fairview Avenue, Prince William Street, Main Street, Tudor Avenue, Windsor Avenue, Wesley Avenue, and Powers Street. Mr. Pate addressed the concerns of citizens in regards to the odors from the Micron Pond. MOTION CARRIED. 2) New Business 2.1 Agreement: Northern Virginia Workforce Development Board Area XI Consortium Agreement Mayor Parrish reported that the Northern Virginia Workforce Development Board XI Consortium Agreement will be rescheduled because a representative was unable to attend the meeting tonight. 2.2 Presentation: Building / Development Update Jamie Collins, Building Official and Development Services Manager, provided City Council with a building and development update on various projects in the City of Manassas. 3) New Business 3.1 Uncodified Ordinance #O : Granting a Franchise for the Purpose of Installing, Operating, and Maintaining Telecommunications Conduits, Facilities, and Equipment in the Public Rights-of-Way Within the Corporate Limits of the City of Manassas (First Reading) Mayor Parrish announced that the next item on the agenda was the public hearing and receipt of bids for the first reading of Uncodified Ordinance #O granting a franchise for the purpose of installing, operating, and maintaining telecommunications conduits, facilities, and equipment in the Public Rights-of Way within the corporate limits of the City of Manassas. The City has duly advertised this franchise, as required by law for all franchises with a duration of more than five years. Mayor Parrish announced that the City received one sealed bid. There were no additional bids submitted. Mayor Parrish opened the one bid that was received, marked it for identification as required by law with Received 6/25/18 Ord. O The bid was submitted by Metro Duct Systems. 8 3

9 June 25, 2018 Mayor Parrish provided the bid to Bryan Foster, Deputy City Manager and Acting Director of Public Works, for his review. Mayor Parrish opened the public hearing and invited anyone wishing to comment on granting the franchise to come forward. There were no speakers wishing to comment. COUNCIL MEMBER AVENI MOVED that the public hearing pertaining to Uncodified Ordinance #O be closed. Seconded by Council Member Elston. Roll call vote: AYES Aveni, Elston, Lovejoy, Sebesky, and Wolfe. ABSENT Bass. MOTION CARRIED. The public hearing was closed at 7:15 p.m. Mr. Foster stated that the bid was as expected and advised the City Council that a motion to approve Uncodified Ordinance #O on first reading was appropriate. 10 June 25, ) Authorize a Closed Meeting 6.1 Authorization of a Closed Meeting COUNCIL MEMBER AVENI MOVED that the City Council convene in a closed meeting to discuss the following, as permitted by Virginia Code A (1), A (3), A(5), and A (29): Appointments to Boards, Committees, and Commissions, the acquisition of real property in the City of Manassas for a public purpose, to discuss a prospective business or industry or the expansion of an existing business or industry where no previous announcement has been made of the business or industry s interest in locating or expanding its facilities in the community, and for discussion of a public contract involving a Shared Services Agreement, because discussion in an open meeting would adversely affect the bargaining position or negotiating strategy of the public body. Seconded by Council Member Elston. Roll call vote: AYES Aveni, Elston, Lovejoy, Sebesky, and Wolfe. ABSENT Bass. MOTION CARRIED. Mayor Parrish announced that the Mayor and City Council would be included in the closed meeting discussion regarding appointments to Boards, Committees, and Commissions. Mayor Parrish announced that the Mayor and City Council, City Manager, Deputy City Manager, City Attorney, and Community Development Director would be included in the closed meeting regarding acquisition of real property in the City of Manassas for a public purpose and regarding a public contract involving a Shared Services Agreement. Mayor Parrish announced that the Mayor and City Council, City Manager, Deputy City Manager, City Attorney, Community Development Director, and Utilities Director would be included in the closed meeting regarding a prospective business or industry or the expansion of an expanding business or industry. 11 June 25, ) Appointments to Boards, Committees, and Commissions 8.1 Appointments to Boards, Committees, and Commissions COUNCIL MEMBER ELSTON MOVED that the following appointments and reappointments be approved: Authorize the City Attorney to recommend to the Circuit Court of Prince William County the names of Tregg Mays, Col. Ulysses X. White, and Ann Hempen for appointment to the Board of Zoning Appeals to fill an unexpired term ending May 23, 2022; and Harry J. Clark to the Planning Commission for a four-year term beginning July 1, 2018 and ending June 30, 2022; and Ken Johnson to the Planning Commission for a four-year term beginning July 1, 2018 and ending June 30, A motion was duly made, seconded and CARRIED UNANIMOUSLY to adjourn the meeting. 12 June 28, 2018 A Special Meeting of the Council of the City of Manassas, Virginia, for the purpose of conducting a work session, was held in the second floor conference room at City Hall, on the above date with the following present on roll call: Mayor Harry J. Parrish II, Council Members Marc T. Aveni, Ken D. Elston, Ian T. Lovejoy, Pamela J. Sebesky, and Mark D. Wolfe; City Manager W. Patrick Pate, Deputy City Manager Bryan Foster, Assistant to the City Manager / City Clerk Andrea P. Madden, City Attorney S. Craig Brown, Community Development Director Elizabeth S. Via-Gossman, Planning and Zoning Manager Matthew D. Arcieri, Transportation Planner Chloe Delhomme, and Senior Engineer Corinna Sigsbury. Mayor Parrish called the meeting to order at 5:36 p.m. Absent was Vice Mayor Sheryl L. Bass. The City Clerk reported that the news media had been notified of the meeting in accordance with the Freedom of Information Act. 1) Work Sessions 1.1 Disposition of the Speiden-Carper House Elizabeth S. Via-Gossman, Community Development Director, explained to Council that Speiden-Carper house was accepted into the Manassas Museum System in 2006 with the intent of fulfilling the Last Will and Testament of Virginia Nelson Speiden Carper, which sought to maintain the house as a historic landmark. While a project was initiated to pen the house to the public, due to the recession, staff lay-offs and concerns expressed by the neighbors, the project was not pursued and the house has primarily been used as storage for the Manassas Museum since the time of the donation. Ms. Via-Gossman stated that in 2014, the Historic Resources Board (HRB) undertook a system wide review of its facilities and recommended to the City Council that the Speiden-Carper House be divested from the system as it was no longer feasible for it to remain part of the system. The primary concerns of the Historic Resources Board and staff are 1) that there are not enough staff resources to operate and maintain both Speiden-Carper and Libera, 2) the opening of the house to the public would either have a negative impact on the neighborhood or conditions would limit the use of the house in its intended purpose, and 3) given competing priorities there are not the funds available for its continued maintenance once the Endowment is exhausted. The HRB and staff feel that it is in the best interest of the house, the City, and the neighborhood that it once again be a single family home. Ms. Via-Gossman further explained that the HRB and staff recommend that City Council adopt a resolution stating that the City is no longer able to support the Speiden-Carper house at 9320 Battle Street within the Manassas Museum System as a historic landmark. The resolution will state that the City disavows any ownership or beneficial interest in the house under the provisions of the Last Will and Testament of Virginia Nelson Speiden Carper and that the City consents to the sale or other disposition of the house by the Trustee, in his discretion, with the 1 12

13 June 28, 2018 proceeds of the sale and any funds remaining in the Endowment Trust distributed pursuant to the provision s in Ms. Carper s Will. The City Council discussed the condition and improvement needs of the home and the role that the Council would play in the sale of the property. The City Council asked staff to prepare and bring to the City Council at its July 9, 2018 meeting a resolution that will begin the disposition process. 1.2 Transportation Update: Roundabout at Sudley Road and Route 28 Prince William Street Intersection of Grant and Portner Avenue Intersection of Fairview Avenue and Tudor Lane Corinna Sigsbury, Senior Engineer, and Bryan Foster, Deputy City Manager, discussed current transportation projects in the City and provided an update on various traffic studies. In addition, the City Council was briefed on the safety concerns of residents living at the intersection of Grant and Portner Avenue. 15 City of Manassas, Virginia Board of Building Code Appeals Bylaws Definitions. As used in these bylaws, the following words and terms shall have the meanings given below: Applicable Code means the administrative code governing the appeal. Applicant means a person filing an appeal under the USBC or SFPC. Application for Appeal means an Application for Appeal filed using the form found in the Manual. Board means the City's Board of Building Code Appeals, which also serves as the Local Board of Fire Prevention Code Appeals. Chairman means the chairman of the Board. Code Official means the building official (for a USBC appeal) or Fire Marshal (for a SFPC appeal). Manual means the September 2014 Local Building or Fire Prevention Code Boards of Appeals Manual, or such replacement manual as may be approved by the Board. Party means the Applicant, the Code Official, the owner or renter of property subject to the application of the USBC or SFPC or the refusal to grant a modification to the provisions of the USBC or SFPC, and any other person whose interests are affected by such application or refusal to grant a modification. Secretary means the person appointed by the City Council to perform the functions set out in these bylaws, or that person's designee. SFPC means the edition of the Statewide Fire Prevention Code currently in effect for the Commonwealth of Virginia. USBC means the edition of the Uniform Statewide Building Code currently in effect for the Commonwealth of Virginia (including Part I, the VA Construction Code, Part II, the VA Maintenance Code, Part Ill, VA Rehabilitation Code, and other incorporated or related codes). 15

16 Vice Chairman means the vice chairman of the Board. Governing Documents The Board is created and authorized by law to hear appeals under the USBC and SFPC. Virginia Code , 27-98; Manassas Code 26-53, The Board has the authority granted to local boards of building code appeals under the USBC and the authority granted to local boards of fire prevention code appeals under the SFPC. The Board is appointed by the City Council and subject to City Council ordinances (including City Code ), policies (including Policy Statement #P ), and directives (including the Operational Guidelines of Feb. 22, 2016). The documents cited provide for the composition, selection, terms, meeting and attendance requirements, powers and duties, and legal, financial, and administrative requirements of the Board. Applicants may appeal the application of the relevant code or the refusal to grant a modification as provided in the relevant code. These bylaws contain citations in square brackets to the 2012 versions of the SFPC and USBC for ease of reference of users only. Such citations are not an operative part of these bylaws. These bylaws cite the USBC only as to Part I thereof, the 2012 VA Construction Code, and omit parallel provisions of the VA Maintenance Code, VA Rehabilitation Code, and other related or included codes. When the 2012 versions of the codes are superseded, the Board will follow the relevant code sections of the thenapplicable codes and not the 2012 versions. Article 1. Officers 1-1. The Board shall organize and annually elect a Chairman and Vice Chairman at its regular annual meeting. The Secretary shall be a member of City staff designated by the City Council. The Chairman shall preside at meetings and hearings, shall decide points of order or procedure, and shall appoint any committees that are found to be necessary. [2012 VA USBC 119.3; 2012 VA SFPC ] 1-3. The Vice Chairman shall assume the duties of the Chairman in the Chairman's absence. [2012 VA USBC 119.3; 2012 VA SFPC ] 1-4. The Secretary shall handle correspondence subject to these rules at the direction of the board; shall send out notices required by these rules; shall prepare the agenda (subject to amendment by the Board) and keep the minutes of the Board's proceedings; and shall keep a file on each appeal which comes before the Board. 17 Article 2. Meetings 2-1. The regular annual meeting of the Board shall be held on the third Wednesday in January. Additional meetings of the Board will be held within 30 calendar days after the receipt of the Application for Appeal. [2012 VA USBC 119.6; 2012 VA SFPC 112.5, 112.6] 2.2 Special meetings may be called by the Chairman, provided at least five (5) days written notice of such meetings is given each member. 2.3 A majority of the currently appointed membership of the Board, not including any alternates, shall constitute a quorum. However, the minimum number for a quorum is three, any number of whom may be alternates. A quorum is required for any action except a postponement. 2.4 Business conducted at meetings of the board shall follow Robert's Rules of Order. Article 3. Procedure for Hearing Appeals 3.1 Appeals to the Board shall be filed with the Code Official on the Application for Appeal form. The Code Official shall transmit the appeal to the secretary of the Board along with all papers constituting the record of action upon which the appeal is based. 3.2 The Applicant shall provide the Secretary with all information requested on the Application for Appeal and any such additional information and data as may be required to advise the Board fully with reference to the application for appeal. Applications for Appeals will be heard in the order they are received unless otherwise ordered by the Board. 3.4 The Secretary shall schedule the appeal, notify all interested parties of the hearing and give notice including the time, date and place of the meeting to anyone requesting such information. The Secretary shall provide a copy of the Application for Appeal to each member of the Board as soon as 17 3

The Secretary shall provide at least 14 days' notice of the hearing date, time, and location to the Board, the Applicant, and the Code Official, unless the Applicant and the Code Official agree to a shorter notice period. The Applicant shall be given an opportunity for final rebuttal. 3.8 The final decision on any appeal to the Board shall be in the form of a resolution approved by a majority of those present. 27 CITY OF MANASSAS NONEXCLUSIVE LICENSE FOR THE OPERATION OF OUTDOOR DINING IN THE DOWNTOWN ARTS AND TOURISM DISTRICT THIS NONEXCLUSIVE LICENSE is made on this 9 th day of July, 2018, by and between the CITY OF MANASSAS, VIRGINIA, a municipal corporation of the Commonwealth of Virginia (the City ), and Holy Grail Games, a limited liability company organized under the laws of the Commonwealth of Virginia (the Licensee ). RECITALS: 1. The City is the owner of the public sidewalks located in the City of Manassas, Virginia (the Property ). These sidewalks are passageways for the public, and the City holds and maintains them for the common good. 2. The City has designated that area defined in the City of Manassas Comprehensive Plan as the Downtown or Old Town Sector Plan as an Arts and Tourism District pursuant to Ordinance #O The City desires to facilitate outdoor dining in the Downtown Arts and Tourism District to create an active streetscape, enhance the economic and social vitality, and promote pedestrian and retail-friendly activity. The City desires to allow for the use of the public right-of-way for such outdoor dining, while ensuring that the public s use of the sidewalks, streets or alleys will not be significantly impaired by such dining and that adjacent commercial and residential uses will be protected from any adverse impacts from such dining. 4. Licensee desires to obtain a license for the operation of outdoor dining in the Arts and Tourism District at 9412 Main Street. WITNESSETH: That for and in consideration of the mutual promises and undertakings herein set forth, and subject to the following limitations, terms and conditions, the City hereby grants to the Licensee a Non-Exclusive License (the License ) to use and occupy that portion of the Property described below: 27 Page 1 of 8 7/9/2018

28 5. Recitals: The Recitals are hereby repeated as a material part of this License. 6. Description of Licensed Premises: The Property is owned by the City of Manassas, Virginia, and encompasses that portion of the public sidewalk as more clearly depicted in Exhibit A. 7. Term: This License shall remain in effect at the pleasure of the City Council who may terminate the license with a minimum (10) days notice to the Licensee. The Licensee may elect to discontinue use of the public side at any time but for the purposed of this agreement if the Licensee fails to make use of the side walk for a period of six (6) months the agreement shall be void. 8. Business, Professional and Occupational License (BPOL): The Licensee must obtain and maintain a City of Manassas BPOL at all times. 9. Use of Property: The Licensee is hereby granted the use of the Property for purposes of operating outside dining under the following conditions: 9.1 The outside dining area must be located adjacent to the property of the Licensee s existing or proposed, lawfully operating restaurant or specialty food shop. Any proposed license area that is not directly in front of the licensee s property frontage will only be considered by the City if the adjacent property owners and tenants approve of the use in writing to the City. 9.2 The total number of seats (both indoors and outdoors) shall not exceed the restaurant s previously approved maximum number of seats unless a building plan for additional seating is submitted for review by the City of Manassas and the number of seats reviewed and permitted pursuant to building and fire code requirements. 9.3 The Licensee is responsible for ensuring that the dining area has adequate illumination for patron safety during the hours it is being used. 9.4 A detectable barrier is required for the full perimeter (with the exception of access openings) when the outdoor dining seating extends more than 3 feet into the public right-of-way (sidewalk). Restaurants which do not serve alcohol and whose outdoor seating extends 3 feet or less into the public right-of-way are not required to enclose the full perimeter of the seating area but may do so on an optional basis. 9.5 In the event of a declared snow emergency, the Licensee shall remove all sidewalk furniture in order to facilitate public snow removal of 28 Page 2 of 8 7/9/2018

29 the downtown area. The City shall not be responsible for damage to sidewalk furniture that is not removed prior to snow removal. 10. Design of the Outdoor Dining Area: The outdoor dining area is to be attractive, and promote pedestrian, restaurant and retail friendly vitality under the following conditions: 10.1 In order to allow adequate pedestrian traffic areas and emergency access around outdoor dining areas, at least 5 feet of unobstructed corridor space must be maintained for sidewalk pedestrian traffic. The layout of the outdoor dining area must allow a wheelchair passing space of at least 60 inches by 60 inches at some location along the block possessing the outdoor dining area. Vertical clearances of at least 80 inches must be maintained in the unobstructed corridor space. If any wires are to be run across the sidewalk, the placement and protection of the wires must be approved by the City as part of the design, and must meet ADA Accessibility Guidelines. The pedestrian passageway must be approved by the City s Department of Utilities and Public Works prior to the opening of the outside dining area and may be along the wall of the establishment or on the outside of the dining area depending on the design approved by the City. City staff will evaluate the design based on the slopes, sight lines, traffic patterns, building entrances, driveways, loading areas, existing encroachments into the sidewalk, and other similar factors affecting pedestrian safety and convenience, bearing in mind the ADA Accessibility Guidelines All dining areas shall be enclosed by detectable barriers as addressed in Section 8.4 of this License. Approved barriers include fencing constructed of stainless steel, aluminum, wrought iron, or other metals; painted black or as otherwise approved by the City of Manassas. The barrier will not be permanently affixed to the sidewalk and no barrier will be allowed that might damage the sidewalk in normal use Outdoor furniture shall be of a style and décor befitting the type of restaurant. Materials may be wood, metal or synthetic; however, they must be of sufficient strength and weight to not become a public hazard in the event of a strong wind. Polyresin (plastic) tables and chairs are prohibited. All outdoor furniture will be maintained in good condition and repaired or replaced when it becomes unusable. No broken, damaged, or rusty outdoor furniture may be kept in the outdoor dining area Decorative lighting shall be permitted and be of a style and décor befitting the type of restaurant. No electrical generators are allowed in the outdoor dining area, and connection to the power grid is the responsibility 29 Page 3 of 8 7/9/2018

30 of the Licensee. Dining area lighting should not be plugged into the City s receptacles at the base of the trees The use of outside propane patio heaters is allowed in accordance with manufacturer s instructions and must be placed at least 10 feet from the building and/or any combustible material There shall be no attachments to trees or light poles such as signs, banners, lights, chains, etc without prior written approval from the City Public Works Department. 11. Any modifications to the building to accommodate the outdoor dining, including but not limited to awnings, new doors, etc. shall require a Certificate of Approval from the City of Manassas Architectural Review Board and any applicable building and/or zoning permit. 12. Nonexclusive License: The License granted is nonexclusive in nature, and the City reserves the right to make concurrent use of the Property at all times. 13. Other Permits Required: Licensee shall comply with all applicable city, state and federal laws and regulations and obtain and maintain at all times any permit required under the laws of the Commonwealth of Virginia. 14. Clean-up: Licensee shall be responsible for picking up and removing any and all spills, trash, and debris generated by the outdoor dining area. Spills of ice, oil, or other hazards to pedestrians will be cleaned up immediately. Any other clean-up or removal shall be accomplished on a daily basis; and under no circumstances shall spills, trash, or debris be left overnight on the public sidewalk. The outdoor dining area will be left in broom clean condition at the end of the hours of operation each evening and the licensee is hereby required to power wash the dining area at minimum once a year. 15. Hours of Operation: The hours of operation of the outside dining areas shall generally run with the hours of restaurant or specialty food shop operation but in no event shall amplified music be allowed to continue past 12 midnight. 16. Point of Contact: The dining area shall be under the responsible direction and control of the restaurant. There shall be a single point of contact that is generally available to the City at any time. 17. Storage of Furniture during Non-Use: Furniture, including tables, chairs, umbrellas, planters, etc., shall be stored off the public right-of-way when 30 Page 4 of 8 7/9/2018

31 not in use for any periods exceeding one week and in particular during the off-season. 18. Independent Contractor Status: Nothing herein contained shall be construed or be held to make Licensee a partner, joint venturer or employee of the City in the conduct of its business, it being understood that the relationship with Licensee to the City pursuant hereto is and shall at all times remain that of an independent contractor. 19. Hold Harmless: Notwithstanding any other provision of this License, it is understood, agreed and covenanted that the Licensee accepts this License as a mere license and assumes all risk of damage by reason of its occupation of the Property caused by any defects therein or business conducted thereon, whether caused by the negligence of the City, its officers, agents, or employees, or otherwise, and Licensee hereby agrees to hold harmless and indemnify the City, its officers, agents and employees, from and against any such liability for such damage to the extent permitted under the laws of the Commonwealth of Virginia. This provision extends to any business entity operating by, through, or under the control of Licensee. 20. Assignment: Neither party may transfer, sublet, or assign this License. Any purported transfer, sublease, or assignment shall void this License. 21. Alteration: Except as provided herein, there will be no alteration, change or modification of the Property without the prior written approval of the City Council. 22. Insurance: The Licensee shall secure, provide and maintain insurance to protect the City of such type and in such amount as is deemed necessary by the Risk Manager of the City, naming the City as an additional insured. This License shall not take effect until the City gives Licensee written confirmation that the type and amount of insurance is suitable for this purpose. Insurance limits shall not be less than the following amounts: A. Workers' Compensation Unlimited Statutory in compliance with the Workers Compensation Law of the Commonwealth of Virginia. Employers Liability limits of $500,000 each person; $500,000 each person-disease and $500,000 policy limit disease. B. Commercial General Liability Combined single limit of at least $1,000,000 per occurrence and $2,000,000 general aggregate (per location). 32 The insurance required hereunder shall be maintained in effect during the duration of this Agreement. Insurance Policy(s) shall contain a valid provision or endorsement that the policy may not be canceled, terminated, changed or modified without giving thirty (30) calendar days advance written notice thereof to the City. 23. Termination: The City may terminate this Agreement, absent ten (10) calendar days' notice, for a violation of any of the conditions contained herein, including but not limited to failure to maintain required insurance. Either party may terminate this License Agreement upon ten (10) calendar days' written notice. Nothing in this License or in the course of dealing under it will create an easement, a license coupled with an interest, a franchise, or any other estate in land. No damages will be due to Licensee from City for termination of this License under any theory or circumstances. 24. Special Events: The City Manager may issue a special event permit at any time to include road closures in which case different or additional conditions for the use and design of the outside dining area may be enforced for the limited time of the special event permit only, not to exceed five calendar days. 25. Waiver of Rights: To the maximum extent permitted by law, Licensee waives all rights to judicial review and judicial remedies arising out of this License. As a condition precedent to any judicial review that may be permitted for nonwaivable rights, Licensee will submit all disputes to the City Council for adjustment. Licensee waives all rights to a jury relating to any dispute arising out of this License. In any judicial review of a nonwaivable dispute, Licensee agrees that the decision of the City Council is presumed to be valid and may be overturned only on a finding that the City Council acted arbitrarily or capriciously. Licensee waives any right to assert that the City Council acted beyond its authority in any dispute arising out of this License. 26. Attorney s Fees: In any legal proceeding arising out of this License, the City will be entitled to recover its reasonable attorney s fees from the Licensee if the City prevails. 27. Choice of Law and Venue: This License is governed by Virginia law, regardless of the place of domicile of the Licensee. Venue for any action arising out of this License shall be solely in the appropriate state court for the Commonwealth of Virginia. 28. Integration, Amendment, and Waiver: This License contains the entire understanding of the parties with respect to the subject matter hereof, and 32 Page 6 of 8 7/9/2018

33 no prior or contemporaneous written or oral communication may add to, alter, or contradict any of its terms. This License may be amended only in writing approved by the City Council by recorded vote. Patrick Pate, City Manager DATE: July 6, 2018 RE: Resolution #R : Disposition of the Speiden-Carper House Summary and Recommendation The Speiden-Carper house was accepted into the Manassas Museum System in 2006 with the intent of fulfilling the Last Will and Testament of Virginia Nelson Speiden Carper which sought to maintain the house as a historic landmark, open to the public. While a project was initiated to open the house to the public, due to the Great Recession, staff lay-offs and concerns expressed by the neighbors, the project was not pursued and the house has primarily been used as storage for the Manassas Museum since the time of the donation. In 2014 the Historic Resources Board (HRB) undertook a system wide review of Manassas Museum System facilities and recommended to the City Council that the Speiden-Carper House be divested from the System as it was no longer feasible for it to remain part of the system. The primary concerns of the HRB and the Staff is that there are not the staff resources to operate and maintain both Speiden-Carper and Liberia; that opening the house to the public would either have a negative impact on the neighborhood or conditions would limit the use of the house in its intended purpose; and, given competing priorities there are not the funds available for its continued maintenance once the Endowment is exhausted. The HRB and Staff feel that it is in the best interest of the house, the City and the neighborhood that it once again serve as a single family home. Therefore, the HRB and the Staff recommend that City Council adopt Resolution #R stating that the City is no longer able to support the Speiden-Carper house at 9320 Battle Street within the Manassas Museum System as a historic landmark; that the City disavows any ownership or beneficial interest in the house under the provisions of the Last Will and Testament of Virginia Nelson Speiden Carper; and that the City consents to the sale or other disposition of the house by the Trustee, in his discretion, with the proceeds of the sale 41
