CONSTITUTION AND BY LAWS OF PELICAN LODGE 100 LOUISIANA FRATERNAL ORDER OF POLICE Preamble We the Law Enforcement Officers of the State of Louisiana do hereby form what is to be know as the Fraternal Order Of Police Pelican Lodge 100, a subordinate lodge of the Louisiana State Fraternal Order of Police Lodge for the following purposes: To support and defend the constitution of the United States; To inculcate loyalty and allegiance to the United States of America; To promote and foster the enforcement of law and order; To encourage social, charitable and educational activities among Law Enforcement Officers; To create a tradition of Esprit De Corps insuring fidelity to duty under all conditions and circumstances; To cultivate a spirit of fraternalism and mutual helpfulness among our members and the people we serve; To increase the efficiency of the Law Enforcement profession and thus more firmly to establish the confidence of the public in the service dedicated to the protection of life and property. (wherever, in these constitution and by laws, man or men or related pronouns appear, either as words or as parts of words they have been used for literary purposes are meant for their gender sense i.e. to included all humankind both male and female sexes) Article 1 NAME This organization shall be known as The Louisiana Fraternal Order of Police Pelican Lodge100; and shall consist of Law Enforcement Officers as are admitted to membership and conform to its rules and regulations. Article 2 CHARACTER

3 Fraternal Order of Police Pelican Lodge 100 is an organization consisting of full time and retired Law Enforcement Officers of the State of Louisiana and the Federal Government. Section 2. This constitution shall be the fundamental law of the order and together with the by laws shall govern the conduct of Pelican Lodge 100. Article 3 MEMBERSHIP Any regularly appointed and full time employed Law Enforcement Officer in the State of Louisiana where a local FOP lodge does not exist shall be eligible for membership in FOP Pelican Lodge 100, subject to the provisions of this constitution and the by laws of the order. No person shall be denied membership on account of race, creed or sex. The term regularly appointed Law Enforcement Officer, shall included Law Enforcement Officers heretofore and hereafter retired from active duty. The term full time employed shall mean Law Enforcement Officers that are engaged in such employment as their principle source of livelihood. Section 2. Applicants to Pelican Lodge 100 shall sign an affidavit attesting to their eligibility as described in this article. Upon receiving both the signed application and the 1 st months dues the applicant shall be placed in the status of member in good standing by the Secretary/Treasurer of Pelican Lodge 100 and shall be entitled to all benefits of the lodge set forth in this constitution and by laws. Section 3. Should an FOP Lodge be chartered in the jurisdiction where a member of Pelican Lodge 100 holds a current commission the member shall transfer from Pelican Lodge 100 and become a member of said lodge. However, if that member does not hold a commission under the same authority, the member shall not be force to change membership. Section 4. No member or former member of any active FOP Lodge within the State of Louisiana will be allowed to transfer membership or otherwise join Pelican Lodge 100. Article 4 BOARD OF DIRECTORS The Board of Directors of Pelican Lodge 100 shall consist of the President, Vice President, Secretary/Treasurer and the board of Trustees. The Board of Directors shall have and exercise all administrative powers of the order. Section 2. The term of office for the Board of Directors shall be for two (2) years or until their successors are elected. Elections shall be held biennial immediately following the close of business of The Louisiana State Lodge Conference. Any member seeking office shall notify the Secretary/Treasurer of the intent to run for office and the position sought with the cut off date being June 1 st of the even number year. If there is no opposition the Officers shall be sworn in at the business meeting. If there is opposition the Secretary/Treasurer shall notify the membership by mail of the name of the candidates, the office they are seeking and the time and location of the vote. The vote shall be held at the business meeting and the candidates sworn in thereafter.

4 Section 3. Any officer who resigns from his or her respective law enforcement agency shall forfeit his or her office as a member of the Board of Directors of Pelican Lodge 100, Fraternal Order of Police. Section 4. Any board member shall be removed from his or her position if he or she does not maintain the standards of qualifications. Article 5 PRESIDENT a. The President shall be the Chief Executive Officer of the order. He shall preside at the meeting of Pelican Lodge, and meetings of the Board of Directors. He shall have general management of the business of the order and shall see that all orders and resolutions of the Board of Directors are put into effect. b. He shall execute any and all contracts that may be authorized by the Board of Directors. c. He shall be ex officio member of all committees. d. He shall have the power with the advice and consent of the Board of Directors to appoint a majority of any committee to inquire into any affair or matter affecting or concerning the order. e. He shall at each session of the Board of Directors, submit a full and complete report, in writing, of the official business transacted by him subsequent to the last meeting of the board, together with such recommendations as he may deem advisable. f. He shall convey to his successor all unfinished business of the order. g. Together with the Secretary/Treasurer of Pelican Lodge100, he shall attest all warrants or vouchers for disbursements from any fund of the Lodge. h. The President shall serve as the delegate for Pelican Lodge 100 to the Louisiana State Conference. i. Should the occasion arise where the Office of the President is vacated before the bi annual election, the line of succession shall be the Vice President of Pelican Lodge 100. Should both these offices be vacated the President of The Louisiana State Lodge shall assume the duties of the President of Pelican Lodge 100 until such time as the a president can be elected at the bi annual conference. Article 6 VICE PRESIDENT The Vice President shall preside at meetings of the Board of Directors in the absence of the president and shall otherwise generally perform the duties as shall be ordered by the Board of Directors. He shall appoint the minority of all committees. Section 2. In the event of death, expulsion or resignation or the President, the first vice president shall preside as the president of Pelican Lodge 100, until the election at the bi annual business meeting following the Louisiana State Conference.

5 Article 7 SECRETARY/TREASURER Section 1. The Secretary/Treasurer, together with the President shall attest all warrants and vouchers for cash disbursements of Pelican Lodge 100 and shall have custody of books, records, documents, and the seal of Pelican Lodge 100, under the general authority and orders of the President and Board of Directors. He shall take a record and transcribe minutes of the meetings and he shall submit same for approval or rejection at the next succeeding meeting. He shall receive and take charge of all monies belonging to the Pelican Lodge 100, pay all bills by check signed by him together with the President, and keep an accurate account of monies received and expended, and credit each special account of such sums as occurs. He shall give to the board of trustees correct account of all monies in his possession, together with the books, papers, and receipts belonging to his office, and at any time when ordered by the Board of Directors he shall deliver all monies, books, and papers to the trustees. Section 2. He shall deposit all monies belonging to Pelican Lodge 100, in a bank to the credit of the lodge. The account shall be in a bank where the general funds of The Louisiana State Lodge are kept. He shall deliver to his successor in office all books and property belonging to the Lodge. Section 3. He shall furnish bond, the amount be set by the Board of Directors. Section 4. a. He shall perform such duties as are usual and incident to his office. b. He shall attest, under the seal of the order, all duly authorized contracts of the order. c. He shall conduct the general correspondence of the order. d. He shall be responsible for administration to insure that the Constitution and by laws of Pelican Lodge subsequent revisions thereof have the approval of the Board of Directors of the State and Grand Lodge before being accepted as approved by this lodge, all in compliance with the National and State Lodge Constitution. e. At the expiration of his term of office and within ten days thereafter, he shall deliver to his successor the official seal of the lodge, and all books, documents, records, paraphernalia, and equipment in his possession, and shall require and receive a receipt thereof. f. He shall, at each session of the Board of Directors, submit a full and complete report, in writing, of his official business transacted by him subsequent to the last meeting together with such recommendations, as he may deem advisable. g. He shall serve as the State Trustee of Pelican Lodge 100 to The Louisiana State Lodge. h. In the event that the Office of the Secretary/Treasurer is vacated before the end of the term the Vice President of Pelican Lodge 100 shall assume the duties. In the event that the Vice President is not available, the duties of the office shall be split between the offices of the Recording Secretary and the Financial Secretary of The Louisiana State Lodge as it pertains to their offices.

6 Article 8 TRUSTEES The Board of Trustees of the Pelican Lodge 100 shall consist of members who are duly elected Executive Board members of the Louisiana State Lodge. They have charge of and are responsible for all property of the order. The Board of Trustees shall: a. Take charge of all the physical property of the order. b. Make a complete and itemized inventory. c. Conduct an audit annually of all funds and financial books and records of the order and make reports thereof to the Board of Directors. d. Ascertain that all monies received have been allocated to the credit of the proper funds and so deposited in the name and to the credit of the order. e. Direct the Secretary/Treasurer to invest surplus funds of this lodge in secured investments, certificates of deposit, etc. f. The President of the Executive Board of the Louisiana State Lodge will serve as Chairman of the Board of Trustees g. In the event that the office of President of Pelican Lodge 100 fall to the Louisiana State Lodge President the Vice President of the Louisiana shall become Chairman of the Board of Trustees Article 9 BUSSINESS MEETINGS EXPENSES AND COMPENSATION OF OFFICERS In even numbered years the annual meeting of Pelican Lodge 100 will coincide with the last day of the Biennial Conference of the Louisiana State Lodge. The lodge shall conduct its business meeting immediately following the close of business of the State Lodge. On odd numbered years Pelican Lodge 100 shall hold it s business meeting immediately following the close of business of the fall meeting of the Louisiana State Lodge. Depending on the availability of funds, the President, Vice President and Secretary/Treasurer of Pelican Lodge 100 attending these annual meeting shall be allowed the following expense monies: a. Fifty dollars ($50.00) per diem. b. Thirty one ($.31) cents per mile from the Officer s place of residence to the meeting location, and return. c. One night s hotel accommodations. The President, Vice President and Secretary/Treasurer may be paid their expenses two (2) weeks prior to said meeting, providing they notify the Secretary/Treasurer of their intent of attending.

7 Failure to attend said meeting, after receiving the allotted monies, said members shall within a two (2) week period after close of the meeting, reimburse the lodge for all monies issued. These expenses shall only apply to the annual business meeting. Article 10 CONFERENCE DELIGATE Depending on the availability of funds, the President of Pelican Lodge 100, serving as the delegate attending the Biennial Conference of the Louisiana State Lodge shall be allowed the following expense monies: d. Fifty dollars ($50.00) per diem. e. Thirty one ($.31) cents per mile from the Officer s place of residence to the meeting location, and return. f. Hotel accommodations for the conference. The President may be paid expenses two (2) weeks prior to said meeting, providing he or she notifies the Secretary/Treasurer of the intent of attending. Failure to attend said meeting, after receiving the allotted monies, said member shall within a two (2) week period after close of the meeting, reimburse the lodge for all monies issued. Article 11 DUES AND ASSESSMENTS Each member of Pelican Lodge 100 shall be assessed $11 yearly above the per capita due to State and National for dues of which a dollar shall be a contribution to the Easter Seals Program. Section 1 Membership dues a. Dues will be collected annually by October 1 st of each year. b. This payment will maintain a members standing for the 12 month period, January 1 st to December 31 st, inclusive of the following year. c. The secretary/ treasure will send out notices to the members to make the payment of dues before September 1 st. d. In the event of a rise in per capita tax the dues will be raised accordingly. The Secretary/Treasurer will notify the membership by mail of the increase. e. The Secretary/Treasurer shall be prohibited from issuing credentials to any member that has not paid assess dues within the specified time.

8 f. As well as maintaining their dues it is recommended that Active members maintain an active membership in the National FOP Legal Defense Fund. Section 2 In the event that a member transfers his or her membership to a chartered lodge the Secretary/ Treasurer of Lodge 100 shall be notified in writing. Article 12 BANKING ACCOUNTS The financial accounts of Pelican Lodge 100 shall be accessible to the Lodge President, the Lodge Secretary/Treasurer, The Louisiana State Lodge President and The Louisiana State Lodge Financial Secretary. Article 13 FUNDRAISING Fundraising in the name of Fraternal Order of Police Pelican Lodge 100 is strictly prohibited. Article 14 AMENDMENTS Any member of Pelican Lodge may propose an amendment to these Constitution and By laws. Such a proposal shall be in resolution form stating the reason for the amendment. Section 2. Proposed amendments to these Constitution and By laws shall be submitted in writing to the Secretary/Treasurer prior to the convening of the yearly business meeting. Upon adoption by a vote of two thirds of the membership along with the board of trustees the proposed amendment shall become a part of these By laws. Article 15 CHARTER Approval and adoption of this Constitution and By laws by The Louisiana State Lodge shall declare this lodge chartered and open for business. The first business meeting of Pelican Lodge 100 shall be held immediately following the close of business of the 25 th Biennial Conference of the Louisiana State Lodge Fraternal Order of Police in Lafayette Louisiana. The President of the Louisiana State Lodge shall appoint an interim Board of Directors until such time as elections can be held immediately following the next biennial conference of the Louisiana State Lodge.

That I have read and will to the best of my ability comply with all the laws and rules of this Order; that I will recognize the authority of my legally elected Officers and obey all orders not in conflict with my religious or political views, or my rights as an American citizen; that I will not cheat, wrong or defraud this Order, or any member thereof or permit the same to be done if in my power to prevent it; that I will at all time assist a worthy Brother or Sister in sickness or distress, so far as it lies in my power to do so; that I will not divulge any secrets of this Order to anyone not entitled to receive them. Should I violate this, my solemn oath or obligation, I hereby consent to be expelled from this Order. I also understand that I am not a member of the LAFOP Legal Plan that Legal coverage is separate from my single membership in Pelican Lodge #100. Signature
