SUNSHINE LAW STATEMENT Lou Rainone, Esq. read the following statement into the record. This meeting today conforms with Chapter 231, P.L called the Open Public Meeting Act and as per the requirements of the statute, notification of the meeting was published in the Star Ledger and Home News Tribune and filed with the Clerk of Middlese County. 4. CORRESPONDENCE: McFoods Report: The Eecutive Director presented that McFoods received an Annuity in the amount of $28,000. Also, that McFoods purchased a new van for additional help and finalized a private office for the Director of McFoods so she may work onsite at the facility. The total amount of donations received was 234,221 pounds. Notable Product Contributions were made by the Community Food Bank of New Jersey, Keefe Warehouse, Barrett Distribution, Rutgers Snyder Farm, Farmers Against Hunger, Mira International, Italian Food Warehouse, Tyler Distribution and Crete Carriers. 5. COMMITTEE REPORTS: a) Financial Report No further board comment. b) Recycling Report The Eecutive Director presented the MCIA s monthly statistics which included: Drop Off Center received 1, tons of recycling; Yard Waste totals were the following amounts measure in tons: Leaves ; Brush 1,594.98; Grass c) Golf Report: Eecutive Director Jim Polos reviewed the rounds of golf in October as the following at Tamarack 3,719 Meadows 1,647; Raritan Landing 1,266. Unfortunately, due to the weather, the number of rounds played have decreased and this trend has been witnessed throughout the State of New Jersey. d) Finance Report: No board comment. 6. APPROVAL OF MINUTES A. Minutes of the Agenda Session and Regular Meeting of October 10, 2018 Motion: Unanimously passed by the voting members, the meeting minutes were approved. 2

3 10. PUBLIC COMMENTS ON RESOLUTIONS: No public comments on resolutions. Motion: Unanimously passed by the voting members, the public comments on resolutions portion of the meeting was closed. All members in favor. 11. APPROVAL OF RESOLUTIONS: There was a motion on the consent agenda, which was approved by all members. The following resolutions were adopted. 18- Agenda 8(a) MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AWARDING CONTRACT FOR SNOW REMOVAL SERVICES AT ROOSEVELT CARE CENTER OLD BRIDGE WHEREAS, a regular meeting of the Middlese County Improvement Authority (the "Authority") was held on November 20, 2018; and WHEREAS, the Authority operates the long-term care facilities known as Roosevelt Care Center at Old Bridge (the Facility ); and WHEREAS, pursuant to N.J.S.A. 40:37A-55(t), the Authority is empowered to enter into any and all agreements or contracts, eecute any and all instruments, and do and perform any and all acts and things necessary, convenient or desirable for the purposes of the Authority, subject to the Local Public Contracts Law, N.J.S.A. 40A: 11-1 et. seq.; and WHEREAS, the Authority requires the provision of snow removal services (the Services ) for the Facility; and WHEREAS, the Authority prepared and issued a bid specification package and publicly advertised for bids for the Services; and WHEREAS, pursuant to N.J.S.A. 40A:11-5(3), where the Authority receives no bids on one occasion and rejects the bid on another occasion because it has determined that the bids are not reasonable as to price, on the basis of cost estimates prepared prior to the advertising for the bids, the Authority may then negotiate; and WHEREAS, the Authority rejected the original bid at the cost of $106, but was able to negotiate a new adjusted amount of $70,250.00; and WHEREAS, the would like to award a contract for the Services to Above the Mark Removal in accordance with this resolution, pursuant to the negotiated amount. 3

4 WHEREAS, the Authority would like to award a contract for the Services to Above the Mark Snow Removal in accordance with this Resolution. NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE MEMBERS OF THE MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AS FOLLOWS: 1. The Authority hereby accepts the October 19, 2018 proposal of Above the Mark Snow Removal. 2. The Authority awards a contract to Above the Mark Snow Removal for the Services in the amount on the proposal attached hereto and made a part hereof as Schedule A for a total contract cost not to eceed $ 70, The Authority authorizes the Chairman or Vice-Chairman to eecute the agreement with Above the Mark Snow Removal and the Secretary to attest to the signature of the Chairman or Vice-Chairman appearing thereon and to affi the seal of the Authority thereto. 4. The Certifying Finance Officer has certified that the funds for the Services are available from and can be obtained from the funds of the Authority. Recorded Vote: Aye No Abstain Absent Anthony Raczynski Christine D Agostino 18- Agenda 8(b) MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AUTHORIZING A DECREASE IN CONTRACT AMOUNT WITH ABOVE THE MARK LANDSCAPING FOR SNOW REMOVAL, AT THE ROOSEVELT CARE CENTER FACILITY AT EDISON WHEREAS, a regular meeting of the Middlese County Improvement Authority (the "Authority") was held on November 20, 2018; and WHEREAS, the Authority operates the long-term care facility known as Roosevelt Care Center at Edison (the Facility ); and 4

5 WHEREAS, pursuant to N.J.S.A. 40:37A-55(t), the Authority is empowered to enter into any and all agreements or contracts, eecute any and all instruments, and do and perform any and all acts and things necessary, convenient or desirable for the purposes of the Authority, subject to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.; and WHEREAS, the Authority requires the provision of snow removal services (the Services ) for the Facility; and WHEREAS, the Authority requires snow removal services (the Services ) for Roosevelt Care Center Edison; and WHEREAS, the Authority previously authorized a contract with Above the Mark Landscaping on October 10, 2018; and WHEREAS, the Vendor submitted an evaluation sheet which included a mathematical error, as reflected in their original total of $106,740.00; and WHEREAS, the correct amount is $90,240.00; and WHEREAS, the Authority would like to authorize a decrease in the authorized amount of the contract and the certification of funds for the contract in accordance with this Resolution; and NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE MEMBERS OF THE MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AS FOLLOWS: 1. The Authority authorizes a decrease in the contract amount and the certification of funds for the contract with vendor Above the Mark Landscaping, for the Services by an amount not to eceed $90, The Certifying Finance Officer is hereby authorized to decrease the certification of funds for the purchases from Above the Mark Landscaping, for the Services in accordance with this Resolution. 3. The Secretary is authorized to publish a brief notice of the decreased contract amount pursuant to N.J.S.A. 40A:11-5(l)(a)(i). 4. The Certifying Finance Officer has certified that the funds for the decrease in the contract amount are available from and can be obtained from the funds of the Authority and will be encumbered at the time of purchase. 5

6 Recorded Vote: Aye No Abstain Absent Anthony Raczynski Christine D Agostino 18- Agenda 8(c) MIDDLESEX COUNTY IMPROVEMENT AUTHORITY CONCERNING SCHEDULE IN SUBMISSION OF BUDGETS WHEREAS, a regular meeting of the Middlese County Improvement Authority (the "Authority") was held on November 20, 2018; and WHEREAS, the Authority has heretofore adopted resolutions authorizing the submission of proposed budgets for the fiscal year January 1, 2019 through December 31, 2019 to the State of New Jersey Department of Community Affairs; and WHEREAS, the Authority desires to eplain the reason for the schedule in submitting the budgets for the fiscal year ending December 31, NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE MEMBERS OF THE MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AS FOLLOWS: The Middlese County Improvement Authority hereby advises the State of New Jersey Department of Community Affairs that the schedule in the submission of the proposed budgets for the fiscal year January 1, 2019 and ending December 31, 2019 is based on the regular meeting schedule of the Authority. The meeting of November 20, 2018 is the first scheduled meeting of the Middlese County Improvement Authority wherein the budgets could be considered following receipt of the budget package and compilation of the information required to complete the budget package. 7 18- Agenda 8(d) MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AUTHORIZING AMENDMENT OF THE EXPIRATION DATE FOR CERTAIN NEW JERSEY STATE CONTRACT VENDORS WHEREAS, a regular meeting of the Middlese County Improvement Authority (the Authority ) was held on November 20, 2018; and WHEREAS, pursuant to N.J.S.A. 40:37A-55(t), the Authority is empowered to enter into any and all agreements or contracts, eecute any and all instruments, and do and perform any and all acts and things necessary, convenient or desirable for the purposes of the Authority, subject to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.; and WHEREAS, the Authority is permitted to procure items without publicly advertising for bids through the New Jersey State Contract vendors; and WHEREAS, by Resolution #18-28 duly adopted by the Authority on February 14, 2018, the Authority authorized purchases through state approved vendor list for Roosevelt Care Center Facilities; and WHEREAS, the Authority would like to authorize an amendment to the epiration date of the contracts approved for Normans Auto Service, Fyr Fighter Sales & Service Inc., and National Fuel Oil Inc., to reflect an amendment to the epiration dates of the contracts in accordance with this Resolution. NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE MEMBERS OF THE MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AS FOLLOWS: 1. The Authority hereby authorizes amendment to the epiration date for the following vendor: Vendor: Normans Auto Service Contract: #40174 T0084 Epires: 10/31/2019 Vendor: Fyr Fighter Sales & Service Inc. Contract: #T0576 Epires: 09/30/2021 Vendor: National Fuel Oil Inc. Contract: #82768 T1845 Epires: 05/31/2019 7

8 Recorded Vote: Aye No Abstain Absent Anthony Raczynski Christine D Agostino 18- Agenda 8(e) MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AUTHORIZING THE ADDITION OF A STATE CONTRACT VENDOR TO THE ANNUAL LIST OF APPROVED NJ STATE CONTRACTOR VENDORS WHEREAS, a regular meeting of the Middlese County Improvement Authority (the Authority ) was held on November 20, 2018; and WHEREAS, pursuant to N.J.S.A. 40:37A-55(t), the Authority is empowered to enter into any and all agreements or contracts, eecute any and all instruments, and do and perform any and all acts and things necessary, convenient or desirable for the purposes of the Authority, subject to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.; and WHEREAS, pursuant to N.J.S.A. 40A: 11-12, the Authority is authorized to purchase any materials, supplies or equipment without publicly advertising for bids, under any contract or contracts for such materials, supplies or equipment entered into on behalf of the State of New Jersey by the Division of Purchase and Property in the Department of the Treasury (the State ); and WHEREAS, purchases made through the State contract are considered procured through a fair and open process in accordance with N.J.S.A. 19: ; and WHEREAS, by Board Resolution # duly adopted by the Authority on February 14, 2018, the Authority authorized purchases from the New Jersey State Contractors Vendor List; and 8

9 WHEREAS, the Authority would like to approve an amendment to the New Jersey State Vendor Contractor List for 2018 by adding an additional vendor in accordance with this Resolution. NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE MEMBERS OF THE MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AS FOLLOWS: 1. The Authority hereby approves an amendment to the NJ State Contractors Vendor List to add an additional vendor as follows: Vendor: Central Jersey Supply Contract: #89797 T3027 Epires: 10/31/19 NTE: $1, The Authority authorizes the Licensed Administrators of the respective Roosevelt Care Center facilities to eecute any purchase orders to effectuate the purchases authorized herein. 3. The Certifying Finance Officer has certified that the funds for the purchases are available from and can be obtained from the funds of the Authority and will be encumbered at the time of purchase. 10 MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AUTHORIZING AN ADDITIONAL LOCATION TO THE CONTRACT FOR KITCHEN EQUIPMENT REPAIR AND MAINTENANCE SERVICE FOR THE ROOSEVELT CARE CENTER FACILITIES WHEREAS, a regular meeting of the Middlese County Improvement Authority (the "Authority") was held on November 20, 2018; and WHEREAS, pursuant to N.J.S.A. 40:37A-54(h), the Authority is empowered to improve, further and promote the tourist industries and recreational attractiveness of the County through the planning, acquisition, construction, improvement, maintenance and operation of facilities for the entertainment and recreation of the public; and WHEREAS, in furtherance of this statutory provision, the Authority operates the longterm care facilities of Roosevelt Care Center at Edison, and the Roosevelt Care Center at Old Bridge (collectively, Roosevelt Care Center ); and WHEREAS, pursuant to N.J.S.A. 40:37A-55(t), a county improvement authority is empowered to enter into any and all agreements or contracts, eecute any and all instruments, and do and perform any and all acts or things necessary, convenient or desirable for the purposes of the authority or to carry out any power given in the County Improvement Authorities Law, N.J.S.A. 40:37A-44, et seq., subject to the "Local Public Contracts Law," N.J.S.A. 40A:11-1, et seq.; and WHEREAS, the Authority required the provision of Kitchen Equipment Repair and Maintenance to repair the refrigeration unit at the McFoods Warehouse (the Services ); and WHEREAS, by Resolution # duly adopted by the Authority on September 13, 2017, the Authority approved Bid #17-19 to Able Mechanical Inc., for Kitchen Equipment Repair and Maintenance Services; and WHEREAS, the Authority would like to authorize the refrigeration unit at the McFoods Warehouse to be added as an additional location to the contract in accordance with this Resolution. NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE MEMBERS OF THE MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AS FOLLOWS: 1. The Authority authorizes the refrigeration unit at the McFoods Warehouse to be added as an additional location to the original contract for Kitchen Equipment Repair and Maintenance, at no additional cost. 10

11 Recorded Vote: Aye No Abstain Absent Anthony Raczynski Christine D Agostino 18- Agenda 8(g) MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AUTHORIZING AWARD OF CONTRACT FOR VISION SERVICES FOR ROOSEVELT CARE CENTER FACILITIES WHEREAS, a regular meeting of the Middlese County Improvement Authority (the "Authority") was held on November 20, 2018; and WHEREAS, pursuant to N.J.S.A. 40:37A-54(a), the Authority may provide within the County of Middlese public facilities; and WHEREAS, in furtherance of this statutory provision, the Authority operates the longterm care facilities Roosevelt Care Center at Edison and Roosevelt Care Center at Old Bridge (collectively, Roosevelt Care Center ); and WHEREAS, pursuant to N.J.S.A. 40:37A-55(t), a county improvement authority is empowered to enter into any and all agreements or contracts, eecute any and all instruments, and do and perform any and all acts or things necessary, convenient or desirable for the purposes of the Authority or to carry out any power given in the County Improvement Authorities Law, N.J.S.A. 40:37A-44 et seq., subject to the "Local Public Contracts Law," N.J.S.A. 40A:11-1 et seq.; and WHEREAS, the Authority requires the provision of vision services (the Services ) for residents of Roosevelt Care Center; and WHEREAS, the Services are an eception to the public bidding requirements of the Local Public Contracts Law as a professional service; and WHEREAS, the Certifying Finance Officer has certified that the cost of the contract to the Authority will not eceed $17, but the value of the contract may eceed said amount; and WHEREAS, the Authority finds that it is necessary to procure the Services as a non-fair and open contract pursuant to the provisions of N.J.S.A. 19:44A-20.4; and 11

12 WHEREAS, the Authority has received a proposal for the provision of the Services from National Vision Administrators; and WHEREAS, National Vision Administrators has completed and submitted a Business Entity Disclosure Certification which certifies that National Vision Administrators has not made any reportable contributions to a political or candidate committee of the County of Middlese in the previous one year and that the contract will prohibit them from making reportable contributions through the term of the contract; and WHERAS, the Authority would like to accept the proposal of National Vision Administrators and award a contract to National Vision Administrators in accordance with this Resolution. NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE MEMBERS OF THE MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AS FOLLOWS: 1. The Authority hereby approves the proposal of and awards a contract for the Services to National Vision Administrators for the provision of the Services for a period of three (3) years at a cost of $19.14 per employee per month. 2. The Authority authorizes the Chairman or Vice-Chairman to eecute the agreement with National Vision Administrators for the Services in the form so approved. The Secretary is authorized to attest to the signature of the Chairman or Vice-Chairman appearing thereon and to affi the seal of the Authority thereto. 3. The Certifying Finance Officer has certified that the funds for the Services are available from and can be obtained from the funds of the Authority. 4. The Secretary of the Authority is authorized to publish a brief notice of the authorization pursuant to N.J.S.A. 40A:11-5(1)(a)(i). 13 18- Agenda 8(h) MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AUTHORIZING CONTRACT FOR SEPTIC WASTE REMOVAL AT TAMARACK GOLF COURSE TO ATLAS SEPTIC INC. WHEREAS, a regular meeting of the Middlese County Improvement Authority (the "Authority") was held on November 20, 2018; and WHEREAS, pursuant to N.J.S.A. 40:37A-55(t), the Authority is empowered to enter into any and all agreements or contracts, eecute any and all instruments, and do and perform any and all acts and things necessary, convenient or desirable for the purpose of the Authority, subject to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.; and WHEREAS, pursuant to N.J.S.A. 40:47A-54(h), the Authority is empowered to improve, further and promoted the tourist industries and recreational attractiveness of the County of Middlese through the planning, acquisition, construction, improvement, maintenance and operation of facilities for the recreation and entertainment of the public; and WHEREAS, in furtherance of this statutory provision, the Authority operates Tamarack Golf Course; and WHEREAS, the Authority requires septic waste removal services (the Services ) at Tamarack Golf Course; and WHEREAS, the Authority prepared and issued a bid specification package and publicly advertised for bids for the Services; and WHEREAS, the Authority received bids for the services from Russel Reid Waste Hauling, Central Jersey Septic, LLC, and Atlas Septic, Inc; and WHEREAS, the bid of Atlas Septic, Inc. was the lowest responsive responsible bid receive for the service; and and WHEREAS, the Authority would like to accept the bid from Atlas Septic Inc. ( Atlas ); WHEREAS, the Authority would like to award the contract for the service in accordance with this resolution; and WHEREAS, the Authority would like to authorize a contract with Atlas Septic Inc. 13

14 NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE MEMBERS OF THE MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AS FOLLOWS: 1. The Authority hereby awards a contract for the provision of the Services to Atlas Septic Inc at a cost not to eceed $49, The Authority authorizes the Chairman or Vice Chairman to eecute the contract with Atlas Septic Inc. in the form contained in the bid specification package and the Secretary of the Authority to attest to the signature of the Chairman or the Vice Chairman appearing thereon and to affi the seal of Authority thereto. 3. The Certifying Finance Officer has certified the funds for the services are available from and can be obtained from the funds of the Authority. Recorded Vote: Aye No Abstain Absent Anthony Raczynski Christine D Agostino 18- Agenda 8(i) MIDDLESEX COUNTY IMPROVEMENT AUTHORITY AUTHORIZING PROCUREMENT OF EMPLOYEE DENTAL INSURANCE COVERAGE FROM DELTA DENTAL AND FLAGSHIP DENTAL WHEREAS, a regular meeting of the Middlese County Improvement Authority (the Authority ) was held on November 20, 2018; and WHEREAS, the Authority would like to procure dental plan insurance for Authority employees; and WHEREAS, pursuant to N.J.S.A. 40:37A-55(t), the Authority is authorized to enter into any and all agreements or contracts, eecute any and all instruments, and do and perform any and all acts or things necessary, convenient or desirable for the purposes of the Authority subject to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.; and WHEREAS, the procurement of insurance is an eception to the public bidding requirements of the Local Public Contracts Law as an etraordinary unspecifiable epense and is an eception to the fair and open procurement requirements; and 14

15 WHEREAS, the Authority insurance producer has obtained quotes for the provision of the dental plan insurance benefit coverage and recommends renewal of the coverages; and WHEREAS, the Authority would like to renew dental plan insurance benefit coverages for certain employees of the Authority as set forth herein.
