2 GENERAL RULES 1. Name and Object The Club shall be called the WEST KIRBY SAILING CLUB and the object of the Club shall be the encouragement of the sport of sailing. The Club is a non-profit making organisation. All profits and surpluses will be used to maintain or improve the Club s facilities. No profit or surplus will be distributed. 2. Burgees and Insignia The Club Burgee shall be a red pennant with a yellow horn in the fly. The Commodore s flag shall be a red broad pennant bearing the same device. The Vice and Rear Commodore s flags shall be similar, the former carrying in addition one yellow ball in the upper corner of the hoist and the latter two yellow balls. The Ex Commodore s flag shall be rectangular, red, with a yellow horn in the fly. Any modification or alteration to the design of the burgee, badges or other recognised insignia of the Club shall be made only with the approval of members at a General Meeting. 3. Officers The Senior Officers of the Club shall consist of a President, Vice President(s), Commodore, Vice Commodore, Rear Commodore, Captain, Honorary Secretary, Honorary Sailing Secretary, Honorary Treasurer, Chairman of the House Committee and Chairman of the Fabrics Committee. Other Officers shall consist of the elected members of the General Committee, Honorary Registrar, Official Starter, Official Handicapper, Archivist, Cup Bearer, Training Officer, Junior Chairman, Assistant Captain, Assistant Secretary, Assistant Treasurer(s), Assistant Sailing Secretary (Tidal) and Assistant Sailing Secretary (Dinghy). 4. Office of Vice President A member having served as Commodore of the Club shall be eligible for election at a General Meeting to the office of Vice President. Such member may retain this office throughout his membership. 5. Interpretation of Membership For the purpose of these Rules, the words member or membership shall be deemed to apply to all classes of membership unless specifically indicated or qualified by reference to Rule Full Membership The privileges of full membership shall be available to those aged eighteen and over, with no form of discrimination. In particular, the Club is committed to the avoidance of discrimination on the basis of ethnicity or nationality, religion, sexual orientation, age or disability. A Full Member only shall be eligible to serve as a Senior Officer or as a member of the General Committee, to propose or second candidates for any election, and to attend and vote at a General Meeting of the Club. In the event of dissolution of the Club after discharging all debts and liabilities of the Club the remaining assets shall not be paid or distributed amongst the Full Members of the Club, but shall be given or transferred to some other voluntary organization having objects similar to those of the Club.

3 7. Junior Membership A child aged seven and under eighteen shall be eligible for membership as a Junior Member. Junior membership shall cease at the end of the subscription year in which such members attain the age of eighteen. A Junior Member shall not order, pay for, or consume any alcoholic beverage on the Club premises. Junior Members shall be allowed in Club Rooms when a responsible Full Member is present and in accordance with House Regulations. Additionally Juniors and children under the age of ten shall at all times be supervised by their parents or nominated Full Member, who shall be responsible for their behaviour. 8. Honorary Membership The General Committee shall have power to elect as an Honorary Member any member or non-member whose Honorary Membership may be considered desirable in the interests of the Club and the sport of sailing. Election to Honorary Membership shall be for a period of twelve months or such shorter period as the General Committee may determine. An Honorary Member shall not be liable for the payment of any subscription. 9. Temporary Membership Temporary membership may be granted to persons with a bona fide interest in the sport of sailing at the discretion of the General Committee, which will set appropriate conditions including the cost and duration of such Temporary membership. A Temporary member cannot introduce a guest to the Club. 10. Affiliate Organisation Membership Affiliate Organisation membership may be granted to a group or organisation with a bona fide interest in the sport of sailing at the discretion of the General Committee, which will set appropriate conditions including the cost and membership of the group. Election to Affiliate Organisation membership shall be for a period of twelve months reviewed annually at the discretion of the General Committee. A member of an affiliated group or organisation cannot introduce a guest to the Club. 11. Life Membership Upon the recommendation of the General Committee, a General Meeting shall have the power to elect as a Life Member, any member of the Club who has rendered long and outstanding service to the Club and to the sport of sailing. Life Membership shall be considered the highest honour the Club can award in recognition of such service. A Life Member shall retain full membership but shall not be liable for the payment of any subscription. 12. Applications for Membership All applicants for new membership will be accepted by the membership committee, subject to the restrictions imposed by meeting Community Amateur Sports Club (CASC) participation requirements and licensing restrictions. In accordance with CASC guidelines, the Club can refuse or revoke membership on nondiscriminatory grounds, where the membership, or continued membership, of the person concerned would be unlikely to be in the best interests of the sport of sailing or the good conduct and interests of the Club. Any appeals will be dealt with by an independent Membership Appeals Committee comprising not less than 3 Vice Presidents.

4 13. Meeting with Membership Committee All new applications for membership will be reviewed by the Membership Committee to confirm that the application meets with any requirements arising out of the Club's CASC status and any licencing restrictions. New applicants will be invited to meet representatives of the Membership Committee who will explain the facilities and resources available to members, and outline the obligations that are a part of belonging to a members club. 14. Confirmation of Membership The Honorary Secretary shall send to each new member written confirmation of their membership together with a copy of the Rules of the Club. Every member on joining the Club undertakes, by implication, to comply with these Rules and such Regulations made in conformity with these Rules. 15. Entrance Fee and Subscription Every member shall pay on election an Entrance Fee (if any) and the Subscription due. Membership shall not take effect until such fees are paid. 16. Scale of Entrance Fees and Subscription The Scale of Entrance Fees and the Annual Subscriptions, together with a definition of an Inport and Outport area, shall be decided by Resolution at a General Meeting of the Club. The subscription scale may include a reduced rate for a member normally resident in the Outport area, and such member on becoming resident in the Inport area either permanently or temporarily, for a period exceeding four months in any subscription year shall be liable to pay the full subscription rate. The General Committee shall be empowered to levy any increase in subscription and charges necessitated by taxation. The General Committee shall also be empowered to levy any charge necessitated by affiliation to the Royal Yachting Association. 17. Payment of Subscription The subscription year shall be from 1st January to 31st December and all subscriptions shall become due on the 1st January of each year. The name of any member who fails to pay the subscription due, or who fails to enter into an agreed standing order arrangement, by the last day in February, after notice has been sent to the last recorded address of such member in the Club Register, shall, at the discretion of the General Committee, be posted in the Clubhouse. If the subscription of a Full Member other than a Junior Member remains fully or partly unpaid, or the member has not entered into an agreed standing order arrangement, by 1st April following, such member shall, ipso facto, cease to be a member. If the subscription of a Junior Member remains unpaid by the 1st April following, such membership will lapse. In addition, if any payments due from a member who has entered into an agreed standing order arrangement fall overdue by more than two complete calendar months, then the member shall, ipso facto, cease to be a member. In such circumstances any payments already made under the standing order arrangement shall be treated as membership fee income for the proportion on the year that the member enjoyed membership and shall not be repaid.

5 18. Resignation of Members A member wishing to resign from the Club shall give notice in writing to the Honorary Secretary to that effect and prior to doing so shall pay all sums of money which may be owing to the Club. A Resignation shall be deemed to be effective from the date at which it is accepted unless some later date is stated in the letter of resignation. A member resigning under this Rule shall, if wishing to rejoin at a later date, and accepted as per Rule 12, shall be liable to pay only such proportion, if any, of the Entrance Fee due as the General Committee deem to be equitable. 19. Expulsion of Members If, in the opinion of the General Committee: (a) the conduct of any member has been damaging to the reputation or character of the Club; or (b) the conduct of any member has been damaging to the interest of the membership; or (c) any debt from any member of the Club has been outstanding for more than three months. The General Committee shall have authority at its discretion to suspend or expel such member from the Club. Should the General Committee find it necessary to take action under this rule the resignation of the member shall be requested, and should the member decline to resign, the General Committee, providing a majority of its members are present, shall have power to expel. The vote shall be by ballot and a majority of at least four to one shall be required. A member so expelled shall have the right to appeal to a General Meeting specially convened for the purpose within fourteen days from the date of expulsion. 20. Identity of Members Full Members and recognised members of the Club staff shall have the right to request any individual to give their name or show other proof of identity as a means of establishing the membership or otherwise of such individual. 21. Forfeiture of Rights A person upon ceasing to be a member of the Club shall forfeit all rights and claims upon the Club and its property and funds. 22. General Committee The management of the affairs of the Club including the purchase and supply of intoxicating liquor shall be entrusted to a General Committee consisting of eight elected members, at least five of whom shall be bona fide boat owners, one Vice President (nominated by his fellows) and the Senior Officers of the Club with the exception of the remaining Vice Presidents.

6 23. Appointment of Sub-Committees The General Committee shall appoint a Sailing Committee, a House Committee, a Captain s Committee, a Fabrics Committee, a Membership Committee and such other sub-committees as it shall deem necessary from time to time. The Commodore, Honorary Secretary and Honorary Treasurer shall be ex-officio members of all Sub Committees. 24. Sailing Committee The Sailing Committee shall be responsible for the organisation of Club sailing events, the hearing of protests, the selection of representative teams and such other matters as may be delegated to it by the General Committee. The Sailing Committee shall make such regulations relating to the conduct of the sailing activities of the Club as it shall consider to be in the best interests of members. These Regulations, after approval by the General Committee, shall be published and shall be binding on all members. The Vice Commodore, the Captain and Honorary Sailing Secretary shall be ex-officio members of the Sailing Committee. 25. House Committee The House Committee shall be responsible for the regulation of all entertainments and indoor functions and for the formulation of Regulations relating to the use of the Clubhouse as it shall consider to be in the best interests of the members. These Regulations, after approval by the General Committee, shall be permanently posted, and shall be binding on all members. The Rear Commodore and House Chairman shall be ex-officio members of the House Committee. 26. Captain s Committee The Captain s Committee shall be responsible for the management of the boatshed and grounds and for the management and upkeep of Club craft and equipment, including the employment of such staff as may be necessary and the provision of a reasonable service to members both ashore and afloat. The Captain s Committee shall be empowered to make such Regulations relating to the use of the Club Boatshed, grounds, launches and other equipment as it shall consider to be in the best interests of members. These Regulations, after approval by the General Committee, together with a scale of approved charges for services provided, shall be made available on request and shall be binding on all members. The Vice Commodore, Captain and Honorary Sailing Secretary shall be ex-officio members of the Captain s Committee. 27. Fabrics Committee The Fabrics Committee shall be responsible for the management and upkeep of the Club premises. They shall submit details of repairs, replacements and development of the Club premises for approval by the General Committee. The Rear Commodore and Fabrics Chairman shall be ex-officio members of the Fabrics Committee. 28. Membership Committee The Membership Committee shall be responsible for reviewing new applications for membership in accordance with Rule 12, and for arranging introductory meetings with applicants. The form and content of the meetings is at the discretion of the Membership Committee but not less than two of the Committee's members shall be present. Where appropriate, the Membership Committee will contact resigning members to discuss their experience of Club membership and the reasons for their resignation. The Membership Committee shall provide

7 an annual report to General Committee regarding membership numbers with an analysis of significant trends, including also recommendations to increase or maintain membership numbers. The Vice Commodore, Hon Secretary and Hon Registrar shall be ex officio members of the Membership Committee which shall also consist of not less than two elected members of the General Committee and any additional members as the Membership Committee may decide. 29. Appointment of Trustees A Trustee shall be a Full Member of the Club and shall be appointed by a General Meeting. A Trustee shall hold office until he resigns, ceases to be a member of the Club or is removed by a General Meeting. 30. Vesting of Club Property All the property of the Club, other than cash, which shall be under the control of the Honorary Treasurer, shall be vested in not less than two and not more than four Trustees. The Trustees shall deal with the property of the Club as directed by Resolution of the General Committee, of which a signed entry in the Minute Book shall be conclusive evidence and they shall be indemnified against cost, risk and expense out of Club property. 31. Election of Officers and General Committee All Officers (other than previously elected Vice Presidents), and the General Committee shall be elected annually at a General Meeting of members to be held in January. Should a vacancy occur in the office of the President, a Flag Officer, the Honorary Secretary or Honorary Treasurer, such vacancy shall be filled at a General Meeting specially convened for the purpose. A vacancy in any other office shall be filled promptly by Resolution of the General Committee. The names of candidates for all offices and membership of the General Committee, duly proposed and seconded, shall be sent in writing to the Honorary Secretary at least twenty one clear days before the General Meeting at which election is to take place. A Senior Member may only propose and/or second one nomination for membership to General Committee. In the event of a nomination for any office not being received as prescribed above, the Flag Officers shall be empowered thereafter to nominate a candidate for such office. 32. Calling of Meetings The Annual General Meeting of members shall be held in January each year and other General Meetings may be called on such other occasions as may be necessary. The Honorary Secretary shall convene a General Meeting within thirty days from the receipt of a request to do so from a Flag Officer or the Honorary Treasurer or on receipt of a Requisition signed by no less than twelve Full Members, stating the purpose for which the Meeting is to be called. A notice calling a General Meeting shall be circulated at least fourteen clear days prior to such meeting and shall state the time and place of meeting, the agenda and the terms of any resolution to be brought before the Meeting. Members shall be given the option of receiving such notices and all other communications relating to membership and similar matters by . Members exercising this option may be offered a discounted membership subscription at the discretion of the General Committee. 33. Quorum at Meetings Thirty Full Members shall form a Quorum at a General Meeting and in the event of there not being a Quorum present the Meeting shall be adjourned. At the adjourned General Meeting business may proceed irrespective of

8 the number present. Three Senior Officers and three elected members shall form a Quorum at a General Committee Meeting. A Quorum at a Sub-Committee meeting shall consist of half of the elected members with the exception of a meeting of the Sailing Committee, convened to hear a protest, when three members shall form a Quorum. 34. Conduct of Meeting The Senior Flag Officer present shall take the chair at all General Meetings of the Club and at Meetings of the General Committee. Should no Flag Officer be present the Meeting shall appoint a Chairman. The Honorary Secretary shall keep correct minutes of the proceedings of all such meetings in an appropriate form which shall be confirmed at a subsequent meeting. At all meetings every question shall be decided by a majority of votes unless otherwise provided by these Rules, and each member present shall have one vote. The Chairman shall have one vote which shall be exercised as a casting vote if the other votes be equal. 35. Voting at Meetings No member shall be allowed to vote or take part in any General Meetings of the Club until the subscription due for the current year has been paid. Where a member owes any sum of money to the Club other than a subscription, it shall be at the discretion of the General Committee whether such member shall be allowed to vote or take part in any meeting of the Club. 36. Resolutions A member wishing to propose any Resolution at a General Meeting, including any alteration or addition to the Rules of the Club, shall give notice of the proposition in writing to the Honorary Secretary at least thirty days before such meeting. The terms of the Resolution together with the name of the proposer, shall be posted in the Clubhouse for at least fourteen days prior to the meeting and shall be referred to in the notice convening the meeting. A member wishing to propose any amendment to the Resolution shall give notice of such amendment in writing to the Honorary Secretary at least seven days before the meeting. The terms of the amendment, together with the name of the proposer, shall be posted in the Clubhouse for at least three clear days prior to the meeting. No amendment, unless so notified, shall be accepted at the meeting. If the Resolution is seconded a vote shall be taken and if carried the Resolution shall become effective and binding on all members. The Honorary Secretary shall notify all Full Members, or, if applicable to other classes of membership, all members of any change in the Rules of the Club by posting a notice in the Clubhouse. 37. Use of Club Premises The Club premises shall be used exclusively by its members and persons authorised pursuant to these rules and in accordance with House Regulations. The permitted use of the Clubhouse shall be defined in the House Regulations which shall be binding on all members. The Club, acting through two or more of its senior officers, shall have the right to exclude any person from the Club Premises. On the occasion of a special event the General Committee on giving at least two clear days' notice by written notification in the Clubhouse may vary or extend the Regulations to enable the premises to be used in a manner most suitable to the particular event. A tariff of charges for all commodities to be sold in the Clubhouse after approval by the General Committee shall be displayed in the Clubhouse and shall be binding on all members.

9 38. Care of Club Property No member shall remove from the Clubhouse any newspaper, magazine, book or any other article which is either the property of the Club or in its keeping. A member damaging any property of the Club shall be held liable for the cost of repairing such damage. 39. Posting of Notices No notice of any kind shall be posted anywhere on the Club Premises without the written endorsement of an Officer of the Club. 40. Guests A non-member will be defined as a guest in the following circumstances: (a) A member may introduce a non-member as a guest to the Club Premises subject to the discretion of the General Committee. The name and address of such guest, together with the name of the introducing member, shall be entered in a Visitors Book kept for that purpose. The introducing member shall be held responsible for the guest s behaviour and any liabilities incurred. A non-member if normally resident in the Inport subscription area shall not be introduced to the Clubhouse on more than six occasions in a calendar year. (b) The Club may admit as guests, members of other Clubs affiliated to the Royal Yachting Association, members of visiting sailing teams and their supporters, individuals participating in regattas and open meetings at the Club and persons connected with Corporate Subscription Schemes. Such person or persons shall sign the Visitors Book and shall include the name of the club, team or organisation as appropriate. When attending as part of a club, team or other organization, a single entry by a club officer, team captain or other representative will suffice. (c) When attending at the Club in the course of legitimate Club business. (d) When attending a function authorised by the General Committee which is either: (i) a Club function or entertainment; (ii) a function which has been booked by a member for an event of a private nature. No person whose conduct or presence has been deemed by the General Committee to be prejudicial to the interests of members, nor any person whose previous membership was terminated under the provision of Rule 16 or Rule 18 shall be permitted on Club Premises. 41. Rules for Guests (a) During permitted hours guests may purchase refreshments and intoxicating liquor from the Club, for consumption on the Club Premises in accordance with the Licensing Act (b) Guests shall be subject to such Rules or House Regulations relating to the use of the Club Premises as may be applicable.

10 42. Keeping Accounts All monies collected shall be paid to the Honorary Treasurer who shall keep correct accounts of all monies received and disbursed on behalf of the Club. Any member desiring an inspection of the Accounts must give three clear days notice to the Honorary Treasurer previous to an Annual General Meeting, when the accounts must be produced. 43. Examination of Accounts A reputable firm of Chartered Accountants shall be appointed at each Annual General Meeting to hold office until the next Annual General Meeting in order to review the Club s financial statements and produce a report. If the appointed firm becomes unavailable during the year a replacement firm shall be appointed by the General Committee. The report produced by the Chartered Accountants shall be duly examined by the General Committee at a meeting preceding the Annual General Meeting. 44. Borrowing of Money The members of the Club in General Meeting may pass a Resolution authorising the Committee to borrow money. The General Committee shall thereupon be empowered to borrow for the purpose of the Club such amount of money either at one time or from time to time, and at such rate of interest and in such form and manner and upon such security as shall be specified in such Resolution and thereupon the Trustees shall, at the direction of the General Committee, make all such dispositions of the Club property or any part thereof and enter into such agreement in relation thereto as the General Committee may deem proper for the Club, whether voting on such Resolution or not, and all persons becoming members of the Club, after the passing of such Resolution shall be deemed to have assented to the same as if they had voted in favour of such Resolution. 45. Complaints A member shall not reprimand a member of the Club staff. A member having cause to complain of incivility or inattention on the part of any of the Club staff is requested to report the matter to the Honorary Secretary in writing without delay. Any such complaint will be fully investigated but a complaint made through any other channels shall not be entertained. 46. Liability of Club Members of the Club, their guests and visitors, may use the Club premises and any other facilities of the Club entirely at their own risk and impliedly accept that: (a) The Club will not accept any liability for any damage to or loss of property belonging to members, their guests or visitors to the Club. (b) the Club will not accept any liability for personal injury arising out of the use of the Club premises, and any other facilities of the Club or out of participation in any race organised by the Club, whether sustained by members, their guests or visitors whether or not such damage or injury could have been attributed to or was occasioned by the neglect, default or negligence of any of the officers, committee or servants of the Club. (c) Before inviting any guests or visitors onto the premises or to participate in events organised by the Club, members will draw their attention to this Rule.

11 47. Indemnity of Officers and Committee The officers of the Club and the General Committee, while acting in the discharge of their duties on behalf of the Club, shall be indemnified by the Club against all costs, losses, expenses which they incur or become liable for by reason of any act or deed done by them or any contract entered into on behalf of the Club. 48. Lien If at any time any indebtedness to the Club of any member or former member shall be outstanding for three months or more: (a) the Club shall be entitled to move the member or former member s boat to any other part of the premises without being liable for any loss of or damage to the boat howsoever caused. (b) the Club shall be entitled upon giving one month s notice in writing to the member or former member, at his last known address shown in the Register of members to sell the boat and to deduct any monies due to the Club (whether by way of arrears of subscription or storage charges or otherwise) from the proceeds of sale before accounting for the balance (if any) to the member or former member. Alternatively any boat which in the opinion of the General Committee cannot be sold may, upon such notice aforesaid, be broken up and the expenses recovered from the member or former member. Further, the Club shall at all times have a lien over the boat in respect of monies due to the Club whether in respect of arrears of storage fees or subscription or otherwise. 49. Data Protection Act Membership of the Club and acceptance of these Rules by the member will be deemed to constitute consent to the holding of relevant personal data for the purposes of the Data Protection Act Amendment of Rules (a) These Rules may be altered or repealed and new rules may be added by resolution of the Annual General Meeting or at an Extraordinary General Meeting duly summoned for the purpose. (b) A resolution to alter or repeal or add new rules must be passed by a majority of the members voting on the resolution (c) Any reference in these rules to these Rules or "the Rules of the Club includes a reference to the rules of the Club as from time to time amended in accordance with this rule. 51. Publication of Rules The Rules of the Club shall be published on the website. Hard copies can be made available upon request to the Honorary Secretary.

12 APPENDIX TO RULES 1. Subscriptions Subscription for all individual membership categories shall be a fixed percentage of the amount payable by an Inport member, aged 26 or over, rounded to the nearest pound, as follows: Surviving partners of deceased members, Outport, Juniors or Family Juniors (when there are two or more Juniors in a household, and where their parents or legal guardians are Members, they shall be liable to pay only one Junior subscription): 30% Members aged 18 to 26 and over 65 (on application): 50% Classification Family (Couples and all their children who are Junior Members) Couples Members, 26 and over Members 18 to 26 and over 65 (on application) Outport and Junior members Entrance Fees The entry fee for a Full member shall be 50 and for Members 18 to 26 shall be 25. This amount may be reduced or waived in individual cases at the discretion of the Membership Committee. An entry fee for a former Junior or family member who has paid at least three Subscriptions shall not be required. 3. Following application to and agreement from the Hon. Registrar, members may be allowed to pay their subscription by monthly standing order. In such circumstances, an additional premium of 10% shall be applied to any subscription instalments paid after 1st January each year. When subscriptions are paid by standing order then this must be by 9 or fewer equal monthly instalments, the last of which should be credited to the club bank account by the following 30th September and no later. Payment of subscriptions by any other deferred terms may be permitted in exceptional circumstances, but only with the addition of an additional premium of 20%, and only following written application to and written agreement from the General Committee. 4.
