1 Appendix B Proposed Amendment to HKIA Rules in relation to the Honorary Fellow(s) and Honorary Member(s) Provisions Backgrounds According to The Rules of The Institute (HKIA Rules), HKIA could confer Honorary Fellowship or Membership to such persons as the Institute may wish to honour as Honorary Fellows (HF) or Honorary Members (HM) respectively*. HKIA Rules 8A says, Honorary Fellows shall be such persons of eminence as the Institute may wish to honour and whose membership would further the objects of the Institute ; while HKIA Rules 8B says, Honorary Members shall be such persons as the Institute may wish to honour and whose contribution to the objects of the Institute is recognized. In these Rules, unless otherwise expressly provided, the words Honorary Member or Honorary Members shall include Honorary Fellow or Honorary Fellows. During the open nomination period each year, there were increasing queries from members about the definitions of HF and HM. The Nomination Committee has also considered that it remains hard to distinguish between HF and HM clearly under Rules 8A and 8B. Proposed Amendments to HKIA Rules The Council 2018 acknowledges the general perception that there is no distinctive and apparent differences between HF and HM as stated in Rules 8A and 8B. The Council reflects on the necessity to differentiate the potential awardees into such different categories, and considers a unitized category is more appropriate for such honour. Such merger as proposed shall necessitate the due amendments of HKIA Rules. For details, please refer to Annex B. A Members Forum was subsequently held on 6 September 2018 at HKIA premises to brief and consult general members. The proposed amendment is put forward as a motion to be voted at the HKIA Third Quarterly General Meeting which would be held on 20 September 2018 at Craigengower Cricket Club, Hong Kong. 3 Annex B: Proposed Amendment to HKIA Rules in relation to the Honorary Fellow(s) and Honorary Member(s) Provisions Rule 8A Rule 8B Rule 13 Rule 37 Rule 58 Exiting Rules Honorary Fellows shall be such persons of eminence as the Institute may wish to honour and whose membership would further the objects of the Institute. Honorary Members shall be such persons as the Institute may wish to honour and whose contribution to the objects of the Institute is recognized. In these Rules, unless otherwise expressly provided, the words Honorary Member or Honorary Members shall include Honorary Fellow or Honorary Fellows. Every proposal for the election of an Honorary Fellow/ Honorary Member shall be made either by a Nomination Committee appointed by the Council OR by not less than seven Members. The nomination shall give the name, title and address of the candidate together with a statement of the grounds on which the person is nominated. The Council may appoint Member, Associate, Affiliate or Honorary Member as an Advisor to the Council. Any Member, Associate, Affiliate or Honorary Member so appointed shall be invited to attend Council Meetings as decided by the Council but shall not have the right to vote on Council matters. General Meeting and every Special General Meeting stating the place, date and hour at which it is to be held and the business to be transacted thereat shall be sent to every Member, Corporate Member, Associate, Affiliate, Graduate Member, Student Member, Honorary Member, Retired and Non-Resident Member according to Rule 67 at least seven days previously. Any General Meeting may by Resolution adjourn from time to time but unless the adjournment be for a period exceeding seven days no printed Notice as provided herein and in Rule 67 shall be necessary. Proposed Amendment Honorary Fellows shall be such persons of eminence as the Institute may wish to honour and whose membership would further the objects of the Institute, or whose contribution to the objects of the Institute is recognized. (Repealed) Every proposal for the election of an Honorary Fellow/ Honorary Member shall be made either by a Nomination Committee appointed by the Council OR by not less than seven Members. 4 Rule 60 Rule 61(b) Rule 63 The Chair at all General Meetings, Annual General Meeting and Special General Meetings shall be taken as soon after the stated time of the Meeting as there shall be a quorum of twenty Members present. If such quorum be not constituted within half an hour of the time for which the Meeting had been summoned the Meeting shall be postponed for 14 days and new notices sent to every Member, Corporate Member, Associate, Affiliate, Graduate Member, Student Member, Honorary Member, Retired and Non-Resident Member. If on this second meeting a quorum is still not obtained, such meeting shall nevertheless be one capable of transacting business. At General Meetings, Annual General Meetings and Special General Meetings: (b) Corporate Members, Associates, Affiliates, Graduate Members, Student Members, Honorary Members and Retired Members are entitled to attend and speak. The Council shall give at least seven days notice to all Members, Corporate Members, Associates, Affiliates, Graduate Members, Student Members, Honorary Members, Retired and Non-Resident Members of any proposals to make new Rules or to introduce new sections in the Constitution and to amend or rescind existing Rules or matters relating to the Constitution and such proposals shall be discussed at the next General Meeting or Special General Meeting following the notice. No new Rule or amendment to the Constitution nor rescindment of any existing Rule or rescindment of any section of the Constitution shall come into force except for an affirmative vote of two-thirds of those Members having a right to vote and voting at the Meeting or by poll as provided in Rule 62. Any reference to Rules in these presents shall include the Code of Professional Conduct and the Conditions of Engagement of the Hong Kong Institute of Architects. 5 Rule 64 Rule 67 The Council shall present a report on the state and affairs of the Institute to the Annual General Meeting, which report shall give an abstract of the proceedings during the preceding financial year ended 31 st March, and an account of the funds (including a balance sheet of the receipts and disbursements for the past financial year properly audited). A copy of the report shall be sent to every Member, Corporate Member, Associate, Affiliate, Graduate Member, Student Member, Honorary Member, Retired and Non- Resident Member at least fourteen days before the Annual General Meeting. Any notice or other document(s) required by these Rules shall be written or printed and shall be deemed to have been duly sent when it has been put into the post or otherwise despatched and shall be deemed to be received by a member of the Institute if left or sent to a Member, Corporate Member, Associate, Affiliate, Graduate Member, Student Member, Honorary Member, Retired or Non-Resident Member by post at their last known business or residential address in Hong Kong and, except where otherwise specifically provided by these Rules, shall be deemed to be received by the Institute if left with or sent by post to the Honorary Secretary of the Institute at the Institute s address. A notice or document sent by post shall be deemed to have been received by the addressee at the time when in due course of posting it will be delivered at the address to which it was sent.
