Contribution to the Home Based Business Resource Fair and Conference A motion to Approve was made by Marshall Warner, the motion result was Passed. AYES: 5 NAYS: 0 ABSTAIN: 0 ABSENT: 2 Ayes: Gerhardt, Harris, Odle, Warner, Tingle Absent: Carson, Shippey Ms. Jordan gave a brief overview of the event and the sponsorship request that was included in the Agenda Packet. Staff recommends sponsoring the event at the Bronze level. G. OLD BUSINESS 1. Columbia Drive Update and Discussion Ms. Sipes addressed the Authority, stating that Mr. Barry Moses, Capital Projects Coordinator for the County, has stepped in to help push this project along with the Virginia Department of Transportation (VDOT). Mr. Moses stated that VDOT would not originally accept Columbia Drive into the state system because it did not have enough parcels to serve. However, last year, VDOT changed its mind and has declared it an industrial park road, so it is now possible to have it accepted into the state system once the punch list is satisfied. He recommends putting a plan together of what is going to be done to satisfy all of the punch list items, presenting that plan to VDOT for its review and then quickly moving forward with getting those items accomplished.

5 Mr. Tingle asked for a timeframe and potential costs. Mr. Moses stated that he hopes to present the plan to VDOT by September and he hopes that the cost estimate will be below $50, Joint Work Session Discussion Ms. Jordan previewed the draft PowerPoint presentation for the joint work session that was included in the Agenda Packet. As she went through the slides, general discussion ensued regarding little tweaks that could be done to clarify the information. Mr. Tingle recommended that the background on the IDA/EDA, and the information from the Code, should be taken out of the PowerPoint and just included as a handout or fact sheet. General discussion ensued regarding the accomplishments of the EDA during FY 2017 and the goals for the upcoming year. The final several slides included maps of the industrial parks and the Marina. The benefit of these slides is the visual representation of the opportunities that are still available in the James River Commerce Park and Green Mount Industrial Park. General discussion ensued regarding the Marina and how it ties into the beach area. Mr. Purse stated that there are more restrictions on the beach side of the street, which is why the Authority has control of the Marina side. He stated that the Authority needs to continue focusing on the Marina. Ms. Jordan highlighted the Authority s desire to create a destination and sense of place in the whole area down there. H. LIAISON REPORTS 1. BOS Liaison No update necessary. 2. Greater Williamsburg Chamber & Tourism Alliance A motion to Appoint Mr. Shippey as the liaison to the Greater Williamsburg Chamber & Tourism Alliance Sports Marketing Committee was made by Mr. Harris and the motion result was Passed. AYES: 5 NAYS: 0 ABSTAIN: 0 ABSENT: 2 Ayes: Gerhardt, Harris, Odle, Warner, Tingle Absent: Carson, Shippey Mr. Harris asked to have the Chamber come in and discuss the upcoming food event in November. 3. 6 4. Launchpad Mr. Harris stated that a management contract is signed, a budget approved and policies and procedures in place for the upcoming fiscal year. 5. Greater Williamsburg Partnership Mr. Tingle highlighted the GWP kick-off event that was held at Kingsmill the end of June. A budget has been adopted and most of the work to set up the organization has been done. The development of a marketing campaign is in the beginning stages. Mr. Tingle briefly gave an update on the GO Virginia meeting that was held in June. 6. RAISE Advisory Committee No discussion necessary. 7. JRCC Architectural Review Board No discussion necessary. 8. Real Estate Holdings Committee Mr. Odle gave an overview of the minutes from the June 2017 Committee meeting that were included in the Agenda Packet for the Authority s review. 9. Finance Mr. Tingle asked Mr. Warner to begin looking at some of the smaller items listed in the budget and to begin setting some priorities. I. DIRECTOR'S REPORT 1. July 2017 Report Ms. Jordan gave a brief overview of the report included in the Agenda Packet. Ms. Sipes gave an overview of the Marina project and the project financials that were included with the Director s Report. Discussion ensued regarding a date for an Industrial Site Tour in August and the potential dates for a retreat. J. ADJOURNMENT 1. 20 M E M O R A N D U M DATE: September 14, 2017 TO: FROM: The Economic Development Authority Max Hlavin, Assistant County Attorney SUBJECT: Adoption of a Revised Policy for Remote Participation in Meetings by Economic Development Authority Members The Economic Development Authority (the EDA ) currently has a policy, pursuant to Virginia Code Section (B)(1), governing remote participation in EDA meetings by members due to emergencies, personal matters or a disability (the Policy ). Virginia Code Section was recently amended during the 2017 General Assembly Legislative Session such that the Policy should be amended to reflect the new legislation. Namely, the General Assembly removed language in Virginia Code Section pertaining to emergencies and limited the number of times a member of a public body could remotely participate in a meeting because of a personal matter to two meetings each calendar year. Previously, remote participation by a member because of an emergency or personal matter was limited each calendar year to two meetings or 25% of the meetings of the public body, whichever was fewer. The proposed revised Policy, presented as Exhibit A, is in conformance with the new legislation such that reference to emergencies is removed and remote participation because of a personal matter is limited to two meetings each calendar year. 21 ADOPTION OF A REVISED POLICY FOR REMOTE PARTICIPATION IN MEETINGS BY ECONOMIC DEVELOPMENT AUTHORITY MEMBERS WHEREAS, the James City County Economic Development Authority (the EDA ) has a policy, pursuant to Virginia Code Section (B)(1), governing remote participation in EDA meetings by EDA members (the Policy ); and WHEREAS, the Virginia General Assembly amended Virginia Code Section during the 2017 Legislative Session; and WHEREAS, the EDA desires to reauthorize, clarify and revise its Policy to conform to the newly amended Virginia Code Section NOW, THEREFORE, BE IT RESOLVED that the Economic Development Authority of James City County, Virginia, does hereby adopt the revised James City County Economic Development Authority Policy for Remote Participation presented as Exhibit A. The undersigned hereby certifies that the above resolution was duly adopted by the Directors of the Economic Development Authority of James City County, Virginia, at a meeting duly called and held on September 14, 2017 and that such resolution is in full force and effect on the date hereof. 22 JAMES CITY COUNTY ECONOMIC DEVELOPMENT AUTHORITY POLICY FOR REMOTE PARTICIPATION In accordance with of the Code of Virginia, the following policy is established for members remote electronic participation in Economic Development Authority (EDA) meetings due to a personal matter or a disability. A member may participate in a meeting through electronic communication means from a remote location that is not open to the public only as follows: 1. An emergency or personal matter a. On or before the day of a meeting, the member shall notify the chair of the EDA that the member is unable to attend the meeting due to an emergency or a personal matter. The member must identify with specificity the nature of the emergency or personal matter. The member should also notify the EDA s Secretary (i.e., the Director of Economic Development) if the member is unable to attend a meeting due to an emergency or personal matter that prevents the member s physical attendance. b. A quorum of the EDA must be physically assembled at the primary or central meeting location. The EDA members present must approve the remote participation by a majority vote, which shall be recorded in the EDA s minutes. The decision shall be based solely on the criteria in this policy, without regard to the identity of the member or matters that will be considered or voted on during the meeting. The Secretary shall record in the EDA s minutes the specific nature of the emergency or personal matter and the remote location from which the absent member participated. If the absent member s remote participation is disapproved because such participation would violate this policy, such disapproval shall be recorded in the EDA s minutes. c. Remote participation by the absent member due to an emergency or a personal matter shall be limited in each calendar year to two (2) meetings or 25 percent (25%) of the meetings of the EDA, whichever is fewer. 2. A temporary or permanent disability a. On or before the day of a meeting, the member shall notify the chair of the EDA that the member is unable to attend the meeting due to a temporary or permanent disability or medical condition that prevents his or her physical presence. The member should also notify the EDA s Secretary (i.e., the Director of Economic Development) if the member is unable to attend a meeting due to a temporary or permanent disability or other medical condition that prevents the member s physical attendance. b. A quorum of the EDA must be physically assembled at the primary or central meeting location. The Secretary shall record in the EDA s minutes the fact of the disability or other condition and the remote location from which the absent member participated.

23 3. For any remote participation, the Secretary shall make arrangements for the voice of the absent member or members to be heard by all persons in attendance at the meeting location. 4. The above provisions shall also be applicable to committee meetings of the EDA. 5. A member who is remotely participating in a meeting shall not be permitted to participate in any closed session of that meeting. 24 JAMES CITY COUNTY ECONOMIC DEVELOPMENT AUTHORITY POLICY FOR REMOTE PARTICIPATION In accordance with of the Code of Virginia, the following policy is established for members remote electronic participation in Economic Development Authority (EDA) meetings due to a personal matter or a disability. A member may participate in a meeting through electronic communication means from a remote location that is not open to the public only as follows: 1. A personal matter a. On or before the day of a meeting, the member shall notify the chair of the EDA that the member is unable to attend the meeting due to a personal matter. The member must identify with specificity the nature of the personal matter. The member should also notify the EDA s Secretary (i.e., the Director of Economic Development) if the member is unable to attend a meeting due to a personal matter that prevents the member s physical attendance. b. A quorum of the EDA must be physically assembled at the primary or central meeting location. The EDA members present must approve the remote participation by a majority vote, which shall be recorded in the EDA s minutes. The decision shall be based solely on the criteria in this policy, without regard to the identity of the member or matters that will be considered or voted on during the meeting. The Secretary shall record in the EDA s minutes the specific nature of the personal matter and the remote location from which the absent member participated. If the absent member s remote participation is disapproved because such participation would violate this policy, such disapproval shall be recorded in the EDA s minutes. c. Remote participation by the absent member due to a personal matter shall be limited in each calendar year to two (2) meetings. 2. A temporary or permanent disability a. On or before the day of a meeting, the member shall notify the chair of the EDA that the member is unable to attend the meeting due to a temporary or permanent disability or medical condition that prevents his or her physical presence. The member should also notify the EDA s Secretary (i.e., the Director of Economic Development) if the member is unable to attend a meeting due to a temporary or permanent disability or other medical condition that prevents the member s physical attendance. b. A quorum of the EDA must be physically assembled at the primary or central meeting location. The Secretary shall record in the EDA s minutes the fact of the disability or other condition and the remote location from which the absent member participated.

25 3. For any remote participation, the Secretary shall make arrangements for the voice of the absent member or members to be heard by all persons in attendance at the meeting location. 4. The above provisions shall also be applicable to committee meetings of the EDA. 5. A member who is remotely participating in a meeting shall not be permitted to participate in any closed session of that meeting. Staff has requested cost estimates from two firms for the wetland permitting required before local land disturbing and building permits can be obtained. Stantec provided an estimate of $9,767 which includes reconfirmation of the wetland determination (expiring November 2017), the application for a general permit from the Army Corps of Engineers, an application for the Virginia wetlands permits from the Virginia Department of Environmental Quality, a Stormwater Pollution Prevention Plan and Department of Environmental Quality (DEQ) registration and Construction General Permit. Vanasse Hangen Brustlin, Inc. (VHB) provided a proposal for a larger scope of work in Staff followedup requesting an updated price for Task 2.1 only; VHB confirmed that the price was unchanged. Task 2.1 is estimated at $9,460, which includes an extension request of the existing wetland determination and the application for a general permit from the Army Corps of Engineers. However, this does not include the application for the Virginia wetlands permit from DEQ, a Stormwater Pollution Prevention Plan or DEQ registration and Construction General Permit, which are required before construction can commence. Proposals will be available for viewing at the meeting. Ms. Jordan explained that staff is in the process of soliciting proposals for the wetlands delineation and other environmental permitting. She also noted that there is no broadband or fiber running to the JRCC, which could limit the opportunities to attract advanced manufacturing to the center. Staff has begun soliciting proposals for getting broadband or fiber run to the center and will update the Committee at a later date. D. Kimley-Horn Discussion on Abilities through On-Call Contract & Discuss Options for JCC Marina Mr. Odle briefly discussed the County s view of the JCC Marina area. While the Shaping Our Shores document shows large amounts of retail and residential, the County views the area as more of a community asset. He briefly described a park-like setting that other localities have done with their waterfront property, which seems to be more along the lines of what the County is envisioning. Ms. Jordan stated that Kimley-Horn & Associates was invited to this meeting because the County has them through On-Call Contract and they have done some other engineering work at the Marina and are familiar with the property. She thought it would be good to bring them in to discuss what services might be needed out there and what they could provide through their On-Call services. She also noted that she had recently met with staff from the Jamestown-Yorktown Foundation, Jamestown Settlement and the

31 National Park Service. Everyone is on board with making the whole area as a very interactive space that is a destination for people to come and spend all day. Carroll Collins, Project Manager at Kimley-Horn & Associates, introduced his colleagues Ron Kagawa and Mike Casey, both of whom are landscape architects. Mr. Kagawa stated that one of the first things he noticed when he walked the area is that the everyday user does not see boundary lines, so it is important that the area is seamless and that it all works together. He stated that they determined from their site visit that there are three tiers of things that need to be done. Tier 1 includes fixing critical infrastructure and some of the small things that can be done quickly, like signage. Tier 2 and Tier 3 would include the larger projects that involve design and implementation. Mr. Odle stated that from his discussion with County Administration, his understanding is that they want something done sooner rather than later. So a three- to five-year plan is not feasible. Things need to move forward quickly. The economic impact of the space is irrelevant at this point; creating a sense of place and something that benefits the community is what is important. He stated that there needs to be a shift in the focus to the next generation. There are many young people that have no inclination to live here after college, and we need to begin to look at how to develop places that appeal to the next generation. General discussion ensued regarding the slope and topography of the land, and the potential development opportunities, including a boutique hotel, restaurants with alfresco dining and green space or a park space. It was noted that there are employees working at Jamestown Settlement all year long that could be potential customers as well as all the traffic that drives by the property going to and coming off the Ferry. The realignment of the entrance to line up with the Colonial Parkway was also discussed. It was restated that the focus is on the 10-acre parcel at the Marina that the EDA owns. Obviously, the rest of the property is owned by the County and thought needs to be given to how it works with the rest of the area, but ultimately the EDA is focused on the Marina property. Ms. Jordan stated that there are several uses for the property that must be accommodated. The boat repair needs to be available on-site, but it does not necessarily have to stay in the place that it is now. There must be a new bathhouse with restrooms and showers. There needs to be a marina service building, which either will be used by Parks & Recreation, or if the running of the Marina is contracted out, then those operations would operate out of that building. There will be a need for a new tasting room once the old building comes down. The new tasting room could be added onto the warehouse building to be something else entirely. We also know that we need to have some type of restaurant or alfresco dining, so those are the things that we know we need, and then there are the other things that have been discussed like an amphitheater. Parking needs will have to be addressed as well. General discussion ensued about the two boathouses, the Marina store and the harbormaster. Dry storage was discussed as well, since the boathouses affect the view of the river. Mr. Gerhardt recommended putting dry storage off to the side somewhere, which could also accommodate the store and harbormaster. The buildings should be skinned or designed in such a way as to blend in with the area. Discussion ensued regarding the parcel above the EDA controlled area, the RPA areas and the other land and environmental restrictions. Discussion also covered potential avenues for funding and the long-term operation of the Marina. Going forward, it was recommended that a plan be formulated for the items that we know need to be accommodated. From there, perhaps the Tier 2 plan is for the park or amphitheater space. Looking into acquiring the parcel above would be a long-range goal. A shared parking agreement with the Jamestown- Yorktown Foundation would be a good parking solution for the short term.

Submissions for projects are due October 31, All six directors submitted a letter to support Unmanned Systems and Aerospace for inclusion in the Targeted Industries Sectors identified by Go Virginia Region 5. Based on the response by the directors and other Peninsula leadership at its August meeting, the Region 5 Board voted to include Unmanned Systems and Aerospace as a six cluster. The College of William &Mary Homecoming Event - The College of William & Mary Office of Economic Development and the Cohen Career Center have invited alumni to meet local economic development officials at a Homecoming Reception on Saturday, October 21, The event will be held at the Cohen Career Center Rooftop Patio, on Stadium Drive between Zable Stadium and the Sadler Center, from 2 p.m. until the end of the game. The invitation was released Friday, September 8, 2017 and received over 30 confirmations in the first 30 minutes, so it is anticipated to be a well-attended event. The event targets alumni that are local or out-of-town businessperson, future entrepreneurs and those considering moving their business to the Greater Williamsburg. Celebration of Business (COB) Nomination Process - COB has been set for the evening of November 2, 2017, at Jamestown Settlement. Staff request working with the Chair and/or his nominee to develop a list of nominees to be presented and voted upon at the October Economic Development Authority (EDA) meeting. Incentives - The Local Enterprise Zone incentive will sunset at the end of this calendar year. Currently, this is the only administratively approved incentive offered. In order to stay competitive, staff is beginning to research what other similar localities are offering, especially in ways that would advance opportunities in our targeted sectors. Staff would like to work with Marshal Warner, as the Finance representative to the EDA, to develop new incentive options to be presented to the EDA later this year. Chefs Go Six students graduated on August 31, 2017, from the pilot program. The County issued a NewsFlash (press release) with a photo of the graduates. One of the students has been accepted into the prestigious American Culinary Federation Apprenticeship program this fall. The next program will begin accepting applications in October 2017 for Spring Many thanks to Robin Carson for her work creating this new workforce development program. Strategic Planning - It is time to set a date for the EDA retreat. This retreat will allow the EDA to review its strategic priorities and set an implementation strategy moving forward. Staff recommends either replacing the October or December EDA meeting date with the retreat extending the time from 8 a.m. to noon unless the EDA feels a separate meeting date is needed.

38 Director s Report, September 2017 September 14, 2017 Page 2 Billsburg Brewery - Construction is progressing at the marina. The plumbing is completed for the production tanks and brewing is set to start this week. The deck is complete for the taproom and the interior has been transformed. The Virginia Tourism Commission is scheduled to make a presentation of a grant check to Billsburg Brewery at 10 a.m. on September 28, 2017, with Todd Haymore, Secretary of Commerce and Trade, scheduled to attend. Rent payments to the EDA began in September 2017 and was set up through automatic electronic payment for all future deposits. Staff is processing final paperwork and payment requests related to the construction. The Grand Opening date is dependent upon product availability with the anticipated ribbon cutting occurring in October LPGA - On August 29, 2017, the LPGA and Kingsmill Resort announced a contract extension for the Kingsmill Championship for an additional three years ( ). Staff will begin working with Kingsmill to make some modifications to its sponsorship packet to improve the experience and participation. Staff would also like to explore the possibility of making Thursday a Greater Williamsburg Partnership Day if the other two localities are interested in participating.
