1 VISIT BATON ROUGE SPECIAL BOARD MINUTES August 2017 A scheduled special board meeting of Visit Baton Rouge was held on Friday, August 4, 2017 at its office located at 359 Third Street. Present were: Flynn Foster Carolyn McKnight Norman Chenevert Pastor Wesley Ralph Ney Andy Blouin Scott Michelet Mark Drennen Absent: C. Denise Marcelle Mickey Parenton Present but not participating in formal actions: Paul Arrigo, Staff Lauralyn Maranto, Staff Barney Doyle, Staff Karron Alford, Staff Stacy Simon, Staff Chuck Elkins, Legal Counsel Andrea Gallo, The Advocate Flynn Foster called the meeting to order and opened the meeting for public comment. Chuck Elkins presented a brief overview regarding the timeline and process of the tax proposition. On a motion by Pastor Wesley, seconded by Carolyn McKnight to adopt the following Resolution:

2 RESOLUTION OF THE BOARD OF DIRECTORS OF VISIT BATON ROUGE ( VBR ) AUGUST 4, 2017 A RESOLUTION ORDERING AND CALLING AN ELECTION TO BE HELD IN THE PARISH OF EAST BATON ROUGE, STATE OF LOUISIANA, ON NOVEMBER 18, 2017 FOR THE PURPOSE OF AUTHORIZING THE LEVY AND COLLECTION OF A HOTEL OCCUPANCY TAX IN THE AMOUNT OF TWO (2%) PERCENT OF THE RENT OR FEE CHARGED FOR SUCH OCCUPANCY OF HOTEL ROOMS LOCATED WITHIN THE PARISH OF EAST BATON ROUGE, BUT NOT LOCATED WITHIN THE MUNICIPALITIES OF BAKER, CENTRAL, OR ZACHARY, OR THE AREA WITHIN THE BOUNDARIES OF THE BATON ROUGE NORTH ECONOMIC DEVELOPMENT DISTRICT, COMMENCING APRIL 1, 2018 AND THEREAFTER IN PERPETUITY, TO BE LEVIED AND COLLECTED BY VISIT BATON ROUGE AND USED (AFTER PAYING REASONABLE AND NECESSARY COSTS AND EXPENSES OF COLLECTION AND ADMINISTRATION OF SUCH TAX): FIFTY (50%) PERCENT TO FUND THE OPERATION, MAINTENANCE, AND CONSTRUCTION OF THE RAISING CANE S RIVER CENTER AND FIFTY (50%) PERCENT TO FUND THE OPERATIONAL AND CAPITAL EXPENSES OF VISIT BATON ROUGE, AND PROVIDING FOR OTHER MATTERS IN CONNECTION THEREWITH. WHEREAS, at a properly called and noticed special meeting of the Board of Directors of Visit Baton Rouge (the Governing Authority or "Board") held on August 4, 2017 at VBR s office in Baton Rouge, Louisiana, at which meeting a quorum of the Board was present and acting throughout, the following resolution was adopted by the Board: BE IT RESOLVED by the Board, acting in its capacity as the governing authority of Visit Baton Rouge, a political subdivision of the State of Louisiana: SECTION 1. That, subject to the approval of the State Bond Commission and pursuant to the authority conferred by La. R.S. 33:4574(B)(6) and La. R.S. 33: (A)(6)(b), as amended pursuant to Act 310 of the 2017 Regular Session of the Louisiana Legislature, and other constitutional and statutory authority, an election be and the same is hereby called and ordered to be held in that portion of the Parish of East Baton Rouge, State of Louisiana (the "Parish") not included within the municipalities of Baker, Central or Zachary, or the area within the boundaries of the Baton Rouge North Economic Development District, on SATURDAY, NOVEMBER 18, 2017, between the hours of seven (7:00) o'clock a.m. and eight (8:00) o'clock p.m., in compliance with the provisions of Section 541 of Title 18 of the Louisiana Revised Statutes of 1950, as amended (La. R.S. 18:541), and that at the said election there shall be submitted to all registered voters qualified and entitled to vote at the said election under the Constitution of the United States of America, the following proposition, to-wit: PROPOSITION Shall Visit Baton Rouge, a political subdivision of the State of Louisiana, be authorized to levy and collect an additional two (2%) percent tax upon the paid occupancy of hotel rooms located within East Baton Rouge Parish, but not located within the municipalities of Baker, Central, or Zachary, or the area within the boundaries of the Baton Rouge North Economic Development District, (an

3 estimated $3,320,488 is reasonably expected to be collected from such hotel occupancy tax for an entire year), commencing on April 1, 2018, and thereafter, in perpetuity, to be levied and collected by Visit Baton Rouge and used (after paying reasonable and necessary costs and expenses of collecting and administering such tax) fifty percent (50%) for the operation, maintenance, and construction of the Raising Cane s River Center, and fifty percent (50%) for the operational and capital expenses of Visit Baton Rouge? SECTION 2. That conditioned on the passage of the hotel occupancy tax at the November 18, 2017 election authorized pursuant to this Resolution, all avails or proceeds of the hotel occupancy tax in the amount of two percent (2%) of the rent or fee charged for such occupancy of hotel rooms located within the Parish, but not located within the municipalities of Baker, Central, or Zachary, or the area within the boundaries of the Baton Rouge North Economic Development District, commencing on April 1, 2018 or thereafter, to be levied and collected by Visit Baton Rouge, fifty percent (50%) of the net proceeds of said hotel occupancy tax (after paying reasonable and necessary costs and expenses of collecting and administering the hotel occupancy tax) shall be used to provide funds for the operation, maintenance and construction of the Raising Cane s River Center and fifty percent (50%) of the net proceeds of said hotel occupancy tax (after paying reasonable and necessary costs and expenses of collecting and administering the hotel occupancy tax) shall be used to fund operational or capital expenses of Visit Baton Rouge. SECTION 3. That, in accordance with La. R.S. 18:1285, there shall be published in "The Advocate", a daily newspaper of general circulation within the Parish, published in the City of Baton Rouge, and being the official journal of VBR (the Official Journal ), once a week for four (4) consecutive weeks, with the first publication to be made not less than forty-five (45) days nor more than ninety (90) days prior to the date fixed for election, notice of said election, which notice shall be substantially in accordance with the Notice of Election annexed hereto as Exhibit A and incorporated herein by reference the same as if it were set forth herein in full. SECTION 4. That this Board, acting as the governing authority of Visit Baton Rouge, shall meet at its regular meeting place, 359 Third Street, Baton Rouge, Louisiana, on THURSDAY, DECEMBER 14, 2017, at 12:00 O'CLOCK P.M., and shall then and there in open and public session proceed to examine and canvas the returns and declare the result of said election. SECTION 5. That the polling places set forth in the aforesaid Notice of Election and situated within the limits of the Parish be and the same are hereby designated as the polling places at which to hold the said election in accordance with Section 1286(A) or Section , as the case may be, of Title 18 of the Louisiana Revised Statutes of 1950, as amended, and the Commissioners-in- Charge and Commissioners, respectively, will be those persons designated according to law in accordance with Section 1286(A) or Section , as the case may be, of Title 18 of the Louisiana Revised Statutes of 1950, as amended.

4 SECTION 6. That the officers designated to serve as Commissioners-in-Charge and Commissioners, respectively, pursuant to Section 5 hereof and in accordance with Section 1286(A) or Section , as the case may be, of Title 18 of the Louisiana Revised Statutes of 1950, as amended, or such substitutes therefor as may be selected and designated in compliance with Section 1287 of Title 18 of the Louisiana Revised Statutes of 1950, as amended, shall hold the said election as herein provided, shall make due returns of said election for the meeting of the Board to be held on THURSDAY, DECEMBER 14, 2017 at 12:00 O CLOCK P.M., and that the compensation of said officers be and the same is hereby fixed at the sum prescribed by law. All register voters of that portion of the Parish of East Baton Rouge, State of Louisiana, not included within the municipalities of Baker, Central, or Zachary, or the area within the boundaries of the Baton Rouge North Economic Development District are entitled to vote at said election and voting machines will be used thereat. SECTION 7. The Secretary/Treasurer of the Governing Authority is hereby authorized, empowered, and directed to arrange for and to furnish to said election officers in ample time for the holding of said election, the necessary equipment, forms and other paraphernalia essential to the proper holding of said election and the President and/or Secretary/Treasurer of the Governing Authority are further authorized, empowered, and directed to take any and all further action required by State and/or Federal Law to arrange for the election. SECTION 8. That, in accordance with La. R.S. 18:1285(B)(1), certified copies of this Resolution shall be forwarded to the Secretary of State, the Commissioner of Elections, the Clerk of Court, and Ex- Officio Parish Custodian of Voting Machines in and for the Parish, and the Registrar of Voters in and for the Parish, as notification of the election herein called in order that each may prepare for said election and perform their respective functions as required by law. SECTION 9. That application be and the same is hereby formally authorized to be made to the State Bond Commission for consent and authority to hold the aforesaid election as herein provided, and that a certified copy of this Resolution shall be forwarded to the State Bond Commission on behalf of this Board, together with a letter requesting the prompt consideration and approval of said application. SECTION 10. Pursuant to the provisions of Act No. 768 of the 2006 Regular Session of the Louisiana Legislature, being La. R.S. 18:1284(C), an estimated $3,320,488 is reasonably expected at this time to be collected from the levy of the 2% hotel occupancy tax for an entire year. SECTION 11. The Governing Authority made the announcement with respect to the adoption of this resolution required by La. R.S. 42:19.1 at its public meeting on Thursday, June 29, 2017 and published said announcement in the Official Journal on Tuesday, July 4, This Resolution having been submitted to a vote of the Board, the vote thereon was as follows: YEAS: NAYS:

Chenevert, Secretary/Treasurer Exhibit A to Resolution Ordering and Calling Election NOTICE OF ELECTION Pursuant to the provisions of a resolution adopted on August 4, 2017 by the Board of Directors of Visit Baton Rouge ( VBR ), a political subdivision of the State of Louisiana, acting as the governing authority of VBR, NOTICE IS HEREBY GIVEN that an election will be held in that portion of the Parish of East Baton Rouge, State of Louisiana, not included within the municipalities of Baker, Central, or Zachary, or the area within the boundaries of the Baton Rouge North Economic Development District, on SATURDAY, NOVEMBER 18, 2017 and that at said election there will be submitted to all registered voters in such affected portion of the Parish of East Baton Rouge, State of Louisiana, qualified and entitled to vote at said election under the Constitution and laws of the State of Louisiana and the Constitution of the United States of America, the following proposition, to-wit: PROPOSITION Shall Visit Baton Rouge, a political subdivision of the State of Louisiana, be authorized to levy and collect an additional two (2%) percent tax upon the paid occupancy of hotel rooms located within East Baton Rouge Parish, but not located within the municipalities of Baker, Central, or Zachary, or the area within the boundaries of the Baton Rouge North Economic Development District, (an estimated $3,320,488 is reasonably expected to be collected from such hotel occupancy tax for an entire year), commencing on April 1, 2018, and thereafter, in perpetuity, to be levied and collected by Visit Baton Rouge and used (after paying reasonable and necessary costs and expenses of collecting and administering such tax) fifty percent (50%) for the operation, maintenance, and construction of the Raising Cane s River Center, and fifty percent (50%) for the operational and capital expenses of Visit Baton Rouge? After a brief discussion, a motion was made by Scott Michelet, seconded by Carolyn McKnight to adopt the following resolution: RESOLUTIONS OF THE BOARD OF DIRECTORS OF VISIT BATON ROUGE CONCERNING APPROVAL AMENDMENT OF CONTRACT WITH SIMPLEVIEW, LLC FOR CERTAIN WEBSITE SERVICES AUGUST 4, 2017 WHEREAS, Simpleview, LLC was selected in by VBR as VBR s website design, maintenance, and hosting vendor through a competitive RFP process; WHEREAS, VBR desires to obtain certain search engine optimization ( SEO ) services for its Simpleview, LLC website which, in the opinion of the VBR staff, it is in the best interest of VBR to obtain such services Simpleview, LLC without any additional RFP or other competitive process. WHEREAS, Visit Baton Rouge ( VBR ) desires to amend its current CRM and website services agreement with Simpleview, LLC ( Simpleview") dated January 30, 2015 (the Simpleview Agreement ) to add certain search engine optimization ( SEO ) services to such Simpleview Agreement; THEREFORE, BE IT RESOLVED by the Board of Directors (the "Board") of VBR that, Paul J. Arrigo, President & CEO of VBR, is hereby directed and authorized to negotiate, execute, and deliver to Simpleview, LLC an amendment to the Simpleview Agreement for SEO services (the SEO Amendment ) for the VBR website, with such SEO Amendment expected to cover such services and at a cost to VBR (expected to be $24,000 per year) as he determines appropriate in the circumstances, provided, however, that such costs expected to be incurred in the current fiscal year are included in the current fiscal year VBR budget, as amended.

14 BE IT FURTHER RESOLVED that, Mr. Arrigo is further directed and empowered in the name of and on behalf of VBR to take all required actions, including without limitation to approve any change in the SEO Amendment, that, Mr. Arrigo, in his sole discretion, deems necessary or convenient to the accomplishment of the previous resolution set forth above. Motion carried. Chuck Elkins presented an overview regarding revisions to the Accounting Policy & Procedure Manual. On a motion by Norman Chenevert, seconded by Andy Blouin to approve the resolution below as recommended by the Finance Committee: RESOLUTIONS OF THE BOARD OF DIRECTORS OF VISIT BATON ROUGE CONCERNING AMENDMENT TO THE VBR ACCOUNTING MANUAL AUGUST 4, 2017 BE IT RESOLVED by the Board of Directors (the Board ) of Visit Baton Rouge ( VBR ) that the requirement that checks greater than Five Hundred Dollars ($500) must be signed by two authorized officers of VBR be increased to the sum of One Thousand Five Hundred dollars ($1,500), and that the relevant provisions of the VBR Accounting And Financial Policies And Procedures Manual (the Accounting Manual ) be amended to reflect such increased dual officer check signing requirement. BE IT FURTHER RESOLVED by the Board that certain provision of the Accounting Manual concerning exceptions to the procedures for the purchasing of services by VBR entitled Exceptions (found on page 20 of current Accounting Manual) be and hereby is amended and revised in its entirety to read as set forth in Exhibit A attached hereto.

15 EXHIBIT "A" RESOLUTIONS OF THE BOARD OF DIRECTORS OF VISIT BATON ROUGE CONCERNING AMENDMENT TO THE VBR ACCOUNTING MANUAL AUGUST 4, 2017 EXCEPTIONS: Notwithstanding the Services Purchasing Requirements set forth above, services may be purchased by VBR without express compliance with the requirements of this section if: 1) (i) (ii) (iii) (iv) in the judgement of the President/CEO such non-compliance is in the best interests of VBR; the Chairman of the Board concurs in such judgment of the CEO; the purchase of such services without compliance with the requirements of this section is otherwise lawful; the current year amount of the proposed contract for purchase of such services is included within the current annual budget of VBR and the total amount of such contract is within the contract authority granted to the President/CEO of VBR (or some other relevant VBR officer or employee) by the VBR Board of Directors. 2) The Board of Directors is notified of such exception to the Services purchasing requirements by the President/CEO at the Board s next meeting.
