1 ARTICLE I NAME The name of the organization shall be the Dripping Springs Athletic Booster Club (DSABC). ARTICLE II PURPOSE The purpose of the DSABC is to support the Athletic Director and the athletic programs of Dripping Springs High School, including, but not limited to, maintaining the 501(c)(3) status for all individual booster clubs and filing required state and federal reports. The DSABC will be a 501(c)(3) organization operating within the guidelines and established policies of Dripping Springs High School, Dripping Springs Independent School District, the University Interscholastic League (UIL) and these bylaws. ARTICLE III LOCATION The principal office of the DSABC is 940 Highway 290 West, Dripping Springs, Texas The DSABC mailing address is P.O. Box 694, Dripping Springs, Texas ARTICLE IV MEMBERSHIP Membership in the DSABC shall be comprised of the Presidents (or designated representatives) of each sport booster club division along with the Executive Board, standing committee chairs and standing committee members. A member shall be entitled to one vote. ARTICLE V YEAR The business year shall from the 1 st day of July until the 30 th day of June. 1

2 ARTICLE VI EXECUTIVE BOARD/ELECTIONS The property, business, finances and affairs of the DSABC will be managed by the Executive Board, which consists of the four elected officers. These Officers will be elected by a majority vote by the DSABC membership as early as May prior to the fiscal year of service, and if not June, as soon as possible after the beginning of the fiscal year. The Executive Board with the assistance of DSABC Standing Committees will coordinate Friday night football concessions and sponsorship activities. The Executive Board is also authorized to conduct routine business of a continuing nature, including: (a) maintaining the 501(c)(3) status of the association; (b) transacting necessary business in the intervals between meetings and such other business as may be referred to it by the organization. Any and all Executive Board Members may be removed for cause by a majority vote of the Board of Directors. Nominations for Executive Board Members shall be made by the DSABC Board of Directors and in consultation with the Dripping Springs High School Athletic Director. ARTICLE VII EXECUTIVE BOARD/OFFICERS The Executive President shall preside and lead all meetings of the association. The Executive President will have general supervision of all affairs of the DSABC, will sign or countersign all contracts and instruments of the DSABC, and perform all other such duties as incident to the office. The Executive President may appoint standing committee chairs with the approval of the Board of Directors and serve as an ex-officio member of all committees. The Executive President will serve as DSABC s liaison and will be the principal representative of the DSABC to the general public, media or any school administration official. The Executive President may create ad hoc committees as he/she deems necessary and appoint a chairperson and/or committee members for those ad hoc committees he creates. The Executive Vice President shall purchase and stock all food items for Tiger concession stands. The Executive Vice President is the point of contact for all individual 2

3 sports coordinators on concessions issues. If the office of Executive President becomes vacant, the Executive Vice President will assume the office of Executive President. An election shall be then held at the next regular scheduled Board of Directors Meeting to elect a new Executive President. The Executive Secretary shall record and keep the minutes of the meetings of the DSABC, be responsible for all correspondence of the club, serve notice of Executive Board, Board of Directors and DSABC general meetings, and have custody of and maintain all permanent records of club affairs other than those entrusted to the Executive Treasurer. The Executive Secretary shall preside over annual elections of the Executive Board. The Executive Treasurer shall receive all monies of the club and disburse authorized finds upon proper authorization, write, sign and issue checks, maintain bank accounts, prepare and present financial reports at each Board of Directors and DSABC membership meeting, and submit and file all necessary reports and paperwork necessary to maintain the 501(c)(3) status of the association. All officers shall: (1) Perform the duties outlined in these bylaws and those assigned from time to time; (2) Deliver to his successor or the Executive President all materials and procedures related to his office within 15 days following the date at which his successor assumes his duties; (3) Be given the opportunity to submit discussion items for the meeting agendas. ARTICLE VIII BOARD OF DIRECTORS In addition to the Executive Board, the remainder of the DSABC Board of Directors shall be comprised of the Presidents (or designated representatives) of each sport booster club division and the Standing Committee Chairs of the DSABC. ARTICLE IX MEETINGS Meetings of the DSABC membership shall occur at a minimum of one time per year or at other times as established by the Executive Board. The Executive President will set the order of business at all the scheduled membership meetings. DSABC membership meetings shall be held at a predetermined location on DSISD premises and posted with 3

4 DSISD as required. The quorum for all DSABC membership meetings shall be those in attendance. Each member has one vote. Decisions shall be made by a majority vote of the members present. Regular meetings of the DSABC Board of Directors shall occur at a minimum of four times each year or at such other times as established by the Executive Board. The Executive President will set the order of business at all scheduled meetings. Board of Directors meetings shall be held at a predetermined location on DSISD premises and posted with DSISD as required. The quorum for all Board of Directors meetings shall be those in attendance. Each member has one vote. Decisions shall be made by a majority vote of the members present. Special Board of Director meetings may be called by the Executive Board. Written, electronic or telephone notice of the time, place and purpose of such special meetings shall be given no later than three days prior to the scheduled meeting. Regular meetings of the Executive Board shall occur at such times established by the Executive Board. The Executive President will set the order of business at scheduled meetings. At least two (2) members of the Executive Board should be present at an Executive Board meeting so as to constitute a quorum. Each member has one vote. Decisions shall be made by a majority vote of the members present. ARTICLE X STANDING COMMITTEES The Board of Directors may, from time to time, establish standing committees and appoint members to such standing committees in such numbers and with such duties as determined by the Board of Directors. Such standing committees shall be established and staffed in order to effect and further the purpose of which the DSABC was organized. Initial standing committees will include Communications/Website, Catfish Team, Friday Night Football Volunteers, Scholarship, Sponsorship/Fundraising, Bylaws and Nominations. Standing Committee Chairs shall be appointed by the Executive President with the consent of the Board of Directors. Standing Committees are to be comprised of a chairperson and minimum of two other committee members. Booster Club Division 4

5 Presidents or their designated representatives are tasked with recruiting volunteers from their sports to serve on standing committees. Each sport should be represented on at least one standing committee and designate at least one volunteer to serve on a standing committee or as a standing committee chair. ARTICLE XI PARLIAMENTARY AUTHORITY Roberts Rules of Order shall govern the conduct of the Club meetings. ARTICLE XII AMENDMENTS These Bylaws of the DSABC may be amended, repealed or new bylaws may be adopted by affirmative final vote of the majority of the Board of Directors present at a regular or special Board of Directors meeting. A notice of vote must be announced by the Executive Secretary at least one week prior to the actual vote. ARTICLE XIII DISSOLUTION Upon dissolution of the organization, the DSABC Executive Board shall, after paying or making provisions for payment of all liabilities, dispose of all of the assets of the organization in such manner to such other organizations organized or operated exclusively for charitable purposes as shall at the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code. ARTICLE IX ADVISOR The Athletic Director will serve as the official school administration advisor to the DSABC. Adopted Effective Upon Approval of DSISD 5
