6 September 18, 2017 A Special Meeting of the Council of the City of Manassas, Virginia, for the purpose of conducting a closed meeting, was held in the second floor conference room at City Hall, on the above date with the following present on roll call: Mayor Harry J. Parrish II, Vice Mayor Marc T. Aveni, Council Members Sheryl L. Bass, Ken D. Elston, Ian T. Lovejoy, Pamela J. Sebesky, and Mark D. Wolfe; City Manager W. Patrick Pate and Assistant to the City Manager & City Clerk Andrea P. Madden. Mayor Parrish called the meeting to order at 5:37 p.m. Vice Mayor Aveni was excused from the meeting at 7:06 p.m. The City Clerk reported that the news media had been notified of the meeting in accordance with the Freedom of Information Act. The City Clerk read the Notice of Special Meeting acknowledged by all Council Members stating that the Special Meeting was called for the following purposes: 1. As per the attached agenda dated September 18, 2017; 2. Other pertinent business for the operation of the City. 1) Authorization of a Closed Meeting 1.1 Authorization of a Closed Meeting VICE MAYOR AVENI MOVED that the City Council convene in a closed meeting to discuss the following, as permitted by Virginia Code (A) (1), a personnel matter involving assignment, appointment, promotion, performance, demotion, salaries, disciplining, or resignation of specific public officers, appointees, or employees of the City, specifically involving the City Manager. Seconded by Council Member Bass. Roll call vote: AYES Aveni, Bass, Elston, Lovejoy, Sebesky, and Wolfe. MOTION CARRIED. Mayor Parrish announced that the Mayor and City Council and the City Manager would be included in the closed meeting discussion. The City Council retired to the closed meeting at 5:38 p.m. 2) Certify the Closed Meeting 2.1 Certification of a Closed Meeting COUNCIL MEMBER SEBESKY MOVED that the Council certify that, in the closed meeting just concluded, nothing was discussed except the matter (1) specifically identified in the motion to convene in a closed meeting and (2) lawfully permitted to be discussed under the provisions of the Virginia Freedom of Information act cited in that motion. Mayor Parrish called the meeting to order at 5:30 p.m. delivering the invocation. The Manassas City Fire and Rescue Department Honor Guard presented Colors as the Mayor led those present in the Pledge of Allegiance. Community and Staff Presentations Mayor Parrish joined Chief Clemons and Deputy Chief Lupton in recognizing the newly promoted and hired members of the staff, including: Jason Bowers Promoted to Captain Aimes Acres Promoted to Lieutenant Rebecca Wilson Promoted to Master Technician Jason Scott Promoted to Master Technician Matt Ikhorse Promoted to Master Technician Mayor Parrish administered the Oath of Office to the above named persons. Presentation: National Preparedness Month Proclamation Vice Mayor Aveni presented a Proclamation declaring the month of September as National Preparedness Month to Chief Clemons, Fire Marshall James Hartnett, and Deputy Coordinator and Emergency Planner Amelia Gagnon. Annual Report: Fire and Rescue Committee (FRC) Vice Mayor Aveni presented the 2017 Annual Report for the Fire and Rescue Committee. The Fire and Rescue Committee is comprised of City of Manassas Fire and Rescue Chief Robert L. Clemons, Jr., Deputy Fire and Rescue Chief Todd Lupton, Greater Manassas 1

9 September 25, 2017 Volunteer Rescue Squad Chief Nancy Orndoff and Director David Burns, Manassas Volunteer Fire Company Chief Gary Orndorff and President Tripp DeRamus, and Administrative Coordinator Melissa Heiderman. Vice Mayor Aveni discussed the Uniform Rank Structure, which has been successfully implemented in all three departments and all active operational members are now compliant. Vice Mayor Aveni discussed the Fleet Plan, which is managed by the Fire and Rescue Committee and voted upon every year. This Fleet Plan enables the new apparatuses to be replaced on a schedule. Vice Mayor Aveni discussed new Fire Station 21, the new Social Media Policy and Code of Conduct Policy. He also discussed several acknowledgements and awards that were received in the last year. Vice Mayor Aveni briefly touched upon the budget for City Attorney Report Mr. Crim provided an update on and informed the Mayor and City Council that a case filed in the Eastern District of Virginia U.S. District Court, which names the City of Manassas as a Defendant, has been dismissed with prejudice. Mr. Crim provided an update on the Prince William Street Condemnation matters, one case is still outstanding and the property owner is not in agreement. The City Attorney s office is asking for a trial date to be set. Mr. Crim provided an updated on 9512 and 9514 Liberty Street; the zoning and building code violations have been set for a trial in early November. Mr. Crim informed the Mayor and City Council that on September 22, 2017, the Department of Homeland Security alerted Virginia State Elections officials that Virginia was one of the states targeted by Russia in Mr. Crim has been in contact with the Registrar about security measures during the elections. City Manager Report Mr. Pate reminded everyone that absentee in person voting has started for the November 7 th election. There are twelve different reasons which allow you to vote absentee and you can find those at 2

10 September 25, 2017 Mr. Pate announced that the Economic Development Department nominated Hepburn and Sons, LLC, R&K Cyber Solutions, LLC, and Risk and Strategic Management Corporation to participate in the Virginia Economic Gardening Pilot program. Mr. Pate offered his thanks to the Finance Department, Accounting Department, and Treasurer s Office on their work to process the business personal property tax refunds. Mr. Pate stated to the community that Community Development began a Neighborhood and Housing Study in the area south of Prince William Street. Mr. Pate explained that the General Assembly directed the Auditor of Public Accounts to review the CAFERS of all the communities in the Commonwealth to determine if any community was in physical distress. The City of Manassas does not have any physical distress based on the auditor s report. Mr. Pate informed the community that this week a B17 Bomber will land at the Manassas Regional Airport, giving rides and tours to the community. Mr. Pate informed the community of some upcoming events in the City. This weekend, the Rotary Club is hosting Steins, Wines and Spirits in Historic Downtown. On October 6 th, the Manassas Museum opens their new exhibit The Forgotten World War: Its impact at Home all about World War I. Also, October 7 th is the City s annual Fall Jubilee. Mr. Pate urged the public to drop by some of or all of these great events happening in the City. Mr. Pate reported that the Gateway Boulevard Utility work is being completed this week and citizens driving on Gateway Boulevard will notice a shift in the traffic pattern. Work should be completed by Friday. Mr. Pate invited Community Development Director Elizabeth S. Via-Gossman to provide an update on Fire and Rescue Station 21. Ms. Via-Gossman stated that there was a signed Purchase and Sale Agreement for the property located at Dumfries Road and the due diligence period has been completed with no significant issues. Closing on the Dumfries Road property will be no later than Monday, October 30, Ms. Via-Gossman explained that construction would take approximately eighteen months and the dedication date is tentatively set for February, Chief of Police Report Chief Keen provided an update on the September 16, 2017 Police Department Open House, which was a success. Chief Keen congratulated the three young ladies who were the first to dunk him at the event. Chief Keen invited the community to participate in Coffee with a Cop on October 4 th at the VRE Station. 3

11 September 25, 2017 Council Time Council Member Elston encouraged everyone to attend the Profiles of Honor at the Manassas Museum on October 6 th and 7 th. Council Member Sebesky thanked staff for all their work for Car Free Day on September 22 nd. She also commented on the Girls in Aviation Day event and Mental Health Awareness Month. Council Member Wolfe reported on the Community Conversation events that have been held thus far and encouraged citizens to attend. He also commented on a conversation his wife had with the owner of Popcorn Monkey. The owner was ecstatic with the support he has received from the City and informed her that the Manassas location is doing better than their other location. Mayor Time Mayor Parrish reminded the community about the Rotary Club s event, Steins, Wines, & Spirits on September 30 th from 12:00 p.m. to 5:00 p.m. Mayor Parrish shared a letter written to Chairman Corey Stewart of Prince William County with a copy to Delegate Marshall to address Route 28 traffic impacts. Mayor Parrish read the letter into the record. September 19, 2017 The Honorable Corey A. Stewart Chairman at Large Prince William Board of County Supervisors 1 County Complex Court Prince William, VA Re: CPA & REZ Kline Property Dear Chairman Stewart, I am writing to urge the Board of County Supervisors to consider traffic impacts that the proposed development of the Kline Property at Prince William Parkway and Liberia Avenue will have on regional network roads such as Liberia Avenue and Route 28. As we continue to work collaboratively on Route 28 solutions, we should also consider the impact of our land use decisions on the road network. While our staff members have worked with the 4

12 September 25, 2017 development applicant to mitigate immediate impacts on the local road network and specifically the intersection of the Parkway and Liberia Avenue, we should be mindful of the long-term transportation impacts that this development will have on our commuter corridors. We would also request that the County continue to consider that transportation proffers in this area be applied to improve Route 28 for the benefit of both City and County residents. I strongly urge Prince William County to take swift action to support the findings and outcomes of NVTA s Route 28 Corridor Study and create opportunity for that transportation solution to be approved within the County. My hope is that you will give strong consideration to these concerns so we can continue positive growth but also keep traffic concerns in mind as we move forward. Sincerely, Harry J. Parrish II Mayor Mayor Parrish announced upcoming meetings of the City Council, including a work session on October 11 th, a Finance Committee Meeting on October 11 th, and a legislative meeting with State representatives on December 6 th. Mayor Parrish provided an update on the NVTA in which a Transaction Update will be done in October, an update on the six year plan, and the call for projects. Mayor Parrish informed City Council of discussions taking place at the airport in regards to ARFF and Leidos. Lastly, Mayor Parrish wished Vice Mayor Aveni a Happy Birthday! 1) Consent Agenda 1.1 City Council Minutes: September 11, Proclamation: National Preparedness Month 1.3 Resolution R: (A) Consideration of Resolution R Amending the FY 2018 Budget by Budgeting and Appropriating a $57,222 State Grant and $14,306 from Airport Fund Fund Balance for the Airfield Regulators Capital Project (B) Consideration of Resolution R Amending the FY 2018 Budget by Budgeting and Appropriating $39,590 from Water Fund Fund Balance and $49,441 from Electric Fund Fund Balance to Replace Two Aging Vehicles 1.4 Proclamation: Mental Health Awareness Month 1.5 Proclamation: Hispanic Heritage Month 5

MOTION CARRIED. 2) Ordinances and Resolutions 2.1 Resolution #R : Street Name Assignment to Change a Portion of Tudor Lane to Eagle Way Mr. Pate briefly summarized the purpose of Resolution #R Mr. Pate stated that when the new Baldwin Elementary School was built and new voting precincts were established, there was some confusion because there were two sections of Tudor Lane that did not connect. Mr. Pate explained that after discussions with Public Safety, the best way to resolve the situation would be to rename the portion of Tudor Lane to Eagle Way. The School System voted unanimously to change Tudor Lane to Eagle Way. Mr. Pate recommended that the street name change be approved. COUNCIL MEMBER ELSTON MOVED that Resolution #R : Street Name Assignment to Change a Portion of Tudor Lane to Eagle Way be approved. Seconded by Council Member Sebesky. Roll call vote: AYES Aveni, Elston, Lovejoy, Sebesky, and Wolfe. ABSENT Bass. MOTION CARRIED. 2.2 Resolution #R : American Disposal Services Kelly Davis, Senior Planner, stated that City Council is considering a special use permit request from American Disposal Services, located at and Central Park Drive, to allow a total of 115 compressed natural gas fleet fueling stations as a part of the hazardous material facility, approved under SUP # Ms. Davis stated that a public hearing was held on September 11, 2017 with no speakers in favor of or in opposition to the request. COUNCIL MEMBER WOLFE MOVED that Resolution #R : American Disposal Services be approved. Seconded by Council Member Lovejoy. Roll call vote: AYES Aveni, Lovejoy, Sebesky, and Wolfe. NAYS Elston. ABSENT Bass. MOTION CARRIED. 2.3 Resolution #R : Telecommunication Tower at 9640 Liberia Avenue Kelly Davis, Senior Planner, stated that City Council is considering a special use permit request from Verizon Wireless to allow a Telecommunication Tower at 9640 Liberia Avenue. The proposed telecommunication tower would be located by the car wash at the Sunoco gas station at the intersection of Signal Hill and Liberia Avenue. Ms. Davis stated that a public hearing was held on September 11, 2017 with no speakers in favor of or in opposition to the request. 6

MOTION CARRIED. 3) New Business 3.1 Agreement: Conditional and Time Limited Transfer of Customer (Micron) Between the City of Manassas and Virginia Electric Power Company Mayor Parrish informed the Council the reason he removed the Conditional and Time Limited Transfer of Customer (Micron) Between the City of Manassas and Virginia Electric Power Company from the Consent Agenda because the concern he had wanted to have the record properly reflect that the Agreement would extend the term of the Agreement to September 24, VICE MAYOR AVENI MOVED that the Conditional and Time Limited Transfer of Customer (Micron) Between the City of Manassas and Virginia Electric Power Company Agreement be extended to September 24, 2024 and the Mayor be given the authorization to execute the Agreement. Seconded by Council Member Lovejoy. Roll call vote: AYES Aveni, Elston, Lovejoy, Sebesky, and Wolfe. ABSENT Bass. MOTION CARRIED. 3.2 Performance Agreement: Agriculture and Forestry Industries Development (AFID) Grant for Heritage Brewing Company Patrick Small, Economic Development Director, stated that this agreement relates to an Incentive Agreement negotiated with Heritage Brewing Company. Mr. Small explained that earlier this year, the City of Manassas made application to the Commonwealth of Virginia for a grant to support the expansion of Heritage Brewing Company. The City was awarded a $250,000 matching grant from the Agriculture and Forestry Industries Development Fund. Mr. Small explained that the attached Performance Agreement between the City of Manassas, its Economic Development Authority, and Heritage Brewing Company spells out the terms and conditions of the award. The grant award will be applied to the purchase price of the real estate Heritage is purchasing in the Landing at Canon Branch development and will be reflected as a credit on the Settlement Statement. The purchase price is approximately $800, and the incentive package the City is providing is approximately $750, and the total incentive package is approximately $1,000, Vice Mayor Aveni clarified with Mr. Small that this agenda item required a $250, match and that there are $1,000, of incentives going to this company Mr. Small 7

15 September 25, 2017 confirmed that was correct. Vice Mayor Aveni expressed his concern of the high level of incentives in this agreement. COUNCIL MEMBER WOLFE MOVED that the Agriculture and Forestry Industries Development (AFID) Grant for Heritage Brewing Company and the Performance Agreement between the City of Manassas, its Economic Development Authority, and Heritage Brewing Company be approved and the Mayor be given the authorization to execute the Agreement. Seconded by Council Member Elston. Roll call vote: AYES Elston, Lovejoy, Sebesky and Wolfe. NAYS Aveni. ABSENT Bass. MOTION CARRIED. 3.3 Performance Agreement: Matching Grant, Development Grant and Incentive Grant for Heritage Brewing dba The Landing Property LLC Patrick Small, Economic Development Director, stated that this agreement relates to a Matching Grant, Development Grant and Incentive Grant for the Heritage Brewing dba The Landing Property, LLC. Mr. Small explained the proposed two additional grants; an Incentive Grant of $250,000 and a Development Grant of $250,000. The proceeds of the AFID Grant, the Matching Grant and the Development Grant will be applied to the purchase price of the real estate Heritage is purchasing in the Landing at Canon Branch and will be reflected as a credit on the Settlement Statement. The Incentive Grant is performance based and is only paid out if the company meets its projected investment and sales. It is directly tied to the City s receipt of revenues and is paid in three annual installments beginning one year after the new brewery opens. Mr. Small explained that the City will receive a return on the investment in three years or less. In addition, he expressed that the City would realize approximately $280, a year conservatively in new tax revenues. Vice Mayor Aveni stated that any Economic Development incentive that takes three different agenda items to accomplish is hopelessly complicated. He also expressed his concern that a public event announcing incentives to this company was held; despite the fact that the Council had note voted on the matter. Council Member Elston agreed with Vice Mayor Aveni that the announcement prior to voting was premature; however, he did feel that the Economic Development Authority had been working on this for some time and the Council had been aware of these matters and he would like to support the Economic Development. COUNCIL MEMBER ELSTON MOVED that that the City Council request the Economic Development Authority approve the Performance Agreement for the Landing Property LLC. Seconded by Council Member Wolfe. Roll call vote: AYES Elston, Lovejoy, Sebesky, and Wolfe. NAYS Aveni. ABSENT Bass. MOTION CARRIED. 8

16 September 25, Cooperation Agreement for the Landing Property LLC Patrick Small, Economic Development Director, stated the City previously entered into an Agreement with the Economic Development Authority stipulating that all sales of property in The Landing at Canon Branch would be undertaken at the specific values set forth in the Purchase and Sale and Development Agreements and that all proceeds of such sales would be remitted to the City. The Cooperation Agreement for the Landing Property LLC allows the Economic Development Authority to grant credits for an AFID Grant, Matching Grant and Development Grant in the sum total of $750,000 against the purchase price of the specific parcel being sold to the company. The Cooperation Agreement further stipulates that for three years, subject to appropriation, City Council will annually remit to EDA an amount not to exceed $83,333 for an Incentive Grant. COUNCIL MEMBER WOLFE MOVED that that Cooperation Agreement for the Landing Property LLC be approved and the Mayor be given the authorization to execute the Agreement. Seconded by Council Member Elston. Roll call vote: AYES Elston, Lovejoy, Sebesky, and Wolfe. NAYS Aveni. ABSENT Bass. The final report will be presented on November 20, 2017 at the Town Hall meeting at Baldwin Elementary/Intermediate School. 2) Discussion: Parking Districts Steve Burke, Public Works Director, provided background information on the creation of the Parking District Policy and discussed the progress of the program. 3) Discussion: Aircraft Rescue and Fire Fighting (ARFF) Rob Clemons, Fire and Rescue Chief, and Juan Rivera, Airport Director, presented a request from an airport business that the City provide fire services at the airport. September 25, 2017 Closed Session The privately owned sewer and water systems in the mobile home park known as East End Mobile Home Park (EEMHP) have been failing for quite some time. The City has cited the owner and demanded that those systems be upgraded to resolve a public health issue. The owner, being unable to remedy the sewer and water issues in any other way, has contracted to close the mobile home park and sell it to the City. The City s only interest is that the public health and safety problem be resolved. City Council has stated it will consider viable alternatives if they are publicly presented. A viable alternative must include the following; a mutually agreed upon contract between a prospective purchaser and the current owner that includes proof of financing; a clear and concise plan for the purchase and repairs with definitive goals and timelines; an irrevocable financial guarantee for the replacement of the private sewer system. Catholics for Housing (CFH) has secured a mutually agreed upon contract with EEMHP and provided proof of financing. CFH has provided the City a clear and concise plan for the purchase and repairs with definitive goals and timelines. CFH has stipulated it will provide an irrevocable financial guarantee for the replacement of the private sewer system. The First Amendment to Purchase and Sale by and between East End Mobile Home Park, LLC and the City of Manassas states that, among other things, the City will subordinate its contract to the contract between CFH

47 and EEMHP. By executing the First Amendment, the City agrees it will terminate its contract provided all the terms and conditions in that Amendment are met. If the terms are not met, the City s original contract will take precedence and EEMHP will be obligated to sell the property to the City. 48 FIRST AMENDMENT TO PURCHASE AND SALE AGREEMENT THIS FIRST AMENDMENT (the First Amendment ) by and between EAST END MOBILE HOME PARK, LLC (the Seller ) and THE CITY OF MANASSAS, VIRGINIA (the City or the Purchaser ) is made this day of, RECITALS: WHEREAS, the Seller and the Purchaser entered into a Purchase and Sale Agreement (the Agreement ) dated April 26, 2016, whereby Seller agreed to sell to Purchaser that property known as the East End Mobile Home Park located at 9021 and 9021-A Centreville Road in Manassas, Virginia (the Property ); and WHEREAS, the parties acknowledge that excessive amounts of water infiltration are entering into the sewer system and that certain sewer discharges are occurring from the existing private sewer lines on the Property and that other infrastructure needs to be repaired or replaced; and WHEREAS, the Agreement provides that the Seller shall deliver the Property at Closing free of all tenants; and WHEREAS, the Seller has advised the City that it is prepared to enter into a contract with Catholics for Housing, Inc. (the Alternate Purchaser ) which includes certain take-back financing and has requested that the City subordinate its contract to a contract with the Alternate Purchaser; and WHEREAS, the City has agreed to do so subject to certain terms and conditions to assure that the existing water and sewer systems are replaced; NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby stipulated, Seller and Purchaser hereby agree as follows: 1. Agreement to Subordinate. At such time as the Seller and the Alternate Purchaser enter into a purchase agreement and the conditions set forth in Section 2 hereof have been satisfied and the conditions set forth in the Subordination Agreement attached hereto as Exhibit A are met, the City shall subordinate the Agreement to a purchase agreement between the Seller and the Alternate Purchaser pursuant to a subordination agreement between the Seller, the Purchaser and the Alternate Purchaser that contains the terms and conditions set forth on the Subordination Agreement. During the period that the subordination is in effect, Seller shall be temporarily relieved of its obligations under the Agreement.

49 2. Conditions Precedent to Agreement to Subordinate. The Purchaser shall not be obligated to enter into the Subordination Agreement unless and until each of the following conditions have been satisfied: (a) The Seller notifies the Purchaser that it has entered into a purchase agreement with the Alternate Purchaser (the Alternate Agreement ), provides a complete and true executed copy of said Agreement to the Purchaser, and requests in writing that the Purchaser subordinate the Agreement to the Alternate Agreement and the City reasonably determines that the Alternate Agreement will result in the timely repair and replacement of the water and sewer systems on the Property and the payment to the City of its costs, all as set forth in the Subordination Agreement. (b) The Seller tenders to the City the proposed Subordination Agreement with original signatures of the Seller and the Alternate Purchaser for execution by the City. (c) The Seller has provided the Purchaser with evidence satisfactory to the Purchaser that the Alternate Purchaser has the financial ability to consummate its purchase of the Property. 3. Back-up Contract. Upon subordination of the Agreement, it shall become a backup contract and shall be reinstated as the primary contract only if the Alternate Agreement is terminated or closing fails to occur under the Alternate Agreement by. At such time as the Purchaser s Purchase and Sale Agreement becomes the primary contract, all of Seller s duties and responsibilities under the Agreement shall be resumed. 4. Reimbursement of Expenses. As part of the consideration for the City s agreement to subordinate its contract, the Seller agrees to pay the City the sum of Sixty Thousand Dollars ($60,000.00). Said sum shall be paid in equal monthly installments of $ for a period of 120 months, commencing thirty (30) days after the date upon which the Seller closes under its contract with the Alternate Purchaser. In order to secure payment of said sum, the Seller hereby, subject to the aforesaid closing, irrevocably assigns the sum of $ per month to the City from the payments the Seller is to receive from the Alternate Purchaser. The provisions of this section shall survive the termination of the Agreement between the Seller and the City. 5. No Waivers. Nothing set forth herein or in the Subordination Agreement or the reinstatement of the Agreement as the primary contract shall constitute a waiver of any of the terms set forth in the Purchaser s Purchase and Sale Agreement, including, but not limited to, its termination rights. Rather, pursuant to this Agreement, Seller s obligations under the Agreement shall be suspended until the Agreement resumes its position as the primary contract. 6. Third Party Beneficiary. The Alternate Purchaser is hereby deemed a third-party beneficiary of this Agreement.
