8 Definitions Director Election Standards Plurality - elected by a plurality of votes Plurality Plus Resignation Policy - also elected by a plurality but if not a majority of support, required to submit a resignation for consideration Majority: only elected if majority of support Usage of Withhold votes includes Against (an option only valid at Majority standard companies) 8
9 Key Findings 1. Majority withholds more common at small caps (80%) and plurality-standard firms (91%) 2. Only 5% of majority withhold votes lead to director removal 3. Removal more likely with majority or plurality plus resignation standards (50% and 8%, respectively, stepped down) 4. Only half of votes are about best practices, rest companyspecific 5. Almost 20% tip of iceberg in situations of shareholder discontent 6. Majority or plurality plus resignation standards improve disclosure (all of these companies disclose some reaction to votes, vs. 13% of whole sample) 9

19 Performance Study Inconclusive due to small sample size, but possibly leading indicator of peer underperformance More companies underperformed than outperformed their peer group in year following majority withhold votes (58% underperformed) Median relative (under)performance was -5.5% 19
20 Conclusions 1. Companies should not dismiss withhold votes only half are about best practices 2. Investors should press for majority voting standards such firms tend to act in higher numbers on vote results 3. Performance analysis results warrant further study 20
