1 Pursuant to Article 12 and 78 of the Law on Associations of Citizens ( Official Gazette of Serbia, no.51/09 and according to Article 10 of the Statute the Constituent Assembly of the Association of Citizens CENTER FOR EURO-ATLANTIC STUDIES, at its session held on 21 March 2011, adopted the following A R T I C L E S O F A S S O C I A T I O N of the Association of Citizens CENTER FOR EURO-ATLANTIC STUDIES Area of achievements of the objectives Article 1 Association of Citizens CENTER FOR EURO-ATLANTIC STUDIES (hereinafter: Association, abbreviation CEAS is non-government and non-profit think-tank organization funded on indefinitely period in order to accomplish the aim of promotion and affirmation of Euro-Atlantic values and policies Objectives of the Association: Objectives of the Association Article 2 1. Strengthening of liberal democracy in Serbia; 2. Accepting the principle of priority of individual rights over collective goals, transitional justice, an honest dealing with the past and reconciliation in the region; 3. Speeding up the process of Euro-Atlantic integration of Serbia and to strengthen its capacity to cope with global challenges through joint international action; 4. Contribution to building and maintaining a more open, more secure, prosperous and cooperative international order based on smart globalization. In order to achieve its Goals Association will: Article 3 1. Conduct research on issues addressed; 2. Generate reports and analysis on the process of Euro-Atlantic integration; 3. Organize, alone or together with other organizations, seminars, round tables, debates, conferences, professional meetings and other forms of education in the areas addressed; 4. Publish books and other publications in the areas of interest, in accordance with the law; 5. Cooperate with institutions, organizations and companies at home and abroad engaged in promoting Euro-Atlantic integration. Name and Headquarters Article 4 The name of the Association of Citizens is: CENTER FOR EURO-ATLANTIC STUDIES. The Association s head office is in Belgrade. The association carries out its activities in the territory of the Republic of Serbia.

2 The purpose of performing activities Article 5 The Association carries out its activities exclusively for charitable, scientific or educational purposes in accordance with the law. No goods or property of the Association shall be used for private purposes or for purposes of the profitable organization. This restriction does not apply to payments for goods and services needed in carrying out the activities of the Association. Private individuals or groups of individuals can not have any equity stake in the Association or the benefits that it produces. Article 6 The Association cannot participate in campaigns of political parties or candidates / activists for public office, directly or indirectly. Terms of the way to membership and termination of membership Article 7 Any person who accepts the Association s goals and Articles of Association may be a member. The minor attained the age of 14 may join the Association, accompanied verified statements of the legal guardian of the approval. For a person under 14, paragraph 1 this article filed by his/hers legal representative Article 8 The decision on reception in membership shall be made by the Assembly, and informs the applicant without delay. Any member may withdraw from membership by means of written statement on withdrawal. There is no need for statements of the approval of the legal guardian for minors to withdraw the membership. Membership ceases after extended inactivity of a member or if a member acts to the detriment of the Association s goals. The decision on cessation of membership shall be made by the Management Board. The decision of Management Board is subject to appeal. Member's Rights and Obligations Article 9 A member has the right to: 1. Participate in achievement of Association s objectives on equal terms with other members; 2. Directly participate in decision-making at Assembly meetings, and through the Association s bodies; 3. Elect and be elected in Association s bodies; 4. Be informed about the work and activities of the Association in due time. 2

3 A member is obliged to: Respect the Statute and other acts of the Association Actively participate in achievement of Association s goals and mission; Protect the interests and keep reputation of the Association. Internal organization Article 10 Bodies of the Association are the Assembly, Management Board and the President. Role of the official representative is performing by the President. In its absence the role will be performed by authorized person. Assembly Article 11 The Assembly consists of all members. The Assembly holds regular meetings once a year. An extraordinary Assembly meeting may be summoned upon reasoned proposal of the Management Board, President and upon initiative of at least one third of members. The Assembly shall be summoned by the Management Board, and chaired by the Management Board President. The agenda of an Assembly meeting shall be proposed by the President and finally determined by the Assembly. Article 12 The Assembly: 1. Determines the strategic plan of the Association; 2. Adopts Articles of Association, as well as amendments and modifications thereto; 3. Adopts other acts of the Association; 4. Elects and acquits members of Management Board and Supervisory Board; 5. Elects and acquits the President; 6. Discusses and adopts, at least once a year, the report of the Management Board; 7. Discusses and adopts the financial plan and financial statement; 8. Decides on cessation of Association s work; 9. Decides on of association of federations and other associations in the country and abroad Management Board Article 13 The Management Board is the executive body of the Association which ensures achievement of the goals set forth by these Articles of Association and Assembly s decisions. The Management Board has 3 members. President is the member by its position. Other two members are elected and acquitted by the Assembly with majority votes on the proposition of any member. Members of the Management Board are elected for 2-year terms of office and their re-election is not limited. 3

4 Article 14 The Management Board: 1. implement decisions of the Assembly; 2. controls the operation of the Association in accordance with this Statute; 3. issues regulations and other documents related to the organization; 4. submitted to the Assembly a proposal for admission and expulsion from membership of the Association; 5. adopt the annual work plan; 6. on the proposal of the President shall review and approve the annual financial plan; 7. on the proposal of the President shall review and approve a six-month program plans; 8. on the proposal of the President shall review and approve job classification in the Association; 9. review and approve reports on the work submitted by the President of the Association; 10. adopts the rules and procedures for its work; 11. perform other duties between two sessions of the Assembly. Article 15 The President manages the daily operations of the Association. The President represents the Association in legal matters and has the rights and duties of principal financial. The President shall appoint a person who is authorized in his absence to represent the Association and sign all financial and other documents on behalf of the Association. President shall be elected by the Assembly. The President's term lasts two years and may be re-elected. President: Article manage the affairs and activities of the Association; 2. ensure the execution of decisions of the Management Board; 3. take decisions necessary for the regular operations of the Association; 4. represent the Association; 5. dispose of property of the Association, in accordance with the Law, Statute, financial plan and the decisions of the Board of Directors; 6. engage employees and associates in accordance with job classification; 7. propose the Association's strategic plan; 8. reports to the Management board on its activities, financial and program plans; 9. maintain contacts with donors and deals with fundraising for the Association; 10. deals with cooperation with other organizations and institutions; 11. forming subsidiary bodies such as committees, subcommittees, working groups; 12. perform all other duties necessary for the smooth running of the Association; Transparency Article 17 The Association s operations are of public nature. 4

5 The President ensures regular informing of the membership and the public on Association s operations and activities, directly or by internal publications, or public announcements. Article 18 Towards achievement of its goals, the Association establishes contacts and cooperates with other similar associations and organizations in the country and abroad. Article 19 Financial Means The Association collects financial means from membership fees, donations, voluntary contributions, gifts, competition with projects at government authorities or foundations. The Association may obtain funds from registration fees for seminars in which the Association deals and sales materials, publications and ideas or products resulting from the Association to exercise its basic goals. Termination of the Association Article 20 The Association may cease to operate by an Assembly s decision, and in other cases stipulated by law. Article 21 In case of termination of the Association, all the remaining assets shall be transferred to local non-profit legal entity established to achieve the same or similar goals, or the Assembly shall determine the decision to terminate where the property is transferred in accordance with the Law. Article 22 Seal The association has a round seal, with inscription around the circumference in Cyrillic letters, reading: Association of Citizens CENTER FOR EURO-ATLANTIC STUDIES, and the word: BELGRADE in its center. The procedure for amending the statute Article 23 The procedure for the adoption of the Statute of the Association, as well as for its amendment, is initiated by the Management Board or one third of the members of the Assembly. Statute or its amendments are adopted if the vote to at least 2 / 3 of present members of the Assembly at the session at which more than half of the members of the Assembly are present. Final Provisions Article 24 On all matters not directly regulated by this statute will apply the provisions of the Law on Associations. 5
