1 This Letter of Intent (hereinafter: LoI) is made and entered into on the BETWEEN: Gasunie Deutschland Transport Services GmbH, represented by Gasunie Deutschland Services GmbH, both domiciled in Hanover, hereinafter referred to as GUD, And.., domiciled in., hereinafter referred to as Customer, hereinafter collectively also called Parties and each of them Party, WHEREAS: GUD and Gas Transport Services B.V. in the Netherlands (hereinafter referred to as GTS, together with GUD referred to as IOS Parties) have started a so called Integrated Open Season, hereinafter referred to as IOS, to assess whether their networks provide sufficient capacity. In case insufficient capacity is available for future required demand, IOS Parties will consider doing investments in new pipelines and other necessary facilities, required for the transmission of gas by IOS Parties in their respective grids. IOS Parties have invited shippers to express their interest in capacity at existing entry and exit points or to request new entry and exit points. IOS Parties have published the process phases and timeframe of booking capacities within the scope of IOS in an IOS Brochure. The IOS process is subject to possible changes. Customer is interested and confirms that it has the intention to book firm entry and/or exit capacity at existing or new to be built entry and/or exit points in the GUD network within the scope of IOS as stipulated in Exhibit A. GUD needs information on the intended booking of Customer to determine the dimensions and economic viability of the possible investments in new capacity. After conclusion of the LoI, and if Customer complies with the creditworthiness requirements of GUD, Parties may enter into an agreement in which Customer and GUD commit themselves: Customer with regard to booking the entry and/or exit capacity and GUD with regard to making available the capacity, subject only to the conditions explicitly mentioned in that Agreement (hereinafter referred to as Precedent Agreement). Parties wish to confirm their mutual interest in concluding the negotiations and the intended booking of the capacity, by signing this LoI. However, neither the terms nor the execution of this LoI shall be deemed to create an obligation for Customer to book any entry or exit capacity in the network operated by GUD or for GUD to provide respective entry or exit capacity. NOW THEREFORE Parties agree as follows: 1 Definitions Expressions defined in the prevailing General Terms and Conditions Transport for the Market Area H-Gas Northern Germany and L-Gas 1 (Area Gasunie) and any amendments thereof (hereinafter referred to as conditions) shall have the same meaning when used herein. In addition the following definition shall apply: Facilities: all hardware to be purchased, built and/or installed by or on behalf of GUD resulting from the IOS.

2 2 Availability of entry and/or exit capacity 2.1 At the date of this LoI no decision to build any Facilities has been taken. Therefore, no rights can be derived from this LoI with respect to whether or not the Facilities will be constructed and/or any transmission capacity will become available. 2.2 Required capacity can only be made available if properly and timely contracted within a Precedent Agreement. Customer shall meet the requirements according to the conditions prior to booking of any services resulting from IOS. 3 Services 3.1 In response to IOS, Customer intends to book services as described in Exhibit A of this LoI. 3.2 The desired start date of the services shall be indicated by Customer in Exhibit A of this LoI. Depending on the interest shown, services may become available from winter 2014/2015. GUD will investigate the possibility to realise an earlier start date on specific new and existing entry/exit points if indicated in Exhibit A. 3.3 To a Customer s booking for firm entry or exit capacity in the network of GUD, the terms and conditions of the conditions shall apply. 3.4 Customer shall indicate in Exhibit A, whether desired capacities at entry and/or exit points shall be considered as related capacities or not. Customer may indicate in Exhibit A relations between mentioned entry and/or exit points of the network operated by GUD and entry and exit points of the network operated by GTS, as indicated in the equivalent Letter of Intent with GTS 4 Tariffs The tariffs for the services of GUD are the published entry and exit tariffs of the applicable conditions as amended from time to time in accordance with the prevailing decisions of the German regulator. 5 Law This LoI shall be governed by and construed in accordance with German Law. All disputes arising out of or in connection with this LoI or its validity shall be finally settled according to the Arbitration Rules of the German Institution of Arbitration e.v. (DIS) without recourse to the ordinary courts of law. The court of arbitration shall be made up of three arbitrators, one of whom shall act as the chairman of the court of arbitration. The chairman shall be fully educated and trained to be a judge. Arbitration proceedings shall take place in Hanover. The court of jurisdiction pursuant to Section 1062 of the German Code of Civil Procedure shall be the Oberlandesgericht (Higher Regional Court) in Celle. The language to be used in the arbitral proceedings shall be English. The costs are borne by the Party found to be at fault. The German translation of this LoI is published for convenience purposes only. The English version of this LoI shall prevail in case of any differences. 6 Termination This LoI shall terminate with immediate effect: (a) In case a new LoI regarding the IOS for identical entry and/or exit points has been signed by Parties prior to 1 st July 2009; or (b) on signing the Precedent Agreement by Parties; or

3 (c) on 1 st October 2009, if the Precedent Agreement is legitimately not signed by Parties prior to that date. GUD Customer Hanover (place) (date) (name) (signature)
