11 AGREEMENT THE UNDERSIGNED : Thierry AFSCHRIFT And Hereinafter «the Lawyer» Mr. or Mrs. OR The company established at represented by Mrs of Mr Hereinafter the Client ARTICLE 1: ASSIGNEMENT By means of this document, The Client empowers the Lawyer to represent him in the framework of a proceeding that opposes him to to assist him in the framework of (Asks the Lawyer for a legal advice) to draft a legal advice The exact topic of this advice shall be mentioned by the Lawyer in a letter, fax or to the Client. This topic will be presumed correct and accepted if no observation is addressed to the Lawyer, in writing, 5 days after this message. If the exact topic of this advice isn t indicated above or in article 10, the lawyer will briefly describe it in a letter, fax or to the Client. ARTICLE 2 : CONDITIONS OF THE AGREEMENT The present agreement includes the articles of the «Schedule of fees, costs and disbursements agreement» drawn up by the AFSCHRIFT partnerships. The client acknowledges having received/ procured himself with a copy of the Schedule of fees, costs and disbursements agreement enclosed herewith. The Client may request any clarification concerning the Schedule of fees, costs and disbursements agreement. In the absence of any request for clarification communicated by the Client within five days of the signature of the present agreement, the Client is presumed to have understood the meaning of the clauses in the Schedule of fees, costs and disbursements agreement. ARTICLE 3 : CHARGES Unless otherwise agreed in writing between the parties, the fees shall be calculated in accordance with the Schedule mentioned in article 2, of which the Client acknowledges having take note. ARTICLE 4 : PAYMENT Every demand for payment addressed to a Client who resides in Belgium is submitted to the articles of the Act of August 2 nd, In case payments are not made within the legal terms or, by default, within a term of one month, the Lawyer reserves the right to suspend the execution of his mission. In that case, The Lawyer will inform the Client of this fact. The note of charges, costs and expenses will be established for the benefit of the law firm to which the lawyer belongs. This note will be addressed to the Client or to the person that he indicates as debtor, providing that the latter agrees. Indicating a debtor will however not liberate the Client.

12 ARTICLE 5 : LIABILITY The Lawyer s liability is limited to the amount of his insurance coverage, with a maximum of , interests and costs included, being the maximum coverage of which the Lawyer benefits under his insurance policy for civil liability. ARTICLE 6: TERMINATION OF THE AGREEMENT Either party may terminate this agreement at any time. ARTICLE 7 : CHOICE OF THE LAWYER S OFFICE The client notifies to the Lawyer the place where the Lawyer will carry out his work Brussels Antwerp Geneva Luxembourg Madrid Tel Aviv Hong Kong This place is assumed to be the one where the present Agreement was signed, if the contracting parties have not agreed otherwise. ARTICLE 8 : APPLICABLE LAW AND JURISDICTION The law applicable to the relations between the Client and the Lawyer will be that of the place determined in article 7. Every litigation with regard to the execution or the interpretation of this Agreement or in relation with it, will be judged in last instance and exclusively by a single referee, indicated by the «CEPANI» (Belgian Center for Mediation and Arbitration). The arbitration will take place in the city determined in article 7 and in the language of this Agreement. ARTICLE 9 : This Agreement, including the «Schedule of fees, costs and disbursements agreement edition 2014» will apply to every other task that the Client entrusts the Lawyer with, unless otherwise agreed upon in writing. ARTICLE 10 : DEROGATIONS The derogations to the above and/or to the Schedule that parties have agreed upon, are only the following: Done at (place), the (date), in as many original copies as there are contracting parties, each party acknowledging having received a copy, as well as a copy of the General scale of fees, costs and disbursements agreement edition The Lawyer The Client
