The University will not be bound by any resulting Contract until it is approved by the appropriate University official. 2. Any resulting Contract may be modified only by written amendment which has been executed and approved by the appropriate University official. 3. STATE YOUR FEDERAL ID NUMBER: The successful bidder will indemnify and hold harmless the University, its officers, agents and employees from any claims, damages, and actions relating to the performance of the services specified in this Request for Quotation and any resulting contract. 7. Vendor will invoice the University within 30 days from completion of work. All invoice received after 30 days must include an explanation of lateness. The University reserves the right to deduct 1.5% per month until the invoice is received. 8. The University reserves the right to terminate this agreement upon thirty (30) days written notice if it is deemed that the service is unsatisfactory. 9. The University, by entering into this agreement, does not imply or assure that there will be any specific product or service purchased. 1 O. All prices should be quoted F.O.B. Martin. 11. In compliance with the requirements of Tenn. Code Ann , the Bidder hereby attests that the Bidder has registered with the State of Tennessee's Department of Revenue for the collection of Tennessee sales and use tax. This registration requirement is a material requirement of this Bid. 12. The University reserves the right to reject any and all proposals, waive any informalities in the proposals received, and accept any proposal that, in its opinion, may be in the best interest of the University. The University does not obligate itself to accept the lowest or any other proposal. 13. Bids will be opened on April 10, 2014 at 2:00 p.m. in room 111 of the Administration Building at the University of Tennessee at Martin. It is the bidder's responsibility to assure that his bid is delivered at the proper time and place indicated on the bid form. Bids which for any reason are not so delivered willl be rejected. 14. 2 ~ ~ ~-- --~ Certification of Debarment Status - The vendor certifies that he/she is not presently debarred, proposed for debarment, suspended, or declared ineligible for covered transactions by any federal agency or department. The vendor also certifies that within the past three years he/she has not been convicted of or had civil judgement rendered against them for a fraudulent contract or transaction, violation of federal or state antitrust laws, or the commission of embezzlement, theft, forgery, bribery, falsifying or destroying records, receiving stolen property or making false statements. 16. Drug Free Workplace Program - The successful bidder agrees to comply with the requirements of the drug free workplace program (TCA ). 17. Price Reductions The successful bidder will be required to give the University the benefit of all general price reduction to the seller's other customers occurring at any time during the effective period of the contract or Purchase Order. Written notice shall be made to the Purchasing Department of the University in the event of a decrease in the contract price. Price decreases shall become effective immediately and shall be identical in amount to the general decrease extended to the successful bidder's other customers. 18. Each bid must give the full name and business address of the bidder. The title of the person signing the bid should be shown, and, if requested by the Purchasing Department, that person must furnish satisfactory proof of authority to bind the company in contract. Bids must be written with typewriter, ink or indelible pencil; otherwise, they may not be considered. A representative or distributor bidding in the name of a principal should give the name of the firm to which an order should be issued in the event of an award. 19. If a bidder fails to state a time within which a bid must be accepted, it is understood and agreed that the University shall have sixty (60) days beyond the bid opening to accept. 20. In case of doubt or differences of opinion as to the items or services to be furnished hereunder, the decision of the University shall be final and binding on both parties. 21. Failure to provide the requested information may be grounds for rejection of your bid. 22. All prices and notations must be printed in ink or typewritten. No erasures permitted. Errors may be crossed out and corrections printed in ink or typewritten adjacent, and must be initialed in ink by person signing bid. 23. GOVERNING LAW: The contract with the University will be governed by and construed in accordance with the laws of the State of Tennessee. 24. VENDOR ADHERENCE TO CONTRACT: No purchase should be accepted or charged against the contract or purchase order for items or pricing not covered in the contract or purchase order. Failure to adhere to this requirement may be deemed grounds for cancellation of contract or purchase order. 26. BID AS SPECIFIED OR EQUAL: The items on this request for quotations shall be as specified or equal. When the specifications specify a product by name of a manufacturer or vendor, or when ever the terms (similar to) and (equal to), or (approved equal) are used, the terms named are intended to set the standard for such materials or articles. The burden of proof shall rest solely with the supplier to prove that the proposed substitutes are equal to the materials or articles specified. The university shall be the sole judge as to whether the items submitted are equal to those specified. 27. CONFLICT OF CONDITIONS: In the event that there are any conflicts between the general bid conditions and these special bid conditions the special bid conditions shall take precedence. 28. The University reserves the right to terminate this agreement upon thirty (30) days written notice. 29. PAYMENT WITHHELD: Non-compliance by the successful bidder with any requirement of the bid constitutes the right to withhold payment in whole or part. 30. REJECTION OF DEFECTIVE WORK: Should any defective work be discovered, which, in the opinion of the University cannot be accepted, the same shall at once be removed and replaced at the vendor's expense. 31. ADDITION OF ITEMS: The University reserves the right to add items as required during the specified contract period by soliciting firm prices from the successful bidders of this request quotation. Award of these additional items will be made in accordance with the terms and conditions as set forth in this request for proposal.
