1 EMPLOYMENT AGREEMENT This is an agreement entered into this fifth day of July, 2016 between the City of Destin, Florida (the City) and Carisse M. LeJeune (City Manager) to provide for the employment of Carisse M. LeJeune as City Manager of the City of Destin, Florida, and to set forth the terms and conditions of her employment and the mutual obligations, rights and duties of each party. Any previous employment agreement(s) entered into shall be considered null and void upon signature approval by all parties of this agreement. Now, therefore, in consideration of the mutual promises as set forth in this agreement, the City ofdestin, Florida and Carisse M. LeJeune agree as follows: Section 1. Duties The City Council employs Carisse M. LeJeune as City Manager of the City of Destin, Florida, to perform the functions and duties as specified in the City Charter, and to perform such other legally permissible and proper duties and functions as the City Council shall from time to time assign beginning upon the City Manager's first day of work at the City which will be July 16, Section 2. Termination by the City and Severance Pay A. The City Manager shall serve at the pleasure of the City Council, and the City Council may terminate this Agreement and the City Manager's employment at any time, for any reason or for no reason. B. Should the City Council terminate the services of the City Manager "without cause", then within ten (1 0) business days following the termination, the City shall pay the City Manager any accrued and unpaid salary and benefits earned including vacation time. Within forty-five (45) calendar days oftermination "without cause", the City shall pay the City Manager a lump sum severance pay equal to twenty (20) weeks salary as full and complete payment and satisfaction of any claims of the City Manager of whatsoever nature deriving out of this Agreement or otherwise. Severance pay shall not be construed as compensation for services performed and severance payment will not include retirement contribution, automobile allowance, or life, medical, dental, vision, and disability insurance premiums. C. In the event the City Manager is terminated for just cause, the City shall have no obligation to pay the amounts outlined in Section 2, Paragraph B of this agreement. For purposes of this agreement just cause is defined in Section Florida Statutes, in addition to any of the following: 1) Misfeasance, malfeasance and/or nonfeasance in performance of her City duties and responsibilities. 2) Conviction of a misdemeanor or felony crime, whether or not adjudication is withheld. The City agrees to pay the City Manager for her services under this agreement an annual base salary of $119,000 payable in installments at the same time as other City employees are paid. B. The City agrees to increase said base salary and/or other benefits of the City Manager in such amounts and to such an extent as the City Council may determine desirable on the basis of an annual performance evaluation of the City Manager. Such evaluation shall be in such form, as the Council deems appropriate and shall be made each year in accordance with procedures established by City Council for the duration of this agreement. Nothing in this paragraph shall require the City to increase the base salary or other benefits of the City Manager. Failure to conduct an annual evaluation shall not constitute a material breach of this contract. Section 6. Hours of Work The City of Destin, Florida requires the full-time service of its City Manager. City Manager will dedicate no less than an average of forty ( 40) hours per week in the performance of her duties. City Manager agrees to remain in the exclusive employ of the City during the term of her employment and not to become employed by any other employer during this period unless termination is effected. Section 7. Automobile Allowance and Communications Equipment A. The City Manager is required to be on call for twenty-four hour service and therefore, the City shall provide a $ per month vehicle allowance. B. The City will provide the City Manager with a cell phone and data plan for unlimited use as defined by the City accepted service plan. Section 8. Dues and Subscriptions The City agrees to pay City Manager's professional dues for membership in the International City and County Management Association, and the Florida City and County Management Association. The City shall pay other dues and subscriptions on behalf of City Manager as are approved in the City's annual budget (on a line item basis) or as authorized separately by the City Council. Section 9. Professional Development The City agrees to pay reasonable and customary travel and subsistence expenses for the City Manager's travel and attendance at the International City/County Managers' Association annual conference, Florida City/County Managers' Association annual conference and the Florida League of Cities' annual conference. The City shall pay for City Manager' s attendance at other seminars, conferences, and committee meetings as are approved in the City's annual budget (on a line item basis) or as authorized by the City Council.

Community Involvement The City recognizes the desirability of representation in and before local civic and other organizations, and encourages the City Manager to participate in these organizations to foster a continuing awareness ofthe City' s activities as well as the community' s attitudes and ideas. Section 11. Vacation and Sick Leave City Manager shall be entitled to 18 days vacation annually (accrued at a rate of hours per pay period). City Manager shall also accrue sick leave consistent with the City' s sick leave policy. The maximum amount of annual vacation leave which can be carried over from one calendar year to the next is twenty (20) days. Section 12. Holidays The City Manager is entitled to the same paid holidays as the general city staff. Section 13. Health, Dental, Vision, Life and Disability Insurance The City agrees to pay 1 00% of the premium for health, dental, and vision insurance for the City Manager and her spouse. Disability insurance coverage and premiums for such shall be in an amount equal to that provided all other general non-bargaining unit employees of the City, life insurance coverage for the City Manager shall be equal to the City Manager's annual salary, with all such coverages to become effective upon the City Manager the first of the month following 30 days of employment. Section 14. Retirement. The City agrees to pay the City Manager on an annual basis a retirement benefit in an amount equal to fifteen percent (15%) ofher salary. The first 10% will go into the City' s thrift plan and the remaining 5% will go into an approved qualified deferred retirement program (such as the International City/County Management Association Retirement Corporation), selected by the City Manager. The City's contribution shall not exceed the monetary limit established by federal statute and/or regulation. Such payments shall be payable in installments at the same time as other retirement benefits are paid for other employees of the City. Thrift plan retirement benefits shall be subject to a one (1) year vesting schedule with 100% vesting after the first year. Section 15. Relocation Expenses A. The City Manager shall establish residency within the corporate limits within six months of employment and to maintain residence within the corporate limits of the City throughout the term of this agreement. B. To cover the expenses associated with moving to Destin, the City shall provide a one (1) time household goods moving allowance $5,000.

4 Page 5 of8 Section 16. Bonding The City agrees to bear the full cost of any fidelity or other bonds required of the City Manager under any policy, regulation, ordinance or law. Section 17. Code of Ethics Inasmuch as the City Manager is an active member of the International City/County Management Association (ICMA), the "Code of Ethics" promulgated by ICMA is incorporated herein, and by this reference made a part hereof. Said "Code of Ethics" shall furnish principles to govern the City Manager' s conduct and actions as City Manager of the City. Section 18. Attorney's Fees If any litigation or arbitration is commenced between the parties concerning any provision of this Agreement or the rights and duties of any person in relation thereto, the party prevailing in such litigation or arbitration will be entitled, in addition to such other relief as may be granted, to reasonable attorney's fees and expenses incurred in connection therewith. Section 19. Other Terms and Conditions A. If any provision, or any portion thereof, contained in this Agreement is held to be unconstitutional, illegal, invalid or unenforceable, the remainder of this Agreement, or portion thereof, shall not be affected and shall remain in full force and effect. B. The waiver by either party of a breach of any provision of this Agreement by the other shall not operate or be construed as a waiver of any subsequent breach by that party. C. This Agreement shall be binding upon and inure to the benefit of the heirs at law or personal representative of the City Manager. D. This Agreement contains the entire Agreement of the parties. It may not be changed verbally, but only by an Agreement in writing signed by the parties. E. Florida law shall govern this Agreement and any litigation, which may arise from this Agreement. F. Upon City Manager's death, the City's obligatjons under this Agreement shall terminate except for: 1) Transfer of ownership of retirement funds, if any, to her designated beneficiaries; 2) Payment of accrued leave balances in accordance with this Agreement; 3) Payment of all outstanding hospitalization, medical and dental bills in accordance with City' s insurance policies or plans; and 4) Payment of all life insurance benefits in accordance with the City' s insurance policies or plans.

The location for settlement of any and all claims, controversies, disputes, arising out of or relating to any part of this Agreement, or any breach hereof, shall be exclusively in Okaloosa County, Florida and nowhere else. The parties further agree that any controversy which may arise under this agreement would involve complicated and difficult factual and legal issues. Therefore, any action brought by one party, alone or in combination with others against the other party, whether arising out of this agreement or otherwise, shall be determined by a judge sitting without a jury. H. Nothing in this Agreement is intended to nor shall be construed to waive the CITY's rights and immunities under the Florida Constitution, Common law, or Florida Statutes , as amended from time to time. I. The parties acknowledge that each has shared equally in the drafting and preparation of this Agreement and, accordingly, no Court or Administrative Hearing Officer construing this Agreement shall construe it more strictly against one party than the other and every covenant, term and provision of this Agreement shall be construed simply according to its fair meaning.
