2 Sr. Tender Ref Description of Services EMD 1 GUJ/ET/HIRINGVEH/1617/2 Hiring of Vehicles for Pick up & Drop of ERC staff at Night Rs.25,000/-(Twenty Five Thousand only) Instructions to Bidders INTRODUCTION: - a) GVK EMRI means GVK Emergency Management and Research Institute, a nodal agency for Government of Gujarat (Department of Health and Family Welfare). b) 2 Nos. of Non AC Maruti Eeco or Maruti van vehicle will be used as Pick up & Drop van which is a means of transport for ERC staff at Night and on call basis for other requirement. c) GVK EMRI may hire similar operational model for other project requirement also. d) Quantity may vary depending up on actual requirement. e) The Bidder means the individual or partners or the company who participates in this tender and submits its bid. f) Vehicle means Car / SUV / MUV having commercial road permit and necessary documents as per RTO requirement. The online tender documents can be downloaded from website for online price bids. Bidders who wish to participate in this tender will have to register on htps:// nprocure.com. Further Bidders who wish to participate in online tender will have to procure Digital Certificate as per Information Technology Act 2000 using which they can digitally sign their electronic bids. Bidders can procure the same from (n) code solutions, a division of GNFC Ltd., who are licensed certifying authority by Govt. of India and they will assist them in procuring the same at below mentioned address. Cost of bidding: The bidder shall bear all costs associated with the preparation and submission of the bid. 7. ELIGIBILITY OF BIDDERS: 7.1 The participating bidder should be a Sole Proprietor/ Partnership firm/ Company which should have at least two years of experience of minimum 2 vehicles single order/annual Rate Contract in similar work with Govt. Department / Public Sector Undertaking / Large Corporate Houses of repute, with an average annual turnover of Rs.5 Lakhs during the last 2 financial years. a. Copies of certificate of incorporation/copy of partnership deed/instrument of partnership b. CA certificate or audited balance sheet or other documentary evidence towards turnover for last two financial years. c. Details of order executed within last three years with name, address etc (As per Annexure VII) 7.2 The bidder should have owndership of at least 2 vehicles i.e Maruti EECO (CNG) /Mahindra Balero / Tata Sumo (both diesel version) etc registered with road transport authority in the name of company / firm / director (owner). a. Photocopy of registration books of at least 2 nos. of light commercial vehicles of which manufacturing is not earlier than year 2015, registered with local RTO authority along with latest and valid insurance covers. Original documents would be physically verified before finalization of the empanelment of the parties. Page 3 of 20

4 8 The manufacturing year of the vehicles to be supplied shall not be earlier than 2015 and should be having good vehicle condition. 9 The bidder should submit the self-attested photocopy of Service Tax registration if covered. 10 The bidder should submit the duly self attested photocopy of PAN document. 11 The bidder should enclose the EMD in form of Demand Draft having issuing date not more than 15 days of opening Tender. Note: The documents specified in tender submission must strictly be as per the format wherever the format is prescribed in tender form or as prescribed by concerned authority viz. service tax/commercial tax etc. and must be valid on the date of opening of tender. 5 c. Tenderer should quote their prices (On-line only) in the schedule format supplied in the online tender form. Price Bid received in any other form will not be entertained. d. Document fee and EMD Cover Payment of Tender Fee & EMD amount should be made by DD only, payable at Ahmedabad in favor of GVK EMRI. The bidder having registration with MSME -Gujarat, may get exemption from Tender Fee & EMD only.emd of unsuccessful bidders will be returned back once the contract is finalized. e. Payment made toward tender fee will not be refunded under any circumstances. f. Non-payment of the tender fee will make the tender participant as disqualified. g. Non- payment of the EMD will make the tenderer liable for disqualifications. h. Wrong/ Fraudulent data submission may lead to disqualification / debar. Please ensure that you furnish correct data. i. No tender will be accepted after prescribed closing time as per schedule for submission of the same. The delay will not be condoned for any reason whatsoever including postal/transit delay. j. The tenderer should read this document very carefully and comply with the instructions / terms / conditions therein. Any tender who does not confirm with the instruction / terms / conditions therein is liable to be rejected without any reference k. The E.M.D. / Security Deposit shall liable be forfeited in the following circumstances when the, i. Tender is rejected due giving any misleading statement or submission of false affidavit or fabricated docs. ii. iii. Party fails to sign the agreement for entering into contract in case the offer is accepted, due to any reason whatsoever. Party fails to render the services / contract as per the work order / R.C. placed by GVK EMRI within the delivery period so stipulated; PERIOD OF VALIDITY OF BIDS The Bids shall remain valid for 180 days from the date of bid opening. A bid valid for a shorter period shall be rejected by the GVK EMRI, Gujarat as non-responsive. FORMAT and SIGNING OF BIDS The original and all copies of the bid shall be typed or printed and shall be signed by the bidder or a person or persons duly authorized to bind the bidder to the contract, wherever applicable. The letter of authorization shall be indicated by written power of attorney accompanying the bid. The person or persons signing the bid shall initial all pages of the tender document. Page 5 of 20

6 In case, the bidder is signing as partnership firms, a copy of the partnership agreement, or general power of attorney duly attested, should be furnished on stamped paper duly sworn of affirmed by all the partners admitting execution of the partnership agreement or the general power of attorney. The attested copy of the certificate of registration of firm should also be enclosed along with the tender. The bid shall contain no interlineations, erasures or overwriting except as necessary to correct errors made by the bidder in which case such corrections shall be initialed by the person or persons signing the bid. In the absence of such an authorization the bid will be considered as non-responsive. The bidder should sign and affix his/her firm s seal at each page of the tender document as the acceptance of the offer. No page should be removed/ detached from this tender document. TECHNICAL EVALUATION: a) Technical evaluation of the item tendered will be done by a Technical Committee constituted by the COO GVK EMRI, Gujarat. b) Tender submitted with basic specifications mentioned in this tender form will only be considered. c) The bids, which are found techno-commercially responsive, shall be considered for opening of the Financial Bids (on-line). d) No post bid clarification at the initiative of the bidders shall be entertained. PRICE BID: a. In no case, rates should be quoted anywhere except on-line in financial / Commercial Bid.Price quoted shall be inclusive of all taxes & duties as applicable. b. The price remains firm for the validity period of tender and no account any increase in price shall be entertained till completion of the tender period. c. The comparison of bidders quoting various elements of the price bids will be done on a sample composition of fixed monthly charges with a committed Km per month and rate per Km. for the additional kms. run beyond the monthly commitment with Driver. Service Tax: M/s GVK Emergency Management and Research Institute being a non profit organization is registered society under AP trust act and in respect of renting of motor vehicle work contract service provided by an individual,or HUF or Proprietory or Partnership firm,the reverse charge mechanism shall apply only if the service recipient is a business entity registered as body corporate. GVK EMRI being a non body corporate service recipient Reverse Charge Mechanism shall not apply. Vendor shall pay Service Tax in time and proof of the same should be submitted to M/s GVK EMRI along with submission of Invoice.Vendor shall separately show Service Tax amount on Invoice. 7 RIGHT OF ACCEPTANCE Tender: GUJ/ET/HIRINGVEH/1617/2 GVK EMRI, Gujarat does not bind himself to accept the lowest or any other tender. GVK EMRI reserves the right to accept or reject any bid, and to annul the biding process and reject all bids, at any time prior to award to contract without assigning any reasons whatsoever and without thereby incurring any liability to the affected bidder or bidders on the grounds for the any action. AWARD OF CONTRACT: The contract will be awarded to the successful bidder. It is intended to award the contract to one bidder on the basis of lowest evaluated bid prices; but it is again at the discretion of GVK EMRI, Gujarat. COMMUNICATION OF ACCEPTANCE: The successful bidder will be informed of the acceptance of his tender by way of Letter of Intent. SIGNING OF CONTRACT The general agreement will be signed with the successful bidder after submission of Performance Guarantee. ANNULMENT OF AWARD Failure of the successful bidder to comply with the requirement of signing of contract as above shall constitute sufficient ground for the annulment of the acceptance of the bid and forfeiture of the bid security (EMD) in which event the GVK EMRI may give the offer to any other bidder at the discretion of the GVK EMRI, Gujarat or call for new bids. PERFORMACE GUARANTEE (SECURITY DEPOSIT): The successful bidder will have to submit the Security Deposit in the form of Bank Guarantee or Demand Draft in favour of GVK EMRI, Gujarat payable at Ahmedabad, of an amount equal to 5% value of the contract cost within 15 days from the date of acceptance. The validity period of the Performance Guarantee shall be 18 months from the date of the contract Agreement + 3 months claim period. The Security Deposit can be forfeited in the event of any breach or negligence or nonobservance of any terms/condition of contract or for unsatisfactory performance. The Security Deposit shall be refunded after successful completion of the contract and after expiry of the validity period of the Performance Guarantee as stated above. 8 ANNEXURE I GENERAL CONDITIONS OF THE CONTRACT 1. Submission of bid against this offer will bind the bidder to the acceptance of all the conditions specified herein unless otherwise agreed by the GVK EMRI, Gujarat. 2. If the bidder fails to act on the offer of GVK EMRI, Gujarat by the specified date, the earnest money shall be forfeited by authority. 3. The Earnest Money shall be forfeited, in case the bidder withdraws the offer after opening of the bid but before expiry of the bid validity period. 4. The time period as stipulated in the agreement or letter of offer shall be deemed to be essence of the contract. 5. All disputes can be addressed for amicable settlement by committee constituted by COO, GVK EMRI, Ahmedabad, Gujarat. 6. The contract entered into between the company and the vendor shall be governed by and interpreted in accordance with the laws of India. The place of jurisdiction shall be the place where the purchaser is located, unless otherwise specified. 7. Penalty / Liquidated Damages : 7.1 In case of break down, vehicle have to be replaced by other vehicle immediately Within two hour.) In case of non-availability of suitable vehicle a penalty upto Rs. 1000/- may be imposed in addition to deduction on pro-rata basis for the period. If the number of break down exceeds three times in a month, a penalty of Rs.3000/- per break down shall be imposed. 7.2 In case of non-availability of vehicle, penalty of Rs. 2000/- per day shall be imposed in addition to deduction at pro-rata basis for that day. 7.3 The powers of GVK EMRI, Gujarat under this condition shall in no way affect or prejudice the powers in certain events to terminate the contract vested in him as herein provided for forfeiture of security deposit as contained in tender document. 8. The rates quoted online shall be firm and final for the entire period of contract. While quoting the rates, the bidder should keep in mind that the rates are inclusive of all levies and taxes. 9. At the time of payment of bills, the taxes liable to be deducted, if any, shall be deducted at source as per Government rules and guidelines as may be prevailing at the time of payment. 10. In case of breach of any of the terms and conditions mentioned above, the GVK EMRI, Gujarat shall have the right to cancel the tender without assigning any reason and shall also have right to forfeit the security deposit. 11. The contractor / tenderer shall not assign or sublet the work or any part of it to any other person or party. Page 8 of 20

9 12. The tender is not transferable. 13. Term of the payment: (a) No payment shall be made in advance (b) The contractor shall submit the bill in the first week of following month of usage month for payment, along with the Log-Book copy, duly verified by the officer concerned; registration certificate of vehicle and the insurance paper of the vehicle,. (c) All payments shall be made by Cheque / RTGS within 30 days from clean receipt of invoice as stated above. (d) GVK EMRI shall be at liberty to withhold any of the payments in full or in part subject to recovery of penalties mentioned in preceding paras. (e) The bills presented for payment must have service tax registration number/exemption notification detail. 14. The time period for hiring vehicle under this contract will be initially for a period of one year and may be extended further on mutual understanding. However GVK EMRI reserves the right to terminate the contract by giving one month notice at any time and at any stage without assigning any reason thereof. The date of commencement shall be reckoned from the seventh day of issue of award letter or earlier. 15. Canvassing/Recommendation in connection with the tenders is prohibited and the tenders submitted by the contractor who resort to canvassing are liable for rejection. 16. Earnest money will be forfeited if the contractor fails to commence the work as per letter of award. 17. The tenderer should not write any conditions or make any changes, additions, alterations and modifications in the printed form of tenders. 18. Technical evaluation of the supplied vehicles tendered will be done by a Technical Committee constituted by GVK EMRI, Gujarat. 19. Conditional tender will not be accepted. 20. The conditions beyond its control such as, but not limited to, war, strikes, fires, flood, governmental restrictions or damages etc. shall not be deemed a breach of the contract. 21. One month notice will be given by either party for termination of the contract during the tenure of contract for breach of clause or otherwise. 22. GVK EMRI, Gujarat reserves the right to accept or reject any tender in full or in part without assigning any reason. 23. Jurisdiction: All disputes arising out of or in connection with this tender shall be referred to law courts with Ahmedabad Jurisdiction only. 24. Power of Cancellation: GVK EMRI reserves the right to cancel the tender notification and reject any or all the tenders, at any time during the process of receipt, evaluation, and finalization of tenders, without assigning any reason what-so-ever. 10 ANNEXURE II SPECIAL TERMS AND CONDITIONS: - 1. The bidder should be capable of supplying all types of light commercial vehicles i.e. Car / MUV /SUV Engine Swept Volume / Displacement at least 1000CC, as contained in tender document, during the contract of the tender. The bidder should have telephone connection available at their premises for the purpose of communication. 2. Tenderer must ensure that the supplied vehicles are duly registered/ authorized by the concerned RTO for use as public transport. The vehicles should have required road permit and insurance cover. A copy of the RTO registration, insurance cover and driving licenses of drivers should be submitted once the contract is finalized. 3. The vehicle to be provided shall run using the same mode of the fuel as indicated in the registration document of the vehicle. 4. The Vehicles to be provided by the contractor should be neat and clean and in the sound working condition and suitable for usage for which it is intended for. 5. Number of Vehicle : Presently 2 nos. of Vehicles are required for Pick up & drop service of ERC staff at night for 12x7; however requirement may vary as per need. 6. In case if the vehicles registered are in the name of any other entity, the authorization from that entity in favor of the contractor shall have to be submitted. 7. The hired vehicle so supplied by the contractor shall be meeting the prevailing emission norms having certification for PUC (pollution under control) from statutory local authority. 8. The contractor shall assign the job of driving of hired vehicle only to qualified and expert licensed drivers and also assumes full responsibility for the safety and security while driving. GVK EMRI, Gujarat have no direct or indirect liability arising out of negligent, rash and impetuous driving which is an offence under Section 279 of IPC and any loss caused to the property of GVK EMRI, Gujarat have to be suitably compensated by the contractor. GVK EMRI, Gujarat shall not bear any tortuous liability, vicarious or otherwise for want of any reasonable case or caution on the part of the drivers in the act of driving of the vehicle engaged/supplied to GVK EMRI under this contract. 9. The meter reading shall start/ terminate from and to the place of demand / drop back required in placed locations as may be required. 10. The driver should be in proper uniform, well versed with local geographical knowledge etc. with optimum route selection etc and he should be well behaved and courteous to the people he interacts. 11. The rates, terms and conditions once finalized shall be valid and firm for a period of one year (i.e. during the period of contract). No escalation in rates will be considered due to any hike in fuels rates or for whatsoever reasons. 12. Parking Charges, Toll Charges, Municipal/Cantonment board Charges etc on duty shall be payable on actual basis on submission of the payment receipts / challan / token with the monthly bill. 11 13. The contractor will manage the backup vehicles for the scheduled service or suddenly break down in any district. 14. Scheduled Maintenance should be carried out timely with replacement of resources for uninterrupted operation. Page 11 of 20
