4 Part One: Preliminary 1. INTRODUCTION The Summerley Court Management Association is an association created and established as a statutory body in terms of Regulation 7 of the Regulations promulgated pursuant to Section 11 of the Housing Development Schemes for Retired Persons Act, 1988 for the enforcement of the rules, referred to in Regulation 9(1)(o), and the control and administration and management of the Scheme, the accommodation, the Land, the Common Property, Communal Facilities and Services for the benefit of all the Members. 2. DEFINITIONS AND INTERPRETATION 2.1 In this Constitution, unless the context clearly indicates a contrary intention, the following words and expressions will bear the meanings assigned to them: the Act means the Housing Development Schemes for Retired Persons Act, 1988 (Act No. 65 of 1988); alienates is as defined in Section 1 of the Act, the effect of which only takes place against payment by the Member to the Developer of the full purchase price, meaning that this Constitution will only be deemed to come into being against payment, in full, by the Member to the Developer of the first Life Right so alienated, which is upon occupation by the first Occupant; Annual Expenses means those Expenses incurred or to be incurred, as the case may be, by the Association in a particular financial year in furthering the objects and purpose of the Constitution, as contemplated and envisaged in clauses 6 and 7 of this Constitution; Annual General Meeting means a general meeting of the Members of the Association convened specifically as an Annual General Meeting in accordance with this Constitution; Annual Levy means the Levy payable by a Member, as determined by the Managing Agent in terms of the Budget, which may be amended from time to time, and which is initially payable on a monthly basis to meet the objects and purposes of the Association; the Architect means the architect appointed by the Developer to design the Scheme and who is defined and registered as such in terms of the Architects Act, 1970 (Act No. 35 of 1970), initially being Architects Pike & Reilly of 3 Rouwkoop Road, Rondebosch, Western Cape or such other individual or firm of architects that may be appointed together with and/or in substitution of the aforestated initial architect; the Association" means The Summerley Court Management Association which is bound by the provisions or Articles of this Constitution, the Act and the Regulations; the Auditors" means a registered auditor as defined and registered as such in terms of the Auditing Professions Act, 2005 (Act No. 26 of 2005), initially being the firm of Auditors appointed to the Association by the Developer and as may thereafter be appointed by the Association from time to time; 4 P a g e

5 2.1.9 Budget means the report to be compiled annually by the Managing Agent on behalf of the Trustee Committee detailing the estimation of Annual Expenses and determining the Levies to be paid for and during the ensuing financial year as contemplated in herein; Building means every building and/or structure built and/or constructed, including to be built and/or to be constructed, on the Land, save for the area demarcated as the Garage Area on the Right to Extend Sectional Plan for so long as the garage and filling station built thereon continues to be operated as a garage and filling station; Chairman means the Chairperson of the Association as duly elected by the Members from time to time; Common Areas or Communal Facilities means: those portions of the Land and Buildings to be held and maintained by the Association for the benefit of the Members, including but not limited to the reception, the administration office, the management office, the kitchen, the dining room, the entertainment areas, the laundry room, the medical office and consulting room, the lifts, the security office, the power supply room and the refuse room; and all of the Common Property, including but not limited to roads, walkways, communal gardens, visitors parking areas, security gates and fencing; the Common Property" means the whole of the Land, the Building and all improvements thereon, including any access and egress road and/or servitudinal right of access or traversing rights, but excluding all Units and the Garage Area for so long as the garage and filling station built thereon continues to be operated as a garage and filling station; Common Services means all bulk services, including without limitation, water, sewerage, electricity, drainage, telecommunications, refuse removal, fire-fighting, security and all such other utilities and amenities serving the Common Areas and the Land generally; Conduct Rules means those rules initially set out in the document titled Conduct Rules attached to the Life Rights Agreement marked Part Six, Annexure 3 intended to regulate the Members and/or Occupiers use and enjoyment of the Scheme and the manner in which the Members and/or Occupiers are to conduct themselves in the use and enjoyment of their Units, the Communal Areas, the Common Property and between themselves; the Constitution means the Constitution of the Association as contained in this document, together with all annexures hereto, and as may be amended from time to time; the Developer" means the original seller of the Life Rights, namely Gemini Moon Trading 325 (Proprietary) Limited, company registration number 2007/005792/07, and includes its successors-in-title and assigns; the Development" means the development by the Developer of the Land and the establishment of the Scheme; 5 P a g e

6 Development Approvals means all the approvals: granted to and received by the Developer from the applicable Responsible Authority to undertake the Development and the Scheme; and/or to be granted to and to be received by the Developer from the applicable Responsible Authority to undertake an extension to the Development and/or Scheme; Discretion means, in relation to a person, the sole, absolute and unfettered discretion of that person, provided such discretion is exercised in a reasonable and not a capricious manner; Expenses means those costs, charges, rates, imposts and expenses of any kind actually incurred by and/or on behalf of the Association in furthering the objects and purpose of this Constitution; Extra-ordinary Special Levy means the Levy to be payable by a Member, a defined group of Members or Members generally, which is neither an Annual Levy nor a Special Levy; Garage Area means the area of the Land upon which the garage and filling station is located; the House Rules means those rules designated as such in the Conduct Rules; Improvements means any structure of whatsoever nature constructed or erected or to be constructed or erected on the Land; the Interest Rate means the rate of interest contemplated in terms of Regulation 13 of the Regulations, as may be applicable from time to time; the Land" means Erf Cape Town at Kenilworth, commonly referred to as 305 Main Road, Kenilworth, Western Cape, upon which the Development and the Scheme is to be and/or has been developed by the Developer; Laws means the common law, Legislation and all judicial decisions and other notifications or similar directives made pursuant thereto that have the force of law, whether issued by an executive, a legislative, provincial, local, judicial or administrative entity in South Africa; Legislation means all applicable statutes, statutory instruments, bye-laws, regulations, orders, rules, executive orders and other secondary, provincial or local legislation, treaties, directives and codes of practice having the force of law in South Africa; Levies means, collectively or individually, as the case may be,: the Annual Levy; and/or the Special Levy; and/or the Extra-ordinary Special Levy; Life Right means the right of the Member to occupy the Unit for the duration of 6 P a g e

7 his lifetime, including but not limited to the use and enjoyment thereof and the Communal Facilities, subject at all times to the provisions of the Life Right Agreement, the Articles of this Constitution and the provisions of the Conduct Rules; Life Rights Agreement means the initial document titled Life Rights Agreement to which Version of this Constitution was attached marked Part Six, Annexure 4 and which evidenced the grant of the Life Right to each of the initial Members; Local Authority means the metropolitan municipality established in terms of the Local Government Municipal Structures Act, 1998 (Act No. 117 of 1998), published in Provincial Notice No. 479 of 2000 and/or the Provincial Government of the Western Cape, as the case may be; Managing Agent means, initially Golden Elder Management Services CC, registration number 2010/060028/23, or such other person and/or entity appointed by the Association as an independent contractor to undertake all or some of the functions and duties of the Association and/or the Trustee Committee, as the case may be; Meeting means an Annual General Meeting, a Special General Meeting and/or a Trustee Committee Meeting, as the case may be, and the word meeting will refer to any meeting between any of the aforementioned persons, the Managing Agent and/or any other person, as the case may be; Member" means a Member of the Association, being a person or corporate entity registered as the lawful owner of a Life Right in respect of a particular Unit, having acquired and been granted the Life Right pursuant to a Life Rights Agreement and, when generally used with reference to this Constitution will, where applicable, include the Developer; minutes means the recordal of what was said and/or resolved at Meetings of the Association, the Trustee Committee and/or with the Managing Agent; Occupant" or "Occupier" means a person entitled to occupy a Unit pursuant to the Life Rights Agreement, including but not limited to a Member, a Member s Spouse, the Member s nominated Third Party Occupant, temporary guest or visitor, a subsequent bona fide spouse or civil life partner, as defined in the Civil Union Act, 2006 (Act No. 17 of 2006), as the case may be; proxy means a person duly appointed by a Member in terms of this Constitution to represent him at any Meeting or resumption of any Meeting; Register means the Register of Members recording those persons who have acquired a Life Right under the Scheme; Regulations means the Regulations promulgated under and by virtue of section 11 of the Act, including but not limited to the Regulations published in Government Notice E1351 in Government Gazette of 30 June 1989 as amended by GN R2091 in Government Gazette of 31 August 1990 and by GN R2092; Responsible Authority means any national, provincial and/or local authority or legislature, any agency, regulatory body, local institution, department, inspectorate, minister, ministry, official or public or statutory person (whether 7 P a g e

8 autonomous or not) having jurisdiction over any or all of the persons or the subject matter of this Constitution, including but not limited to the Local Authority; the Scheme means the scheme for retired persons situated upon or to be developed on the Land, as the case may be, and which is and will be conducted as a retirement village as contemplated and provided for in the Act and the Regulations including any extension thereof; Services means the services required to be made available by the Association to the Members as contemplated and provided for in this Constitution to give effect to the Scheme and each member s occupation, use and enjoyment of their Life Right and/or Unit; South Africa means the Republic of South Africa; Special General Meeting means a meeting of the Members convened in accordance with this Constitution to specifically consider and, if deemed fit, approve (with or without modification) or reject resolutions tabled at a meeting designated as a Special General Meeting and which meeting is not an Annual General Meeting for purposes of clarity, any and all Meetings of Members, other than an Annual General Meeting, will be called a Special General Meeting; Special Levy means the Levy to be payable by Members generally, which is neither an Annual Levy nor an Extra-ordinary Special Levy; Third Party Occupant or Nominated Occupant means a person complying with the minimum age prescribed in the Act as being a retired person, other than the Member, to whom the Member may let or allow use and occupation of the Unit in terms of the Life Rights Agreement, this Constitution and the Conduct Rules; the Trustee Committee" and "the Trustees" means, collectively and/or individually, the individual trustees comprising a committee appointed by the Members and/or the remaining Trustees, as the case may be, in accordance with the Articles of this Constitution to inter alia manage the affairs of the Association; Trustee Committee Meeting means a meeting of the Trustee Committee convened in accordance with this Constitution; and Unit means the apartments developed and constructed in the Building on the Land, together with and including storage areas, parking bays and/or exclusive use areas, if and to the extent applicable; and VAT means Value Added Tax as defined and contemplated, from time to time, under and in terms of the Value Added Tax Act, 1991 (Act No. 89 of 1991), together with such Rules, Notes and Notices published under and by virtue of such Act. 2.1 In construing and/or interpreting this Constitution, unless otherwise specified,: any reference to "R", Rand, or "rands" or "cents" will be references to the lawful currency of South Africa from time to time; any reference, express or implied, to any Legislation, enactment and/or statute, includes references to: 8 P a g e

9 that enactment and/or statute as re-enacted, amended, extended or applied by or under any other enactment and/or statute (before and/or after signature hereof); any enactment and/or statute which that enactment and/or statute reenacts (with or without modification); and any subordinate legislation made (before or after signature hereof) under any enactment and/or statute, as re-enacted, amended, extended or applied as described in Article or under any enactment and/or statute referred to in Article ; any references to documents "in the agreed form" are to documents in terms agreed by the Members and initialed by or on behalf of the Members for the purposes of identification; any reference to a provision, Part or Article will, unless clearly stipulated otherwise, be deemed to be a reference to a provision, Part or Article of this Constitution; any reference to this Constitution means this document and all its provisions, Parts and Articles; all provisions, Parts and/or Articles will be deemed to form part of this Constitution, unless stipulated otherwise; headings of the Articles in this Constitution are for the purpose of convenience and reference only and will not be used in the interpretation of nor modify nor amplify the terms of this Constitution nor any Article hereof; if any provision in a definition is a substantive provision conferring rights or imposing obligations on any person, notwithstanding that it is only in the definition Article, effect will be given to it as if it were a substantive provision in the body of the Constitution; Article headings and/or head notes to any paragraph are inserted for reference purposes only and will not affect nor influence the interpretation of any of the provisions or Articles to which they relate; any reference to a day, week, month or year will be construed as a Gregorian day, week, month or year, as the case may be; any reference to a day will mean a period of 24 (twenty four) hours running from 1 (one) second past midnight to midnight that same day; any reference to business day will mean a day in which banks are open for business in South Africa, but will exclude Saturdays, Sundays and public holidays, as the case may be, whereas the term calendar day means each and every day of the week; any reference to a public holiday or the words public holiday will, unless otherwise agreed to in writing by and between the Members, be only those statutorily recognised and gazetted public holidays in South Africa from time to time; any reference to Business Hours will mean 09h00 to 17h00 Local Time; 9 P a g e

10 any references to specific times will be to the official time as applied from time to time in the province of the Western Cape ( Local Time ); if any obligation or act is required to be performed on a particular day or date, it will be performed, unless otherwise stipulated, by 16h00 Local Time; when any number of days is prescribed, same will be reckoned exclusively of the first and inclusively of the last day unless the last day falls on a Saturday, Sunday or public holiday in South Africa, in which case the last day will be the next succeeding day which is not a Saturday, Sunday or public holiday in South Africa; where figures are referred to in numerals and in words, if there is any conflict between the two, the words will prevail; expressions defined in this Constitution will bear the same meanings in Schedules, Addendums or Annexures to this Constitution which do not themselves contain their own conflicting definitions; the use of any expression covering a process available under South African law, such as a winding-up (without limitation eiusdem generis meaning of the same kind) will, if any of Member is subject to the law of any other jurisdiction, be construed as including any equivalent or analogous proceedings under the law of such defined jurisdiction; the use of the words include, "including", without limitation and in particular whether or not followed by a specific example will not be construed as limiting the meaning of the general wording preceding it and the eiusdem generis rule will not be applied in the interpretation of such general wording or such specific example this rule means when particular words pertaining to a class, category or genus are followed by general words, the general words are construed as limited to things of the same kind as those specified; the words other and otherwise will not be construed eiusdem generis with any preceding words where a wider construction or interpretation is possible; where any term is defined within the context of any particular Article, the term so defined, unless it is clear from the Article in question that the term so defined has limited application to the relevant Article, will bear the meaning ascribed to it for all purposes in terms of this Constitution, notwithstanding that that term has not been defined in this interpretation Article; there will be an obligation and it will be binding on and enforceable by the estates, heirs, executors, administrators, trustees, permitted assigns or liquidators of the Members as fully and effectually as if they had signed this Constitution in the first instance and reference to any Member will be deemed, unless otherwise specifically provided for, to include such Member's estate, heirs, executors, administrators, trustees, permitted assigns or liquidators, as the case may be; the expiration or termination of this Constitution will not affect such of the provisions of this Constitution as expressly provide or contemplates that they will operate after any such expiration or termination or which of necessity must continue to have effect after such expiration or termination, notwithstanding that the Articles themselves do not expressly provide for this; any Article or provision which contemplates performance or observance subsequent to any termination or expiration of this Constitution, will survive any 10 P a g e

11 termination or expiration of this Constitution and continue to be of full force and effect; termination, howsoever arising, will be without prejudice to and will not affect the accrued rights, remedies, claims and/or liabilities of either or any of the Members arising hereunder prior to such termination; the expiry or termination of this Constitution will not prejudice the rights of either or any of the Members in respect of any antecedent breach or non-performance by either or any Member of any of the provisions or articles hereof; should this Constitution take effect on a date that results in the use of any tenses herein being inappropriate, the Article or Provision will be read in the appropriate tense; an expression or word which signifies or refers to any gender includes, where applicable and appropriate, the other genders; a person, includes, where applicable and appropriate, a natural person, company, close corporation, trust, partnership or other entity, whether or not having a separate legal personality; the singular includes the plural and vice versa, where applicable and appropriate; any reference to writing or words of similar meaning means legible (coherent and understandable) writing in English in handwritten or typographical manner or form; any reference to notice or notice being required to be given will mean written notice or notice in writing; the words shall, will and/or must used in the context of any obligation or restriction will have a prescriptive and peremptory (meaning absolute) application; a reference to a consecutive series of two or more Articles is deemed to include all the Articles including and between the first and the last mentioned Articles; defined terms or words appearing in title case or starting with a capital letter must be given their defined meaning whilst the same terms or words appearing in lower case must be interpreted in accordance with their plain English and grammatical meaning; references to indemnifying any person against any circumstance include indemnifying and keeping him harmless, on an after tax basis, from all actions, claims and proceedings from time to time made against him and all loss, damage, payments, costs or expenses suffered, made or incurred by him as a consequence of that circumstance; no provision will, unless otherwise specifically provided for, constitute a stipulation for the benefit of any person who is not a Member, namely it will not provide for a stipulatio alteri meaning that a non-member will not be able to claim an benefit under this Constitution, save for the Developer which will be considered a 11 P a g e

12 Member for such purpose; reference to any Responsible Authority or any public or professional organization or firm will include references to any of its successors or any organization or entity which takes over its functions or responsibilities; and whenever any person is required to act as an Independent Expert and not as an arbitrator, then the determination of the expert will (in the absence of manifest error or fraud) be final and binding; subject to any express provision to the contrary, the expert will determine the liability for his charges, which will be paid accordingly; the expert will be entitled to determine such methods and processes as he may, in his sole discretion, deem appropriate in the circumstances provided that the expert may not adopt any process which is manifestly biased, unfair or unreasonable; the expert will consult with the relevant Member or person (provided that the extent of the expert's consultation will be in his sole discretion) prior to rendering a determination; and having regard to the sensitivity of any confidential information, the expert will be entitled to consult with and take advice from any person considered by him to have expert knowledge with reference to the matter in question. 12 P a g e

13 Part Two: The Association 3. NAME The name of the Association is "The Summerley Court Management Association". 4. CREATION, ESTABLISHMENT, CONSTITUTION AND COMMENCEMENT DATE 4.1 With effect from the date on which the Developer first alienates a Life Right to a Member, the Association is and will be deemed to have been created, established and constituted by process of law in terms of Regulation 7(a) of the Regulations and Section 11 of the Act. 4.2 As from the date of establishment of the Association the rights and obligations of the Developer arising from the Management Agreement shall be deemed to have been assigned to the Association pursuant to and in terms of Regulation 11 of the Regulations. 4.3 The Developer and every person to whom the Developer alienates a Life Right will be a Member of the Association. 5. LEGAL STATUS 5.1 Pursuant to Regulation 7(d) and this Constitution, the Association will: be a legal entity and exist independently of its Members; enjoy perpetual succession; be capable (in its own name) of being sued or to sue with reference to or in respect of: any agreement or contract made or entered into by the Association; and/or any damage done to the Land, the Common Property or the Communal Facilities; and/or any matter in connection with the Scheme, the Land, the Common Property, the Communal Facilities or Services for which the Association is responsible; and/or any matter arising out of the exercise of the Association s powers or the performance or non-performance under the Act and any rules referred to in Regulation 9(1) of the Regulations; and/or not operate for profit for the benefit of the Members. 5.2 No Member in his personal capacity will have any right, title and interest to or in the funds or assets of the Association, which will vest in and be controlled by the Trustees. 6. OBJECT AND PURPOSE 6.1 The main object and purpose of the Association is to promote, advance and protect the common interests of the Members with specific respect and reference to their use and enjoyment of their individual Units, the Common Property and the Communal Facilities comprising the Development and the Scheme. 13 P a g e

14 6.2 The Association will have the further object and responsibility of enforcing the Conduct Rules, and the control and administration and management of the Scheme, the Land, the Common Property, the Communal Facilities and Services for the benefit of all Members and Occupiers. 6.3 It is recorded that the Association will not fulfill, in respect of any sectional title body corporate established within Development, the management and control functions which such body corporates have in respect of their members and sectional title schemes, with such functions being the reserve of the Developer. 7. POWERS AND DUTIES Powers 7.1 The Association has, pursuant to Regulation 9(1) of the Regulations, but subject to any restriction imposed or direction given at a General Meeting of Members, the power to: establish, for administrative expenses, a Levy fund, sufficient in the opinion of the Association, for the repair, upkeep, control, management and administration of the Scheme, the Land, the Common Property and the Building or buildings relating thereto, including a reasonable provision for future maintenance and repairs, for the payment of rates and taxes, for the supply of the Services, including electric current, gas, water, fuel and sanitary and other services to the building and land and any premiums of insurance, and for the discharge of any obligation of the Association; require from the Members, whenever necessary, to pay the Levy for the purposes of satisfying any claims against the Association; determine, from time to time, the amounts to be raised for the purposes aforesaid; raise the amounts so determined by requiring the Members to pay the Levy in terms of Regulation 14; open and operate a current bank account and a savings account with a banking institution or a building society; appoint employees as it may deem fit; purchase, hire or otherwise acquire movable property for purposes of the operation of the Scheme; expand the Communal Facilities and Services; borrow money required by the Association in the performance of its duties or the exercise of its powers; secure the repayment of money borrowed by any manner permitted in Law, including the cession of any unpaid Levies whether due and payable or not, or by suretyship or by encumbering any property vested in the Association; invest any money of the fund referred to in Article 7.1.1; 14 P a g e

15 enter into an agreement with the Local Authority or any person or body for the supply to any Building and the Land of electric current, gas, water, fuel and sanitary and other services; enter into an agreement with any Member for the provision of amenities or services by him to any Unit relating to such Life Right or to the Member or Occupier thereof; do all things reasonably necessary for the enforcement of the Conduct Rules and the control, management and administration of the Common Property; vary, amend and/or change the Conduct Rules, including the Hose Rules, which variation, amendment or change must not be in conflict with the Act or the Regulations, be reasonable, and apply equally to all Members; appoint a committee of the Association, which, subject to the directions of the Association, must exercise all the powers and perform all the functions conferred upon it by the Association and which Trustee Committee must meet and conduct its affairs as the Trustee Committee may from time to time decide; prohibit, unless otherwise agreed to in writing by the Developer, the transfer or any alienation of any Life Right unless any Levy or other money due to the Association in respect of the Life Right or Unit concerned has been paid or provision has been made to the satisfaction of the said Association for the payment thereof; promote and enforce standards in keeping with the character of the Development, more particularly as regards the external appearance of all Units and structures to be erected in or on a Unit with the specific purpose that the Members derive the maximum collective benefit; determine and provide adequate security for the Development for the benefit of all Members and Occupiers; levy fines to and on Members who do not comply with this Constitution and/or the Conduct Rules; assign or cede to the Managing Agent any of the Association s rights and duties under, in terms of and by virtue of the Regulations and this Constitution; and/or determine the matters and proceedings at Meetings of Members as contemplated and provided for in this Constitution and the Regulations. 7.2 No document, save as otherwise provided for herein, signed on behalf of the Association will be valid and binding unless it is signed by: two Trustees; or a Trustee and the Managing Agent s representative. Duties 7.3 The Association has, pursuant to Regulation 8 of the Regulations, but subject to any restriction imposed or direction given at a General Meeting of Members, the duty to: insure the Building or Buildings relating to the Scheme and keep it insured to its 15 P a g e

16 replacement value against at least fire; insure against such other risks as the Members may by Special Resolution determine; maintain the Common Property and all accommodation and to keep it in a state of good and serviceable repair; comply with any notice or order by any competent Responsible Authority requiring any repairs to or work in respect of the relevant Land or Buildings; ensure compliance with any Laws relating to the Common Property or to any improvement on Land comprising the Common Property; control, manage and administer the Common Property for the benefit of all Members; keep in a state of good and serviceable repair and properly maintain the plant, machinery, fixtures and fittings, including lifts, used on and/or in connection with the Common Property; subject to the rights of the Local Authority, maintain and repair, including renewal where reasonably necessary, pipes, wires, cables and ducts existing on the Land and capable of being used in connection with the enjoyment of more than one Unit or of the Common Property; on the written request of any Member or the Developer, in respect of a Unit, to produce to such Member or the Developer, or any person authorized in writing by such Member or Developer, the policy or policies of insurance effected by the Association and the receipt or receipts for the last premium or premiums in respect thereof; enforce the Conduct Rules and/or the House Rule, as the case may be; and keep a Register in such manner as the Association may determine from time to time. 8. MEMBERSHIP Membership Automatic and Compulsory 8.1 Membership of the Association will be automatic and compulsory for and limited exclusively to every Member in the Scheme. 8.2 In the event and to the extent a Member is more than one person or entity, all the Members registered as such in the Register (with respect to a specific Unit) will be deemed, jointly and severally, to be one Member of the Association and will have one vote for the purpose of any resolution that may be required at any Meeting of the Association. 8.3 The Developer, including its successors-in-title, will be deemed to be a Member of the Association, save that it will be a non-paying Member. For the avoidance of doubt, the Developer will have 1 (one) vote as a Member, but be entitled to vote for and in respect of each of the Units for so long as it has not granted any Life Rights in such Unit. It being understood that should a Life Right lapse, be cancelled or terminated, as the case may be, the Developer will have the right to vote in respect of such Life 16 P a g e

17 Right or Unit, in each instance for so long as such Life Right (in respect of a specific Unit) remains temporarily or permanently not granted. Commencement of Membership 8.4 Membership of the Association will commence simultaneously with the transfer of the Life Right into the name of the Member, and which will be so registered in the Register. Termination of Membership 8.5 When a Member ceases to be the lawful owner of the Life Right, he will immediately ipso facto cease to be a Member. 8.6 The lawful owner of the Life Right may not resign as a Member. 8.7 No Member ceasing to be a Member for any reason will, (nor will any such Member's executors, curators, trustees or liquidators) have any claim upon or interest in the funds or other property of the Association, but this Article will be without prejudice to the rights of the Association to claim from such Member or his estate any arrears or Levies or other sums due from him to the Association at the time of his so ceasing to be a Member. Observance with the Constitution and the Conduct Rules 8.8 Every Member will: to the best of his ability further the aims and objects of the Association; and observe and be bound by this Constitution and all rules and regulations promulgated by the Association or by the Trustee Committee from time to time, including but not limited to the Conduct Rules, including the House Rules. Transfer of Rights and Obligations 8.9 Membership will be personal to the Member and, as such, the rights and obligations of a Member are not transferable and/or assignable other than as provided for in this Constitution Notwithstanding any other provision of this Constitution, the cessation of membership will in no way release a Member from any obligation undertaken by him prior to the cessation of his membership pursuant to: any provision of this Constitution; or any further or ancillary guarantee, commitment or obligation which such Member may have undertaken. Security 8.11 A Member may not cede his rights or delegate his obligations in terms of this Constitution or his Life Right as security to any other person, unless otherwise agreed to in writing by both the Developer and the Association. 17 P a g e

18 Register (of Members) 8.12 The Association will maintain, at its offices, the Register, which will be open for inspection by any Member during Business Hours. Membership Certificate 8.13 The Association may, by regulation, provide for the issue of a membership certificate, which certificate will be in such form as may be prescribed by the Trustee Committee from time to time. Privileges and Rights 8.14 No Member will be entitled to any of the privileges of membership (including but not limited to the right to vote at any Meeting) unless and until he will have paid every Levy and any other sum (if any), which will be due and payable to the Association in respect of his membership. To the extent a Member has any Levy or other amounts outstanding and owing to the Association, that Member will not have the right or be entitled to vote at any Meeting of Members, but will be entitled to attend a Meeting of Members The rights and obligations of the Members will rank pari passu, save as otherwise provided for in this Constitution. Occupiers, Guests, Employees, Invitees, Contractors and Agents 8.16 No person, other than a retired person (as defined in the Act) or the Spouse of a retired person, may occupy any Unit, except with the written consent of all the holders of Life Rights in the Scheme A Unit may only be utilised for permanent residential purposes A Member will not do or permit to be done anything which may cause a nuisance or annoyance to other Occupants of the Scheme The rights and obligations of a Member are personal rights to and between the Developer and a Member and, as such, a Member may not cede his rights or delegate his obligations in respect of a Life Right, a Unit or let or part with the occupation of the Unit other than in terms of this Constitution and the Life Right Agreement No Member will let or otherwise part with the occupation or possession of his Unit without first obtaining: the written undertaking of the proposed Occupier that he and all those occupying under and with him will be bound by and will observe the provisions of this Constitution and the Conduct Rules, including the House Rules; and the written permission of the Trustee Committee it being essential that the Member lodge a formal application to the Trustee Committee wherein the said Member requests permission from the said Trustee Committee to allow occupation and providing all the details as may be required by the said Trustee Committee from time to time Each Member will be liable for the acts and/or omissions of all persons occupying his Unit, whether lawfully or unlawfully, including but not limited to Spouses, Occupants, 18 P a g e

19 lessees, guests, employees, invitees, contractors and/or agents Each Member will be liable for the acts and/or omissions of all those persons the Member invites onto the Land, the Member requests to enter onto the Land, those who visit, socialize and/or call on the Member, including guests, visitors, invitees, employees, agents, advisers, brokers, consultants and/or contractors. Each Member must and will indemnify the Association and/or other Members, as the case may be, for the acts and/or omissions of all those persons aforementioned. Membership Obligations 8.23 Every Member is obliged to comply with: the provisions of this Constitution; all rules, regulations, directives and other prescriptive notices passed by the Association or the Trustee Committee, as the case may be, in accordance with this Constitution; the Conduct Rules, including the House Rules; any agreement concluded by the Association insofar as such agreement may, directly or indirectly, impose obligations on a Member in his capacity as a Member; any directive given by the Trustee Committee in enforcing the provisions of this Constitution, including but not limited to the payment of any fine charged by the Trustee Committee for non-observance; and/or all the Scheme and/or Development Approvals. 19 P a g e

20 Part Three: Financial Matters 9. FINANCIAL YEAR The financial year of the Association will initially end on the last calendar day of February of each year. 10. BOOKS OF ACCOUNT AND RECORDS 10.1 The Trustee Committee will cause to be prepared, and will lay before every Annual General Meeting, for the consideration of Members,: a financial statement, in conformity with generally accepted accounting practice, which statement will fairly present the state of affairs of the Association and its finances and transactions as at the end of the financial year concerned, including a report thereon prepared by the Auditor; a record of the assets and liabilities of the Association; a record of all sums of money received and expended by the Association and the matters in respect of which such receipt and expenditure occurred; each Member s statement of account; and the Register The Association will, at least in every year, procure that its books of account are audited by the Auditor The Association will keep such financial books and records at the domicilium of the Association and will cause them to be retained in perpetuity in accordance with the Law The Association will, on a written application and written request of a Member, make all or any of the Association's books of account and records available, during Business Hours, for inspection by such Member. 11. DEPOSIT AND INVESTMENT OF FUNDS 11.1 The Association will deposit all monies received by the Association into a bank account or accounts in the name of the Association and, subject to any direction given or restriction imposed by its Members at a Meeting, such moneys will only be withdrawn for the purpose of payment of the Expenses of the Association, provided that the Trustee Committee may: invest and re-invest such moneys not immediately required in the manner it may from time to time determine; use interest earned on such moneys for any purpose of the Association; and delegate to and authorise the Managing Agent to administer and operate such account or accounts on its behalf The monies of the Association may only be deposited, invested or re-invested with a registered South African bank. 20 P a g e

21 12. EXPENDITURE AND LEVIES Prior Authorisation 12.1 No Member will have the right or be authorized to bind or incur Expenses on behalf of the Association unless such Member receives the prior written approval of the Trustee Committee in respect thereof. Each Member Jointly Liable for Expenditure 12.2 Each Member will be jointly liable with and to the other Members for any expenditure incurred in connection with the main object or purpose of the Association and for anything done by the Association with the intention of benefiting its Members generally. Obligation to Recover Expenses 12.3 The Association will recover all the Expenses incurred or anticipated to be incurred on behalf of the Association, and, such Expenses will be borne by each Member equally, by the Association charging the Members Levies. Estimation of Expenses & Budget 12.4 The Trustee Committee will, in accordance with Regulation 12 of the Regulations, prepare or cause to be prepared (by the Managing Agent), for each fiscal year, a detailed Budget of expected income and expenditure of the Association, in connection with the proper control and operation of the Scheme, for the following year, including a reasonable provision for future maintenance and repairs, and will have such Budget approved at the Association s Annual General Meeting The Budget for each fiscal year will be made available to all Members at least 14 (fourteen) calendar days prior to the date of the Association s Annual General Meeting. Procedure for Raising Levies 12.6 The Association is authorized, empowered and obligated to pay the Expenses incurred by the Association by raising Levies from the Members in accordance with Regulation 14(a) of the Regulations, by means of: an Annual Levy; and/or a Special Levy in respect of all such Expenses which are not included in any estimate made in terms of Article 12.4; and/or an Extra-ordinary Special Levy specific to a particular Member or groups of Members where an expenditure is incurred by the Association, which the Trustee Committee, in its Discretion, considers such expenditure to benefit primarily or only such Members or groups of Members; and/or establishing and maintaining a Levy Reserve Fund for the purposes of meeting the contingency Expenses of the Association in respect of inter alia: the control, management and administration of the Association and the Scheme; 21 P a g e

22 the general attainment of its objects as stipulated in this Constitution; the maintenance of the Common Property and the costs of and charges in respect of the Services, including but not limited to electricity, water and sewerage consumed or used on the Common Property and any bulk supply to the Scheme; the supply of any Services rendered to and/or by the Association and the Scheme; expenses necessarily and reasonably incurred pursuant to the management of the Association; security for the Scheme; the continued landscaping of the Land; rates and other taxes and imposts in respect of inter alia the Land that may be levied on the Association by the Local Authority or be the responsibility of the Association; and/or fulfilling the obligations and/or duties of the Association. Annual Levies The Chairman of the Trustee Committee will convene an Annual General Meeting or Special General Meeting of the Association at least 60 (sixty) calendar days prior to the Association s financial year end where the Trustee Committee will table the Budget for debate, rejection, approval (or modification and approval) of such Budget, as the case may be The approval required for accepting the Budget and proposed Annual Levies (modified or otherwise) will be a simple majority of those Members present and voting in respect thereof a proxy will be considered a vote being present at such Meeting Until such time as a new Annual Levy pertaining to the forthcoming year has been determined, every Member will continue to pay the existing Annual Levy then currently in force. Special Levies and Extra-ordinary Special Levies The Association, through the Trustee Committee may, from time to time, where genuinely necessary and unbudgeted for, levy: a Special Levy in respect of all such Expenses (which are not included in any estimate made in terms of Article or which may have arisen as a matter of urgency or generally in furthering the interests of the Members; and/or an Extra-ordinary Special Levy specific to a particular Member or group of Members where or when the Association has incurred expenditure, which the Trustee Committee, in its Discretion, considers to benefit primarily or only such Members or groups of Members The decision of the Trustee Committee in levying and calculating such Special Levy and/or Extra-ordinary Special Levy will be final and binding on all Members and/or 22 P a g e
