The bid submitted shall be subject to the terms and conditions mentioned in the tender document. The bid shall accompany with an EMD of ` 50,000/- (Rupees fifty thousand) only in the form of Crossed Demand Draft/Banker s Cheque drawn on any Nationalized Bank in favour of IDCOL Ferro Chrome & Alloys Ltd, payable at Jajpur Road. 4 4 IDCOL FERRO CHROME & ALLOYS LIMITED, JAJPUR ROAD. Tender Call Notice No. IFCAL:PUR(R/M)/630 Date: GENERAL CONDITION OF THE CONTRACT ( GCC ) 1. In case of partnership the active partner and in case of Proprietorship, the Proprietor of the Company shall sign and sealed the tender document. 2. The tenders (also called bids) not submitted in prescribed format or in the prescribed manner as stipulated in this document shall be rejected at the risk and responsibility of the bidder. 3. All the information, called for, in the tender document, should be submitted truly, clearly legibly, transparently, unambiguously and without the use of abbreviations. It shall be submitted in English. 4. All the crucial figures, like rates, and amount should be written in figures followed by words in a bracket. 5. There shall be no over writing in the tender document and other papers submitted. All additions, alterations, deletions, corrections etc. should be initialed and rubberstamped (or seal) by the same person, who signs the tender document. Failing so, the tender may be rejected. 6. All the rates and amounts shall be quoted in Indian Rupee (IR) and shall be presumed to be in Indian Rupee. 7. The rate or prices quoted shall be valid for a period of 30 (Thirty) days counted from the last date of receipt of bids or submission of tenders. This period shall not be included as the time taken in giving the clarification sought by the management. 8. Each page of the tender document should be signed by the bidder with seal in token of having read, understood and accepted the terms and conditions of this contract and shall be returned in original along with the bid submitted. 9. Submission of more than one competitive bid by the same firm in response to the tender call notice is prohibited. All such bids except one will be cancelled at the discretion of the authority calling the bids. 10. Use separate piece of paper where the space provides in the format in this tender document for submission of information is not sufficient. 11. All information submitted or supplied in the formats of this tender document shall be presumed to be true to the best of knowledge the bidder. 12. The bidder shall submit the self certified Xerox copy of PAN along with the bid.

5 5 13. Earnest money Deposit (EMD) shall in the form of crossed D.D/Banker s Cheque on any Nationalized Bank payable at Jajpur Road. 14. EMD shall be returned immediately after rejection of a bid. On acceptance of the tender, the Earnest Money deposited by the successful tenderer shall be converted to Security Deposit and shall be kept at the entire disposal of Company as a Security for satisfactory execution and completion of work in accordance with terms and conditions of contract. After satisfactory performance and completion of the contract in all respect, Security Deposit will be returned to the transporter without any interest. 15. This tender document has prescribed a two-bid format for submitting bids. It contains the Technical and Price bid formats. Both the bids shall be submitted in separate sealed covers superscribed as Technical Bid or Price Bid as the case may be after detaching their formats from this tender document. Both the sealed covers and the remaining part of this tender document should be put inside a bigger sealed cover and delivered as per conditions published in the tender call notice. The name of bidder, name of the job, the tender call notice number, nature of the bid (either Technical or Price Bid) and the last date for submission of bid shall be boldly written on all the sealed covers. 16. The bidder should send tenders or bids by Regd. Post/Speed Post/Courier only. The authority of IFCAL shall not be responsible for any delay in receipt of bids. 17. If the last date for submission of the tender / bid turns out to be a holiday, it will automatically be extended to next working day. 18. A bid submitted cannot be withdrawn. The bidder or his authorized representative (one person only) may be allowed to be present at the time of opening of tenders. However, they will not participate in the discussion. 19. All or any of the tenders (or bids) submitted can be rejected at any stage without assigning any reason thereof. No claim whatsoever shall be admissible for the alleged loss/damage suffered by the bidders on account of such rejection. 20. Price Bid shall be opened in those cases where the bidder has been found to have fulfilled the requirement of Technical Bid & Eligibility Criteria. 21. Financial negotiations, other than with the lowest bidder will not be made. 22. The management is not bound to accept the lowest financial bid.

6 6 The acceptance of tender will rest with the Managing Director, IDCOL Ferro Chrome & Alloys Ltd., Jajpur Road who does not bind himself to accept the lowest tender and reserves the right: i) to reject any or all tender (ii) (iii) to split up the work amongst and award a part thereof only to the tenderer without assigning any reason or giving any explanation thereof. To issue any addendum to tender documents and / or to clarify, amend, supplement & delete any of the conditions/clauses or items stated in the tender document. 23. All transit risk shall be the responsibility of the transporter. 24. All clarification sought from the bidders shall be promptly submitted in a transparent and in an unambiguous manner. 25. All intimations to the bidders shall be given by Post / fax / Terms and conditions of this tender document cannot be changed without obtaining prior approval of MD, IFCAL. 27. Any person/firm/company who had been previously awarded any work or quoted L 1 price have failed to execute the work fully or partially to the satisfaction of the management for any reasons whatsoever or have past records of unruly and misbehavior inside or outside the Nuasahi Mines of IMFA & IFCAL premises pertaining to his work or otherwise shall not be eligible for submission of this tender. If it is received by mistake or oversight the same shall not be considered for opening without assigning any reason thereof. 28. All disputes shall be subjected to jurisdiction of Civil Courts situated in the district of Jajpur.

7 7 IDCOL FERRO CHROME & ALLOYS LIMITED, JAJPUR ROAD. Tender Call Notice No. IFCAL:PUR(R/M)/ 630 Date: SPECIAL CONDITIONS OF THE CONTRACT ( SCC) 1. (i) Bonafied transporters having valid Agent s license issued under OMV (ii) (iii) (Licensing of Agents) Rule, 1990 for operations shall only be eligible to bid. The party should have successfully completed transportation of at least 1000 MT Serpentinite/Chrome Ore from Nuasahi Mines/FACOR in any single year during last 5(five) years i.e from to Performance Certificate in this regard must be enclosed along with the bid. Original documents must be produced at the time of tender opening for verification. The party should have a minimum of 2 (Two) years of experience of transportation work. Documentary evidence in support of the above to be enclosed for the year as mentioned in Clause No.6 of Technical Bid Format. 2. In this tender rate for transportation per metric ton have been invited as per the following details. Sl. Approximate Quantity. 70 Kms MT per month & in total 3400 MT within 03 months. 3. The transporter has to resume transportation within a notice of 3 (three) days on receipt of LOI/Word Order. 4. The tender document shall accompany with an EMD of ` 50,000/- as mentioned under Sl. No.03 of Important Information. Otherwise the tender shall automatically be stand rejected. 5. No request of the tenderers for adjustment of the EMD from any dues of the Company shall be entertained. 6. After opening of the tender, if the tenderer expressed unwillingness / inability to accept the contract at the quoted rate and/or terms and conditions of the contract, then the Earnest Money of the tenderer shall be forfeited.

8 8 7. a) If the transporter, at any point of time, during his period of contract fail to execute the work in accordance with the requirement of the management as specified in the tender, management will be at liberty to rescind the contract for which recession notice to the transporter will be served. In such case, the Security deposit of the transporter shall stand forfeited. b) The management shall have the right to carryout the work or any part thereof by engaging some other agencies. If any extra cost incurred for such measures, it will be recovered from the transporter s Security Deposit and/or monthly bill. 8. The bidders are strongly advised to visit the sites and acquaint themselves with the road conditions, loading, unloading & distance to be covered etc. 9. Driver and their truck registration number shall be authorized in writing for transportation. Unless authorized accordingly, their entry in the mine or any other premises will not be allowed. 10 On demand the driver must produce the documents like Driving Licence, R.C.Book, Permits, Fitness Certificate, Certificate of Non Pollution vehicle etc. If either of these documents are not produced or not found valid the entry inside the premises shall be refused. Such vehicles shall be returned from the gate. Management of IFCAL/IMFA shall not be responsible for the alleged loss or damage suffered if any by the transporter due to aforesaid refusal. 11. The truck shall also be searched and shall not be allowed to carry any spurious or objectionable material. 12. After entry inside the premises, the drivers shall follow all the legitimate instruction given by the management. They shall also conduct themselves politely and properly. 13. All the trucks shall be weighed at IFCAL weighbridge and supplier s challan weight for each truck shall be accepted as final, if the weighment at IFCAL for that particular truck is within minus 0.45% of the supplier s weight. If the weighment at IFCAL weighbridge is found to be more than the challan weight the payment shall be restricted upto the challan weight for payment purpose. In case the weighment at IFCAL weighbridge is found to be less by more than 0.45% of the challan weight, the weighment of IFCAL weighbridge shall be final for the purpose of payment. The cost of the shortage material beyond the tolerance limit of 0.45% shall be recovered from the transporter s bill as per the purchase price of the material in proportion prevailing at the time of dispatch.

The drivers shall sign in the records of IFCAL factory gate as required by the system or as advised by the local management for keeping a proper record of the time and date of entry and exit of the trucks and of the loading and unloading. The transporter must instruct his authorized drivers accordingly. They cannot refuse to put their signature in the record at our factory gate, whatever required under the system. If they refused to put their signature, the truck shall be detained at the risk and responsibility of the transporter and no demurrage, whatsoever shall be payable by management to any affected person. 15. Challan and transit pass shall be issued to the driver in proper format containing the evidence of loading and the clearance for transportation by Nuasahi Mines of M/s IMFA. The challans prepared in required number of copies shall mention the destination and the route to be taken and must be authorized at each stage of operations. In case of transportation of Serpentinite out of the IMFA mines, the contents of challan shall not contradict those in the Transit Permit/ Transit Pass. All the entries in the challan shall be clear, transparent and be authenticated. There shall be no confusion or ambiguity about the purpose of writing various entries in the challan and in understanding them. 16. Each truck shall be covered at loading point with tarpaulin properly and shall be sealed by the transporter in order to avoid spillage/pilferage and addition of extra moisture by rain or otherwise during transit. The tarpaulins and ropes shall be provided by the truck drivers. The tare (empty) and gross weight of both of trucks shall always be taken with the tarpaulin and ropes loaded on the trucks. 17. After reaching destination the driver shall handover the Challan and Transit pass to Security Staff. Seals shall be checked. If the seals are found broken, the driver & transporter shall be held responsible for the shortage. The driver and transporter shall be held responsible if the moisture is found to have been added in the material. The loaded truck at destination shall be taken to the weigh-bridge for recording of gross weight. Gross weight shall be mentioned in the challan. 18. The material shall be unloaded at the place and in the manner decided by the local management. It will be brought back to the weigh-bridge and its tare or empty weight shall be taken. It shall also be recorded in the Challan. The net weight delivered shall be arrived at on this basis of these weighments at the destinations. 19. The Security staff at the gate shall record in all copies of the Challan, the dates and time of leaving or arriving at the premises to determine the time taken for transportation. If the time taken in excessive or exceed the limit stipulated, if any, the necessary enquiry shall be caused in the matter.

10 The period of contract shall be initially for a period of 3 (three) months counted from the issue of Letter of Intent / Work Order. The management may extend the period of contract for another 30 days on mutual written consent at the same rate, terms and conditions. 21. i) The basic price of the material shall remain firm till validity of the contract ii) iii) and not subject to any escalation. Escalation/de-escalation in the transportation charge per MT is allowed on account of the variation in the price of HSD referred to Indian Oil Corporation Ltd s retail sales point at Jajpur Road, Odisha as per the following formula. The present price of HSD prevailing as on publication of tender at Indian Oil Corporation Ltd s retail outlet situated at Jajpur Road is ` per ltr. For a variation to the extent of X% in the price of HSD as compared to the prevailing price of ` per ltr, the transportation charge would vary by 0.4X%. However, statutory variation in taxes, duties, levies during contractual delivery period may be considered against documentary evidence. 22. All the taxes such as Income Tax or any other statutory deductions imposed during the contract period shall be deducted at source from the transporter s bill. However, the Service Tax shall be paid extra. 23. Bidders are to quote their rate as detailed in PRICE BID attached herewith. The required rate for transportation of Serpentinite from Nuasahi Mines to IDCOL Ferro Chrome & Alloys Ltd be quoted in Indian Rupees ( ` ) both in figure and word per metric ton basis. The quoted rate should be inclusive of all taxes, duties, toll gate charges, other expenses if any etc. 24. The transporter shall raise their bill in triplicate once in a month. Each bill of the SL. No. transporter shall be chronologically numbered with date of billing, truck No., challan No. and date, quantity loaded at Nuasahi Mines, quantity unloaded at IFCAL unloaded date, tolerance allowed, percentage of shortfall of the material, excess shortage as per the format given bellow, rate per metric ton and total bill amount both in figure and words. Payment will be released after verification of bill within 15 days. 11 If truck is seized or meet with an accident / theft / missing in the way and material does not reach the destination within a reasonable time, the material cost shall be recovered from the transporter as per Clause No.14 of S.C.C. 26. Tolerance if exceed 0.45%, recovery of shortage shall be made from the transporters bill as stipulated in the serial No.14 of S.C.C. No excess payment shall be made to the transporter if net receipt weight is more than the net dispatch weight. Recovery towards shortage shall be calculated on truck/trip wise dispatch weight. 27. This tender is subject to force majeure clauses and the performance of the contract either wholly or in part will be governed by the stand and force majeure clauses. Any failure of the contract due to strike, shortage, cyclone etc. and all other causes beyond the control of the Company, IDCOL Ferro Chrome & Alloys Ltd. shall not be responsible for the same in any manner whatsoever. 28. i) All disputes, differences, controversies or claims arising out of or relating to construction, meaning and operation or effect of this contract or breach or Termination or invalidity thereof, if not resolved by mutual discussion, either party may give to other party notice in writing of existence of such dispute, question or difference and the matter shall be referred to Chairman, IFCAL as the Sole Arbitrator whose decision and award made thereof shall be final and binding on the parties. (ii) (iii) The parties here to mutually agreed that not withstanding the place of execution, the contract shall be taken to have been entered into by the parties at Bhubaneswar (Odisha) and for the purpose of any dispute if any law court, the jurisdiction shall be limited to any courts under the jurisdiction of High Court of Odisha. The venue of Arbitration will be at Bhubaneswar. 29. That, all legal proceedings in any manner arising out of or in relation to the contract between the parties can only be initiated in a court of law situated within the territorial jurisdiction of the State of Odisha and none of the parties shall have the liberty of initiating any legal proceeding any where beyond the territorial limits of the State of Odisha.
