1 Fishman Up To Speed Fall 2017 Sweepstakes Official Rules Fishman is sponsoring the opportunity to enter into its Up To Speed Fall 2017 Sweepstakes ( Sweepstakes ). There are two options to enter. The first six individual prizes ( Intermediate Prizes ) relate to each of the six quizzes Fishman will provide. The fifth prize or Grand Prize ( Grand Prize ) will be determined via random drawing from all individual entries from all six quizzes. For all of the first six prizes, the entrant must take all six quizzes and score 90 or above on each of the quizzes or enter by mail. Each quiz taken with a score of 90 or above counts as one entry into the fifth and Grand Prize random drawing. Each entrant is only permitted to win one Sweepstakes prize. Therefore, Intermediate Prize winners are not eligible to receive the Sweepstakes Grand Prize. The second option, which is by mail, is described in paragraph 2 below. The winners for each prize will receive an and / or telephone call on or about November 5, The contestants are eligible if they are in the United States as qualified salespeople employed by authorized Fishman dealers, are of majority age in the state they reside, and comply with these official rules (the Official Rules ). Important: Please read these Official Rules carefully before entering the Sweepstakes. By taking Up To Speed quizzes or otherwise entering the Sweepstakes, you acknowledge that you have read, understood, and agree to be bound by these Official Rules. The words you, your and similar pronouns mean the individual entrant, contestant, participant and/or winner. The words Fishman, we and similar nouns or pronouns refer to Fishman. 1. Eligibility. If you are a salesperson employed by an authorized Fishman dealer, a legal resident of the fifty (50) United States or the District of Columbia and are of majority age as defined by your state of residency when you enter, you are eligible to enter the Sweepstakes (in most states, the age of majority is 18; however, in a minority of states, you must be 19 years of age, or 21 years of age, to qualify). Fishman employees, their immediate family members (spouses, domestic partners, parents, grandparents, siblings, children and grandchildren), advisors or advertising/promotion agencies (and their immediate family members) are not eligible to enter the Sweepstakes. All winners will be required to attest to their eligibility at the time of entry as described in these Official Rules. 2. How to Enter/Sweepstakes Mechanics. The Sweepstakes will begin on Tuesday, August 1, 2017 at AM (EST). To enter, you can: (i) go to training.fishman.com; (ii) enter the required information, including your name and address; and (iii) take any of the six (6) quizzes and

2 score 90% or better. All entries must be in English. By entering, you represent and warrant that you understand and agree to these Official Rules and are eligible as defined above. You agree to confirm in writing to Fishman the above representations and warranties as a condition to receiving the prize, in the event you are a prize winner. Only one entry per Up To Speed quiz is permitted. Any duplicate entries will be omitted from the Sweepstakes. Each contestant can win only one (1) Sweepstakes prize. Therefore, Intermediate Prize winners are unable to win the Sweepstakes Grand Prize. In the alternative, you may also enter the Sweepstakes by sending a self-addressed envelope which contains a letter with your name, address, address, telephone number, which category the entry is for (Acoustic Instruments Pickups, Amplifiers, Electric Guitar Pickups, Pedals/Pre-Amps, TriplePlay, or SA Performance Audio System), and your Fishman dealer name to Fishman, Up To Speed Fall 2017 Sweepstakes, 3 Riverside Drive, Andover, MA This entry option does not require that you pass Up To Speed quizzes. This entry option enters the entrant into all five Sweepstakes random drawings. Each mailing will count as one submission to the Sweepstakes. A maximum of six submissions (one for each category) will be accepted by mail per eligible contestant. All information must be included and properly identified or the submission will be void. 3. Sweepstakes Mechanics. The Sweepstakes will start Tuesday, August 1, 2017 at AM (EST), and continue through midnight (EST) on Sunday, October 31, The winners of this Sweepstakes will be selected via random drawings from the pool of entries, and announced at 12:00 Noon (EST) on or about November 5, The winners will receive either an or telephone call. 4. Prizes. a. Sweepstakes Intermediate Prizes i. Each entrant who takes the Up To Speed Acoustic Instruments Pickups quiz and scores 90% or above receives an entry into a drawing to win a Fishman Matrix Infinity Pickup & Preamp System. One Fishman Matrix Infinity Pickup & Preamp System will be given away. ii. Each entrant who takes the Up To Speed Amplifiers quiz and scores 90% or above receives an entry into a drawing to win a Fishman Loudbox Mini Amplifier. One Fishman Loudbox Mini Amplifier will be given away. iii. Each entrant who takes the Up To Speed Electric Guitar Pickups quiz and scores 90% or above receive an entry into a drawing to win a Fishman Fluence Pickup Set. One Fishman Fluence Pickup set will be given away.

3 iv. Salespeople who take the Up To Speed Pedals/Preamps quiz and score 90% or above receive an entry into a drawing to win a Fishman Aura Spectrum DI Preamp. One Aura Spectrum DI Preamp will be given away. v. Salespeople who take the Up To Speed SA Performance Audio System quiz and score 90% or above receive an entry into a drawing to win a Fishman SA330x Performance Audio System. One Fishman SA330x Performance Audio System will be given away. vi. Salespeople who take the Up To Speed TriplePlay quiz and score 90% or above receive an entry into a drawing to win a Fishman TriplePlay MIDI Guitar Controller. One Fishman TriplePlay MIDI Guitar Controller will be given away. b. Sweepstakes Grand Prize Up To Speed GRAND PRIZE: Each salesperson s Sweepstakes entry also enters her / him into a drawing to win: i. One (1) Fishman Loudbox Performer Amplifier autographed by Larry Fishman. Each entrant can win only one Sweepstakes prize. Therefore, Intermediate Prize winners are ineligible to win the Sweepstakes Grand Prize. No prize winner for any reason will receive a cash award. No substitutions or exchanges of the prize is permitted, except that Fishman reserves the right to substitute a prize of equal or greater value for a prize that becomes unavailable. Prize winners are responsible for any taxes you may have to pay, if you win the prize. The prize will be fulfilled four to six weeks after the winner wins the prize. Each prize is awarded AS IS and WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE NOR ANY IMPLIED INDEMNITIES). ACCEPTANCE OR USE OF ALL OR PORTIONS OF THE PRIZE IS AT THE WINNER S OWN DISCRETION AND RISK. EACH WINNER AGREES TO SIGN A DOCUMENT EXPRESSING THIS UNDERSTANDING. 5. Selection of Winner. Fishman will select each winner from the eligible entrants for each category. There is a strict limit of one and only one entry and one prize per person. 6. Winner Notifications. The winners will be announced via to all contestants. Fishman will notify the individual winners by phone or within five business days following the applicable drawing. During that communication, instructions about how the winner can claim his or her prize will be given. Fishman is not responsible for any change of an entrant s address or phone number.

4 Unreturned phone calls or notifications returned as undeliverable or any prize otherwise not claimed within seven days after Fishman notifies the winner will result in the forfeiture of the prize. Fishman will randomly draw an alternate prize winner from the pool of eligible entries. Failure to provide or update Fishman with the best way to contact you will result in an unclaimed prize pursuant to the above. For the first name/last name-initial only of the prize winner, you may send a selfaddressed, stamped envelope to Fishman, Up To Speed Fall 2017 Sweepstakes, 3 Riverside Drive, Andover, MA Requests must be received within sixty days from the end of the Sweepstakes, and will be sent only after the prize has been awarded. The winner s first name/last name, initial only, will also be available at for two months after the close of the Sweepstakes. The sponsor of this Sweepstakes is Fishman. Requests for Official Rules must be received by October 13, All times and dates in these Official Rules are Eastern Standard Time. 7. Privacy Policy. Fishman will collect the following information from you when you sign up for Up To Speed: first and last name, a working phone number and e- mail address. By entering the Sweepstakes, you accept and agree to our collection of such information. All information submitted in connection with this Sweepstakes will be subject to these Official Rules and Fishman's Privacy Notice Subject to Section 13, below, personal information obtained through the Sweepstakes will be used to notify prize winner and all those participating in the Sweepstakes, unless you elect to opt-in to a particular use of your address during the Sweepstakes registration process. Please carefully read Section 13 below because it allows us to use your name, picture, likeness, address (city and state), address, biographical information, or entry in defined circumstances. 8. Odds of Winning. Odds of winning the Sweepstakes depend on the number of eligible entries received who enter the Sweepstakes. Therefore, we cannot provide numerical odds. The more entries received, the lower the chances of any one contestant winning. 9. Electronics Disclaimer. Fishman and any of its subsidiaries, affiliates, directors, officers, professional advisors, employees, and agencies will not be responsible for: (1) any late, lost, incomplete, unintelligible, or misrouted entries or errors in transmission or inaccurate entry information, whether caused by you or by any of the equipment or programming associated with or utilized in the Sweepstakes, or by any technical or human error that may occur in the processing of entries; (2) any disruptions to Internet connection, injuries, losses, or damages caused by events beyond

5 the control of Fishman; (3) any printing or typographical errors in any materials associated with the Sweepstakes; (4) any error in the operation or transmission, theft, destruction, unauthorized access to, or alteration of, entries, or for technical, network, telephone, computer, hardware or software, malfunctions of any kind, or inaccurate transmission of, or failure to receive any entry information on account of technical problems or traffic congestion on the Internet or at any website; or injury or damage to your or any other computer resulting from downloading any materials in connection with the Sweepstakes. Fishman, its contractors, representatives and agents are not responsible for technical, hardware, software, or telephone malfunctions of any kind and shall not be liable for failed, incorrect, incomplete, inaccurate, garbled, or delayed electronic communications utilized in this Sweepstakes which may limit the ability to participate in the Sweepstakes or to win the prize. If for any reason, including computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of Fishman, which corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sweepstakes is not capable of being conducted as described in these rules, Fishman shall have the right, at its sole discretion, to modify and/or cancel the Sweepstakes. Fishman will provide detailed notice to all entrants in the event of such a circumstance. 10. Taxes. ALL FEDERAL, STATE, AND LOCAL TAXES ARE THE RESPONSIBILITY OF THE PRIZE WINNER. 11. Changes to Official Rules/Final Decisions. Fishman may, to the maximum extent permitted by applicable law and in our sole discretion, change these Official Rules or suspend or cancel all or portions of the Sweepstakes at any time. All decisions regarding participation, the random drawing of the prize winner, prize awarded and/or administration of the prize and this Sweepstakes are final. ANY ENTRY THAT DOES NOT SATISFY ALL REQUIREMENTS OF THESE OFFICIAL RULES WILL BE VOIDED. 13. Publicity Rights and Winner s Agreement. By submitting an entry and/or winning and accepting the prize, you grant the right, except where prohibited by law, to Fishman and its affiliated companies, without compensation unless required by law, to use your name picture, likeness, address (city and state), address, biographical information, or entry for advertising and promotional purposes in connection with promoting or publicizing the Sweepstakes and/or Fishman products. You shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, rights of integrity or attribution, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of your name, picture, likeness, address (city and state), address, biographical information, or entry. The rights granted under this paragraph shall extend to Fishman and its affiliated companies and agents with respect to all entrants in the Sweepstakes, including the prize winner and those entrants who are not selected.

7 The winner will be required to sign an affidavit of eligibility, release, and talent agreement confirming, among other things, the grant of publicity rights described in this Section 13, prior to receiving any portion of the prize. 14. General Legal. (a) Entrants who violate these Official Rules, hinder Sweepstakes in any way, or engage in any conduct that is harmful to Fishman, the Sweepstakes, or any other entrant (as determined in Fishman s sole discretion) are subject to disqualification. Fishman may, in its sole discretion, disqualify any individual found to be: (a) tampering with the entry process, the operation of the Sweepstakes, or website; (b) acting in violation of these rules; or (c) acting in an unpalatable or disruptive manner or with intent to annoy, abuse, threaten or harass any other person. If your entry is incomplete or if you use robotic, automatic, programmed or similar entry methods, your entry will be void. The authorized subscriber of the account used to enter the Sweepstakes at the actual time of entry will be deemed to be the participant and must comply with these rules in the event of a dispute as to entries submitted by multiple users having the same account. The authorized account subscriber is the natural person who is assigned an address by an Internet access provider, on-line service provider, or other organization responsible for assigning addresses for the domains associated with the submitted addresses. (b) By entering, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant s rights and obligations, or the rights and obligations of Fishman in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of Commonwealth of Massachusetts, without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Massachusetts or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Massachusetts, irrespective of the fact that any one of the parties is now or may become a resident of a different state. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in Massachusetts and hereby waive any objection to such jurisdiction and venue. If any provision of these Official Rules shall be held invalid, illegal or unenforceable, such provision shall be enforced to the maximum extent permitted by law and the parties' fundamental intentions hereunder, and the remaining provisions shall not be affected or impaired, provided, however, that in such cases the parties oblige themselves to use their best efforts to achieve the purpose of the invalid provision by a new legally valid stipulation.
