1 THE LEGAL RECORD DECEMBER 26, 2017 PAGE 3 ORDINANCE NO ORDINANCE NO ORDINANCE REPEALING ORDINANCE NUMBERS 2347 AND 2426 PERTAINING TO THE CREATION OF A TRANSPORTATION DEVELOPMENT DISTRICT AND DISTRICT SPECIAL ASSESSMENTS AND IMPLEMENT- ING THE ONE PERCENT (1.0%) TRANSPORTATION DEVELOPMENT DISTRICT SALES TAX LEVIED IN THE 119 SHOPPING CENTER [NOW KNOWN AS TOWN CENTER CROSSING]; AND AUTHORIZING CERTAIN RELATED MATTERS AND ACTIONS. WHEREAS, the Governing Body of the City of Leawood, Kansas (the City ) authorized the creation of and established a transportation development district for the 119 Shopping Center by Ordinance No. 2345, duly adopted on September 15, 2008, encompassing the development described on attached Exhibit A, contemplating the construction of certain public and private road and parking lot related improvements and such other transportation related improvements approved by the City and providing for the issuance of special obligation bonds to pay certain costs related thereto; and WHEREAS, pursuant to Ordinance No and a Bond Trust Indenture dated as of December 1, 2010 (the Indenture ) between the City and the trustee named therein (the Trustee ), as amended, the City subsequently caused to be issued Taxable Transportation Development District Special Obligation Bonds (119 th Street Transportation Development District Project), Series 2010, in the aggregate principal amount of $2,985,000, and Taxable Transportation Development District Special Obligation Bonds (119 th Street Transportation Development District Project), Series 2012, in the aggregate principal amount of $1,615,000, payable from revenues of a transportation district sales tax levied on retail sales within the District and special assessments levied against property within the District; and WHEREAS, in connection with the establishment of the District and in anticipation of the issuance of the Bonds, the Governing Body of the City by Ordinance No duly adopted on September 15, 2008 authorized the imposition of a one percent (1.00%) transportation retailers sales tax (the TDD Sales Tax ) on retail sales within the District additional to other retail sales taxes assessed within the City; andwhereas, to further secure the payment of the Bonds, the Governing Body by Ordinance No. 2426, as amended and supplemented, levied special assessments (the TDD Assessment Tax ) in the maximum amount of twenty-five percent (25%) of Two Million Nine Hundred Eighty-Five Thousand Dollars ($2,985,000) plus interest on the principal amount thereof at the rates borne by the Bonds over a period of not to exceed twenty-two (22) years; and WHEREAS, as of the fourth quarter of calendar year 2017, the City has collected tax revenues from the TDD Sales Tax which together with other available funds are sufficient to fully pay the principal of and interest on the remaining outstanding Bonds, and the outstanding Bonds have been called for redemption and payment in whole on December 1, 2017; and WHEREAS, provision for the payment of the Bonds and of all other amounts held in the funds and accounts held by the Trustee pursuant to the Indenture having been made or duly provided for and all other obligations of the City with respect to the TDD having been satisfied, the Governing Body finds and determines it necessary and advisable to take the actions set forth as follows: KANSAS: NOW THEREFORE, BE IT ORDAINED BY THE GOVERNING BODY OF THE CITY OF LEAWOOD, SECTION ONE: Sales Tax is hereby repealed. Ordinance Number 2347, calling for the levy of the one percent (1.0%) TDD SECTION TWO: Ordinance Number 2426, as heretofore amended and supplemented providing tor the levy of the TDD Assessment Tax is hereby repealed. SECTION THREE: This Ordinance shall be published once in the official City newspaper, and a copy duly certified shall be submitted to the State Director of Taxation and to the Register of Deeds of Johnson County, Kansas for recording in the real estate records of the County. SECTION FOUR: This Ordinance shall be construed as follows: A. Savings Clause. The repeal of Ordinance numbers 2426 and 2347, as heretofore amended and supplemented, as provided herein shall not affect any rights acquired, fines, penalties, forfeitures or liabilities incurred thereunder, or actions involving any of the provisions of said Ordinances or parts thereof. B. Invalidity. If for any reason any chapter, article, section, subsection, sentence, portion or part of this proposed Ordinance set out herein, or the application thereof to any person or circumstances is declared to be unconstitutional or invalid, such decision will not affect the validity of the remaining portions of this Code or other Ordinances. SECTION FIVE: This ordinance shall take effect and be in full force from and after its passage and approved by the Governing Body and publication in the official City newspaper. 2 PAGE 4 THE LEGAL RECORD DECEMBER 26, 2017 ORDINANCE NO. 962 ORDINANCE NO. 962 AN ORDINANCE ADDING A NEW ARTICLE 16 TO CHAPTER 1 OF THE CODE OF THE CITY OF ROELAND PARK, KANSAS; ADDING SECTIONS , , , , AND TO THE CODE OF THE CITY OF ROELAND PARK, KANSAS, TO ALLOW GOVERNING BODY MEMBERS OF ROELAND PARK, KANSAS TO REMOTELY ATTEND AND VOTE IN CITY COUNCIL MEETINGS AND WORKSHOPS. BE IT ORDAINED BY THE GOVERNING BODY OF THE CITY OF ROELAND PARK, KANSAS; SECTION 1. A new Article 16 to Chapter 1 of the Code of the City of Roeland Park, Kansas, is hereby added to read as follows: ARTICLE 16. REMOTE PARTICIPATION FOR CITY COUNCIL MEETINGS AND WORKSHOPS PURPOSE. The purpose of this article is to establish reasonable guidelines for governing body members to remotely attend and participate in official legislative functions when they are unable to be physically present at a city council meeting or workshop DEFINITION. Remote participation is defined as participation of a governing body member who is not physically present SCOPE AND APPLICATION. This policy shall apply to all city council meetings and workshops that take place in Roeland Park City Hall. Remote participation will not be allowed for executive sessions POLICY. a) To be eligible for remote participation, a member of the governing body shall notify the City Administrator or the City Administrator s designee no later than noon Central Standard Time the day the meeting is to be held when meetings are held in City Hall. Meetings outside of City Hall may not have remote participation availability. b) Remote participation is intended for use when members of the governing body are ill, injured, suffering from disability, performing military service, undergoing personal emergencies, or are unable to attend due to geographic (outside Kansas City Metro area) distance. c) A quorum, not including any remote participant(s), must be physically present for binding action to occur at a city council meeting where governing body members are participating remotely. d) Those utilizing remote participation at a city council workshop shall count towards a quorum provided, however, that a majority of the governing body members being present in person or by remote attendance shall constitute a quorum only for the purpose of giving direction to City staff. e) It is incumbent upon the member utilizing remote participation that he or she can participate fully and does not unduly burden the physically present members of the governing body due to technological issues or telecommunication problems. f) A member of the governing body cannot utilize remote participation for chairing a meeting. g) Once a member of the governing body has used remote participation two (2) times for a city council meeting and two (2) times for a city council workshop in a calendar year, any further requests to participate will be considered by the governing body on a case-by-case basis. h) City staff shall make reasonable efforts to provide any remote participating member of the governing body with any documents that are needed for full-participation in the meeting PROCEDURES. a) The City Administrator or his/her designee shall, upon notification by a member of the governing body for the use of remote participation that abides by the above prescribed rules, make all reasonable and needed technological and other accommodations necessitated by the request. b) This policy prescribes no specific required technology such as a speaker phone or video that must be used. The technology must function properly so that all members may hear the remote participator and the remote participator may hear all the other members. c) The clerk will record the presence of any member using remote participation with a note stating the same. The clerk shall also record the entrance, exit, or re-entrance of any governing body member utilizing remote participation. d) Initial technical difficulties shall be dealt with by a suspension of discussion in an attempt to remedy the problem. The Mayor or Council President in the Mayor s absence shall have the authority to discontinue the use of remote participation due to technical issues. e) In general, delays collectively lasting longer than ten (10) minutes will result in the discontinuation of remote participation and the termination of any remote connection, at the discretion of the Mayor or the Council President in the Mayor s absence. f) The remote participant will verify his or her identity at the beginning of the meeting and state that he or she is fully participating without any undue influence by others. g) PASSED by the City Council this 18th day of December, APPROVED by the Mayor. WHEREAS, the City of Shawnee, Kansas (the Issuer or the City ), is authorized and empowered pursuant to the provisions of K.S.A to d, inclusive, as amended (the Act ), to acquire, construct and equip certain facilities (as defined in the Act) for the stated statutory purposes, to enter into lease and lease purchase agreements with any person, firm or corporation for said facilities, and to issue revenue bonds for the purpose of paying the cost of such facilities; and WHEREAS, the Governing Body of the Issuer adopted Resolution No on July 25, 2016, as amended by Resolution No adopted on June 26, 2017, indicated its intent to issue the principal amount of not to exceed $8,000,000 of federally taxable private activity revenue bonds pursuant to the Act, to finance the costs of acquiring, constructing and equipping an approximately 34,557 square foot commercial building and structured parking, including real estate (the Project Site ), buildings and improvements (the Project Improvements ) and equipment (the Project Equipment ) located approximately at the intersection of Shawnee Mission Parkway and Goddard Street, within the City (collectively, the Project Site, Project Improvements and Project Equipment are referred to herein as the Project ), within the City, in order to promote, stimulate and develop the general economic welfare and prosperity of the City and its environs and the health of the citizens thereof and thereby to further promote, stimulate and develop the general economic welfare and prosperity of the State of Kansas (the State ) and the health of the citizens thereof; and WHEREAS, the City intends to lease the Project to Stag s Creek, LLC, a Kansas limited liability company (the Company ); and WHEREAS, the Issuer has heretofore found and does now find and determine that it is desirable in order to promote, stimulate and develop the general economic welfare and prosperity of the Issuer and the State that the Issuer issue its Federally Taxable Private Activity Revenue Bonds, Series 2017 (Stag s Creek, LLC Project) (the Bonds ), in the principal amount not to exceed $8,000,000, to be issued for the purpose of financing the acquisition, construction and equipping the Project, to be leased to the Company; and WHEREAS, the Issuer further finds and determines that it is necessary and desirable in connection with the issuance of the Bonds that the Issuer enter into certain documents, and that the Issuer take certain other actions and approve the execution of certain other documents as herein provided. KANSAS: NOW THEREFORE, BE IT ORDAINED BY THE GOVERNING BODY OF THE CITY OF SHAWNEE, Section 1. Authorization for the Issuance of Bonds. The Issuer is hereby authorized to provide for the issuance of the Bonds for the purpose of financing the acquisition, construction and equipping of the Project and paying of the costs of issuance of the Bonds, all in the manner and as more particularly described in the herein defined Indenture and Lease. Section 2. Authorization of and Security for the Bonds. The Issuer is hereby authorized to issue and sell the Bonds for the purpose of providing funds to pay the cost of acquiring, constructing and equipping the Project and paying the costs of issuance of the Bonds. The Bonds shall be issued and secured pursuant to the herein authorized Indenture and shall bear such dates, shall mature at such times, shall be in such denominations, shall bear interest at such rates, shall be in such form, shall be subject to redemption, purchase and other terms and conditions, and shall be issued in such manner, subject to such provisions, covenants and agreements, as are set forth in the Indenture. The Bonds shall be payable solely out of the rents, revenues and receipts derived by the Issuer from the Project, and the Project and the net earnings derived by the Issuer from the Project shall be pledged and assigned to the herein defined Trustee as security for payment of the Bonds as provided in the Indenture. Section 3. Authorization of Documents. The Issuer is hereby authorized to enter into the following documents (collectively, the Issuer Documents ), in substantially the forms presented to and reviewed by the Governing Body of the Issuer, at this meeting (copies of which documents shall be filed in the records of the Issuer) with such changes therein as shall be approved by the officials of the Issuer executing such documents, such officials signatures thereon being conclusive evidence of their approval thereof: (a) Trust Indenture dated as of December 1, 2017 (the Indenture ), by and between the Issuer and BOKF, N.A., as trustee (the Trustee ), pursuant to which the Bonds shall be issued and the Issuer shall pledge the Project and assign the rents, revenues and receipts received pursuant to the Lease to the Trustee for the benefit of and security of the holders of the Bonds upon the terms and conditions as set forth in said form of Indenture; (b) Lease dated as of December 1, 2017 (the Lease ), by and between the Issuer and the Company under which the Issuer will agree to use the proceeds derived from the sale of the Bonds for the purpose of financing the costs of acquiring and constructing the Project and to lease the Project back to the Company, and the Company will agree to make payments in amounts sufficient to provide for the payment of the principal of, redemption premium, if any, and interest on the Bonds as the same become due; and (c) Payment in Lieu of Tax Agreement dated as of December 1, 2017 (the Payment in Lieu of Tax Agreement ), by and between the Company and the Issuer; and (d) Bond Purchase Agreement dated as of December 1, 2017 (the BPA ), providing for the sale of the Bonds by the Issuer to the Company, as Purchaser. Section 4. Execution of the Bonds and Documents. The Mayor is hereby authorized and directed to execute the Bonds by manual signature and to deliver the Bonds to the Trustee for authentication for and on behalf of and as the act and deed of the Issuer in the manner provided in the Indenture. The Mayor is hereby authorized and directed to execute and deliver the Issuer Documents and such other documents, certificates and instruments as may be necessary or desirable to carry out and comply with the intent of this Ordinance, for and on behalf of and as the act and deed of the Issuer. The City Clerk is hereby authorized and directed to attest to and affix the seal of the Issuer to the Bonds, the Issuer Documents and such other documents, certificates and instruments as may be necessary or desirable to carry out and comply with the intent of this Ordinance. Section 5. Further Authority. The Issuer shall, and the officials, employees and agents of the Issuer and Kutak Rock LLP, the Issuer s Bond Counsel, are hereby authorized and directed to, take such action, expend such funds and execute such other documents, certificates and instruments as may be necessary or desirable to carry out and comply with the intent of this Ordinance and to carry out, comply with and perform the duties of the Issuer with respect to the Bonds and the Issuer Documents. Section 6. Effective Date. This Ordinance shall be in full force and effect take effect from and after its passage and approval by the Governing Body of the Issuer and its publication in the official newspaper of the Issuer. 4 PAGE 6 THE LEGAL RECORD DECEMBER 26, 2017 ORDINANCE NO CITY OF SHAWNEE ORDINANCE NO AN ORDINANCE MAKING FINDINGS AS TO THE NATURE AND ADVISABILITY OF CREATING A COMMU- NITY IMPROVEMENT DISTRICT AT THE NORTHEAST CORNER OF WEST 75 TH STREET AND QUIVIRA ROAD; CREATING SAID COMMUNITY IMPROVEMENT DISTRICT; AUTHORIZING A CERTAIN COMMUNITY IMPROVEMENT PROJECT RELATING THERETO; APPROVING THE MAXIMUM COST OF SUCH COMMUNI- TY IMPROVEMENT PROJECT; ESTABLISHING THE BOUNDARIES OF THE COMMUNITY IMPROVEMENT DISTRICT; AND PROVIDING FOR THE METHOD OF FINANCING OF THE COMMUNITY IMPROVEMENT DISTRICT (WESTBROOKE VILLAGE CID). WHEREAS, pursuant to K.S.A. 12-6a26 et seq., as amended (the Act ), municipalities are authorized to create community improvement districts for economic development purposes and any other purpose for which public money may be expended; and WHEREAS, the City of Shawnee, Kansas (the City ), is a municipality within the meaning of the Act; and WHEREAS, the Act further authorizes the City, in order to pay the community improvement district project costs, to levy special assessments in the community improvement district to be paid in installments, to impose a community improvement district sales tax on the selling of tangible personal property at retail or rendering or furnishing services within a community improvement district in any increment of.10% or.25% not to exceed 2.0% and to issue special obligation notes or bonds payable from such community improvement district sales tax and/or provide payasyou go financing; and WHEREAS, a petition (the Petition ) was filed by MP Westbrooke North LLC, a Delaware limited liability company, MP Westbrooke South LLC, a Delaware limited liability company, and MP Westbrooke East LLC, a Delaware limited liability company (collectively the Petitioners ), with the City Clerk of the City on September 20, 2017, requesting (a) the creation of a community improvement district located generally at the northeast corner of West 75 th Street and Quivira Road within the City (the Westbrooke Village CID ); (b) the making of improvements related thereto; (c) the community improvement district project costs to be incurred within the Westbrooke Village CID be financed with payasyou go financing and/or with special obligation notes and bonds; and (d) the City levy a community improvement district sales tax on the selling of tangible personal property at retail or rendering or furnishing services within the CID in the amount of one and one-half percent (1.5%) (the CID Sales Tax ), all in accordance with the Act; and WHEREAS, the Petition was signed by the owners of record, whether resident or not, of more than 55% of assessed value of the land area contained within the proposed Westbrooke Village CID and by more than 55% percent of all owners of real property within the boundaries of the Westbrooke Village CID excluding public right of way; and WHEREAS, pursuant to Resolution No of the City, adopted on November 13, 2017, the Governing Body of the City directed a public hearing on the proposed Westbrooke Village CID be held and declared its intent to levy the CID Sales Tax in the proposed Westbrooke Village CID; and WHEREAS, on December 18, 2017, following proper notice as provided in the Act, the Governing Body of the City held a public hearing on the proposed Westbrooke Village CID, the proposed community improvement district project and the imposition of the CID Sales Tax in the proposed Westbrooke Village CID; and WHEREAS, the Governing Body of the City hereby finds and determines it to be advisable to create the Westbrooke Village CID and set forth the boundaries thereof, authorize a community improvement project relating thereto, approve the maximum costs of such community improvement project and approve the method of financing the same, all in accordance with the provisions of the Act. KANSAS: NOW THEREFORE, BE IT ORDAINED BY THE GOVERNING BODY OF THE CITY OF SHAWNEE, SECTION 1. Creation of Community Improvement District; Approval of Boundaries. The Governing Body of the City hereby finds and determines that it is advisable to create the Westbrooke Village CID within the City and approve the boundaries thereof, and, as such, hereby creates the Westbrooke Village CID and approves the boundaries thereof. A legal description of the property within the Westbrooke Village CID is set forth on Exhibit A attached hereto and incorporated herein by reference. A map generally outlining the boundaries of the Westbrooke Village CID is attached hereto as Exhibit B and incorporated herein by reference. SECTION 2. Authorization of Community Improvement District Project; Maximum Costs. The Governing Body of the City hereby authorizes the project within the Westbrooke Village CID described on Exhibit C attached hereto (the Project ), approves the estimated cost of the Project and determines the maximum cost of the Project is $10,359,154. Notwithstanding the approval of the Project by this Ordinance, the Project and owner or owners of all property comprising the Project must comply with all applicable zoning, planning, permit and other laws and regulations applicable to the Project. SECTION 3. Method of Financing. The Project within the proposed Westbrooke Village CID will be financed on a payasyougo basis, from revenues received from the imposition of the CID Sales Tax. No special assessments shall be implemented under the Act to pay for the Project and no special or general obligations bonds or notes will be issued to finance the Project. SECTION 4. Levy of Sales Tax. In accordance with the Act and to provide funds to pay costs of the Project, the Governing Body of the City hereby levies a community improvement district sales tax on the selling of tangible personal property at retail or rendering or furnishing services within the Westbrooke Village CID in the amount of one and one half percent (1.5%), i.e., the CID Sales Tax. The collection of the CID Sales Tax shall commence on January 1, 2021, or the earliest date thereafter on which the Kansas Department of Revenue agrees to begin the imposition of the CID Sales Tax and shall expire on the earlier of (a) 22 years from the date the Department of Revenue begins the collection of the CID Sales Tax or (b) the date on which reimbursement of payasyougo costs of the Project, not to exceed $10,359,154 to the extent permitted in the redevelopment agreement between the City and the Petitioners pertaining to the Westbrooke Village CID, has been paid. The CID Sales Tax shall be administered, collected and subject to the provisions of K.S.A et seq. SECTION 5. Authorization to Execute of Documents. The Mayor, City Clerk and other appropriate officers of the City are hereby authorized and directed to execute, attest, acknowledge and deliver for and on behalf of and as the act and deed of the City, any other documents, certificates and instruments as may be necessary or desirable to carry out and comply with the intent of this Ordinance. SECTION 6. Effective Date. This Ordinance shall be in full force and take effect from and after its passage, approval and publication once in an official City newspaper.
