Defendants bring the motion on the grounds: ( this Court, in recent Order on the Motion to Dismiss, held that further factual development is necessary to any determination as to whether the underlying Thomason action is uninsurable under the laws of the State of California; ( that the uninsurability and other coverage issues as to which Defendants need discovery in this action are closely related to the liability issues being litigated in the underlying Thomason action, such that discovery here might prejudice the outcome of that action; ( that Plaintiffs have not agreed to respond to any such discovery propounded by Defendants, and have instead suggested that they will not respond to any discovery propounded by Defendants during the pendency of the underlying action, even though they have propounded voluminous discovery requests on Defendants, which they will not agree to stay; and ( justice and equity require that any stay of discovery in this action be mutual, because, in our adversarial system, litigation and discovery are not, and cannot be, a one-way street. INTRODUCTION Defendants, Twin City Fire Insurance Company ( Twin City and The Hartford Financial Services Group, Inc. ( HFSG, hereby move to stay this action pending the resolution of the underlying Thomason action. Mario R. Ferla, Steven Saleen, Thomas Del Franco, Martin H. Karo, and Jack Pitluk ( Plaintiffs have propounded discovery on Twin City and HFSG, but have indicated that they would object to providing discovery responses relevant to the character, basis, and merits of the underlying Thomason action, on the ground that such discovery would be prejudicial to the outcome of the Thomason action. Yet at the outset of this action, Twin City and HFSG warned Plaintiffs that this action was premature in that discovery in this action might prejudice the outcome of the underlying action, and therefore suggested that Plaintiffs dismiss this action without prejudice, pending the conclusion of the underlying litigation, and then re-file at that time if necessary. Plaintiffs declined to do so. Alternatively, Twin City and HFSG agreed to proceed with this action (in the event it were not dismissed, and respond substantively to discovery propounded by Plaintiffs, as long as Plaintiffs would agree in writing not to object or refuse to respond to discovery regarding the substance of the underlying action on the ground that it would be prejudicial to the outcome of that action. Plaintiffs declined to agree to such an arrangement. If Plaintiff will not provide discovery regarding the underlying action, and yet Defendants need it to try their case, then a mutual stay of the entire action is appropriate. It is inappropriate and unjust for Plaintiffs to be relieved of their discovery obligations, while retaining the ability to seek such discovery from Twin City and HFSG. To that end, Twin City and HFSG have attempted, in a spirit of cooperation and fairness, to reach an agreement with Plaintiffs to stay discovery as to both sides until resolution of the underlying action. Unfortunately, Plaintiffs have refused to respond to Twin City and HFSG S invitation. Apparently, Plaintiffs hope --

7 Case :0-cv-00-VBF-FFM Document Filed 0/0/0 Page of Los Angeles, California to obtain substantive discovery from Defendants, without providing any substantive responses to discovery propounded by Defendants regarding the underlying action (which this Court has indicated it needs to consider in determining whether the Thomason action is covered and insurable under the laws of the State of California. This conclusion is bolstered by Plaintiffs proposal, during the meet and confer process, that Defendants respond fully to discovery propounded by Plaintiffs, and then propound their own discovery requests and see how Plaintiffs respond, before bringing a motion to stay a lopsided and potentially inequitable procedure. Therefore, Twin City and HFSG are left with no other choice than to seek a protective order to stay the instant case pending the resolution of the underlying Thomason action. II. PROCEDURAL HISTORY This action is an insurance coverage dispute. The policy at issue is Twin City s Private Choice Encore! Policy Number 00 KB 0-0 (the Policy. Plaintiffs allege several purported claims: breach of insurance contract (duty to defend; breach of contract (duty to indemnify; breach of the implied covenant of good faith and fair dealing; tortious interference with insurance contract; violation of California Business and Professions Code section 0; and declaratory relief. See Complaint. The Plaintiffs allege that Twin City and HFSG have breached the Policy by refusing to defend, or to indemnify any settlement of, or judgment in, the underlying lawsuit, Thomason Auto Group, LLC v. Ferla, et al., Case No. 0-cv- 0-JLL-CCC (D. N.J. (the Thomason action. Id. Twin City and HFSG have agreed to pay for the defense of the Thomason action, subject to a full reservation of rights to deny coverage on any applicable basis. A. THE UNDERLYING ACTION The complaint in the Thomason action asserts the following causes of action against the Plaintiffs: ( Violations of the Racketeer Influenced and Corrupt Organizations Act ( RICO, U.S.C. (c; ( RICO Violations, U.S.C. --

(d; ( Tortious Interference with Prospective Business Relations; ( Fraud in the Inducement; ( Unjust Enrichment; ( Conversion; ( Common Law Fraud; ( Intentional Misrepresentation; (0 Negligent Misrepresentation; ( Equitable Fraud; ( Aiding and Abetting the Commission of a Tort; ( Conspiracy to Commit a Tort; ( Breach of Fiduciary Duty; and ( Constructive Trust. (See Complaint, pp. -, -. In denying Defendants Motion to Dismiss this action (which was brought on the ground that coverage for these types of claims, which are premised entirely upon alleged wilful conduct, are uninsurable under the laws of the State of California, this Court intimated that the uninsurability issue was better suited to a motion for summary judgment, after the completion of some discovery regarding the factual and legal basis and merits of the claims asserted in the Thomason action. However, such discovery in this action runs the risk of affecting the outcome of the Thomason action. Therefore, a stay of discovery as to the uninsurability issue, which is the central issue of this case, is appropriate. Moreover, if Defendants discovery requests should be stayed, then Plaintiffs discovery requests should be stayed as well, lest one side obtain an unfair advantage over the other as a result of disparate, non-mutual treatment with respect to discovery. Accordingly, a stay of the action in its entirety is most appropriate. B. DISCOVERY TO DATE Twin City and HFSG ( the Defendants advised Plaintiffs during the Rule (f conference on August, 0 that they would not respond substantively to discovery in this action if Plaintiffs were planning to object to discovery propounded by Defendants on the ground that it would prejudice the underlying Thomason action. (Declaration of Michael F. Perlis filed concurrently herewith,.. Twin City and HFSG received Plaintiff Ferla s First Set of Interrogatories and Requests for Twin City and HFSG still maintain, and reserve the right to argue on appeal, that dismissal of this action for the reasons stated in the motion to dismiss would have been appropriate. --

Albert, on August 0, 0 informing him in writing that Twin City and HFSG would not respond substantively to discovery requests if Plaintiffs did not agree to not seek a stay of discovery and to respond similarly to Twin City and HFSG s discovery requests. (Id. at. Mr. Albert never responded to Defendants letter in writing but did respond orally during a telephonic meeting on September, 0 in which Mr. Albert indicated that Plaintiffs would object to discovery propounded by Defendants on the grounds that it would prejudice the outcome of the underlying action. (Id. at. Subsequently, Thomas Del Franco s First Request for Production of Documents and Steven Saleen s First Request for Production of Documents were received by Twin City and HFSG on August, 0. Thomas Del Franco s First Set of Interrogatories and Martin Karo s First Requests for Production of Documents were received on August, 0. To date, Twin City and HFSG have responded to all discovery requests which have become due including Ferla s First Set of Interrogatories and First Request for Production of Documents as well as Del Franco s First Request for Production of Documents and Saleen s First Request for Production of Documents. Defendants have responded to the discovery requests by indicating which interrogatories and requests they will substantively respond to at the appropriate time, and which interrogatories and requests they object to. III. ARGUMENT Courts have broad discretion to impose limits on discovery and protect a party from annoyance, embarrassment, oppression or undue burden or expense. United States v. CBS, Inc., F.d, - (th Cir.. A stay may be imposed whenever the interests of justice so require, including when discovery in coverage litigation may prejudice the insured in the underlying action against it. See Haskel, --

App. th,, 0- ( (court ordered stay of discovery where such discovery might prejudice the interests of defendant insured in the underlying liability suit. A. THE UNDERLYING ACTION WILL BE PREJUDICED BY DISCOVERY IN THIS ACTION A stay should be granted where discovery in an action could prejudice the outcome of an underlying action. See id.; Cosicia v. McKenna Cal. th at 0 (0 (the court held that trial court should stay a criminal malpractice action while the plaintiff pursues post-conviction remedies to establish exoneration. Pursuant to this longstanding principle, the California Supreme Court held that courts should stay insurance coverage actions which could unduly prejudice the outcome of the underlying action, until that underlying action has been resolved. Montrose Chemical Corp. v. Super. Ct., Cal. th (. The Montrose court specifically stated, [t]o eliminate the risk of inconsistent factual determinations that could prejudice the insured, a stay of the declaratory relief action pending resolution of the third party suit is appropriate when the coverage question turns on facts to be litigated in the underlying action. Id. at 0-0. The Court of Appeal in Haskel adapted the Montrose analysis to the discovery context and held that courts may stay discovery where discovery is sought on matters logically related to issues affecting the insured's liability in the underlying action. Haskel, Cal. App. th at 0. In determining whether to grant a Haskel motion, courts should analyze the following factors: ( the exact nature of the claims asserted in the underlying action, ( the defenses to coverage that are asserted by the insurers and to what extent they are logically related to the liability issues raised in the underlying action, ( the factual questions to be resolved in order to sustain or defeat such defenses, ( the likely nature of the available evidence, ( the extent insureds will suffer prejudice by the enforced discovery of the evidence which tends to support or defeat its claim of coverage or the defenses raised by the insurers and --

11 Case :0-cv-00-VBF-FFM Document Filed 0/0/0 Page of Los Angeles, California ( the extent to which a confidentiality order will realistically protect insureds from prejudicial disclosure. Id. at 0. All of Plaintiffs claims in this action hinge on whether there is any coverage available under the Policy for the underlying Thomason action. According to this Court, resolution of the fundamental coverage issue requires discovery of evidence regarding the substance of the underlying Thomason action. California courts hold that such discovery has the strong potential to prejudice the outcome of the underlying Thomason action. B. DISCOVERY OBLIGATIONS SHOULD BE MUTUAL AND RECIPROCAL Since Twin City and HFSG recognize the potentially prejudicial nature of such discovery on the underlying action, but also assert their own right to an effective defense and equal access to all relevant evidence, in a fair and evenhanded proceeding, they request a stay of all discovery, not just the discovery propounded on Plaintiffs. Plaintiffs have refused to agree that they will respond substantively to discovery regarding any issues that may prejudice the underlying action. Twin City and HFSG have engaged in numerous communications with Plaintiffs counsel in which Plaintiffs counsel has either indicated that they would, or declined to confirm that they would not, object to providing such discovery. (See Perlis Declaration. Twin City and HFSG have attempted to come to a common understanding with Plaintiffs regarding discovery obligations, in order to ensure reciprocity and mutuality, but to no avail. Given that Plaintiffs assert that potentially prejudicial discovery regarding the underlying action should be stayed during the pendency of that action, such a stay should apply equally to both sides, and to other proceedings as well as discovery. It would be unjust and inefficient to require one side to be responsive to discovery while the other side is not. It is inequitable to continue to impose additional costs --

12 Case :0-cv-00-VBF-FFM Document Filed 0/0/0 Page of Los Angeles, California and inconvenience upon Twin City and HFSG, when Plaintiffs themselves refuse to be responsive to discovery propounded by Defendants. Discovery obligations should be reciprocal in order to ensure that neither side is prejudiced by such an order. To date, Plaintiffs have propounded six separate sets of overly broad and unduly burdensome Interrogatories or Requests for Production of Documents upon Twin City and/or HFSG, but will not agree to provide Defendants with discovery regarding the fundamental coverage issues at the heart of this action. Therefore, this Court should stay this action for the remainder of the pendency of the underlying Thomason action. IV. CONCLUSION Consistent with the purposes of the Federal Rules of Civil Procedure to effect the just, speedy and inexpensive determination of every action, a stay of this action is warranted. Allowing discovery to proceed in the unilateral fashion advocated by plaintiffs would only serve to unjustly expend the time and resources of Twin City and HFSG and the Court while allowing Plaintiffs to be unresponsive to reciprocal discovery requests. Accordingly, Twin City and HFSG respectfully request that the Court stay this action, until such time as the underlying Thomason action has been resolved and both parties, the Plaintiffs and Defendants, will be subject to the same discovery obligations without the ability of prejudicing the underlying action.
