4 REQUEST FOR PROPOSAL ( RFP ) RFP NO: Article 1 Introduction 1.1 Purpose This Request for Proposal is issued by UHN for the purpose of soliciting Proposals from interested Proponents for the provision of a General Contractor for the Cardiac Upgrades Project at the Toronto General Hospital and the Toronto Western Hospital (the Project ). 1.2 Background and Project Information UHN University Health Network consists of Toronto General and Toronto Western Hospitals, the Princess Margaret Cancer Centre, Toronto Rehabilitation Institute, and The Michener Institute of Education at UHN. The scope of research and complexity of cases at University Health Network has made it a national and international source for discovery, education and patient care. It has the largest hospital-based research program in Canada, with major research in cardiology, transplantation, neurosciences, oncology, surgical innovation, infectious diseases, genomic medicine and rehabilitation medicine. University Health Network is a research hospital affiliated with the University of Toronto Project Information For detailed information on the scope of work under this RFP, see the Scope of Work Schedule and the List of Appendices. UHN makes no guarantee of the value or volume of work to be assigned to any successful Proponent(s). 1.3 Agreement The Highest-Ranked Proponent shall be required to enter into the agreement ( Agreement ) based on the Form of Agreement Schedule. The Agreement will be signed on or around January 2018, and no obligation on the part of UHN shall arise until such time as the Agreement is signed (provided that the terms of the RFP shall apply between UHN and each compliant Proponent). Any Agreement executed with the Highest-Ranked Proponent will not be an exclusive agreement for the provision of the described Deliverables. The term of the Agreement is intended to be for a period of three (3) years, with an option in favour of UHN to extend the term of the Agreement on the same terms and conditions for an additional period of up to one (1) year. The proposed work plan is subject to the project completion schedule proposed in the RFP and/or as mutually agreed upon and finalized between the successful Proponent and UHN GC for Cathlab Upgrades Project - 4 -

5 1.4 Definitions and Interpretation All definitions and rules of interpretation shall be as set out in Article 6 (Definitions and Interpretation) unless otherwise noted in this RFP. 2.1 RFP Administrator Contact Information Article 2 RFP Preliminary Procedures All communications regarding any aspect of this RFP (up until contract award notification) must be directed to the RFP Administrator: Name : Title : Address: Leonard D Souza Strategic Sourcing Specialist 700, University Avenue, 2nd Floor, UHN Procurement Management Office, Toronto, M5G 2L3 Phone: , Ext Leonard.D Souza@uhn.ca Proponents that fail to comply with the requirement to direct all communications to the RFP Administrator may be disqualified from the RFP process. 2.2 Proposal Submission To be considered in the RFP process, a Proponent s Proposal must be received by the submission deadline (the Closing Time ). For submission instructions, follow the instructions in the Submission Instructions for Suppliers Schedule. Each Proponent is responsible for the actual delivery of its Proposal prior to the Closing Time to the electronic URL specified in the Submission Instructions for Suppliers Schedule. A Proponent should allow sufficient time in accordance with the Submission Instructions for Suppliers Schedule to ensure its Proposal is received by the Closing Time. 2.3 RFP Tentative Schedule The following is a summary of the key dates in the RFP process: GC for Cathlab Upgrades Project - 5 -

Only the shortlisted Proponents will be contacted. UHN may change any of the above dates and times, including the RFP Closing Time, in its sole discretion and without liability, cost or penalty. In the event a change is made to any of the above dates, UHN will post any such change on Biddingo, or in the case of invitational RFP s, such addenda will be issued to the contact person identified for the Proponent. In the event of any change in the Closing Time, the Proponents shall thereafter be subject to the extended timeline. Article 3 Evaluation Process 3.1 General The evaluation of the Proposals will be conducted by the Evaluation Team in several stages, as described below. UHN will determine the membership of the Evaluation Team, in its sole discretion, which may include external consultants and advisors. A Proposal must include, or conform with the following mandatory requirements: Declaration Declaration provided for in the Response Schedule, completed and signed by the Proponent in accordance with the instructions contained in the Declaration. 8 Pricing Exhibit submitted in a separate file Submission of Bid Bond (10% of the bid value) Submission of Consent of Surety (50% Performance Bond, 50% Labour and Material Bond) Certificate of Insurance issued by the Insurance Broker (for minimum value of $15 Million) 3.3 Stage II Evaluation of General Requirements General [52 points] Proponents are to respond to the General Requirements of this RFP in the Response Schedule or as otherwise directed in that schedule. The General Requirements set out in the Response Schedule will be scored and failure by a Proponent to meet any requirement will affect the Proponent s evaluation and final score under Article 3 (Evaluation Process) Short listing UHN may short list up to five (5) top-ranked Proponents based on scoring of the General Requirements. Only those short listed Proponents will be evaluated further. Should there be a tie between Proponents at this stage, then the tie break process described in Section (Tie Score) will be used to determine short listed Proponents. 3.4 Stage III Oral Presentation and/or Site Visit [10 points] The purpose of the oral presentation and/or site visit will be to allow the Proponent to address the major elements of its Proposal, to obtain any required clarification, and to allow members of the Evaluation Team to interact directly with key representatives of the Proponent s proposed team so as to validate and to make final adjustments, if required, to the evaluation results of the written Proposal. In advance of the oral presentation and/or site visit, each Proponent invited to make a presentation will be notified in writing of the matters on which clarification will be sought and the agenda for the oral presentation and/or site visit. The Proponent will not have the opportunity to modify its written Proposal or otherwise introduce new information during the oral presentation and/or site visit stage. 3.5 Stage IV References [3 points] The Evaluation Team will review the references provided by the short-listed proponents. References will be assessed as to their satisfaction with the work or services delivered to the reference and will serve to validate (or not, as the case may be) the evaluation conducted by the Evaluation Team GC for Cathlab Upgrades Project - 8 -

9 3.6 Stage V - Pricing General [35 points] Pricing will be scored based on the pricing formula set out below on the basis of the information provided in the Price Exhibit set out in the Response Schedule. Each Proponent or short listed Proponent, as applicable, will receive a percentage of the total possible points allocated to price for the Deliverables. Pricing Formula: Pricing will be scored based on a relative pricing formula using the ceiling rate set out in the Price Exhibit. Each Proponent will receive a percentage of the total possible points allocated to rate for the ceiling rate it has bid by dividing that Proponent s ceiling rate into the lowest bid ceiling rate. For example: If the lowest bid rate is $120.00, that Proponent would receive 100% of the possible points (120/120 = 100% or 40 Points). Lowest Rate X Total Available Points = Score for the Lowest Rate Lowest Rate $ X 40 = 40 Points $ If the second lowest rate is $150.00, that Proponent would receive 80% of the possible points (120/150 = 80% or 40 Points). Lowest Rate X Total Available Points = Score for the 2 nd Lowest Rate 2 nd Lowest Rate $ X 40 = 32 Points $ GC for Cathlab Upgrades Project - 9 -

10 3.6.2 Tie Score In the event of a tie score between two or more Proposals, UHN shall break the tie by comparing scores of the highest weighted Exhibit. The Proponent with the highest score in this Exhibit will be considered the Highest-Ranked Proponent. If there is still a tie, the Exhibit with the next highest weighting will be considered and so forth until a clear winner is determined. UHN will notify the Highest-Ranked Proponent of its position as the Highest-Ranked Proponent, and subject to Section 3.7 (Discussions with Highest-Ranked Proponent) invite it to enter into discussions to finalize the terms of the Agreement, attached in the Form of Agreement Schedule. Subject to the requirements of Section 3.7 (Discussions with Highest-Ranked Proponent) UHN expects that the Agreement will be executed substantially in the form in which it appears in this RFP. 3.7 Discussions with Highest-Ranked Proponent After identifying the Highest-Ranked Proponent, if any, UHN may attempt to finalize the terms and conditions of the Agreement, attached in the Form of Agreement Schedule, or may, in its sole discretion, prior to making an award, enter into a letter of intent with the Highest-Ranked Proponent or enter into an interim purchase order, on terms satisfactory to UHN, as an interim measure; and/or negotiate changes, amendments, or modifications to the Highest-Ranked Proponent s Proposal. Subject to the requirements of Section 3.7 (Discussions with Highest-Ranked Proponent) UHN expects that the Agreement will be executed substantially in the form in which it appears in this RFP. UHN shall at all times be entitled to exercise its rights under Section 5.25 (Rights of UHN Highest-Ranked Proponent). For certainty, UHN makes no commitment to the Highest-Ranked Proponent that the Agreement will be executed. The Highest-Ranked Proponent acknowledges that the commencement of any discussions does not obligate UHN to execute the Agreement. 4.1 Proposal Format General Article 4 Proposal Format The Proponent should provide its responses to the requirements of this RFP using the Response Schedule, including any Exhibits attached to the Response Schedule, in accordance with the Submission Instructions for Suppliers Schedule and instructions in this RFP. 11 completed without delineations, alterations, or erasures. Pricing information must not be included in the Proposal file provided for in the Submission Instructions for Suppliers Schedule Schedules The following Schedules are attached to and form an integral part of this RFP: Submission Instructions for Suppliers Schedule Scope of Work Schedule Response Schedule Form of Agreement Schedule Issued for tender Documents Documents included in the Appendices Schedule Technical Issues In preparing its Proposal, the Proponent should adhere to the following: (d) (e) (f) (g) all pages should be numbered; each document size cannot exceed 100 MB; avoid using scanned copies of documents, where possible, which tend to increase the size of the document; Proponent s should not include any embedded literature links within a Proposal; the Schedules and Exhibits provided, as appropriate, should be used for completing the Proposal; the Proposal should be complete in all respects; and the Submission Instructions for Suppliers Schedule. Article 5 Terms and Conditions Part A Procedure Details 5.1 Communications General Without limiting the generality of the provisions of this RFP, Proponents shall not communicate with or attempt to communicate with the following: any employee or agent of UHN (other than the RFP Administrator); GC for Cathlab Upgrades Project

12 (d) any member of the Evaluation Team; any expert or advisor assisting the Evaluation Team; or any member of UHN s Board of Trustees Notice Proponents are advised that from the date of issue of the RFP through any award notification: (d) only the RFP Administrator is authorized by UHN to amend or waive the requirements of the RFP pursuant to the terms of this RFP; as noted above, Proponents must not contact any officer, trustee, employee, agent of UHN, or UHN s Board of Trustees, except for the RFP Administrator, unless instructed to do in writing by the RFP Administrator; under no circumstances shall a Proponent rely upon any information or instruction from any officer, trustee, employee, agent of UHN or UHN s Board of Trustees, unless the information or instruction is provided in writing by the RFP Administrator; and no officer, trustee, employee, agent of UHN or UHN s Board of Trustees shall be responsible for any information or instructions provided to the Proponent, with the exception of information or instructions provided in writing by the RFP Administrator Proposal Submissions Proposals are to be submitted in English only, and any Proposal received by UHN that is not entirely in English may be disqualified. 5.2 Information Proponent to Review Every Proponent should carefully review the RFP to ensure that it has no reason to believe there are any uncertainties, inconsistencies, errors, omissions, or ambiguities in any part of the RFP. Every Proponent is responsible for conducting its own investigations and due diligence necessary for the preparation of its Proposal Proponent to Notify In the event a Proponent has any reason to believe that any of the circumstances listed in Section (Proponent to Review) exist, the Proponent must notify the RFP Administrator in writing prior to submitting a Proposal. The RFP Administrator will then clarify for the benefit of all Proponents. Proponents shall not: GC for Cathlab Upgrades Project

13 after submission of a Proposal, claim that there was any misunderstanding or that any of the circumstances set out in Section (Proponent to Review) were present with respect to the RFP; or claim that UHN is responsible for any of the circumstances listed in Section (Proponent to Review) of the RFP. 5.3 Clarification and Questions Submission The following apply regarding any request for clarification of any aspect of the RFP: (d) Proponents must submit requests for clarification by to the RFP Administrator, or as may otherwise be directed by the RFP Administrator; in submitting a request for clarification, a Proponent should include its address, telephone number, and address; where a question relates to a specific section of this RFP, reference should be made to the specific section number and page of the RFP; and requests for clarification must be submitted in accordance with the Section 2.3 RFP Tentative Schedule Questions and Answers UHN will provide Proponents with written responses to questions that are submitted in accordance with Section (Submission), subject to the provisions of this section. Questions and answers will be distributed in numbered Addenda to Proponents by posting such Addenda on Biddingo, or in the case of invitational RFP s, such Addenda will be issued to the contact person identified for the Proponent. In answering a Proponent s questions, UHN will set out the question(s), but without identifying the Proponent that submitted the question(s) and may, in its sole discretion: edit the question(s) for clarity; exclude questions that are either unclear or inappropriate; and answer similar questions from various Proponents only once. Where an answer results in any change to the RFP, such answer will be formally evidenced through the issue of a separate Addendum for this purpose Issued Addenda Before submitting a Proposal, a Proponent shall be responsible to verify that it has received all of the Addenda that have been issued, which shall be posted on Biddingo or in the case of invitational RFP s, such Addenda will be issued to the contact person identified for the Proponent at least 7 Days prior to the Closing Time, unless it is an Addendum that extends the Closing Time GC for Cathlab Upgrades Project

14 Any amendment or supplement to the RFP made in any other manner will not be binding on UHN. 5.4 Receipt Confirmation Each Proponent will receive an confirmation in accordance with the Submission Instructions for Suppliers Schedule. 5.5 Withdrawing Proposals A Proponent may withdraw its Proposal at any time prior to the Closing Time following the instructions found at the Bonfire site regarding submission preparation specific to the proposal in the Proponent s Bonfire account. A Proposal may not be withdrawn after the Closing Time. 5.6 Amendment of Proposal A Proponent may amend its submission at any time prior to the Closing Time by overwriting the submitted Proposal and uploading a new submission in the requested document slot using the Submission Instructions for Suppliers Schedule. 5.7 Completeness of Proposal By submitting a Proposal, the Proponent confirms that all of the components required to use and/or manage the Deliverables that have been identified in its Proposal or will be provided to UHN at no additional charge. Any requirement that may be identified by the Proponent after the Closing Time or subsequent to signing the Agreement shall be provided at the Proponent s expense. 5.8 Proponent s Proposals All compliant Proposals shall become the property of UHN and will not be returned to the Proponents. 5.9 Proposal Irrevocability Subject to a Proponent s right to withdraw a Proposal in accordance with the procedure described in Section 5.5 (Withdrawing Proposals), a Proposal shall be irrevocable by the Proponent for 90 Days from the Closing Time. Proposals will not be opened publicly Acceptance of RFP By submitting a Proposal, a Proponent agrees to accept and to be bound by all of the terms and conditions contained in this RFP, and by all of the representations, terms and conditions contained in its Proposal GC for Cathlab Upgrades Project

15 5.11 Amendments to the RFP Subject to Section 2.3 (RFP Tentative Schedule) and Section (Issued Addenda), UHN shall have the right to amend or supplement this RFP in writing prior to the Closing Time. No other statement, whether written or oral, shall amend this RFP. The Proponent is responsible to ensure it has received all Addenda Clarification of Proponent s Proposal UHN shall have the right at any time after the Closing Time to seek clarification from any Proponent in respect of the Proponent s Proposal, without contacting any other Proponent. UHN shall not be obliged to seek clarification of any aspect of any Proposal. Any clarification sought shall not be an opportunity for the Proponent to either correct errors or to change the Proponent s Proposal in any substantive manner. Subject to the qualification in this provision, any written information received by UHN from a Proponent in response to a request for clarification from UHN may be considered to form an integral part of the Proponent s Proposal, in UHN s sole discretion Verification of Information UHN shall have the right, in its sole discretion, to: verify any Proponent s statement or claim made in the Proponent s Proposal or made subsequently in an interview, site visit, oral presentation, demonstration or discussion by whatever means UHN may deem appropriate, including contacting persons in addition to those offered as references, and to reject any Proponent statement or claim, if such statement or claim or its Proposal is patently unwarranted or is questionable; or access the Proponent s premises where any part of the work is to be carried out to confirm Proposal information, quality of processes, and to obtain assurances of viability. The Proponent shall co-operate in the verification of information and is deemed to consent to UHN verifying such information Proposal Acceptance The lowest price Proposal or any Proposal shall not necessarily be accepted. While price is an evaluation criterion, other evaluation criteria, as set out in Article 3 (Evaluation Process), will form a part of the evaluation process No Publicity or Promotion No Proponent, including the Highest-Ranked Proponent, should make any public announcement or distribute any literature regarding this RFP or otherwise promote itself in connection with this RFP or any arrangement entered into under this RFP without the prior written approval of UHN GC for Cathlab Upgrades Project

16 In the event that a Proponent, including the Highest-Ranked Proponent, makes a public statement either in the media or otherwise in breach of this requirement, in addition to any other legal remedy it may have in law, in equity or within the context of this RFP, UHN shall be entitled to take all reasonable steps as may be deemed necessary by UHN, including disclosing any information about a Proponent s Proposal, to provide accurate information and/or to rectify any false impression which may have been created Debriefing Not later than 60 Days following the date of posting of a contract award notification in respect of the RFP, a Proponent may contact the RFP Administrator in writing requesting a debriefing from UHN, and UHN shall conduct such debriefing. Any request that is not timely received will not be considered and the Proponent will be notified in writing. Proponents should note that, regardless of the time of submission of a request by a Proponent, debriefings will not be provided until a contract award notification has been posted Bid Protest Procedure In the event that a Proponent wishes to review the decision of UHN in respect of any material aspect of the RFP process, and subject to having attended a debriefing, the Proponent shall submit a protest in writing to UHN within 10 Days from such a debriefing. Any protest in writing that is not timely received will not be considered and the Proponent will be notified in writing. A protest in writing shall include the following: (d) (e) (f) a specific identification of the provision and/or procurement procedure that is alleged to have been breached; a specific description of each act alleged to have breached the procurement process; a precise statement of the relevant facts; an identification of the issues to be resolved; the Proponent s arguments and supporting documentation; and the Proponent s requested remedy GC for Cathlab Upgrades Project

17 Part B Additional Terms 5.18 Confidentiality Confidential Information of UHN All correspondence, documentation, and information of any kind provided to any Proponent in connection with or arising out of this RFP or the acceptance of any Proposal: (d) remains the property of UHN and shall be removed from UHN s premises only with the prior written consent of UHN; must be treated as confidential and except as provided otherwise in this RFP, or as may be required by Applicable Laws, the Proponent shall not disclose such information (except to its employees or advisors who require access to the information for the purposes of this RFP and who are subject to binding confidentiality obligations substantially similar to those set out in this RFP) except with the prior written consent of UHN; must not be used for any purpose other than for replying to this RFP and for the fulfillment of any related subsequent agreement; and must be returned to UHN upon request Confidential Information of the Proponent Except as provided otherwise in this RFP, or as may be required by Applicable Laws, UHN shall treat the Proponents Proposals and any information gathered in any related process as confidential, and shall not disclose such information (except to its employees or advisors who require access to the information for the purposes of this RFP) provided that such obligation shall not include any information that is or becomes generally available to the public other than as a result of disclosure by UHN. During any part of this RFP process, UHN or any of their representatives or agents, shall be under no obligation to execute a confidentiality agreement. In the event that a Proponent refuses to participate in any required stage of the RFP (such as an oral presentation) because UHN has refused to execute any such confidentiality agreement, the Proponent shall receive no points for that particular stage of the evaluation process Proponent s Submission All correspondence, documentation, and information provided in response to or because of this RFP may be reproduced for the purposes of evaluating the Proponent s Proposal. If a portion of a Proponent s Proposal is to be held confidential, such provisions must be clearly identified in the Proposal GC for Cathlab Upgrades Project

18 Personal Information Personal Information shall be treated as follows: Submission of Information - The Proponent should not submit as part of its Proposal any information related to the qualifications or experience of individuals who will be assigned to provide services unless specifically requested. Should UHN request such information, UHN will treat this information in accordance with the provisions of this section and will maintain the information for a period of 7 years from the time of collection. Use - Any Personal Information that is requested from each Proponent by UHN shall only be used to (i) to select the qualified individuals to undertake the project/services; (ii) to confirm that the work performed is consistent with these qualifications; (iii) for any audit of this procurement process; and (iv) in the case of the successful Proponent, for contract management purposes. Consent - It is the responsibility of each Proponent to obtain the consent of such individuals prior to providing the information to UHN. If any Personal Information is disclosed to UHN by a Proponent, UHN will consider that the appropriate consents have been obtained for the disclosure to and use by UHN of the requested information for the purposes described herein Non-Disclosure Agreement UHN reserves the right to require any Proponent to enter into a non-disclosure agreement satisfactory to UHN Freedom of Information and Protection of Privacy Act (Ontario) The Freedom of Information and Protection of Privacy Act (Ontario) ( FIPPA ) applies to Records provided by Proponents in connection with this RFP. Such information may be subject to requests for access under that Act and can only be withheld from disclosure in specific circumstances. Each Proponent should identify any portions of its Proposal that it believes constitutes a trade secret or scientific, technical, commercial, financial or labour relations information that would harm the Proponent s competitive position if disclosed. The confidentiality of such information will be maintained by UHN, except as otherwise required by law or by order of a court, tribunal or the Ontario Privacy Commissioner Competition Act Under Canadian law, a Proponent s Proposal must be prepared without conspiracy, collusion or fraud. 19 5.21 Trade Agreements Proponents should note that procurements coming within the scope of either Chapter 5 of the Agreement on Internal Trade or within the scope of the Trade and Cooperation Agreement between Quebec and Ontario are subject to such agreements, although the rights and obligations of the parties shall be governed by the specific terms of this RFP. For more information, please refer to the Internal Trade Secretariat website at or to the Trade and Cooperation Agreement between Quebec and Ontario at Permits, Licences and Approvals General Proponents shall obtain all permits, licences and approvals required in connection with the supply of the Deliverables. Unless otherwise requested, the Proponent shall ensure that all permits, licences and approvals not in place at the time that the Proposal is submitted are in place prior to the execution of the Agreement. The costs of obtaining such permits, licences and approvals shall be the responsibility of, and shall be paid for by, the Proponent. Where a Proponent is required by Applicable Laws to hold or obtain any such permit, licence and approval to carry on an activity contemplated in its Proposal or in the Agreement, neither acceptance of the Proposal nor execution of the Agreement by UHN shall be considered an approval by UHN for the Proponent to carry on such activity without the requisite permit, licence or approval Intellectual Property The Proponent should not use any intellectual property of UHN, including but not limited to, logos, registered trademarks or trade names of UHN, at any time without the prior written approval of UHN. All Deliverables, documentation, services and intellectual property rights of any kind derived and/or developed pursuant to this RFP shall remain the exclusive property of UHN. Requests to present data or publish or present papers derived from work pursuant to this RFP in any publication, journal or professional conference must be made to UHN and prior approval must be obtained in writing from the RFP Administrator Rights of UHN General In addition to any other express rights or any other rights which may be implied in the circumstances, UHN reserves the right to: make public the names of any or all Proponents; request written clarification or the submission of supplementary written information from any Proponent and incorporate such clarification or supplementary written information into GC for Cathlab Upgrades Project

20 the Proponent s Proposal, at UHN discretion, provided that any clarification or submission of supplementary written information shall not be an opportunity for the Proponent to correct errors in its Proposal or to change or enhance the Proponent s Proposal in any material manner; (d) (e) (f) (g) (h) (i) (j) (k) (l) (m) waive formalities and accept Proposals that substantially comply with the requirements of this RFP, in UHN s sole discretion; verify with any Proponent or with a third party any information set out in a Proposal, as described in Section 5.13 (Verification of Information); check references other than those provided by Proponents; disqualify any Proponent whose Proposal contains misrepresentations or any other inaccurate or misleading information, or any Proponent whose reasonable failure to cooperate with UHN impedes the evaluation process, or whose Proposal is determined to be non-compliant with the requirements of the RFP; disqualify any Proponent where that Proponent has previously breached a contract with UHN, the Proponent has been charged or convicted of an offence in respect of a contract with UHN, or the Proponent reveals a Conflict of Interest or Unfair Advantage in its Proposal or a Conflict of Interest or evidence of any Unfair Advantage is brought to the attention of UHN; disqualify any Proponent who has breached any Applicable Laws or that has engaged in conduct prohibited by this RFP, including where there is any evidence that the Proponent or any of its employees or agents colluded with any other Proponent, its employees or agents in the preparation of the Proposal; make changes, including substantial changes, to this RFP provided that those changes are issued by way of addenda in the manner set out in this RFP; accept or reject a Proposal if only one Proposal is submitted; reject a subcontractor proposed by a Proponent within a consortium; select any Proponent other than the Proponent whose Proposal reflects the lowest cost to UHN; cancel this RFP process at any stage and issue a new RFP for the same or similar requirements, including where (i) (ii) UHN determines it would be in the best interest of UHN not to award an Agreement; the Proposal prices exceed the bid prices received by UHN for services acquired of a similar nature and previously done work; GC for Cathlab Upgrades Project

21 (iii) (iv) (v) the Proposal prices exceed the costs UHN would incur by doing the work, or most of the work, with its own resources; the Proposal prices exceed the funds available for the Deliverables; or the funding for the acquisition of the proposed Deliverables has been revoked, modified, or has not been approved; and where UHN cancels this RFP, UHN may do so without providing reasons, and UHN may thereafter issue a new request for proposals, request for qualifications, sole source or do nothing; (n) (o) (p) discuss with any Proponent different or additional terms to those contained in this RFP or in any Proponent s Proposal; reject any or all Proposals in its absolute discretion, including where a Proponent has launched legal proceedings against UHN or is otherwise engaged in a dispute with UHN; before awarding the Agreement to require the Proponent to submit such further evidence of its subcontractors, as UHN may deem necessary. By submitting a Proposal, the Proponent authorizes the collection by UHN of the information identified in this RFP, which UHN may request from any third party Rights of UHN Highest-Ranked Proponent In the event that the Highest-Ranked Proponent fails or refuses to execute the Agreement within 15 Business Days from being notified of its position as the Highest-Ranked Proponent and being provided with an Agreement prepared for execution, UHN may, in its sole discretion: extend the period for concluding the Agreement, provided that if substantial progress towards executing the Agreement is not achieved within a reasonable period of time from such extension, UHN may, in its sole discretion, terminate the discussions; exclude the Highest-Ranked Proponent s Proposal from further consideration and begin discussions with the next highest-ranked Proponent without becoming obligated to offer to negotiate with all Proponents; and exercise any other applicable right set out in this RFP, including but not limited to, cancelling the RFP and issuing a new RFP for the same or similar Deliverables. UHN may also cancel this RFP in the event the Highest-Ranked Proponent fails to obtain any of the permits, licences and approvals required pursuant to this RFP GC for Cathlab Upgrades Project

22 5.26 Proponent s Costs Every Proponent shall bear all costs and expenses incurred by the Proponent relating to any aspect of its participation in this RFP process, including all costs and expenses relating to the Proponent s participation in: (d) (e) the preparation, presentation and submission of its Proposal; the Proponent s attendance at any meeting in relation to the RFP process, including any oral presentation and/or demonstration; the conduct of any due diligence on its part, including any information gathering activity; the preparation of the Proponent s own questions prior to the Closing Time; and any discussion and/or negotiation, if any, in respect of the Agreement No Liability The Proponent agrees that: any action or proceeding relating to this RFP process shall be brought in any court of competent jurisdiction in the Province of Ontario and for that purpose the Proponent irrevocably and unconditionally attorns and submits to the jurisdiction of that Ontario court; it irrevocably waives any right to and shall not oppose any Ontario action or proceeding relating to this RFP process on any jurisdictional basis; and it shall not oppose the enforcement against it, in any other jurisdiction, of any judgement or order duly obtained from an Ontario court as contemplated by this RFP. The Proponent further agrees that if UHN commits a material breach of this RFP, the liability to the Proponent, and the aggregate amount of damages recoverable against UHN for any matter relating to or arising from that material breach, whether based upon an action or claim in contract, warranty, equity, negligence, intended conduct or otherwise, including any action or claim arising from the acts or omissions, negligent or otherwise, of UHN, shall be no greater than the Proposal preparation costs that the Proponent seeking damages from UHN can demonstrate were incurred by that Proponent Assignment The Proponent shall not assign any of its rights or obligations hereunder during the RFP process without the prior written consent of UHN. Any act in derogation of the foregoing shall be null and void Entire RFP This RFP and all Schedules form an integral part of this RFP GC for Cathlab Upgrades Project

23 5.30 Priority of Documents In the event of any inconsistencies between the terms, conditions, and provisions of the main part of the RFP and the Schedules, the RFP shall prevail over the Schedules during the RFP process Governing Law The RFP, the Proponent s Proposal, and any resulting Agreement shall be governed by the laws of Ontario and the federal laws of Canada applicable therein AODA The Proponent must be capable of delivering accessibility consistent with the Ontarians with Disabilities Act, 2001 ( AODA ) and its regulations. UHN s AODA policies, practices and procedures are available for review at Proponent s are required to comply with UHN s accessibility standards, policies, practices and procedures, as the same may be in effect during the term of any agreement and apply to the goods and services to be provided by the Proponent. 6.1 Definitions Article 6 Definitions and Interpretation In this RFP, unless the context otherwise requires, the following terms have the meanings indicated below: Agreement has the meaning ascribed in Section 1.3 (Agreement); Applicable Law and Applicable Laws means any common law requirement and all applicable and enforceable statutes, regulations, directives, policies, administrative interpretations, orders, by-laws, rules, guidelines, approvals and other legal requirements of any government and/or regulatory authority in effect from time to time; Bonfire means the software tool used by UHN to accept and evaluate Proposals that are submitted electronically; (d) Business Day or Business Days means Monday to Friday between the hours of 9:00 a.m. to 5:00 p.m., except when such a day is a public holiday, as defined in the Employment Standards Act (Ontario), or as otherwise agreed to by the parties in writing; (e) (f) Closing Time means the Proposal submission date and time as set out in this RFP and as may be amended from time to time in accordance with the terms of the RFP; Conflict of Interest means any situation or circumstance where, in relation to the performance of its obligations under the Agreement, the Proponent s other commitments, GC for Cathlab Upgrades Project

24 relationships or financial interests (i) could or could be seen to exercise an improper influence over the objective, unbiased and impartial exercise of its independent judgement; or (ii) could or could be seen to compromise, impair or be incompatible with the effective performance of its obligations under the Agreement; (g) (h) (i) (j) (k) (l) (m) (n) (o) (p) Days means calendar days; Deliverables means the services and/or goods intended to be procured pursuant to this RFP; Evaluation Team means the individuals who have been selected by UHN to evaluate the Proposals; FIPPA means the Freedom of Information and Protection of Privacy Act (Ontario); General Requirements means those requirements which are scored in this RFP and identified as general requirements; Highest-Ranked Proponent means the Proponent(s) that UHN has identified as the highest-ranked or highest-scored Proponent(s) in accordance with the evaluation process; Personal Information means recorded information about an identifiable individual or that may identify an individual but does not include the name, title, contact information or designation of an individual that identifies the individual in a business, profession or official capacity; Proponent or Proponents means an entity that submits a Proposal in response to this RFP and, as the context may suggest, refers to a potential Proponent; Proposal or Proposals means all of the documentation and information submitted by a Proponent in response to the RFP; Record, for the purposes of the RFP, means any recorded information in the custody or control of UHN, including any Personal Information, in any form: (i) (ii) provided by UHN to the Supplier, or provided by the Supplier to UHN, for the purposes of the RFP; or created by the Supplier with respect to the RFP; (q) (r) (s) Request for Proposals or RFP means this Request for Proposals issued by UHN for the purchase of the Deliverables, and all addenda thereto; RFP Administrator means the individual identified in Section 2.1 (RFP Administrator); UHN means University Health Network; GC for Cathlab Upgrades Project

25 (t) (u) Unfair Advantage means any conduct, direct or indirect, by a Proponent that may result in gaining an unfair advantage over other Proponents, including but not limited to (i) possessing, or having access to, information in the preparation of its Proposal that is confidential to UHN and which is not available to other Proponents, (ii) communicating with any person with a view to influencing, or being conferred preferred treatment in, the RFP process, or (iii) engaging in conduct that compromises or could be seen to compromise the integrity of the RFP process and result in any unfairness; and URL means Uniform Resource Locator and is a reference (an address) to a resource on the Internet. 6.2 Rules of Interpretation This RFP shall be interpreted according to the following provisions, unless the context requires a different meaning: (d) (e) (f) Unless the context otherwise requires, wherever used herein the plural includes the singular, the singular includes the plural, and each of the masculine and feminine includes the other gender. Words in the RFP shall bear their natural meaning. References containing terms such as includes and including, whether or not used with the words without limitation or but not limited to, shall not be deemed limited by the specific enumeration of items but shall, in all cases, be deemed to be without limitation and construed and interpreted to mean includes without limitation and including without limitation. In construing the RFP, general words introduced or followed by the word other or including or in particular shall not be given a restrictive meaning because they are followed or preceded (as the case may be) by particular examples intended to fall within the meaning of the general words. Unless otherwise indicated, time periods will be strictly applied. The following terminology applies in the RFP: (i) (ii) (iii) Whenever the terms must or shall are used in relation to UHN or the Proponents, such terms shall be construed and interpreted as synonymous and shall be construed to read UHN shall or the Proponent shall, as the case may be.
