2 NATIONAL SCIENCE CENTRE (National Council of Science Museums) Bhairon Road, Near Gate No.1, Pragati Maidan, New Delhi NOTICE INVITING TENDER Tender No. 04/ Tender for Operation & Running of Air conditioning/refrigeration and Air cooling equipments installed at National Science Centre, Delhi. General Terms & Conditions 1. Name of the Museums/ Centre: National Science Centre, Delhi. 2. Sealed tenders are invited from reputed agencies/ Contractors for Operation & Running of Air conditioning/refrigeration and Air cooling equipments installed at National Science Centre, Delhi. 3. Place of work: National Science Centre, Delhi. 4. The Successful tenderer shall execute an agreement with the Centre on a Nonjudicial stamp paper of denomination `100/- before executing the work. (as per enclosed Annexure- A) 5. The set of tender documents will be issued between A.M and 4.00 P.M on any working day up to 02/05/2016. The tender documents can also be down loaded from the Centre s website www. nscdelhi.org. Completed tender documents will be received up to 3.00 p.m. on 03/05/2016 and will be opened at 3.30 pm on 03/05/16 in the office of National Science Centre, Delhi in presence of tenderers who may like to attend. The Centre reserves the right to alter the dates of issue, receipt and opening of tender. 6. Tender documents may be obtained from the office of the Museum/Centre on payment of `100/- only in cash which is not refundable under any circumstances. The tender documents can also be down loaded from the Centre s website In case of down loaded tender document, a separate demand draft should be `100/- drawn in favour of National Science Centre, payable at New Delhi may also be enclosed towards the non-refundable cost of tender document in the part I of the tend 7. The contractors should quote in figures as well as in words the % below or above or at par the departmental rates shown in the offer form. The lowest tender will be determined considering the overall contract value of three years. 8. Earnest money amounting to Rs. 5,000/- (being 2.5% of total value of the estimate) is to be deposited only in cash/bank Draft issued by a Scheduled Bank/Banker s Cheque from a scheduled Bank in favor of National Science Centre payable at New Delhi. In case of cash deposit, it will be received on any working day up to 4.00 pm till 02/05/2016 in the office Museums/Centre and a receipt for the same will be issued to the depositor. Documents confirming Earnest Money deposited in either 2

3 form as detailed above must accompany the Part I of tender. Tenders accompanied by EMD and received within the stipulated period will be opened. No deviation from the mode of depositing Earnest Money as stipulated above will be permissible and any deviation will render the tender(s) liable for rejection. Banker s Cheque or Demand Draft drawn on outstation Bank must include Bank commission failing which the Earnest Money deposited shall be deemed as inadequate. 9. Security Deposit of 10% of total contract value (including EMD) will be deducted from the Ist quarter bill for the smooth performance of the contract. If the successful tenderer discontinues the operation unilaterally, the security deposit is liable to be forfeited. 10. Tenders which do not fulfill any of the conditions laid down in NIT or conditions of contract or incomplete are liable to summary rejection. 11. The Museum/ Centre reserve to itself the right to reject wholly or partially, accept any or all tenders, without assigning any reason whatsoever. 12. Canvassing in connection with tenders is strictly prohibited and the tenders submitted by the contractors who resort to canvassing will be liable for rejection on that ground alone. 13. Tenders incorporating additional conditions are liable to be rejected. 14. Over writing in the offer form is not permitted and shall be rejected straightway without giving any reason. The offer shall be submitted in the prescribed format only. 15. The contractors must declare, in writing, that neither he nor any of them are in any way related to any Officer in the National Council of Science Museums or any of its constituent units. (as per enclosed Annexure-B) 16. Before submitting the tender the contractor shall examine all equipment s and inspect the site, if necessary. 17. Earnest Money is liable to be forfeited, if the agency selected for the work fails to sign the formal agreement within one week from the date of issue of Letter of Intent. 18. The successful tenderer will be issued a Letter of Intent by the Museum/Centre and given one week mobilization time, unless and otherwise indicated in the letter of intent, which shall be counted from the date of issue of the letter of Intent. During the mobilization time the tenderer must obtain clarification if any from the Museum/Centre wherever necessary. During the mobilization time the tenderer shall also mobilize all his resources including men and materials, for the awarded work. The date of commencement of work shall be the date of Letter of Intent. 19. The tender must be submitted in two separate sealed envelopes marked Part I and Part II and addressed to the National Science Centre, Delhi and each envelope to be superscribed Operation & Running of Air conditioning/refrigeration and Air cooling equipments installed at National Science Centre, Delhi. 20. The contents of Part I and II will be as follows 3

4 (a) The sealed envelope marked Part I Shall contain the following documents only: (i) Earnest Money in the form as described in clause 8 of the Notice Inviting Tenders. (ii) Forwarding letter (in duplicate) clearly indicating the documents attached therein. The contractor has to clearly indicate in the forwarding letter that he has not quoted any extra condition along with the tender in the part II sealed envelope. (iii) Declaration as per clause 15 above. (iv) The General terms and conditions of the tender duly signed and sealed in all pages, failing which, the tender shall be labile to be rejected. (b) The sealed cover marked Part II shall contain the financial bid on the offer form. 21. The contract would be on a trial period of three months only, and thereafter, it shall be extended for a further period of nine months depending upon the performance during the trial period. The contract may be renewed at the discretion of the Centre on year to year basis for a maximum period of three years including the trial period. Annual Contract shall be operative for one year form the date of issue of firm order. However if the service provided by the agency found to be unsatisfactory, the Centre reserves the right to cancel the order at any time during the contract period. On successful and satisfactory completion of first year, the contract period can be further extended for another maximum period of 2 years on year to year basis at the same rates and terms and conditions. In case the successful tender refuses to accept the extension of contract after successful and satisfactory completion of 1 st year and second year, the Centre reserves the right to forfeit the security deposit of the agency lying with the Centre. 22. Work contract tax, income tax, and all applicable taxes will be deducted at source on the total value of the work from the bill as per prevailing rules. The contractor service tax TIN and PAN are to be provided. Service Tax as applicable should be mentioned separately and will be admissible as applicable. 23. No advance payment shall be made by this Centre on any circumstances. The payment for the Contract of Operation & Running of equipment shall be made quarterly by account payee cheque on submission of pre- receipted bill in duplicate and satisfactory completion of service at the end of the respective quarter. 24. In case, the successful tenderer refuse to accept the offer after finalization or does not comply with within 4 (four) days from the date of placement of the order as per the finalized and accepted terms & Conditions, the order shall be cancelled forth with without any further reference. 25. All disputes and differences between the successful tenderer and the Centre of any kind except quality of workmanship and materials whatever arising out of or in connection with the order on the carrying out the work shall be referred to the sole arbitration of a person nominated by the Director General, National Council of Science Museums, whose decision in this regard will be final and binding on both the successful tenderer and the Centre. The provisions of the Arbitration and Conciliation Act 1996 or any statutory modification or reenactment thereof and of rules made hereunder for the time being in force shall apply to arbitrations proceeding under this council. 4

Checking of water level in cooling tower and water make-up tank for water cooling Air conditioning plant of Auditorium. 2. Checking proper electricity supply and water supply. 3. Starting the units in proper sequence, and stopping the units in proper sequence. 4. Keeping the all equipments in good condition. 5. Cleaning the cooling tower, AHU, Fan coil units, cooling coil filters, condenser coil etc. 6. Tightening v belts wherever. 7. Taking proper leak test of all units at leak once a day. 8. Maintaining the log book of Air conditioning plants. 9. Stopping the system or part of system wherever any abnormality is observed. (C) Day to day operation of the equipments: 1. All the equipments are to be operated by an operator having good experience and qualification in the field including knowledge of electrical connections. 2. The normal timings of operation of all equipments shall be from 10.0 A.M to 5.30 P.M every day. However the requirement shall be as per the timings of programme like seminars, workshop, conference or other programmes. In such case, the operator will have to operate the Air conditioning plant according to instructions without any extra payments. 6

7 (D) Mode of payment: 1. Payment shall be made quarterly basis on submission of pre- receipt bill. 2. No extra payment shall be made for early arrival or overstay operator which may be during special programmes. (E) Tenure and validity: In the beginning the contract would be on a trial period of three months only, and thereafter, it shall be extended for a further period of nine months depending upon the performance during the trial period. The contract may be renewed at the discretion of the Centre on year to year basis for a maximum period of three years including the trial period. Annual Contract shall be operative for one calendar year form the date of issue of firm order. However if the service provided by the agency found to be unsatisfactory, the Centre reserves the right to cancel the order at any time during the contract period. On successful and satisfactory completion of first year, the contract period can be further extended for another maximum period of 2 years on year to year basis at the same rates and terms and conditions. (F) Penalty for not providing operator on any day during the performance of contract: During the period of contract the agency should provide operator continuously. In case of any failure to provide operator during performance of contract, it is liable to deduct penalty charges at double the proportional rate of contract amount. 8 (Annexure A ) FORMAT FOR ARTICLES OF AGREEMENT INSTRUCTIONS (not to be typed in Agreement) (Articles of Agreement have to be typed on non-judicial stamp paper. The value of the stamp paper varies from state to state and is to be known from the particular place. The stamp paper will be purchased by the contractor(s) and the agreement may be typed by the Museum/Centre according to the format.) ARTICLES OF AGREEMENT made at (place) this (date) day of (month) between the National Science Centre (under the National Council of Science Museums, asociety registered under the Societies Registration Act of West Bengal, 1961), hereinafter referred to as the Museum/Centre which expression shall include its successors and assigns on the one part and (name of the contractor with full address). hereinafter referred to as the Contractor(s) which expression shall include his/their respective heirs, executors and administrators on the other part. WHEREAS the Museum/Centre is desirous of getting the work of. Done and has prepared Notice Inviting Tender (Including appendix), drawings, schedule of quantities and specifications describing the work and conditions of contract. AND WHEREAS the said Notice Inviting Tender, drawing, specifications, priced schedule of quantities and conditions of contract have been signed by or on behalf of the parties hereto. 8

9 AND whereas the Contractor has deposited in Cash or Bank Draft/Banker s Cheque a sum of Rupees (the amount being 2.5% of the total value of the estimate rounded off to the nearest thousands), with the Museum Centre as Initial Security or Earnest Money for the due performance of this Agreement as provided in the said conditions. NOW IT IS HEREBY AGREED AND DECLARED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS: 1. In consideration of the payments to be made to him as hereinafter provided the contractor shall upon and subject to the conditions herein contained execute and complete. The work within..weeks/months from the date of commencement of work and as per the said drawings and such further detailed drawings as may be furnished to him from time to time and described in the said specifications and the said priced schedule of quantities along with the progress of the work. 2. The Museum/Centre shall pay to the Contractor such sum as shall become payable hereunder at the time and in the manner specified in the said conditions. 3. Time is the essence of this agreement and the Contractor shall pay or allow the Museum/Centre the sum equivalent to one percent of the total cost of work awarded per week subject to a limit of 10% of the total cost of work as liquidated damages for the period during which the said works shall remain incomplete beyond the time allowed in clause 1 above or beyond the time duly extended in writing as per said conditions. The Museum/Centre may deduct such damage from any money due to the contractor. 4. The Notice Inviting Tender (including Appendix), Conditions of Contract Period Schedule of Quantities drawing and specifications shall from the basis of this agreement and the decision of the Museum/Centre in reference to all matters or dispute as to material and workmanship shall be final and binding on the contractor. 5. The Museum/Centre reserves to itself the right of altering the drawings and of adding to or omitting any item of work or of having portions of the same carried out departmentally or otherwise and such alterations or variations shall not vitiate this agreement. 6. This agreement comprises the work above and all subsidiary works connected therewith, even though such works may not be shown on the drawing or described in the said specifications or the Priced Schedule of Quantities. 7. All disputes and differences of any kind, except quality of workmanship and materials used in work whatever arising out of or in connection with the contract on the carrying out of works (whether during the progress of the work or after their completion and 9

10 whether before or after the determination abandonment or breach or the contract) shall be referred to arbitration as per clause 25 of the said conditions of contract. The provisions of the Arbitration Act 1996 or any statutory modification or re-enactment thereof and of the rules made there under for the time being in force shall apply to arbitration proceedings under this clause.
