1 Tenth Amendment to Public Facility Interior Furnishings Master Price Agreement Product Line Adjustments This Ninth Amendment to the Master Price Agreement effective the day of September, 2018 by PUBLIC PROCUREMENT AUTHORITY ( Purchaser ) and ALLSTEEL ( Vendor ) based upon the sales and/or service of Public Facility Interior Furnishings. RECITALS WHEREAS, Purchaser and Vendor entered into a Master Price Agreement on or about May 15, 2014 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into an Amendment to the Master Price Agreement on or about June 11, 2015 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Second Amendment to the Master Price Agreement on or about March 28, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Third Amendment to the Master Price Agreement on or about April 14, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Fourth Amendment to the Master Price Agreement on or about October 17, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Fifth Amendment to the Master Price Agreement on or about October 24, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Sixth Amendment to the Master Price Agreement on or about February 6, 2017 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Seventh Amendment to the Master Price Agreement on or about April 24, 2017 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into an Eighth Amendment to the Master Price Agreement on or about October 9, 2017 and by this reference incorporated herein; and

2 WHEREAS, Purchaser and Vendor entered into an Ninth Amendment to the Master Price Agreement on or about April 4, 2018 and by this reference incorporated herein; and WHEREAS, Vendor included collections of office systems in the Acuity, Scout, Seek, and Inspire seating category in its Proposal; and WHEREAS, Vendor has provided notice, on or about August 8, 2018, to include the new Evo seating line at the same discount off list pricing already offered for Acuity, Scout, Seek, and Inspire seating category; and and WHEREAS, Vendor included Get Set tables and Sum seating in its Proposal; WHEREAS, Vendor has provided notice Get Set tables and Sum seating have been discontinued from its offering; and WHEREAS, Vendor has provided notice, on or about August 8, 2018, to remove Get Set Tables and Sum Seating products from the Master Price Agreement; and WHEREAS, Purchaser and Vendor desire that the Master Price Agreement shall be amended in part to reflect the price list update. NOW, THEREFORE, Purchaser and Vendor enter into the following: NINTH AMENDMENT TO MASTER PRICE AGREEMENT 1. Adjustment to Product Offering. Attachment A to the Master Price Agreement shall be amended in in its entirety to read as follows: ATTACHMENT A To Master Price Agreement by and between VENDOR and PURCHASER. 6 Eighth Amendment to Public Facility Interior Furnishings Master Price Agreement Product Line Addition This Seventh Amendment to the Master Price Agreement effective the day of, 2017 by PUBLIC PROCUREMENT AUTHORITY ( Purchaser ) and ALLSTEEL ( Vendor ) based upon the sales and/or service of Public Facility Interior Furnishings. RECITALS WHEREAS, Purchaser and Vendor entered into a Master Price Agreement on or about May 15, 2014 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into an Amendment to the Master Price Agreement on or about June 11, 2015 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Second Amendment to the Master Price Agreement on or about March 28, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Third Amendment to the Master Price Agreement on or about April 14, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Fourth Amendment to the Master Price Agreement on or about October 17, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Fifth Amendment to the Master Price Agreement on or about October 24, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Sixth Amendment to the Master Price Agreement on or about February 6, 2017 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Seventh Amendment to the Master Price Agreement on or about April 24, 2017 and by this reference incorporated herein; and WHEREAS, Vendor included collections of office systems in the Gather, Clarity Seating and Parallel seating category in its Proposal; and

7 WHEREAS, Vendor has provided notice, on or about September 28, 2017, to include the new Retreat seating line at the same discount off list pricing already offered for Gather, Clarity Seating and Parallel seating category; and WHEREAS, Purchaser and Vendor desire that the Master Price Agreement shall be amended in part to reflect the price list update. NOW, THEREFORE, Purchaser and Vendor enter into the following: EIGHTH AMENDMENT TO MASTER PRICE AGREEMENT 1. Adjustment to Product Offering. Full Force and Effect. 9 Seventh Amendment to Public Facility Interior Furnishings Master Price Agreement Contract Extension This Seventh Amendment to the Master Price Agreement effective the 24 day of, April 2017 by PUBLIC PROCUREMENT AUTHORITY ( Purchaser ) and ALLSTEEL ( Vendor ) based upon the sales and/or service of Public Facility Interior Furnishings. RECITALS WHEREAS, Purchaser and Vendor entered into a Master Price Agreement on or about May 15, 2014 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into an Amendment to the Master Price Agreement on or about June 11, 2015 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Second Amendment to the Master Price Agreement on or about March 28, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Third Amendment to the Master Price Agreement on or about April 14, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Fourth Amendment to the Master Price Agreement on or about October 17, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Fifth Amendment to the Master Price Agreement on or about October 24, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Sixth Amendment to the Master Price Agreement on or about February 6, 2017 and by this reference incorporated herein; and WHEREAS, Article 3.1 of the Master Price Agreement provides for the extension of the Agreement for three (3) additional one (1) year periods upon written consent of the parties; and WHEREAS, Purchaser and Vendor desire to extend the term of the Master Price Agreement; NOW, THEREFORE, Purchaser and Vendor enter into the following:

10 SEVENTH AMENDMENT TO MASTER PRICE AGREEMENT 1. Extension of Master Price Agreement Term. Pursuant to Article 3, Section 3.1, Purchaser and Vendor agree to extend the Master Price Agreement through May 15, Full Force and Effect. In each and every other respect, the terms of the Master Price Agreement, as amended, entered into between the parties on or about May 15, 2014 shall remain in full force and effect during the term of the agreement and the parties hereto hereby ratify said Master Price Agreement in its entirety, as if fully set out herein, along with the modifications identified herein. IN WITNESS WHEREOF, the parties have hereto signed this Amendment on the day and year first above written. 11 Sixth Amendment to Public Facility Interior Furnishings Master Price Agreement Price List Update This Sixth Amendment to the Master Price Agreement effective the 6 th day of February, 2017 by PUBLIC PROCUREMENT AUTHORITY ( Purchaser ) and ALLSTEEL ( Vendor ) based upon the sales and/or service of Public Facility Interior Furnishings. RECITALS WHEREAS, Purchaser and Vendor entered into a Master Price Agreement on or about May 15, 2014 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into an Amendment to the Master Price Agreement on or about June 11, 2015 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Second Amendment to the Master Price Agreement on or about March 28, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Third Amendment to the Master Price Agreement on or about April 14, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Fourth Amendment to the Master Price Agreement on or about October 17, 2016 and by this reference incorporated herein; and WHEREAS, Purchaser and Vendor entered into a Fifth Amendment to the Master Price Agreement on or about October 24, 2016 and by this reference incorporated herein; and WHEREAS, Vendor provided notice on or about January 4, 2017 of price list update to February 6, 2017 price lists. The discount structure remains unchanged; and WHEREAS, Purchaser and Vendor desire that the Master Price Agreement shall be amended in part to reflect the price list update. NOW, THEREFORE, Purchaser and Vendor enter into the following:

12 AMENDMENT TO MASTER PRICE AGREEMENT 1. Adjustment to Price List Date. Attachment A to the Master Price Agreement shall be amended in part below for the discount structure matrix to read as follows: The proposed discount structure includes freight, delivery and non-union installation. Prices are exclusive of all sales and use taxes, and the Purchaser will be invoiced for those (if applicable). Discounts are based on the February 6, 2017 price lists. Future price list date updates may be approved by Purchaser via electronic mail without the need for written amendment, provided that the discount structure remains unchanged. 3. Full Force and Effect. In each and every other respect, the terms of the Master Price Agreement, as amended, entered into between the parties on or about May 15, 2014 shall remain in full force and effect during the term of the agreement and the parties hereto hereby ratify said Master Price Agreement in its entirety, as if fully set out herein, along with the modifications identified herein.
