ORDER PRELIMINARILY APPROVING SETTLEMENT AND PROVIDING FOR NOTICE WHEREAS, a consolidated action is pending before this Court captioned Schultz, et al. v. TomoTherapy Incorporated, et al., Case No. 08-cv-314-slc (the "Litigation"); WHEREAS, the parties have applied, pursuant to Federal Rule of Civil Procedure 23 (e), for an order approving the settlement of this Litigation, in accordance with a Stipulation of Settlement dated as of July 28, 2010 (the "Stipulation"), which, together with the exhibits annexed thereto, set forth the terms and conditions for a proposed settlement of the Litigation and for dismissal of the Litigation with prejudice upon the terms and conditions set forth therein; and the Court having read and considered the Stipulation and the exhibits annexed thereto; and WHEREAS, all defined terms herein have the same meanings as set forth in the Stipulation;

The Court hereby preliminarily approves the Stipulation and the settlement set forth therein, subject to further consideration at the Settlement Hearing described below. 2. The court shall hold a hearing (the "Settlement Hearing") on March 18, 2011, at 10:30 a.m., at the United States District Court, Western District of Wisconsin, 120 North Henry Street, Madison, WI to determine whether the proposed settlement of the Litigation on the terms and conditions provided for in the Stipulation is fair, reasonable, and adequate to the Class and should be approved by the Court; whether a Judgment as provided in 1.10 of the Stipulation should be entered; whether the proposed Plan of Allocation should be approved; and to determine any amount of fees and expenses that should be awarded to Counsel. 3. The Court hereby certifies, for settlement purposes only, pursuant to Rules 23 (a) and 23(b)(3) of the Federal Rules of Civil Procedure, a Class defined as follows: all Persons who purchased or otherwise acquired the common stock of TOMO between May 9, 2007 and July 31, 2008, inclusive. Included in the Class are those Persons who purchased or acquired TOMO common stock pursuant to or traceable to TOMO's May 9, 2007 Initial Public Offering ("IPO") and/or TOMO's October 16, 2007 Secondary Public Offering ("SPO"). Excluded from the Class are Defendants, officers and directors of TOMO, members of their immediate families and their legal representatives, heirs, successors and assigns, and any entity in which Defendants have or had a controlling interest. Also excluded from the Class are those Persons who timely and validly request exclusion from the Class pursuant to the Notice of Proposed Settlement of Class Action. 4. The Court finds, for the purposes of the Settlement only, that the prerequisites for a class action under Rules 23(a) and (b) (3) of the Federal Rules of Civil Procedure have been satisfied in that: (a) the number of Class Members is so numerous that joinder of all members

3 Case: 3:08-cv slc Document #: 84 Filed: 09/23/2010 Page 3 of 7 thereof is impracticable; (b) there are questions of law and fact common to the Class; (c) the claims of the Plaintiffs are typical of the claims of the Class it seeks to represent; (d) Plaintiffs have fairly and adequately represented the interests of the Class; (e) the questions of law and fact common to the members of the Class predominate over any questions affecting only individual members of the Class; and (f) a class action is superior to other available methods for the fair and efficient adjudication of the controversy. 5. The Court appoints the firm of RSM McGladrey, Inc., ("Claims Administrator") to supervise and administer the notice procedure as well as the processing of claims as more fully set forth below: (a) Not later than October 20, 2010 (the "Notice Date"), the Claims Administrator shall cause a copy of the Notice and the Proof of Claim and Release, substantially in the forms annexed as Exhibits hereto, to be mailed by first class mail to all Class Members who can be identified with reasonable effort and to be posted on its website along with the Stipulation at ; (b) Not later than November 1, 2010, the Claims Administrator shall cause the Summary Notice to be published once in the national edition of Investor's Business Daily; and (c) Not later than fourteen (14) days prior to the Settlement Hearing, Lead Counsel shall serve on Defendants' counsel and file with the Court proof, by affidavit or declaration, of such mailing and publishing. 6. Nominees who purchased or acquired TOMO common stock for the benefit of another Person during the period May 9, 2007 to July 31, 2008 or purchased or acquired common stock pursuant to or traceable to the Company's May 9, 2007 Initial Public Offering

4 Case: 3:08-cv slc Document #: 84 Filed: 09/23/2010 Page 4 of 7 or October 16, 2007 Secondary Public Offering, shall be requested to send the Notice and Proof of Claim and Release to all such beneficial owners of TOMO common stock within ten (10) days after receipt thereof, or send a list of the names and addresses of such beneficial owners to the Claims Administrator within ten (10) days of receipt thereof, in which event the Claims Administrator shall promptly mail the Notice and Proof of Claim and Release to such beneficial owners. 7. All reasonable fees, costs, and expenses incurred in identifying and notifying members of the Class and administering the settlement shall be paid from the Settlement Fund. 8. All members of the Class shall be bound by all determinations and judgments in the Litigation concerning the settlement, whether favorable or unfavorable to the Class. 9. Class Members who wish to participate in the settlement shall complete and submit the Proof of Claim and Release in accordance with the instructions contained therein. Unless the Court orders otherwise, all Proof of Claim and Release forms must be submitted no later than January 18, Any Class Member who does not timely submit a Proof of Claim and Release within the time provided shall be barred from sharing in the distribution of the proceeds of the Net Settlement Fund, unless otherwise ordered by the Court, but shall nevertheless be bound by any final judgment entered by the Court. Notwithstanding the foregoing, Lead Counsel shall have the discretion to accept late-submitted claims for processing by the Claims Administrator so long as distribution of the Net Settlement Fund is not materially delayed. 10. Any member of the Class may enter an appearance in the Litigation, at his, her, or its own expense, individually or through counsel of their own choice. If they do not enter an appearance, they will be represented by Lead Counsel.

Any such Person must submit to the Claims Administrator a request for exclusion ("Request for Exclusion"), postmarked no later than January 18, A Request for Exclusion must be signed and state: (a) the name, address, and telephone number of the Person requesting exclusion; (b) the Person's purchases or acquisitions of TOMO common stock during the Class Period, including the dates, the number of shares of TOMO common stock purchased or acquired, and price paid for each such purchase; and (c) that the Person wishes to be excluded from the Class. All Persons who submit valid and timely Requests for Exclusion in the manner set forth in this paragraph shall have no rights under the Stipulation, shall not share in the distribution of the Net Settlement Fund, and shall not be bound by the Stipulation or any final judgment. 12. Lead Counsel shall cause to be provided to Defendants' counsel copies of all Requests for Exclusion, and any written revocation of Requests for Exclusion, as soon as possible and in any event within fourteen (14) days prior to the Settlement Hearing. 13. Any member of the Class may appear and show cause, if he, she, or it has any reason why the proposed settlement of the Litigation should not be approved as fair, reasonable and adequate, or why a Judgment should not be entered thereon, why the Plan of Allocation should not be approved, why attorneys' fees and expenses should not be awarded to counsel for the Plaintiffs; provided, however, that no Class Member or any other Person shall be heard or entitled to contest the approval of the terms and conditions of the proposed settlement, or, if approved, the Judgment to be entered thereon approving the same, or the order approving the Plan of Allocation, or any attorneys' fees and expenses to be awarded to counsel for Plaintiffs, unless written objections and copies of any papers and briefs are received by Jack Reise, Robbins

Any member of the Class who does not make his, her or its objection in the manner provided shall be deemed to have waived such objection and shall forever be foreclosed from making any objection to the fairness, reasonableness or adequacy of the proposed settlement as incorporated in the Stipulation, to the Plan of Allocation, and to the award of attorneys' fees and expenses to Lead Counsel, unless otherwise ordered by the Court. 14. All funds held by the Escrow Agent(s) shall be deemed and considered to be in custodia legis, and shall remain subject to the jurisdiction of the Court, until such time as such funds shall be distributed pursuant to the Stipulation and/or further order(s) of the Court. 15. All papers in support of the settlement, Plan of Allocation and Lead Counsel's request for an award of attorneys' fees and expenses shall be filed and served no later than forty-five (45) calendar days prior to the Settlement Hearing and any reply papers shall be filed and served seven (7) calendar days prior to the Settlement Hearing. All papers shall be posted at Neither Defendants nor their Related Parties shall have any responsibility for the Plan of Allocation or any application or motion for attorneys' fees or expenses submitted by Plaintiffs and Lead Counsel, and such matters will be considered separately from the fairness, reasonableness, and adequacy of the settlement.

All reasonable expenses incurred in identifying and notifying Class Members as well as administering the Settlement Fund shall be paid as set forth in the Stipulation. In the event the Court does not approve the settlement, or it otherwise fails to become effective, neither Plaintiffs nor any of their counsel shall have any obligation to repay any amounts actually and properly incurred or disbursed pursuant to 2.6 or 2.7 of the Stipulation. 19. Defendants have denied any liability, fault, or wrongdoing of any kind in connection with the allegations in the Litigation, and as such, neither the Stipulation, nor any of its terms or provisions, nor any of the negotiations or proceedings connected with it, shall be construed as an admission or concession by Defendants of the truth of any of the allegations in the Litigation, or of any liability, fault, or wrongdoing of any kind. 20. The Court reserves the right to adjourn the date of the Settlement Hearing without further notice to the members of the Class, and retains jurisdiction to consider all further applications arising out of or connected with the proposed settlement. The Court may approve the settlement, with such modifications as may be agreed to by the Settling Parties, if appropriate, without further notice to the Class. 9 Case: 3:08-cv slc Document #: 84-2 Filed: 09/23/2010 Page 2 of 22 Security and Time Period: TOMO common stock (symbol "TOMO") purchased or acquired between May 9, 2007 and July 31, 2008, including purchases or acquisitions in the Company's May 9, 2007 Initial Public Offering ("IPO") and the Company's October 16, 2007 Secondary Public Offering ("SPO"). Settlement Fund: $5,000,000 in cash plus any interest earned. Your recovery will depend on the timing of your purchases, acquisitions and any sales of TOMO common stock during the Class Period. Based on the information currently available to Lead Plaintiffs and the analysis performed by their damage consultants, it is estimated that if Class Members submit claims for 100% of the shares eligible for distribution under the Plan of Allocation (described below), the estimated average distribution per share will be approximately $0.23 before deduction of Court-approved fees and expenses, including the cost of notifying members of the Class and settlement administration. Historically, actual claims rates are less than 100%, which result in higher distributions per share. A Class Member's actual recovery will be a proportion of the Net Settlement Fund determined by that claimant's recognized claim as compared to the total recognized claims of all Class Members who submit valid Proof of Claim and Release forms ("Proof of Claim"). Reasons for Settlement: Avoids the costs and risks associated with continued litigation, including the danger of no recovery. If the Case Had Not Settled: Continuing with the case could have resulted in loss at summary judgment, trial or on appeal. The two sides vigorously disagree on both liability and the amount of money that could have been won if Plaintiffs prevailed at trial. The parties disagree about: (1) whether there was any wrongdoing on the part of Defendants, including whether any Defendant violated the securities laws; (2) whether the facts alleged were material, false, misleading, -2-

Attorneys' Fees and Expenses: Court-appointed Lead Counsel will ask the Court for attorneys' fees of not more than 30% of the Settlement Fund and expenses not to exceed $185, to be paid from the Settlement Fund plus interest. Lead Counsel have not received any payment for their work investigating the facts, prosecuting this Litigation and negotiating this settlement on behalf of Plaintiffs and the Class. If the above amounts are requested and approved by the Court, the average cost per share will be $0.08. Please be patient. BASIC INFORMATION 1. Why did I get this notice package? You or someone in your family may have purchased TOMO common stock between May 9, 2007 and July 31, 2008, inclusive. The Court directed that you be sent this Notice because you have a right to know about a proposed settlement of a class action lawsuit, and about all of your options, before the Court decides whether to approve the settlement. If the Court approves it and after any objections or appeals (if there are any) are resolved, the Claims Administrator appointed by the Court will make the payments that the settlement allows. This package explains the lawsuit, the settlement, your legal rights, what benefits are available, who is eligible for them, and how to get them. The Court in charge of the case is the United States District Court for the Western District of Wisconsin, and the case is known as Schultz v. Tomo Therapy Incorporated, et al., Case No. 3:08-cv-314-SLC. The persons who lead the Litigation, Michael Schultz, John Scala, Huub Van Roosmalen, Kip Kircher, Robert H. Wake and Louis Spanberger are called Plaintiffs and the company and the individuals they sued are called Defendants. -5-

This Litigation alleges that TOMO and certain of its officers and directors violated the federal securities laws. Specifically, Plaintiffs assert claims against Defendants under Sections 11 and 15 of the Securities Act of 1933 ("Securities Act"), arising out of their statements in the IPO and SPO Documents about the Company's order backlog, namely that the backlog only contained firm orders or those that were free from contingencies. Plaintiffs also assert claims against Defendants under Sections 10(b) and 20(a) of the Securities Exchange Act ("Exchange Act"), and Rule 10b-5 promulgated thereunder, arising out of these statements and similar statements made by Defendants during the Class Period concerning the firmness of the Company's backlog, as well as statements during the Class Period that TOMO's backlog had historically converted to revenue within 12 months from order placement and would continue to convert in this timeframe. Plaintiffs allege that these statements were false and/or misleading. Plaintiffs also allege that when Defendants revealed the truth about the composition of TOMO's backlog, Class Members suffered damages as a result of the decline in the price of TOMO common stock. Defendants assert that any and all risks associated with investing in TOMO stock, including any risks relating to backlog, were fully disclosed by the Company. Defendants deny all of Plaintiffs' allegations and assert that the statements in the IPO and SPO documents and during the Class Period about the Company's backlog were accurate at the time made and that Plaintiffs' allegations are based wholly on hindsight. Defendants deny that Plaintiffs or the Class suffered damages or that the price of TOMO common stock was artificially inflated by reasons of alleged misrepresentations, non-disclosures or otherwise. -6-

In a class action, one or more people called class representatives (in this case, the Plaintiffs, Michael Schultz, John Scala, Huub Van Roosmalen, Kip Kircher, Robert H. Wake and Louis Spanberger) sue on behalf of people who have similar claims. All of these people and/or entities are called a class or class members. One judge - in this case, Magistrate Judge Stephen L. Crocker - resolves the issues for all class members, except for those who exclude themselves from the Class and seek individual recovery. 4. Why is there a settlement? The Court did not decide in favor of Plaintiffs or Defendants. Instead, the lawyers for both sides of the lawsuit have negotiated a settlement, with the assistance of a highly respected mediator, the Honorable Nicholas H. Politan, that they believe is in the best interests of their respective clients. The settlement allows both sides to avoid the risks and cost of lengthy and uncertain litigation and the uncertainty of a trial and appeals, and permits Class Members to be compensated without further delay. Plaintiffs and their attorneys think the settlement is best for all Class Members. WHO GETS MONEY FROM THE SETTLEMENT To see if you will get money from this settlement, you first have to determine if you are a Class Member. 5. How do I know if I am part of the settlement? The Class includes all Persons who purchased or otherwise acquired the common stock of TOMO between May 9, 2007 and July 31, 2008, inclusive. Gross at for more information; or you can fill out and return the claim form described in Question 10 to see if you qualify. THE SETTLEMENT BENEFITS - WHAT YOU GET 8. What does the settlement provide? Defendants have agreed to pay or cause to be paid $5,000,000 in cash (the "Settlement Fund"). The Settlement Fund, plus interest earned from the date it is established, less costs, fees and expenses (the "Net Settlement Fund"), will be divided among all eligible Class Members who send in valid claim forms ("Authorized Claimants"). Costs, fees and expenses include Court-approved attorneys' fees and expenses, the costs of notifying Class Members, including the costs of printing and mailing this Notice and the cost of publishing newspaper notice, and the costs of claims administration. -8-

Your share of the Net Settlement Fund will depend on the number of valid claim forms that Class Members send in and how many shares of stock you purchased or acquired during the relevant period and when you bought, acquired and sold them. In the unlikely event there are sufficient funds in the Net Settlement Fund, each Authorized Claimant will receive an amount equal to the Authorized Claimant's claim, as defined below. If, however, the amount in the Net Settlement Fund is not sufficient to permit payment of the total claim of each Authorized Claimant, then each Authorized Claimant shall be paid the percentage of the Net Settlement Fund that each Authorized Claimant's claim bears to the total of the claims of all Authorized Claimants. Payment in this manner shall be deemed conclusive against all Authorized Claimants. For shares of TomoTherapy acquired pursuant to, and traceable to, the Company's offering prospectus dated May 8, 2007 and 10, 2007, and 1) sold prior to May 30, 2008, the claim per share is the lesser of (i) the Purchase Price per share less the Sales Price per share, or (ii) $19.00 less the Sales Price per share. 2) retained at the end of, or, sold on or after May 30, 2008, the claim per share is the lesser of (i) the Purchase Price per share less the Sales Price per share or, (ii) $19.00 less $8.91. The date of purchase or sale is the "contract" or "trade" date as distinguished from the "settlement" date. At the fairness hearing, Lead Counsel will request the Court to award attorneys' fees of no more than 30% of the Settlement Fund and for expenses up to $185,000.00, which were incurred in connection with the Litigation.
