ABCRegistration,, is not responsible for filing of any subsequent business registration documents on behalf of You or Your entity, nor for any payment or payments made in regard to said services. Permitted Use User has a nonexclusive, nontransferable, limited, and revocable right to use Website solely for User's personal, informational, non-commercial use on User's own behalf. User will not use Website for any or purpose, including any commercial purpose, without Company's express prior written consent. For example, User will not authorize any or person to, (i) Co-brand Website or portion reof, or (ii) frame Website or portion reof (whereby Website or portion reof will appear on same screen with a portion of anor website). Limitation on Liability The Company, its Licensors, service providers, content providers, employees, agents, officers and directors shall not be liable for any incidental, indirect, consequential, or special damages, including loss of revenue or income, loss of good will or business reputation, additional labor costs, lost time or or economic loss, pain and suffering, emotional distress or similar damages, even if Company has been advised of possibility of such damages. The foregoing exclusions apply to claims by any User and to claims against any User by a third party. In no event will collective liability of Company and its Licensors, service providers, content providers, employees, agents, officers and directors to any party, regardless of form of action, wher in contract, tort or orwise, exceed amount User has paid to Company for applicable Content or service out of which liability arose. Company's entire liability and User's exclusive remedy shall be as follows: a refund of amount paid. No action, regardless of form, arising out of any claimed breach of this Agreement or transactions under this Agreement, shall be commenced by eir party more than one year after cause of action accrues.

4 Indemnity User will indemnify and hold Company, content providers, service providers and contractors ( "Indemnified Parties") harmless from any breach of se Terms and Conditions by User, including any use of Content or than as expressly authorized in se Terms and Conditions. User agrees that Indemnified Parties will have no liability in connection with any such breach or unauthorized use, and agrees to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and attorneys' fees of Indemnified Parties in connection rewith. User will also indemnify and hold Indemnified Parties harmless from and against any claims brought by third parties arising out of User's use of information accessed from Website or services provided by Company. Price and Payment Terms Your total price for Services will be stated on your purchase receipt. Terms of payment are within sole discretion of ABCRegistration,, and, unless orwise agreed to by ABCRegistration,, payment must be

5 received by ABCRegistration,, prior to acceptance of an order. Payment for services must be made by credit card (Visa, MasterCard, Discover or American Express), debit card (issued by Visa, MasterCard, Discover or American Express) or some or prearranged payment method. Orders are not binding upon ABCRegistration,, until accepted by it, and ABCRegistration,, reserves right to decline acceptance of any order, including but without limitation, in event price of Products or Services is a mistake. Refund Policy Payment is due immediately upon completion of our application form. No application will be accepted for processing until payment has been received. A refund may be requested by contacting us within one business day of purchase, after which all payments are final. No refund shall be issued after expiration of one business day. No refunds will be given for failure of performance on part of ABCRegistration,, due to causes beyond its control. No refund will be issued for inability to obtain an EIN resulting from User's failure to submit supplemental information when requested. User bears responsibility to provide accurate and timely information as required. All refunds will be subject to a $35.00 USD processing fee. ABCRegistration, begins processing your order immediately after submission, and should you choose to cancel your order by contacting us within one (1) business day, you will be charged a ($35.00) USD refund processing fee, with balance being refunded. ABCRegistration,, shall not be in default by reason of any failure in performance of this Agreement if such failure arises, directly or indirectly, out of causes reasonably beyond direct control or foreseeability of such party, including but not limited to, default by subcontractors or suppliers, acts of God or of public enemy, terrorism, U.S. or foreign governmental acts in eir a sovereign or contractual capacity, labor, fire, flood, epidemic, restrictions, strikes, freight embargoes, and/or banking and financial institution interruption. Refusal of Service ABCRegistration,, shall be sole arbiter of what constitutes a violation of se acceptable use policies.

6 We reserve right to terminate any account at any time and for any reason we deem necessary. We furr reserve right to refuse or terminate our services at our sole discretion. Headings The headings of Sections of this Agreement are for ease of reference only and shall not be admissible in any action to alter, modify or interpret contents of any Section hereof. Severability If any Section or provision of this Agreement be held illegal, unenforceable or in conflict with any law by a court of competent jurisdiction or arbitral tribunal, such Section or provision of this Agreement shall be deemed severed from this Agreement and validity of remainder of this Agreement shall neverless continue in full force and effect. Governing Law This Agreement shall be governed by and construed in accordance with laws of State of Ohio, United States of America, applicable to contracts made and to be enforced wholly within such state. Submission to Jurisdiction The parties to this Agreement each specifically consent to jurisdiction in State of Ohio in connection with any dispute between parties arising out of this Agreement or pertaining to subject matter hereof. Venue The parties to this Agreement each agree that venue for any dispute between parties arising out of this Agreement or pertaining to subject matter hereof may be had in District Court for Sourn District of Ohio or in state courts of Ohio sitting in Montgomery County, Ohio. Arbitration Should any dispute arise between parties, parties shall refer such dispute to arbitration. The duty and right to arbitrate will extend to any employee, officer, director, shareholder, agent, representative, parent or affiliate of parties. The arbitration shall be conducted by a single arbitrator in accordance with n-current Commercial Arbitration Rules of American Arbitration Association, provided that arbitrator is an attorney familiar with electronic commerce transactional matters. The decision and award of arbitrator shall be final and binding, and award so rendered may be entered in any court

7 having jurisdiction reof. The arbitration shall be held in Dayton, Ohio, or in a mutually agreed convenient place, and award shall be deemed to be made in Ohio. The arbitrator must enforce applicable Terms and Conditions of Service, including limitations and exclusions set forth rein, and shall have no authority to award punitive or exemplary damages or award damages in excess of limitations and exclusions set forth in se Terms and Conditions of Service. Notices All notices or or written communications required or permitted under this Agreement shall be given in writing by courier or reputable overnight delivery services, or by certified mail, return receipt requested, to ABCRegistration,, at its address set forth below: ABCREGISTRATION, 4917 Rustic Pre Loco Hills, Kansas Waivers and Amendments The waiver by eir party of any provision of this Agreement on any occasion and upon any particular circumstances shall not operate as a waiver of such provision of this Agreement on any or occasion or upon any or circumstances. Failure or delay by eir party to enforce compliance with any term or condition of this Agreement shall not constitute a waiver of such term or condition. This Agreement may be waived or amended only in writing and signed by both parties. Survival Any provision of this Agreement which, in accordance with its terms, is intended to survive this Agreement, shall survive expiration or termination of this Agreement for any reason. Assignment Neir party may assign its rights or delegate its duties under this Agreement except that (i) eir party may assign its rights to receive payments under this Agreement to a secured creditor and (ii) eir party may subcontract for performance of any of its obligations under this Agreement. Complete Agreement/Incorporation This Agreement contains complete understanding of parties with respect to subject matter hereof and supersedes all or agreements, understandings, communications and promises of any kind, wher oral or written, between such parties with respect to such subject matter.
