Please read this notice carefully as your rights may be affected by the potential transactions described herein. 1. On February 13, 2019, the above-captioned debtor and debtor-inpossession (the Debtor), filed the Debtor s Motion for Orders (I)(A) Approving Bidding Procedures for Sale of Substantially All of the Debtor s Assets, (B) Approving Bid Protections, (C) Scheduling Auction for, and Hearing to Approve, Sale of Substantially All of the Debtor s Assets, (D) Approving Form and Manner of Notices of Sale, Auction and Sale Hearing, (E) Approving Assumption and Assignment Procedures and (F) Granting Related Relief and (II) (A) Approving Sale of Debtor s Assets Free and Clear of Liens, Claims, Interests and Encumbrances, (B) Authorizing Assumption and Assignment of Unexpired Leases and Executory Contracts and (C) Granting Related Relief [DockQl No. 42] (the Sale Motion)^ with the United States Bankruptcy Court for the District of Delaware (the Bankruptcy Court). 2. On March 6, 2019, the Bankruptcy Court entered an order [Docket No. Ill] (the Bidding Procedures Order) approving certain relief requested in the Sale Motion, including (a) the Bidding Procedures and (b) procedures for the assumption and assignment of executory contracts and unexpired leases (collectively, the Proposed Assumed Contracts). The Debtor hereby provides notice (the Cure Notice) that it may assume and assign the Proposed Assumed Contracts listed on Exhibit A hereto to a purchaser of the Debtor s Assets. The Debtor s records reflect that all postpetition amounts owing under the Proposed Assumed Contracts have been paid and that, other than the cure amounts listed on Exhibit A hereto (the Cure Amounts), there are no other defaults under such Proposed Assumed Contracts. 4. Objections, if any, to a proposed Cure Amount or the assumption and assignment of the Proposed Assumed Contracts (other than on grounds that a proposed assignee must provide adequate assurance of future performance) must: (i) be in writing; (ii) conform to the applicable provisions of the Bidding Procedures Order, the Bankruptcy Code, the Bankruptcy Rules and the Local Rules; (hi) state with particularity the legal and factual basis for the objection; and (iv) be filed with the Bankruptcy Court on or before April 12, 2019 at 4:00 p.m. (ET) and served, so as to be actually received by such date, on; (a) counsel to the Debtor, Cole Schotz P.C., 500 Delaware Avenue, Suite 1410, Wilmington, DE (Attn: David R. Market Street, 5th Floor, Courtroom No. 5, Wilmington, DE A hearing regarding the Cure Amount, if any, may be continued until after the closing of the Sale. 6. Notwithstanding the foregoing, this Cure Notice does not constitute a determination by the Debtor that it ultimately will assume or assign the contracts and leases set forth on Exhibit A hereto. If the Debtor determines to assume and assign any contracts and/or leases in connection with a sale of the Assets, the Debtor will serve on each contract and lease counterparty a notice of such assumption and assignment, as more fully described in the Sale Motion and the Bidding Procedures. At that time, the non-debtor parties to such contracts and leases will have the opportunity to object to the assumption and assignment of such contracts and leases solely with respect to whether the proposed purchaser can provide adequate assurance of future performance as required by section 365 of the Bankruptcy Code.

Any non- Debtor party to a Proposed Assumed Contract who does not file a timely objection to the Cure Amount is deemed to have consented to such Cure Amount.
