Respondent MOTION TO MODIFY STAY OF PROCEEDINGS COMES NOW the Movant, Ally Financial Inc. f/k/a GMAC INC., (hereinafter referred to as Ally Financial Inc. ), by its attorneys, Gilbert L. Sussman, Esquire and Gilbert Sussman, LLC, and prays that this Court enter an Order Modifying Stay of Proceedings, and, as reasons therefor, states as follows 1. Neogenix Oncology, Inc., Debtor, filed herein a Petition for Relief under 11 U.S.C. Chapter 11. The Movant, Ally Financial Inc., has possession of one (1) 2010 Cadillac SRX, Serial Number 3GYFNFEY2AS525112, collateral for debt owing to Ally Financial Inc. 2. That this Court has jurisdiction to consider and grant the relief prayed for by the secured creditor pursuant to 362 of the Bankruptcy Code. 3. On November 30, 2009, the Debtor executed and delivered to Ally Financial Inc. a Lease Agreement - GMAC SmartLease - Monthly Payment for the lease of the aforesaid one (1)

Legal title to the aforesaid vehicle is vested in VAULT TRUST (Vehicle Asset Universal Leasing Trust). The Trust holds title to leased vehicles for the benefit, and subject to the direction of Ally Financial Inc., the lienholder, as is evidenced by copy of New York State Certificate of Title which is attached hereto as Exhibit B and incorporated herein by reference. 5. The balance due on the lease exceeds $33, The account on the one (1) 2010 Cadillac SRX, Serial Number 3GYFNFEY2AS525112, is past due for the months of June 30, 2012 through July 30, 2012 at $ per month for a total sum due of $1, See Affidavit of E. Tuenge, Bankruptcy Specialist, Ally Financial Inc., which is attached hereto as Exhibit C and incorporated herein by reference. 7. The collateral is rapidly depreciating in value, easily moved, and easily secreted. 8. Ally Financial Inc. has not been offered any manner or form of adequate protection for the value of its collateral. 9. There is no evidence of property damage insurance protecting the interest of Ally Financial Inc. 10. Ally Financial Inc. is entitled to retain possession of the above-described motor vehicle. WHEREFORE, the premises considered, Ally Financial Inc. prays that this Court modify the stay of proceedings herein so as to permit Ally Financial Inc. to retain possession and sell the vehicle and grant such other and further relief as to this Court may seem just and proper.
