1 TUBE CITY IMS MIDDLE EAST HOLDING W.L.L. ABU DHABI TERMS AND CONDITIONS FOR THE PURCHASE OF GOODS AND SERVICES ( ) 1. CONTRACT. These terms and conditions, together with the terms set forth in the Purchase Order (collectively, this Agreement ), (a) constitute the entire contract between the seller / service provider named in the Purchase Order ( Seller ) and Tube City IMS Middle East Holding W.L.L. Abu Dhabi ( TCIMS ) with respect to the transaction (whether for sale of goods and / or performance of services) described in the Purchase Order, regardless of whether Seller has acknowledged acceptance of the Purchase Order and / or these terms and conditions, and (b) expressly limit Seller s acceptance to the terms of this Agreement. If the Purchase Order is construed as an acceptance or a confirmation acting as an acceptance, then TCIMS s acceptance is EXPRESSLY CONDITIONAL ON SELLER S ASSENT TO ANY TERMS AND CONDITIONS CONTAINED HEREIN THAT ARE DIFFERENT FROM OR ADDITIONAL TO THOSE CONTAINED IN SELLER S WRITING. Further, if the Purchase Order is construed as the offer, acceptance thereof is EXPRESSLY LIMITED TO THE TERMS AND CONDITIONS CONTAINED HEREIN AND TCIMS HEREBY EXPRESSLY OBJECTS TO ANY ADDITIONAL OR INCONSISTENT TERMS OR CONDITIONS; NO SUCH ADDITIONAL OR INCONSISTENT TERMS OR CONDITIONS SHALL BE BINDING ON TCIMS UNLESS AGREED TO IN WRITING BY TCIMS. TCIMS s acceptance of Seller s sales confirmation or other writing, or commencement of performance (including payment for goods or services) shall not constitute acceptance of any of Seller s terms and conditions. Any use of Seller s documentation to administer the sale of goods and / or performance of services hereunder shall be for convenience only and all terms and conditions set forth on such documentation shall be null and void and not binding on TCIMS unless agreed to in writing by TCIMS. TCIMS s failure to object to any terms contained in any subsequent communication from Seller will not be a waiver or modification of the terms set forth herein. In any event, Seller s assent to the terms of this Agreement shall be conclusively presumed from Seller s: (a) delivery to TCIMS of a signed copy of this Agreement (including by facsimile or electronic means); (b) receipt of the Purchase Order without written objection sent to TCIMS within ten (10) تيوب سي آي.ام.اس. ميدل ايست هولدينج ذ.م.م. أبوظ بنود وشروط شراء السلع والخدمات (18-7) العقد. تشكل هذه الشروط واألحكام باإلضافة ا ى الشروط املنصوص عل ا ي أمر الشراء (ويشار إل ا مجتمعة بلفظ د الخدمة "االتفاقية"): (أ) كامل العقد امل رم ب ن البائع/مزو املذكور اسمه ي أمر الشراء ("البائع") وشركة تيوب سي آي.إم.إس ميدل إيست هولدينج ذ.م.م - أبوظ ("الشركة") فيما يتعلق باملعاملة (سواء لبيع السلع و/ أوأداء الخدمات) الواردة ي أمرالشراء بغض النظرعما إذا كان البائع قد أكد قبول أمرالشراء و/ أو هذه الشروط واألحكام و(ب) تقص ر قبول البائع صراحة ع ى شروط هذه االتفاقية. و ي حالة تفس ر "أمرالشراء" باعتباره قبول أو تأكيد ع ى شكل قبول فإن قبول الشركة يعت رمشروط ا صراحة بموافقة البائع ع ى كافة الشروط واألحكام املتضمنة ي هذه االتفاقية وإن اختلفت تمام ا عن تلك الواردة ي وثيقة البائع أو كانت إضافية عل ا. عالوة ع ى ذلك إذا تم تفس ر أمر الشراء باعتباره عرض فإن قبوله يقتصر صراحة ع ى البنود والشروط الواردة ي هذه الوثيقة وتع رض الشركة صراحة بموجب هذه الوثيقة ع ى أي أحكام أوشروط إضافية أوغ ر متسقة وال تكون تلك األحكام أو الشروط اإلضافية أو غ ر املتسقة ملزمة للشركة ما لم توافق الشركة ع ى ذلك خطي ا. وال يشكل قبول الشركة لتأكيد مبيعات البائع أو أي وثيقة أخرى أو البدء بالتنفيذ (بما ي ذلك دفع سعر السلع أو الخدمات) وال يمثل قبوال ألي من أحكام وشروط البائع. وأي استخدام لوثائق البائع ي إدارة بيع السلع و/أوأداء الخدمات بموجب هذه االتفاقية هو بغرض التيس ر فحسب وتكون جميع األحكام والشروط املنصوص عل ا ي تلك الوثائق الغية وباطلة وغ رملزمة للشركة ما لم توافق عل ا الشركة خطي ا. وال ي عت رعدم اع راض الشركة ع ى أي شروط ترد ي أي مراسالت الحقة من البائع بمثابة تنازل عن الشروط الواردة ي هذه الوثيقة أو تعديل لها. ع ى أية حال تعت ر.1 Tube City IMS Middle East Holding W.L.L. 2 days after receipt of same; (c) procurement, preparation, shipment and / or delivery of any of the goods to be sold hereunder and / or preparation for and or commencement of any of the services to be provided hereunder, in either case, after receipt of the Purchase Order; or (d) acceptance of all or any part of TCIMS s payment for the goods and / or services ordered. موافقة البائع ع ى بنود هذه االتفاقية موافقة مف رضة حاسمة من خالل قيام البائع بما ي ي: (أ) تسليم الشركة نسخة موقعة من هذه االتفاقية (بما ي ذلك عن طريق الفاكس أو الوسائل اإللك رونية) (ب) استالم أمر الشراء دون أن يعمد ا ى إرسال اع راض خطي إ ى الشركة ي غضون عشرة (10) أيام من استالمه (ج) شراء وإعداد وشحن و/أو توريد أي من السلع املراد بيعها بموجب هذه االتفاقية و/ أو التحض رأو املباشرة بأي من الخدمات املزمع تقديمها بموجب هذه االتفاقية بعد استالم أمر الشراء ي كلتا الحالت ن أو (د) قبوله لكل أو لجزء من الدفعات الخاصة بالشركة نظ ر السلع و/ أوالخدمات املطلوبة. 2. REPRESENTATIONS & WARRANTIES. Seller represents and warrants that all goods sold, and / or delivered hereunder (including goods purchased / delivered in the performance of services) shall: (a) be conveyed with good title and free of any liens or encumbrances; (b) be merchantable, new and of first grade quality; (c) be free of defects in design, workmanship and material; (d) be fit for the purposes for which they are purchased; (e) strictly conform with (i) TCIMS s descriptions and specifications incorporated herein; and (ii) all applicable federal, Emiri and local laws, decrees, ordinances, regulations, resolutions and orders (each and all a Law ); and (f) be free of hazardous materials, including, without limitation, petroleum products, explosives, radioactive materials, hazardous or toxic substances, PCBs or related or similar materials, asbestos or any material containing asbestos, or any other substance or material that may be defined or listed as a hazardous or toxic substance, or otherwise regulated by any Law except to the extent that any of the foregoing hazardous materials are known to TCIMS to be an essential part of the goods. Seller further represents and warrants that all services performed hereunder shall be performed in a skillful and workmanlike manner, with the highest degree of skill and care, in accordance with generally recognized commercial practices and standards for similar services, and in compliance with all Laws. If Seller, its employees, subcontractors, agents, or any other party under Seller s control (collectively, Seller Parties ) will deliver goods and / or perform services hereunder at TCIMS premises or the premises of a third party as directed by TCIMS (in either case, the TCIMS Site ), Seller represents, warrants, and agrees that Seller shall, and shall cause all Seller Parties to: (y) comply with all rules and regulations (whether of TCIMS or a third party) of the TCIMS Site; and (z) keep materials and the TCIMS Site (including all property and fixtures thereon) free and clear of any liens for material and اإلقرارات والضمانات. يقر البائع ويضمن أن جميع السلع املباعة و/ أو املوردة بموجب هذه االتفاقية (بما ف ا السلع املش راة / املوردة ي سياق أداء الخدمات): (أ) يتم نقلها مع ملكية قانونية ونافذة خالية من أي رهون أوأعباء (ب) بحالة قابلة للتداول التجاري وجديدة وذات جودة من الدرجة األو ى (ج) خالية من عيوب التصميم والتصنيع واملواد (د) مناسبة لألغراض ال تم شراؤها من أجلها (ه) مطابقة تطابقا تاما مع [1] مواصفات وتصنيفات الشركة املدرجة ي هذه االتفاقية و[ 2 ] جميع القوان ن واملراسيم والتعليمات االتحادية واملحلية املطبقة واللوائح والقرارات واألوامر (يشار إ ى كل م ا وإل ا مجتمع ن بلفظ "القانون") و(و) خالية من املواد الخطرة بما ي ذلك دون حصر- املنتجات الب رولية أواملتفجرات أو املواد املشعة أو املواد الخطرة أو السامة أو مركبات ثنائي الفينيل متعدد الكلور أو املواد ذات الصلة أو املماثلة أو األسبستوس أو أي مادة تحتوي ع ى األسبست أوأي مادة أوعناصرأخرى يمكن تعريفها أو إدراجها باعتبارها مواد خطرة أو سامة أو خالف ذلك واملنظمة بأحكم القانون إال إذا كانت الشركة تعلم أن أي من املواد الخطرة سالفة الذكر ي جزء أساس من السلع. كما يقرالبائع ويضمن أن تتم جميع الخدمات املؤداة بموجب هذه الوثيقة بمهارة ومصنعية سليمة وبأع ى درجات املهارة والعناية وفقا للممارسات واملعاي ر التجارية املع رف ا عمو ما للخدمات املماثلة مع االمتثال لجميع القوان ن. و ي حال قام البائع أو أي من موظفيه أو متعاقديه من الباطن أو وكالئه أو أي طرف آخر تحت سيطرته (يشار إل م مع ا بلفظ "أطراف البائع") بتسليم السلع و/ أو أداء الخدمات بموجب هذه Tube City IMS Middle East Holding W.L.L. 3 labor incident to the sale of goods or performance of any services by Seller hereunder. If requested by TCIMS, Seller shall execute and deliver to TCIMS a waiver / release of lien as a condition of payment hereunder. Each of the foregoing representations, warranties, and agreements shall expire twelve (12) months from the later of the date goods sold hereunder are put into service or the date on which services provided hereunder are completed. In the event of a breach of any of the foregoing representations, warranties, or agreements, Seller shall promptly, safely and expeditiously correct such breach by, at the option of TCIMS, removal, replacement and reinstallation or repair, modification or adjustment of the nonconforming goods or services. Acceptance by TCIMS of goods or services shall not relieve Seller of any of its warranty obligations hereunder. االتفاقية ي أماكن العمل بالشركة أو أماكن تابعة لطرف ثالث حسب توج ات الشركة (ويشار إل ا ب"موقع الشركة" ي الحالت ن) فإن البائع يق ر ويضمن ويوافق ع ى أن يل م ويكلف جميع األطراف التابع ن له باالل ام بما ي ي: (أ) االمتثال لجميع القواعد واللوائح املتبعة ي موقع الشركة (سواء كانت خاصة بالشركة أو بطرف ثالث) (ب) الحفاظ ع ى املواد وموقع الشركة (بما ي ذلك جميع املمتلكات وال ركيبات املقامة عليه) خالية من أي رهون ع ى املواد وأي حوادث قد تقع للعمال فيما يتعلق ببيع السلع أو أداء أي خدمات من قبل البائع بموجب هذه الوثيقة. ويل م البائع عند طلب الشركة بتوقيع وتقديم تنازل عن الرهن أو فكه كشرط للدفع بموجب هذه االتفاقية. وتنته صالحية كل من التأكيدات والضمانات واملوافقات سالفة الذكربم اثنا عشر (12) شهر ا من تاريخ وضع السلع املباعة بموجب هذه الوثيقة قيد الخدمة أو تاريخ إتمام الخدمات املقدمة بموجب هذه االتفاقية أ ا يحدث أخ را. و ي حالة ان اك أي من اإلقرارات أو الضمانات أو املوافقات السابقة ع ى البائع تدارك االن اك بشكل فوري وآمن وسريع عن طريق وفق خ يارالشركة إزالة السلع أو الخدمات غ ر املتوافقة أو استبدالها أو إعادة تركي ا أو تصليحها أو تعديلها. وال يعت رقبول الشركة للسلع أوالخدمات بمثابة إعفاء للبائع من أي من ال امات الضمان ال يتحملها بموجب هذه الوثيقة. 3. PRICING; SHIPPING & DELIVERY; TAXES. Prices for goods and / or services shall be as set forth on the Purchase Order; the Purchase Order shall not be filled at higher prices than last quoted or charged to TCIMS, without prior written approval from TCIMS. All prices are FOB (TCIMS Site). Unless progress payments are agreed to by TCIMS in writing, payment of undisputed amounts due hereunder shall be made within forty-five (45) days after receipt of Seller s invoice, provided that Seller s invoice may not be delivered until all goods are delivered and / or services are performed hereunder, and provided further that Seller s invoice must reference the TCIMS Purchase Order number. Undisputed amounts for which payment is due are evidenced solely by TCIMS written, signed acceptance of such amounts. Despite any shipping terms or arrangement, Seller shall have risk of loss for all goods shipped until received and accepted by TCIMS (or its customer, if applicable) in writing, at which time title to and risk of loss with respect to the goods shall pass to TCIMS (or its customer, if applicable). Partial shipments, if agreed to by TCIMS, التسع ر الشحن والتوريد الضرائب. تكون أسعارالسلع و/أو الخدمات ي األسعارالواردة ي أمرالشراء واليجوز وضع أسعار ي أمرالشراء تزيد ع ى آخرسعرتم عرضه أو قيده ع ى الشركة دون الحصول ع ى موافقة خطية مسبقة من الشركة. وتكون جميع األسعارع ى أساس "فوب" (موقع الشركة). وت سدد املبالغ غ راملتنازع عل ا واملستحقة بمقت هذه االتفاقية ي غضون خمسة وأربع ن (45) يوم ا من استالم فاتورة البائع ما لم توافق الشركة كتابيا ع ى أداء الدفعات بشكل دوري/مرح ي ع ى أنه ال يجوز إرسال فاتورة البائع إال بعد توريد جميع السلع و/أو تنفيذ الخدمات بموجب هذه الوثيقة وكذلك شريطة أن تذكر فاتورة البائع رقم طلب الشراء الخاص بالشركة. ويشكل القبول الخطي املوقع من الشركة اإلثبات الوحيد للمبالغ املستحقة وغ ر املتنازع عل ا. وع ى الرغم من أي شروط أو ترتيبات خاصة بالشحن يظل البائع مسؤوال عن مخاطر خسارة جميع السلع Tube City IMS Middle East Holding W.L.L. 4 shall be identified as such on the shipping memoranda and on invoices, and marked PARTIAL for the preliminary shipments and FINAL for the completing shipment. The quantity of goods delivered shall not exceed the quantity set forth on the Purchase Order without prior written approval from TCIMS. There shall be no charges for boxing or crating unless previously authorized in writing by TCIMS. If the Purchase Order requires Seller to furnish goods or services for a lump sum amount, Seller shall furnish TCIMS with any analysis of such amount that TCIMS may reasonably request. Without prejudice to any other right or remedy it may have, TCIMS reserves the right to set off at any time any amount owing to it by Seller against any amount payable by TCIMS to Seller under this Agreement or any other contract between the parties or their affiliates. The parties agree that the Seller is responsible for the payment of any sales, use, VAT or other taxes, tariffs, customs duties, import duties or similar charges arising from the sale of goods and / or performance of services pursuant to this Agreement, and that any such taxes are included in the price set forth in the Purchase Order. Seller will reimburse TCIMS if it pays any such taxes, tariffs, customs duties, import duties or other charges directly to the relevant authorities, including any interest and / or penalties thereon. املشحونة لح ن استالمها وقبولها خطيا من قبل الشركة (أومن عميل الشركة عند االقتضاء) وعندها تنتقل ملكية السلع ومخاطر فقدا ا إ ى الشركة (أو ا ى عميل الشركة حسب الحالة). و ي حال وافقت الشركة ع ى شحنات جزئية يجب أن تذكر وثائق الشحن والفوات ر ذلك ووضع عبارة "شحنة جزئية" ع ى الشحنات األولية و"شحنة ائية" ع ى الشحنة األخ رة ي جدول التسليم. وال يجوز أن تتجاوز كمية السلع املسلمة الكمية املحددة ي أمر الشراء دون الحصول ع ى موافقة خطية مسبقة من الشركة. وال ت فرض أي رسوم ع ى صندقة السلع (تعبئة السلع ي صناديق) أو تحزيمها إال بإذن كتابي مسبق من الشركة. وإذا تطلب أمر الشراء من البائع تقديم سلع أو خدمات نظ ر مبلغ مقطوع فع ى البائع تزويد الشركة بالتحليل الذي تطلبه الشركة لذلك املبلغ بحدود املعقول. ومع عدم االنتقاص من أي حق أو سبيل انتصا ي آخر قد يحق لها تحتفظ الشركة بحقها ي أن تقوم ي أي وقت بخصم املبالغ الدائنة لها بذمة البائع من مستحقاته لد ا بموجب هذه االتفاقية أوبموجب أي عقد آخرم رم ب ن الطرف ن أوب ن الشركات التابعة لهما. ويوافق الطرفان بأن البائع مسؤول عن جميع ضرائب املبيعات أوضريبة القيمة املضافة أوضرائب االستخدام أوغ رها من أنواع الضرائب أوالتعريفات أو الرسوم الجمركية أو رسوم االست راد أو أي رسوم مماثلة تنشأ عن بيع السلع و/أو أداء الخدمات بموجب هذه االتفاقية وبأن تلك الضرائب مشمولة ي السعر الوارد ي أمر الشراء. ويل م البائع بتعويض الشركة ي حال عمدت الشركة ا ى دفع أي ضرائب أو تعريفات أو رسوم جمركية أو رسوم است راد أو أي رسوم أخرى مباشرة إ ى السلطات املعنية بما ي ذلك أي فوائد و/ أوغرامات يتم فرضها عل ا. 4. INSPECTION & ACCEPTANCE. All goods and services furnished hereunder are subject to inspection and testing by TCIMS, and if applicable, its ultimate purchaser, at manufacturer s plant. Final payment shall not be due until final inspection and written acceptance by TCIMS at the TCIMS Site. TCIMS shall either accept or reject the goods and / or services within thirty (30) days of delivery of such goods and / or completion of such services. The following endorsement verbiage is required on all such certificates: Tube City IMS Middle East Holding W.L.L. Abu Dhabi and its subsidiaries and affiliates and [TCIMS steel mill customer name] are additional insured s and a waiver of subrogation to the benefit of Tube City IMS يل م البائع بتقديم شهادات تثبت حصوله ع ى التغطية التأمينية املطلوبة بموجب هذه الوثيقة بشكل مر ض وجوهري للشركة مع تسمية الشركة وعميله الخاص بموقع الشركة كمؤ من عليه إضا ي مع التنازل عن حق الحلول وتوجيه إشعار خطي للشركة بف رة ال تقل عن ثالث ن (30) بأي إلغاء أوتعديل. ويلزم تقديم سند التصديق Tube City IMS Middle East Holding W.L.L. 6 Middle East Holding W.L.L. Abu Dhabi and [TCIMS steel mill customer name] has been provided. Coverage must be primary and non-contributory. In addition, any Seller delivering fuel, oils, or other liquids, must include an endorsement that the policies provide coverage for cleanup of any spills. It is also required that TCIMS be named as a certificate holder on the required insurance policies using the following certificate holder language: Tube City IMS Middle East Holding W.L.L. Abu Dhabi, c/o Emirates Steel Industries, Mussafah Industrial City, Box 26837, Abu Dhabi, UAE. Seller shall also furnish evidence of statutory coverage prescribed by the Labour Law & Workmen s Compensation Ordinance under Chapter 8 of Federal Law No التا ي ع ى جميع تلك الشهادات: شركة تيوب سي آي.إم.إس ميدل إيست هولدينغ ذ.م.م أبوظ وشركا ا التابعة وفروعها و[اسم عميل مصنع الصلب التابع للشركة] هم مؤ من عل م إضافي ن وتم تقديم ما يفيد التنازل عن حق الحلول لصالح شركة تيوب سي آي.إم.إس ميدل إيست هولدينغ ذ.م.م أبوظ و[اسم عميل مصنع الصلب التابع للشركة]. وينب ي أن تكون التغطية أساسية وغ رقائمة ع ى املساهمة. وباإلضافة إ ى ذلك يتع ن ع ى أي بائع يقدم وقود أو زيوت أو أي سوائل خالف ذلك أن ي ضم ن إقرار ا بأن وثائق التأم ن توفر التغطية املناسبة لتنظيف أي انسكاب. كما يلزن تسمية الشركة باعتبارها حاملة لشهادة بشأن وثائق التأم ن املطلوبة باستخدام لغة حامل الشهادة التالية: شركة تيوب سي آي.إم.إس ميدل إيست هولدينغ ذ.م.م - أبوظ عناية شركة اإلمارات لصناعات الحديد مدينة مصفح الصناعية صندوق بريد رقم أبو ظ اإلمارات العربية املتحدة ". كما يتع ن ع ى البائع تقديم أدلة ع ى التغطية القانونية املنصوص عل ا ي قانون العمل وقانون تعويض العمال بموجب الفصل (8) من القانون االتحادي رقم COMPLIANCE WITH LAWS. Seller agrees that it shall, and shall cause all Seller Parties to, at all times comply with all Laws and building codes that are applicable to the operation of its business, this Agreement, and its performance hereunder. Without limiting the generality of the foregoing, Seller shall, and shall cause all Seller Parties to, at all times, at its own expense, obtain and maintain all certifications, credentials, authorizations, licenses and permits necessary to conduct its business relating to the performance of its obligations under this Agreement. االمتثال للقوان ن. يوافق البائع ع ى ال امه وال ام أطراف البائع ي كل األوقات بجميع قوان ن ولوائح البناء ال تنطبق ع ى تشغيل أعماله وهذه االتفاقية وع ى أدائه بموج ا. ودون الحد من عمومية ما تقدم يجب ع ى البائع وع ى أطراف البائع بتوجيه منه أن يحصل ويحافظ ع ى نفقته ووثائق وأوراق االعتماد ع ى جميع الشهادات الخاصة أعماله ملزاولة التفويض وال راخيص والتصاريح الالزمة املتعلقة بأداء ال اماته بموجب هذه االتفاقية DISCHARGE & DEFAULT. If (a) Seller: (i) becomes insolvent; (ii) has a business failure, dissolves or is dissolved; (iii) enters (voluntarily or involuntarily) any bankruptcy, receivership, insolvency or reorganization proceeding; (iv) assigns assets for the benefit of its creditors; or (v) fails to maintain its account with TCIMS on a current basis; (b) at any time, TCIMS reasonably believes that Seller may fail to perform any of its obligations under this Agreement for any of the foregoing reasons; or (c) Seller has failed to substantially or timely perform any of its obligations under this Agreement or any other contract with TCIMS or its affiliates, then TCIMS may immediately cancel this Agreement by written notice to the Seller without recourse to the court and without liability to Seller. In case of any default by Seller, TCIMS may obtain goods and services from other sources and hold Seller اإلعفاء والتقص ر. (أ) إذا البائع: [i] أصبح معسرا أو [ii] أخفق ي أعماله التجارية أوعمد إ ى الحل أوتم حل ه أو [iii] دخل (طو عا أو كره ا) ي أي إجراءات لإلفالس أو الحراسة أو اإلعسار أو إعادة الهيكلة أو [iv] تنازل عن أصول لصالح دائنيه أو [v] فشل ي الحفاظ ع ى حسابه مع الشركة ع ى األساس الحا ي (ب) ي أي وقت ترى الشركة بشكل معقول أن البائع قد يخفق ي تنفيذ أي من ال اماته بموجب هذه االتفاقية ألي من األسباب آنفة الذكر أو (ج) إذا أخفق البائع ي تنفيذ أي من ال اماته بموجب هذه االتفاقية أوبموجب أي.7 Tube City IMS Middle East Holding W.L.L. 7 responsible for any damages occasioned thereby. TCIMS may also deduct from the amount due Seller the cost of replacement goods and services. The rights and remedies under this Agreement are cumulative and in addition to, not in substitution for, any other rights and remedies available at Law, in equity or otherwise. تعاقد آخر مع الشركة أو الشركات التابعة له عندئذ يجوز للشركة إلغاء هذه االتفاقية ع ى الفور عن طريق إرسال إشعار خطي إ ى البائع دون اللجوء إ ى املحكمة ودون أي مسؤولية ع ى البائع. ي حالة حدوث أي تقص رمن جانب البائع يحق للشركة الحصول ع ى سلع وخدمات من مصادرأخرى وتحميل البائع املسؤولية عن أي أضرارتنتج عن ذلك. وللشركة كذلك أن تخصم من أي مبلغ مستحق للبائع أي تكلفة للسلع والخدمات البديلة. وتعت ر الحقوق وسبل االنتصاف بموجب هذه االتفاقية ذات طبيعة تراكمية وإضافية إ ى وليست بديال عن - أي حقوق وسبل انتصاف أخرى متاحة بمقت القانون أوباالنتصاف أو خالف ذلك. 8. INDEMNITY. Seller agrees to protect, defend, indemnify and save TCIMS, its parents, subsidiaries and affiliates, and their respective officers, directors, employees, contractors and agents (the Indemnified Parties ), harmless from and against any and all actions, losses, liabilities, damages, claims, costs (including attorney s fees), charges, expenses, penalties, fines, or demands of any nature that arise out of, relate to or in connection with: (a) any breach of the terms of this Agreement by Seller; (b) any personal injuries (including death) or property damage (including contamination) arising from Seller s performance under this Agreement; (c) any claim by an employee or agent of Seller or any Seller Party for occupational illness due, or allegedly due, to exposure to the products or byproducts of TCIMS s or TCIMS s customer s manufacturing process, arising out of, incident to, or resulting from, the performance by Seller hereunder; and (d) any claim that the goods sold by Seller hereunder, or the sale or use thereof, infringe any patent, trademark or copyright; in each case, whether or not due to the negligence of any of the Indemnified Parties, except that Seller shall have no liability for damages caused by the sole negligence of any of the Indemnified Parties. التعويض. يوافق البائع ع ى حماية الشركة - وشرك ا األم وفروعها والشركات التابعة لها - والدفاع ع ا وتعويضها وتجني ا الضرر وكذلك املسؤول ن واملدراء واملوظف ن واملقاول ن والوكيل لدى أي م م ("األطراف املعو ضة") عن وضد أي وجميع اإلجراءات أو الخسائرأو االل امات القانونية أو األضرارأوالدعاوى أوالتكاليف (بما ي ذلك أتعاب املحاماة) أو الرسوم أواملصروفات أوالعقوبات أوالغرامات أواملطالبات من أي نوع كان وال تنشأ أو ترتبط أو تتعلق بما ي ي: (أ) أي ان اك لشروط هذه االتفاقية من جانب البائع (ب) أي إصابات شخصية (بما ي ذلك الوفاة) أوتلف ي املمتلكات (بما ي ذلك التلوث) نتيجة ألداء البائع ي إطارهذه االتفاقية (ج) أي مطالبة من قبل موظف أو وكيل لدى البائع أو أي من أطراف البائع بسبب مرض م ناجم أو ي زعم أنه ناجم - عن التعرض للمنتجات أواملنتجات الثانوية الخاصة بالشركة أو بعملية التصنيع الخاصة بعميل الشركة سواء كان ذلك بسبب أداء البائع بموجب هذه االتفاقية أو بشكل عر لذلك األداء أونتيجة له (د) أي دعوى بأن السلع ال يبيعها البائع بموجب هذه االتفاقية أو أن عملية بيعها أو استخدامها إنما تنطوي ع ى ان اك ألي براءة اخ راع أو عالمة تجارية أو حقوق نشر ي كل حالة بغض النظرعم ا إذا كان ذلك بسبب إهمال أي من األطراف املعو ضة باستثناء أن البائع ال يتحمل أي مسؤولية عن األضرارالناجمة حصر ا عن إهمال أي من األطراف املعو ضة..8 Tube City IMS Middle East Holding W.L.L. 8 9. RELATIONSHIP OF PARTIES. Seller and TMS are independent contracting parties and nothing in this Agreement shall make either the agent or legal representative of the other for any purpose whatsoever, and neither party grants the other party any authority to assume or to create any obligation on behalf or in the name of the other. عالقة األطراف. يعت ر كل من البائع والشركة طرفان متعاقدان مستقالن وال تشتمل هذه االتفاقية ع ى ما يجعل أي م ما وكيال أو ممثال قانوني ا لآلخرألي غرض كان وال يمنح أي من الطرف ن الطرف اآلخر أي سلطة لالضطالع بأي ال امات أوإنشا ا باسم الطرف اآلخرأوباإلنابة عنه NOTICES. All notices, consents, claims, waivers and demands under this Agreement (each, a Notice ) shall be in writing, addressed to the applicable party s address set forth on the Purchase Order, and delivered in person or by courier, or sent by internationally recognized overnight express service, or certified or registered mail, return receipt requested. Any such Notice shall become effective upon delivery if delivered in person or by courier, on the date of the delivery receipt if sent by internationally recognized overnight express service or the date of delivery set forth on the return receipt if sent by certified or registered mail, return receipt requested. اإلشعارات. تصدر جميع اإلشعارات واملوافقات واملطالبات والتنازالت واملطالب بموجب هذه االتفاقية (يشار إ ى كل م ا بلفظ "إشعار") ي صيغة خطية موجهة إ ى عنوان الطرف املع املذكور ي أمر الشراء ويتم تسليمها إما باليد أو عن طريق ال ريد أو ت رسل بواسطة شركة مع رف ا دولي ا للتوصيل السريع ي اليوم التا ي أو باستخدام ال ريد املعتمد أواملسجل ي مقابل إيصال تسليم. ويعت رأي إشعارساري ا ي تاريخ عند التسليم إذا تم تسليمه باليد أو عن طريق ال ريد و ي تاريخ إيصال التسليم إذا تم إرساله بواسطة خدمة توصيل سريع مع رف ا دولي ا أو ي تاريخ التسليم املحدد ي إيصال االستالم إذا تم إرساله بال ريد املعتمد أو املسجل مع طلب التوقيع ع ى إيصال استالم AMENDMENT; NON-WAIVER. The terms of this Agreement may not be modified, altered or waived, either orally, by usage of trade, course of performance or course of dealing. Any change to, deviation from, or waiver of the terms of this Agreement (whether in the Purchase Order or these terms and conditions) shall only be made pursuant to a writing signed by the party to be bound. التعديل عدم التنازل. ال يجوز تعديل شروط هذه االتفاقية أو تغي رها أو التنازل ع ا سواء كان ذلك شفهي ا أو عن طريق األعراف التجارية أو ي سياق األداء أو التعامل. وأي تغي ر ي شروط هذه االتفاقية أو أي انحراف أو تنازل ع ا (سواء ي أمرالشراء أو ي هذه الشروط واألحكام) ينب ي أن يتم فقط بموجب وثيقة خطية موقعة من قبل الطرف املراد ال امه بذلك التغي ر SEVERABILITY; ASSIGNMENT / SUBCONTRACTING; CONFLICT. If any term or provision of this Agreement is declared invalid, illegal or unenforceable in any jurisdiction, (a) the affected provision will be modified to conform to applicable law, if possible, or omitted, and (b) such invalidity, illegality or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. Seller shall not assign or subcontract this Agreement, in whole or in part, or any rights or obligations hereunder without the prior written consent of TCIMS; no other term of this Agreement shall be construed as a right to subcontract without first obtaining such consent. In the event of a conflict between the terms in the Purchase Order القابلية للفصل اإلحالة/التعاقد من الباطن ال اعات. ي حال اعت ر أي من األحكام والشروط املتضمنة ي هذه االتفاقية باطال أو غ رقانوني أو غ رقابل للتنفيذ ي أي نطاق قضائي (أ) يتم تعديل الحكم املتأثربحيث يتوافق مع القانون املعمول به ما أمكن أو يتم تجاهله و(ب) ال يؤثر ذلك البطالن أو عدم املشروعية أو عدم القابلية للتنفيذ ع ى أي شرط أوحكم آخر ي هذه االتفاقية وال يسفرعن بطالن ذلك الحكم ذاته أوقابليته للنفاذ ي أي نطاق قضائي آخر. واليجوز.12 Tube City IMS Middle East Holding W.L.L. 9 and these terms and conditions, the terms in the Purchase Order shall prevail. للبائع التنازل عن هذه االتفاقية أوالتعاقد بشأ ا من الباطن - كلي ا أو جزئي ا - أو عن أي من الحقوق أواالل امات املتوخاة ف ا دون موافقة خطية مسبقة من الشركة ال يجوز تفس ر أي حكم أو شرط آخر ي هذه االتفاقية باعتباره حق ي التعاقد من الباطن دون الحصول أوال ع ى تلك املوافقة. و ي حال و جد تعارض ب ن الشروط الواردة ي أمر الشراء وهذه الشروط واألحكام تسود الشروط الواردة ي أمرالشراء. 13. LAW & DISPUTE RESOLUTION. This Agreement and all related documents (including any quotation or any other document submitted in connection therewith), and all matters arising out of or related to this Agreement or any such documents, shall be governed by, and construed in accordance with, the Laws of the Emirate of Abu Dhabi and the Federal Laws of the United Arab Emirates as applied by the courts in the Emirate of Abu Dhabi. The Seller and TCIMS specifically agree that any controversy or claim directly or indirectly arising out of or relating to this Agreement, or in connection herewith, or the breach thereof, shall be settled by arbitration administered by the Dubai International Arbitration Center in accordance with the DIAC Arbitration Rules and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Claims shall be heard by a single arbitrator, appointed in accordance with the DIAC rules. The place and seat of arbitration shall be Abu Dhabi. The language to be used in the arbitral proceedings shall be English and the arbitrator shall have the power to issue directions as to all costs arising from any arbitration (including attorney s fees). Each of the parties: (a) will submit to the non-exclusive jurisdiction of the courts of the Emirate of Dubai for the purposes of ratifying any award made pursuant to the arbitration proceedings; (b) will not challenge any arbitral award made pursuant to arbitration proceedings; and (c) will not object to or challenge any application to enforce any arbitral award made pursuant to the arbitration proceedings in any court and it will submit to the jurisdiction of that court for the purposes of those enforcement proceedings. القانون وحل ال اع. تخضع هذه االتفاقية وجميع الوثائق ذات الصلة (بما ي ذلك أي عرض أسعار أو أي وثيقة أخرى مقدمة تتعلق به) وجميع املسائل ال تنشأ عن أو ترتبط ذه االتفاقية أو أي من تلك الوثائق تخضع وتف سر وفق ا لقوان ن إمارة أبوظ والقوان ن االتحادية لدولة اإلمارات العربية املتحدة كيفما تطبقها املحاكم ي إمارة أبوظ. وع ى وجه التحديد يوافق البائع وتوافق الشركة ع ى أن أي خالف أوأي مطالبة تنشأ بشكل مباشرأو غ رمباشرعن هذه االتفاقية أو فيما يتعلق ا أو بان اكها يتم تسويته/تسوي ا عن طريق تحكيم يجريه مركزدبي للتحكيم الدو ي وفق ا لقواعد التحكيم املتبعة فيه ويجوز إدخال الحكم الصادرمن ق بل امل حك م ي أي محكمة ذات والية قضائية. ويتم االستماع إ ى الدعاوى من ق بل محكم واحد يتم تعيينه وفق ا لقواعد مركزدبي للتحكيم الدو ي ع ى أن يكون مكان ومقعد التحكيم ي أبوظ واللغة املستخدمة ي إجراءات التحكيم ي اللغة اإلنكل ية ويكون للمحكم سلطة إصدار التوج ات بشأن جميع التكاليف الناشئة عن أي تحكيم (بما ي ذلك أتعاب املحامي). ويتع ن ع ى كل من الطرف ن: (أ) الخضوع لالختصاص القضائي غ ر الحصري ملحاكم إمارة دبي ألغراض التصديق ع ى أي قرار يصدر بمقت إجراءات التحكيم (ب) االمتناع عن الطعن ع ى أي قرار تحكيم يصدر بمقت إجراءات التحكيم (ج) عدم االع راض أوالطعن ع ى أي طلب إلنفاذ أي قرارتحكيم يصدر عمال بإجراءات التحكيم ي أي محكمة والخضوع الختصاص تلك املحكمة ألغراض إجراءات اإلنفاذ تلك..13 Tube City IMS Middle East Holding W.L.L.
