DeMarco in Support of an Order to Show Cause Scheduling a Hearing on Shortened Notice to Consider Dismissal of the Chapter 11 Cases of Waypoint Asset Co 12 Limited and the other WAC12 Debtors Effective as of the Closing Date Under the WAC12 Purchase Agreement (the DeMarco Declaration ); the Court having jurisdiction to consider the Motion pursuant to section 1334 of title 28 of the United States Code and the Amended Standing Order of Reference dated January 31, 2012, General Order M-431 (Preska, C.J.); consideration of the Motion and the relief requested therein being a core proceeding pursuant to section 157 of title 28 of the United States Code; venue being proper before the Court pursuant to sections 1408 and 1409 of title 28; the Court having reviewed the 1 Capitalized terms not defined herein shall have the meaning ascribed to such terms in the Motion. -1-

2 smb Doc 451 Filed 02/19/19 Entered 02/19/ Main Document Pg 2 of 3 Motion, the DeMarco Declaration and all proceedings heretofore had before the Court; the Court having found and determined that the scheduling of a hearing on shortened notice pursuant to Bankruptcy Rules 2002 and 9006 and Local Bankruptcy Rules and to consider relief requested in the Motion is in the best interests of the Debtors, their estates, their creditors and all other parties in interest and that the legal and factual bases set forth in the Motion and the DeMarco Declaration establish just cause for the relief granted herein; after due deliberation and sufficient cause appearing therefor, it is hereby ORDERED that a hearing (the Hearing ) on the Motion shall be held on February 26, 2019 at 1000 a.m. (prevailing Eastern time), or as soon thereafter as counsel may be heard, before the Honorable Stuart M. Bernstein, United States Bankruptcy Judge, Courtroom 723, Alexander Hamilton U.S. Custom House, One Bowling Green, New York, New York 10004; and it is further ORDERED that objections, if any, to the Motion and the relief requested therein must be filed and served so as to be actually received by the Debtors and the WAC12 Administrative Agent by no later than February 25, 2019 at 400 p.m. (prevailing Eastern time) (the Objection Deadline ); and it is further ORDERED that within one day after entry of this Order, by 800 p.m. on February 15, 2019 [SMB 2/15/19] the WAC12 Administrative Agent shall give notice of the Motion, the DeMarco Declaration, this Order, the Hearing and the Objection Deadline by serving a copy of this Order, the Motion and the DeMarco Declaration by , or facsimile and/or overnight mail [SMB 2/15/19] on the Debtors, the Office of the United States Trustee for Region 2 and the other persons and entities identified on the Master Service List as of the date hereof, including the Rule 2002 Parties, pursuant to the Final Order Pursuant to 11 U.S.C. 105(a) and Fed.
